About this file

This is a Special Contract Requirements clause document outlining the Variation in Estimated Quantity (VIQ) pricing structure for the exam delivery and proctoring solicitation. The contract employs firm, fixed unit prices (FFUP) for all contract line item numbers (CLINs) and subline items (SLINs), with unit prices established to cover all costs and profit necessary for delivery or performance. Payment is issued monthly based on actual quantities delivered or performed, multiplied by the established unit price, with the contractor entitled to compensation only for work actually completed and accepted by the government.

The estimated quantities listed in Section B represent the maximum amount the contractor may deliver unless the contract is modified with additional funding. The contractor is not guaranteed payment for estimated quantities if the government does not utilize the full amount; instead, payment is strictly limited to actual quantities delivered. At the end of each performance year, the government may issue a modification to reduce any remaining funds on CLINs/SLINs where actual work performed falls below the originally estimated quantities. Importantly, the contractor has no entitlement to unit price adjustments if the government does not attain the estimated quantities originally listed in the contract documentation.

Section H - Special Contract Requirements

SPECIAL CONTRACT REQUIREMENTS

Variation in Estimated Quantity (VIQ)

a. Contract line-item numbers (CLINS) (as well as corresponding CLINs for option years) and their subline items (SLINs) where appropriate, contain quantities that are estimated and that are priced with firm, fixed unit prices (FFUP). These unit prices contain all costs and profit necessary to carry out the delivery / performance of the unit identified per CLIN, the statement of objectives (SOO), or Statement of Work (SOW).

b. During each 12-month period of performance, the contractor shall be paid the established unit price of each CLIN/SLIN multiplied by the quantity delivered / performed no more often than monthly in accordance with the appropriate payment clause(s) elsewhere in the contract. The monthly request for payment shall also include other similarly structured CLINs/SLINs calculated likewise, based on actual quantities delivered / performed for that same period invoiced.

c. These estimated quantities are the maximum amount the contractor may deliver / perform unless additional funding is obtained and the contract modified accordingly. Additionally, the contractor is only entitled to payment of actual quantities delivered and accepted. The actual final annual quantities performed/delivered may be less than those shown in Section B - Supplies or Services and Prices. In such case, the contractor is only entitled to payment for actual quantities performed/delivered and not the quantities listed in Section B.

d. At the end of the period of performance for each year, the government may issue a modification reducing any remaining funds on CLINs/SLINs where the actual work and payment is less than the estimated quantities originally funded.

e. The contractor shall not be entitled to any revision to unit prices should the government not attain the quantities listed in Section B.
