About this file

This document is the General Conditions of the Contract for Construction, a template (A201-2017) developed by the American Institute of Architects (AIA) and customized for the City of Pasadena, California. The template establishes standard contractual terms, rights, responsibilities, and procedures for construction projects, with specific modifications tailored to the City of Pasadena's municipal requirements. The document provides comprehensive guidelines covering various aspects of construction contracts, including contractor responsibilities, owner rights, changes in work, time management, payments, completion procedures, protection of persons and property, insurance requirements, and dispute resolution mechanisms.

The document is designed to be used in conjunction with other contract documents and provides a standardized framework for managing construction projects. It includes detailed provisions for handling changes, maintaining project schedules, managing subcontractors, addressing delays, processing payments, and resolving potential disputes. Notable features include specific requirements for record-keeping, daily logs, submittals, and maintenance of project documentation. The template also incorporates California-specific legal and regulatory requirements, such as compliance with Public Contract Code, prevailing wage regulations, and specific provisions related to subcontractor listing and payment procedures. The document emphasizes transparency, detailed documentation, and clear communication between the owner (City of Pasadena) and the contractor throughout the construction process.

ARTICLE 1 GENERAL PROVISIONS

§ 1.1 Basic Definitions § 1.1.1 The Contract Documents The Contract Documents are enumerated in the Agreement between the Owner and Contractor (hereinafter the Agreement) and consist of permits and other Governmental Approvals required for the Work, the Agreement, Conditions of the Contract (General, Supplementary and other Conditions), Drawings, Specifications, Addenda issued prior to execution of the Contract, other documents listed in the Agreement, and Modifications issued after execution of the Contract. A Modification is (1) a written amendment to the Contract signed by both parties, (2) a Change Order,

(3) a Construction Change Directive, or (4) a written order for a minor change in the Work issued by the Architect.

There are explicit limits on the parties on who may execute Modifications and the cost and time impacts that may result from such Modifications as set forth in Sections 2.1 and 7.4 herein. Contractor is obligated to ensure that the requirements of Section 2.1 and 7.4 are followed before it acts upon any Modification.

§ 1.1.2 The Contract The Contract Documents form the Contract for Construction. The Contract represents the entire and integrated agreement between the parties hereto and supersedes prior negotiations, representations, or agreements, either written or oral. The Contract may be amended or modified only by a Modification. The Contract Documents shall not be construed to create a contractual relationship of any kind (1) between the Contractor and the Architect or the Architect’s consultants, (2) between the Owner and a Subcontractor or a Sub-subcontractor, (3) between the Owner and the Architect or the Architect’s consultants, or (4) between any persons or entities other than the Owner and the Contractor.

§ 1.1.3 The Work The term "Work" means the construction and services required by the Contract Documents, whether completed or partially completed, and includes all other labor, materials, equipment, and services provided or to be provided by the Contractor to fulfill the Contractor’s obligations. The Work may constitute the whole or a part of the Project.

Nothing in these General Conditions shall be interpreted as imposing on the Owner, Architect, or their respective agents, employees, officers, directors, or consultants any duty, obligation or authority with respect to any items that are not intended to be incorporated into the completed Project, or that do not comprise the Work including, but not limited to temporary shoring, scaffolding, removal of trash and debris, hoists, or any temporary facility or activity, because such items are the sole responsibility of Contractor.

§ 1.1.4 The Project The Project is the total construction of which the Work performed under the Contract Documents may be the whole or a part and which may include construction by the Owner’s own forces and by Separate Contractors.

§ 1.1.5 The Drawings The Drawings (or "Plans") are the graphic and pictorial portions of the Contract Documents showing the design, location and dimensions of the Work, generally including plans, elevations, sections, details, schedules, and diagrams.

§ 1.1.6 The Specifications The Specifications are that portion of the Contract Documents consisting of the written requirements for materials, equipment, systems, standards and workmanship for the Work, and performance of related services.

§ 1.1.7 Instruments of Service Instruments of Service are representations, in any medium of expression now known or later developed, of the tangible and intangible creative work performed by the Architect and the Architect’s consultants under their respective professional services agreements. Instruments of Service may include, without limitation, studies, surveys, models, sketches, drawings, specifications, and other similar materials.
