About this file
This is a Government Task Agreement (GTA) instructions and template document for Project NEXUS, a NASA commercial relay service contract. The document establishes procedures for contractors to request limited government support and access to NASA resources on an optional basis.
GTAs are intended to document discrete, bounded government support in areas such as legacy compatibility validation, access to unique government facilities or test environments, limited mission integration support, or other approved government resources. Offerors must not rely on government resources as fundamental elements of their proposed solutions, and contractors remain fully responsible for end-to-end service delivery regardless of whether a GTA is requested or approved. Each proposed GTA must identify the specific government resource or service requested, purpose and scope, period of performance, schedule dependencies, and proposed cost or reimbursement treatment. For proposal evaluation, each GTA requires an agreed-upon estimated cost from the applicable performing organization. The government reserves sole discretion to review, approve, modify, reject, or decline incorporation of any proposed GTA. GTAs are distinct from Technical Interchange Meetings and corporate contributions. During contract performance, approved GTAs may be amended, revised, added, or discontinued through bilateral contract modification by mutual agreement. Contractors are responsible for costs of approved GTA support unless expressly provided otherwise in the contract modification or GTA. The template requires contractors to document task title, work breakdown structure, points of contact, facility/resource name, overall task objective, portions of work performed by government and contractor, agreed-upon schedules, applicable contract line item numbers, cost information by fiscal year, and relevant safety, health, environmental, facility, IT compliance, and ground support equipment compliance details. All technical data, software, and documentation developed under a GTA must be delivered to NASA within 60 calendar days of completion with rights specified in applicable contract data rights provisions. GTA support may be provided on reimbursable, non-reimbursable, or credit basis as determined by the government.

Government Task Agreement Instructions
Introduction While the majority of work performed under this contract is anticipated to occur at Contractor or subcontractor facilities, Offerors and Contractors may request access to limited Government resources in accordance with Section 8.1.3, Use of Government Resources.
For Project NEXUS, Government Task Agreements (GTAs) are intended to document specific, bounded Government support that may assist a Contractor in areas such as legacy compatibility validation, access to unique Government facilities or test environments, limited mission integration support, or other approved Government resources. GTAs are not intended to shift responsibility for the end-to-end commercial relay service capability from the Contractor to
NASA.
Use of Government resources is optional. Offerors shall not rely on the availability of Government resources as a fundamental element of their proposed solution. The Contractor remains fully responsible for the design, development, integration, demonstration, operations, and delivery of the proposed service capability, regardless of whether a GTA is requested or approved.
GTAs are distinct from other forms of Government engagement, including Technical Interchange Meetings (TIMs) and Offeror-proposed corporate contributions, and shall be used only to request discrete Government-furnished resources or services.
Instructions The purpose of this Government Task Agreement (GTA) is to document an Offeror’s or Contractor’s request for limited Government support or access to Government resources in accordance with Section 1.1.3, Use of Government Resources. GTAs are intended to support discrete, bounded Government-furnished resources or services and shall not be used to shift responsibility for the end-to-end commercial relay service capability from the Contractor to
NASA.
Offerors shall submit all proposed GTAs as attachments to their proposal. Each proposed GTA shall identify the specific Government resource or service requested, the purpose and scope of the requested support, the period of performance, any schedule dependencies or impacts, and the proposed cost, reimbursement, or credit treatment, as applicable.
For proposal evaluation purposes, each proposed GTA shall include an agreed-upon estimated cost provided by the applicable Performing Organization, if such cost is required for evaluation.
The Government may consider the value of proposed GTAs in calculating the Total Evaluated Price, as provided elsewhere in this solicitation. Offerors are advised that any proposed GTA is subject to Government review and approval and may be modified, rejected, or not incorporated into the contract at the Government’s sole discretion.
If awarded a contract, the Contractor is advised that approved GTAs may be amended, revised, added, or discontinued during contract performance by mutual agreement of the parties and through bilateral contract modification, as applicable. During performance, the parties may also agree to execute additional GTAs if such agreements are determined to be necessary to address new or changed circumstances. The Contractor shall be responsible for the cost of any approved GTA support unless otherwise expressly provided in the contract modification or GTA.
The provision of any GTA is subject to a Government determination that any potential organizational conflicts of interest (OCIs) can be avoided, neutralized, mitigated, or otherwise acceptably resolved. If the Government identifies an actual or potential OCI, the Offeror or Contractor shall provide a mitigation approach for Contracting Officer review and acceptance prior to execution of the GTA.
For proposals that include hardware delivered to, installed at, or tested at a NASA facility, the Offeror or Contractor shall provide appropriate safety, health, environmental, and facility-related documentation prior to delivery, installation, or testing, as required by applicable NASA policy, regulations, and local facility requirements. Required documentation will depend on the hardware, identified hazards, and the nature of the tests, facilities, and activities involved.
The Offeror or Contractor shall indicate in the GTA whether performance of the requested support will require any Contractor-provided information technology (IT) resources, as defined in NFS 1852.204-76, to interface with NASA IT resources. If so, such IT resources shall comply with applicable requirements, including NFS 1852.204-76 and FAR 52.204-21, as incorporated in the contract. NASA may perform an IT security assessment and identify any additional requirements that must be satisfied before any such interface is authorized.
If the Offeror proposes to operate commercially owned Ground Support Equipment (GSE) at NASA-owned facilities, the Offeror shall design, install, and operate such GSE in accordance with the standards and requirements agreed upon between the applicable NASA facility representatives and the Offeror or Contractor. Such agreement must be reached prior to installation or operation at a NASA facility. The Offeror shall describe its approach to obtaining such agreement, including applicable standards, design milestones, and schedule, in the appropriate portion of the GTA request.
The Offeror or Contractor shall use one GTA for each requested use of a facility, asset, or service, except when multiple Government resources are requested as part of a single, integrated effort. For example, if a single test activity requires multiple NASA resources, the Offeror or Contractor may submit one GTA covering that overall test activity and identify each requested resource within that GTA.
Each GTA shall apply to only one Contract Line Item Number (CLIN), unless otherwise expressly authorized by the Government.
How to Inquire About NASA On-Site Resources To inquire about relevant, unique Government resources that may be available to Offerors, including NASA on-site resources, Offerors shall contact the Contracting Officer, COR and MSFC-NEXUS@mail.nasa.gov to inquire about additional GTAs after contract award, the Contractor shall work through the Government-designated Technical Manager or other authorized Government representative.
Through a GTA, the Offeror or Contractor shall request only those Government facilities, assets, services, or other specialized resources that are unique and not reasonably available on a commercial basis. The Government reserves the right to approve, deny, modify, or discontinue any GTA request, in whole or in part, at its sole discretion.
During any blackout period in which an Offeror is preparing a proposal, communications with Government points of contact shall be limited to information necessary to clarify the specific Government resource being requested. Such communications shall not include assistance in preparing the Offeror’s proposal, advice or opinions regarding the Offeror’s proposed design solution or performance approach, or any non-public information regarding the NEXUS competition or its requirements.
Data Rights All technical data, computer software, and computer software documentation developed or generated in the performance of work under a GTA shall be delivered to NASA with the rights specified in the contract’s applicable data rights provisions.
GTAs shall not be used to diminish or alter the Government’s rights in any data, software, or documentation. Any proposed restriction on data rights that is inconsistent with the contract’s applicable data rights provisions shall not be accepted.
Data Delivery Unless otherwise specified in the GTA or the contract, the Contractor shall deliver to NASA, at no additional cost, all technical data, computer software, and computer software documentation developed or generated under a GTA no later than sixty (60) calendar days after completion of the applicable GTA.
All deliverables shall be provided in the format, medium, and level of detail required by the contract, applicable DRDs, or the GTA.
Cost Information The value and cost treatment of any approved GTA support shall be documented in the GTA and incorporated into the contract through bilateral modification where required.
GTA support may be provided on a reimbursable, non-reimbursable, or credit basis, as determined by the Government.
The value of any approved GTA support shall not constitute an increase to the Firm-Fixed-Price (FFP) unless expressly negotiated and incorporated through contract modification.
Contract Performance Upon contract award, all proposed GTAs remain subject to formal Government review and approval.
No GTA shall authorize performance of any work or use of any Government resource until the GTA has been approved by the appropriate Government officials and incorporated into the contract through the required contractual mechanism, including bilateral modification where applicable.
Before implementation, all applicable prerequisites shall be satisfied, including funding authorization, safety and occupational health approvals, facility access approvals, cybersecurity requirements, and any other contractually required conditions.
GTA Template The Contractor shall use the Government Task Agreement template provided in Attachment G
– Government Task Agreement Template for all GTA requests.
A separate GTA shall be submitted for each discrete Government resource or service, unless multiple resources are logically combined into a single, integrated activity and appropriately documented in one GTA.
GTAs are intended solely for discrete, well-defined Government-furnished resources or services.
GTAs shall not be used to transfer responsibility for the design, development, integration, demonstration, operations, or performance of the end-to-end commercial relay service from the Contractor to the Government.
