PART I - SECTION B
SUPPLIES OR SERVICES AND PRICES/COST
The contractor shall furnish all labor, tools, materials, equipment, and supplies, necessary to accomplish the various environmental architectural and engineering services specified in the attached Statement of Work (SOW), as specified on individual task orders issued hereunder, in accordance with the terms, conditions, and provisions as set forth herein, at the following stated rates/prices provided in the schedule below.
This is an Indefinite Delivery/Indefinite Delivery (ID/IQ) contract. The precise quantities of products, services, and support required are unknown and will be ordered as needed with the issuance of Delivery Orders. Estimated requirements are not a representation to an offeror or contractor that the estimated quantity will be ordered, or that conditions affecting requirements will be stable or normal. The only person authorized to either issue or modify delivery/task orders under this ID/IQ contract is the Contracting Officer. The minimum guarantee under this contract is $2500.00. The Government has no obligation to order supplies or services or issue delivery orders to the contractor above the minimum amount stated.
The total estimated dollar amount for task orders submitted under this contract is a combined total value of $8,358,528.00 (not to exceed) for the base year and four option years.

AC4563 EMERGENCY SITUATIONS AND EXERCISES DURING CONTRACT PERFORMANCE AT
THE MIKE MONRONEY AERONAUTICAL CENTER (MMAC) (NOV 2015)
(a) Emergency situations and exercises are temporary exceptions to the prohibition of contractor personnel being subject to the direction and control of Government personnel when performing non-personal contract services in Government facilities.
(b) All contractor personnel at a Government work site or facility during an actual emergency must conform to the procedures posted or directed by Government officials responsible for emergency response at that site or facility.
Such officials include evacuation wardens/monitors, security personnel, Emergency Readiness Officers, management, Contracting Officer’s Representative (COR), etc.
(c) Contractor personnel must participate in all emergency exercises, including evacuations, as part of performance under this contract. On rare occasions, based on advance arrangements that are then announced at the time of an exercise, contractor personnel may be excused from evacuations.
(d) Contractor management/site supervisors must ensure that each contractor employee assigned to work in Government facilities possesses a general awareness of emergency and evacuation procedures at all locations where the employees might be during an emergency or exercise. Contractor Management/Site Supervisors are responsible for accounting for their employees during an actual emergency or exercise, and are subsequently required to report this information to their COR as soon as practical based on the situation. Information on emergency procedures may be requested from the COR or a designated Government contact point at the work site.
(e) When there are disruptions to Government operations at the Mike Monroney Aeronautical Center, Contractor Management/Site Supervisor should ensure that all employees are aware of the following methods of obtaining the Center’s status:

(f) If the Center is OPEN during inclement weather, it’s business as usual. Any need for unscheduled leave is between the contractor employee and their contractor management, not the FAA.
(g) When the Center is OPEN with a Delayed Arrival Time, contractors may allow their employees to arrive at the worksite in accordance with the Delayed Arrival Time under which the Center is operating. However, the government will not pay for hours not worked on other than firm fixed price type contracts and discussions on accounting for time on any other contract type should be between Contractor Management/Site Supervisor and COR or CO.
(h) When the Center is CLOSED, contractor employees should not report to the Center unless they have been informed in advance that they are considered ‘mission critical’ employees or their contractor management/site supervisor has provided other direction. The government will not pay for hours not worked on other than firm fixed price type contracts. Any discussions on accounting for time on any other contract type should be between the contractor management/site supervisor and the COR or CO.
(i) If an alternative duty location is activated that includes contractor employees, all contractor employees will be made aware of that location through their contractor management/site supervisor.

3.10.4-5 INSPECTION - TIME-AND-MATERIAL AND LABOR-HOUR (APR 1996)
3.10.4-4 INSPECTION OF SERVICES - BOTH FIXED-PRICE & COST REIMBURSEMENT (APR 1996)
(a) 'Services,' as used in this clause, includes services performed, workmanship, and material furnished or utilized in the performance of services.
(b) The Contractor shall provide and maintain an inspection system acceptable to the Government covering the services under this contract. Complete records of all inspection work performed by the Contractor shall be maintained and made available to the Government during contract performance and for as long afterwards as the contract requires.
(c) The Government has the right to inspect and test all services called for by the contract, to the extent practicable at all times and places during the term of the contract. The Government shall perform inspections and tests in a manner that will not unduly delay the work.
(d) If the Government performs inspections or tests on the premises of the Contractor or a subcontractor, the Contractor shall furnish, and shall require subcontractors to furnish, without additional charge if a fixed-price contract, all reasonable facilities and assistance for the safe and convenient performance of these duties.
(e) If any of the services do not conform with contract requirements, the Government may require the Contractor to perform the services again in conformity with contract requirements, at no increase in contract amount, or if a cost reimbursement type contract, for no additional fee. When the defects in services cannot be corrected by reperformance, the Government may:
(1) require the Contractor to take necessary action to ensure that future performance conforms to contract requirements and
(2) reduce the contract price, or any fee payable under the contract, to reflect the reduced value of the services performed.
(f) If the Contractor fails to promptly perform the services again or to take the necessary action to ensure future performance in conformity with contract requirements, the Government may:
(1) by contract or otherwise, perform the services and charge to the Contractor any cost incurred by the Government that is directly related to the performance of such service, (or if a cost reimbursement contract, reduce any fee payable by an amount that is equitable under the circumstances), or
(2) terminate the contract for default.

E.1 INSPECTION:
The Contracting Officer or his authorized representative may at all reasonable times inspect or otherwise evaluate the work being performed hereunder and the premises on which it is being performed. If any inspection or evaluation is made on the premises of the AE or his subcontractor, the AE shall provide and shall require his subcontractors to provide all reasonable facilities and assistance for the safety and convenience of the Government representatives in the performance of their duties. All inspections and evaluations shall be performed in such a manner as will not unduly delay the work.

(1) The Contractor must assign only those individuals whose resumes, personnel data, or personnel qualification statements have been submitted and determined by the Contracting Officer to meet the minimum requirements of the contract. The Contractor must not substitute or add personnel except in accordance with this clause.
(2) Substitution of Personnel.
(a) For the first ninety (90) days of contract performance, the Contractor must not substitute personnel for the individuals whose resumes or other personal qualification were submitted with its offer and that were determined by the Contracting Officer to be acceptable at the time of contract award, unless such substitutions are because of an individual's sudden illness, death, or termination of employment. In any of these events, the Contractor must promptly notify the Contracting Officer and propose substitute personnel as required by paragraph (4) below.
(b) If an individual becomes, for whatever reason, unavailable for work under the contract for a continuous period exceeding thirty (30) working days, or is expected to devote substantially less effort to the planned work, the Contractor must propose a substitute personnel as required by paragraph (4) below.
(3) Addition of Personnel. If an FAA requirement will increase the specified level of effort for a designated labor category, but not the overall level of effort of the contract, then the Contractor must notify the Contracting Officer to add personnel to the designated labor category. The Contractor must request added personnel as required by paragraph (4) below.
(4) Request and Review. The Contractor must submit the request for substitute or added personnel in writing to the Contracting Officer at least (30) days (if a security clearance must be obtained, at least fourteen (14) days) before the proposed date of substitution or addition. The Contractor's request must provide a detailed explanation of the circumstances causing the proposed substitution or addition, a complete resume for the proposed substitute or added personnel, and any additional information required by the Contracting Officer. Proposed substitutes and added personnel must have qualifications equal to or higher than those stated in the contract for the labor category. The Contracting Officer will evaluate the Contractor's request and promptly notify the Contractor of the decision to accept or reject the qualifications of the substitute or added personnel.
(5) The Contracting Officer may terminate the contract if the Contractor has not made suitable, timely, and reasonably forthcoming replacement of personnel who have been reassigned or terminated or otherwise become unavailable to work under the contract or the resulting loss of productive effort would impair the successful completion of the contract. Alternatively, if the Contracting Officer finds the Contractor to be at fault for the condition, then the Contracting Officer may equitably adjust (downward) the contract price or fixed fee to compensate the Government for any delay, loss or damage as a result of the Contractor's action.

AC0168 AUTHORIZED PERFORMANCE (JUL 2015)
The execution of a contract shall not constitute authority for the contractor to commence performance. Performance shall be ordered by the issuance of a formal delivery order by an authorized Contracting Officer of the Mike Monroney Aeronautical Center. Orders issued orally or by written telecommunications shall reference a formal delivery order number and shall be confirmed by issuance of the formal delivery order.
AC1137 CHANGE TO INDIVIDUAL DELIVERY ORDER SCHEDULE (JAN 1997)
(a) The delivery schedule(s) of all delivery orders issued hereunder shall be established in accordance with the terms of the contract.
(b) In the event that the Contractor fails to deliver in accordance with the established delivery schedule(s) and if such failure is not due to an excusable delay as defined in the Default clause of this contract, the Government and the Contractor may at the Government's option, negotiate a revised delivery schedule(s) in exchange for adequate consideration to the Government. A contract modification will not be required, but the delivery order(s) shall be amended in writing accordingly.
(c) A delivery order change or amendment made pursuant to this clause shall not affect the delivery schedule(s) of any other delivery order(s) issued under this contract.
(d) This clause shall not limit the Government's rights under the Default clause.
AC1604 CONTRACT PERIOD (JUN 2015)

Section G - Contract Administration Data Clause List
G.1 CONTRACTOR FURNISHED MATERIALS AND PROPERTY
(a) The contractor shall provide all personnel, services and supervision necessary to perform the requirements of the contract. The contractor shall provide all facilities and related equipment, supplies and services necessary for administrative and office functions associated with contract performance.
(b) The contractor may be required and authorized to purchase miscellaneous equipment or materials.
(c) The Government, upon inspection, acceptance and receipt of a proper invoice, shall reimburse actual cost to the contractor for such purchases.
G.2 PROJECT ENGINEER/MANAGER
The Contractor shall appoint a Project Engineer/Manager for each project to serve as the single point of contact and liaison between the Contractor and the Government. Upon issuance of the Notice to Proceed for design of each project, the Contractor shall advise the Contracting Officer of the name of the individual so designated. The Contractor's Project Engineer/manager will be responsible for the complete coordination of all work required.
G.3 RECORDS OF DESIGN MEETINGS/CONFERENCES AND VISITS
The Contractor shall provide the Contracting Officer with a written record of all design meetings/conferences and other meetings held or conducted between the parties during which the technical design of the project is discussed in accordance with SECTION 050 Contract Administration Data, paragraph 2. The written record shall be furnished within ten (10) working days of the action being recorded and shall fully identify participants, subject discussed, and any conclusions reached. The written record will not be accepted as a "Notification of Change" as contemplated by the "Changes" clause of the contract unless so specified in the written record.
G.4 ORDERING PROCEDURES
(a) Only duly authorized Contracting Officers (CO) of the Federal Aviation Administration (FAA), Mike Monroney Aeronautical Center (MMAC), may issue delivery/task orders under this contract.
(b) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery/task orders by the individuals or activities designated in the Schedule. Such orders may be issued during the effective period of the contract stated in the Schedule.
(c) The FAA will prepare a scope of work for each task to be performed. The Contractor shall then provide a negotiable proposal and price quotation based on the given scope of work. The proposal shall include a description of work (work plan,) manpower and equipment requirements, and a list of deliverables. In addition, the proposal shall include a work schedule and shall address the preparation of amended health and safety plans, field sampling plan, and other such plans as appropriate. The price quotation shall conform to the listed fixed rates for salaries, equipment, and testing, and shall include an analysis of annual operating and maintenance costs, if applicable.
Specific delivery/task order performance periods, deliverable item requirements, and delivery dates for all delivery/task orders placed pursuant to his contract shall be established at the time any such delivery/task order is issued.
(d) All delivery/task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery/task order and this contract, the contract shall control.
(e) If mailed, a delivery/task order is considered “issued” when the FAA deposits the order in the U.S. Mail. Orders may be issued orally or by written telecommunications only if authorized in the Schedule.
G.5 OVERTIME FOR NON-EXEMPT PERSONNEL
(a) In accordance with fair labor standards, the contractor shall apply a percentage to the regular rate for overtime incurred by non-exempt personnel. It should be noted that profit and overhead do not increase on overtime versus regular hours, only direct labor increases.
(b) Overtime shall not be incurred unless otherwise authorized in advance, in writing, by the Contracting Officer.
G.6 FUNDING
Funds will be available on the individual delivery order level only.

AC4550 DELIVERIES TO THE MIKE MONRONEY AERONAUTICAL CENTER (MMAC) (JUL 2015)
(a) Security procedures at the MMAC require that all mail, materials, packages or parcels of any kind be delivered to a central screening point, for inspection by the FAA. This affects mail and other deliveries destined for all organizations located on MMAC property, including government organizations, contractors and permit holders.
After passing security inspection, the mail or material may be handled and delivered by the FAA. FAA will make every reasonable effort to conduct inspections and handle items in a careful manner so as to avoid damage or delay.
(b) This inspection is for the benefit of the FAA only. The FAA makes no representation that any material passing inspection is without hazard, poses no threat, or that it conforms in form, fit, function or quantity to the expectations of the intended recipient.
(c) The FAA shall not be liable for any 1) loss, damage or shortage of any mail or materials, 2) injury, or 3) delay in performance resulting from such inspection and handling, unless liable under the Federal Tort Claims Act (28 U.S.C. 2671-2680).
(d) Any item destined for the contractor that fails to pass inspection remains the property of the contractor, who is responsible for its disposition and coordination with law enforcement agencies as necessary.
Section H - Special Contract Requirements Clause List
H.1 DESIGN WITHIN FUNDING LIMITATIONS
(a) The Contractor shall accomplish the design services required under this contract so as to permit the award of a contract, using procedures for the construction of the facilities designed at a price that does not exceed the estimated construction contract price as set forth in paragraph (c) below. When bids or proposals for the construction contract are received that exceed the estimated price, the contractor shall perform such redesign and other services as are necessary to permit contract award within the funding limitation. These additional services shall be performed at no increase in the price of this contract. However, the Contractor shall not be required to perform such additional services at no cost to the Government if the unfavorable bids or proposals are the result of conditions beyond the contractor’s reasonable control.
(b) The Contractor will promptly advise the Contracting Officer if it finds that the project being designed will exceed or is likely to exceed the funding limitations and it is unable to design a usable facility within these limitations. Upon receipt of such information, the Contracting Officer will review the Contractor's revised estimate of construction cost. The Government may, if it determines that the estimated construction contract price set forth in this contract is so low that award of a construction contract not in excess of such estimate is improbable, authorize a change in scope or materials as required to reduce the estimated construction cost to an amount within the estimated construction contract price set forth in paragraph (c) below, or the Government may adjust such estimated construction contract price. When bids or proposals are not solicited or are unreasonably delayed, the Government shall prepare an estimate of constructing the design submitted and such estimate shall be used in lieu of bids or proposals to determine compliance with the funding limitation.
(c) The estimated construction contract price for the project described in this contract is to be furnished on a project-by-project basis.
H.2 RESTRICTIONS - ORGANIZATIONAL CONFLICT OF INTEREST
(a) It is hereby agreed that the contractor or any subcontractor performing under this contract shall not compete as a prime contractor nor as a subcontractor, consultant or otherwise on any construction, refurbishment, surveys, or studies which may evolve directly or indirectly from work performed under this contract for a period of 3 years following completion of this contract. Additionally, the contractor or any subcontractor agrees not to divulge any information or data acquired or developed through performance of this contract to any affiliates or other sources which may otherwise compete on any construction, refurbishment, survey, or study acquisitions which may evolve directly or indirectly from work performed under this contract.
(b) It is also agreed that the contractor will, on those occasions requiring access to proprietary data of other companies, make agreements with such companies to (1) protect their information from unauthorized use or disclosures for as long as it remains proprietary, and (2) refrain from using the information for any purpose other than that for which it was furnished. Prior to commencement of work on any such effort, the contractor must furnish the Contracting Officer copies of all such agreements.
