Multi-Manifest Payment Plan FA8811-19-R-0002

PRE-DECISIONAL

1. Basis of Payment The basis of payment for Government-directed multi-manifest missions shall be the successful accomplishment of event milestones scheduled for a multi-manifest mission assigned throughout the period of performance of the contract. The milestones represent meaningful efforts or actions that are an integral and necessary part of performance. The basis for an event should be either specifically described events or a measurable criterion of performance. Included within this Payment Plan is what constitutes successful performance of each event. Once a multi-manifest mission is assigned, the Contractor shall fill in the payment amounts, which are listed here as a percentage of the total contract price for all applicable firm fixed price (FFP) Contract Line Item Numbers (CLINs) pertaining to the mission (CLINs 0001, 0002, and 0006). National Reconnaissance Office (NRO)-only references appear in grey text.

1. milestone Success Criteria and Completion Evidence Each event milestone has associated measurable success criteria that serve to validate milestone accomplishment. All milestone success criteria must be met before the milestone payment will be authorized. When the Launch Vehicle Contractor (LVC) has successfully completed all applicable milestone success criteria, the LVC shall submit a Notice of Completion (NOC) for the milestone to the Procuring Contracting Officer (PCO). The NOC shall include supporting documentation to substantiate meeting the milestone success criteria as provided in the completion evidence defined herein.

1. Event Milestone Payments and Event Timing Completion of milestone and subsequent NOCs may be submitted non-successively (e.g., if milestone two is completed before milestone one, then the LVC may submit an NOC for milestone two before an NOC for milestone one). Additionally, the NOC may be for multiple milestones. In the event the LVC completes a milestone ahead of the milestone completion date, the LVC may include that milestone in the monthly NOC and the Government will consider, on a case-by-case basis, the early payment of the milestone.

The PCO will determine whether or not the LVC has successfully met each of the milestone success criteria based on inputs provided by the United States Government (USG) Team (for Air Force missions) and the Mission Team (for NRO missions).

For Air Force missions, the USG team consists of the Air Force Space and Missile Systems Center Launch Systems Enterprise Directorate (SMC/LE), and the Air Force Program Executive Officer for Space office personnel; and also includes The Aerospace Corporation, LE’s Systems Engineering and Integration (SE&I) Contractor, LE’s Systems Engineering and Technical Assistance (SETA) support Contractors, the NRO/Office of Space Launch (OSL) (as applicable), the SMC Independent Readiness Review Team, Defense Contract Management Agency, Defense Contract Audit Agency, 30th Space Wing (30 SW), 45th Space Wing (45 SW), and other organization as designated by the SMC/LE PCO.

For NRO missions, in addition to the USG Team listed above for Air Force Missions, the Mission Team consists of the OSL Mission Manager (OMM), the OSL Contracting Officer Technical Representative (COTR), and their support personnel (to include Government, Aerospace Corporation, and SETA personnel). At their discretion, the OMM and COTR may solicit inputs from SMC/LE to assist in their determination of the LVC’s satisfactory completion of the milestone success criteria. Written concurrence from both the OMM and COTR that the LVC has successfully met the milestone success criteria is required before the PCO will authorize payment of the milestone.

To the maximum extent possible within fifteen (15) business days after receipt of the LVC’s NOC, the PCO will provide written notification to the LVC specifying which milestones contained in the NOC are determined to be “met” (complete) and, if necessary, which are considered “not met” (incomplete). For milestones identified as incomplete, the PCO will: (1) specify in the notification, the issues(s) that led to the determination based upon the milestone success criteria and completion evidence provided herein, and (2) the corrective action(s) required to complete the milestone. The Government and LVC will ensure agreement and understanding of the corrective actions, and the LVC will make a good faith effort to quickly reconcile an incomplete milestones. When the LVC accomplishes the corrective actions, the LVC will submit an NOC addendum to the PCO for Government review. To the maximum extent possible within fifteen (15) business days after receipt of the LVC’s NOC addendum, the PCO will provide written notification to the LVC specifying whether the Government concurs that all corrective actions have been accomplished and the milestone has been “met” (completed).

For each milestone, the Estimated Completion Date is the estimated date that the LVC will complete the payment event and submit the associated NOC for payment of each milestone under this Plan. For each milestone, the value in the percentage “%” column of Table 1 indicates the percentage of the assigned mission value of all applicable FFP CLINs (CLINs 0001, 0002 and 0006) that will be used to calculate the dollar amount to be paid to the LVC upon successful completion of the milestone. The Government reserves the right to withhold up to fifty percent (50%) of the total payment value for any unpaid milestone(s) in the event of a Government-approved Class 1 change required for the launch service that is not implemented or completed to meet the Government’s approval by the implementation deadlines specified in and in accordance with (IAW) Attachment 1 Performance Work Statement (PWS) section 3.2.4.4.

1. Event Milestone Schedule Criteria for payment of each event milestone appears in Table 1. In no event shall the LVC receive payments in excess of 90% of the total contract price until after acceptance of the launch service IAW Milestone 13 (Government Acceptance of Launch Service IAW contract clause Federal Acquisition Regulation [FAR] 52.212-04, Addendum to Contract Terms and Conditions – Commercial Items [October 2018]). Given that defects in service for the last Milestone 13, Acceptance of Launch Service, are not suitable for correction by re-performance, the PCO has determined that, pursuant to FAR 52.246-4(e), the appropriate relief for the Government in the event of Milestone 13 defect (e.g., mission failure) is to reduce the contract price by the amount of the full Milestone 10, Upper Stage Disposal, Final As-Built Configuration List (ABCL), and Final Fleet Insight ABCL: Milestone 11, Secondary Mission(s) On-orbit Delivery; Milestone 12, Primary Mission Orbital Parameter Accuracy Verification; and Milestone 13 payment, which appropriately reflects the reduced value of the services performed.

For the purposes of this payment plan Secondary Missions is defined as the space vehicle(s) with associated adapters and interfaces that utilize launch capability not required by the EELV Primary Payload Table 1: Multi-Manifest Mission Payment Event Schedule

1. ICD. LVC’s initial baseline mission ICD delivered, and the Government has acknowledged receipt IAW PWS paragraph 3.4.5 and CDRL A025.

2. LVT&VP. LVC’s initial LVT&VP delivered, and the Government has acknowledged receipt IAW PWS paragraph 3.2.6 and CDRL A037.

c. Maneuvering to storage orbit: Orbital elements at end of mission for as flown upper stage.

d. Direct retrieval: Description of retrieval operation. Time after end of mission when upper stage will be removed.

c. Maneuvering to storage orbit: End of mission disposal orbit is within one of the storage orbit regimes described in the USG Orbital Debris Mitigation Standard Practices (4-1b).

d. Direct retrieval: Upper stage is removed within the time defined in the Space Debris Assessment Report for this mission.

Success Criteria:

1. The secondary mission(s) on-orbit delivery shall be determined by the SMC/LE Director to be acceptable if any of the following conditions are met:

a. The secondary mission(s) is/are placed into an orbit within the allowable dispersions, as defined in the appropriate ICD, from the target values defined in the mission definition letter or Target Specification, and the payload(s) has/have 100% operational utility. Verification of insertion will be the Government’s responsibility.

b. The secondary missions(s) is/are placed into orbit, as defined in paragraph 1a above, and independent of the operational utility of the payload, the launch vehicle induced environments are not in excess of those specified in the ICD. Verification of launch vehicle environments to which the payload is exposed is the responsibility of the Contractor with confirmation by the Government. For the purposes of ICD compliance, the booster-induced flight environments shall be considered satisfied where they are:

i. Not in excess of the magnitude of the ICD level where the ICD level is defined as P99/90 (probability of 99%, with 90% confidence level), or

ii. Not in excess of the magnitude of the ICD level +6 decibels where the ICD level is defined as P95/50 (probability of 95%, with 50% confidence level). ICD violations unrelated to the payload functional failure shall not be considered herein as a material factor in mission success or failure.

c. The secondary missions(s) is/are placed into orbit, as defined in paragraph 1a above, and the payload(s) has/have zero operational utility, and at no fault of the Contractor, the environmental data portion of the launch vehicle telemetry has not been obtained or has been obtained but is unreliable or unusable.

d. A mission failure is due to the improper issuance of a destruct command by a Government Agency. Improper issuance is defined as the Government Flight Termination System activation in error.

e. A mission failure is due to any secondary mission(s)’ Associate Contractor (Federally Funded Research & Development Contractor, SETA, or SE&I) or Government agency related error.

f. A mission failure is due to inaccurate Government Furnished Data (inclusive of secondary mission(s) Contractor data) leading to an erroneous decision to launch, or the mission failure is determined to be a result of inaccurate Government Furnished Data.

g. A mission failure is due to the failure of the secondary mission(s) to successfully issue a separation command (for those missions dependent upon the secondary mission(s) to initiate the separation event).

h. A mission failure where the Government overrode the Contractor’s “No-Go” decision and the mission failure is caused by the Contractor’s cited reason for the Contractor’s “No-Go” decision.

PCO’s written notification to the LVC that the mission launched has been accepted by the Government IAW contract clause FAR 52.212-04 and contract Attachment 4, LSAC.
