SECTION B

SUPPLIES OR SERVICES AND PRICES/COSTS

Note 1: Overview: This Request For Proposal is issued with the intent to establish a single award Indefinite Delivery, Indefinite Quantity (IDIQ) contract to provide supplemental depot capability (SDC) for C5M. This requirement includes Programmed Depot Maintenance, Unscheduled Depot Level Maintenance, repairs and modifications.

Note 2: Contract Type: This will be a single award in accordance with FAR 15, IndefiniteDelivery, “D” type contract in accordance with FAR 16.504. The CLIN structure incorporated in the RFP includes CLINS X001 through X008. This buying instrument will utilize a mix of contract types, Fixed Price Incentive Firm(FPIF), FirmFixed Price (FFP), CostPlusFixedFee (CPFF), CostReimbursement (CR), and Not Separately Priced (NSP). Each Contract Line Item Number (CLIN) below indicates the contract type used for each particular requirement. The Basic Period and the Option Period will be priced separately and the RFP Attachment Excel Price Model (Cost Formats) spreadsheet will be incorporated as part of the contract at time of award.

The IDIQ Contract will cover a three (3) year basic with two (2), one (1) year option periods, as reflected below. Part I – The Schedule (Section B) represents the ordering periods that are applicable to this Contract. Since the schedule is identical for all ordering periods, CLINs for each ordering period are not being restated. Additional CLINs may be bilaterally added on this basic IDIQ or at the task/delivery order level should they be needed in performance of this effort.

a. Contract Period of Performance (PoP): The PoP is 5 years, as follows:

ThreeYear Base Period plus two one year options. NOTE: each PDM will be on a seperate task order but not more than the maximum amount. For example: PDM quantity of 1 will be one 1 task order. If the USG feels necessary and advantageous, another Task Order may be dropped for an additional quantity.

c. In order for the option periods to become active, Option I must be exercised IAW FAR 52.2179, Option to Extend the Term of the Contract, contained herein. An option is determined to have been exercised at the time the Government provides written notification to the contractor.

d. All work tasked prior to expiration of the Contract shall be completed under the terms of the Contract through final delivery.

e. CDRLs shall be provided in accordance with the CDRL listing attached herein. All CDRLs required will be listed in each individual task order.

f. SUBCLINS may be established on individual task order for funding purposes only.

g. The Government reserves the right to place individual orders, from time to time, within any contract period up to the maximum.

Note 3: The contractor shall furnish and deliver to the Government the required services and materials to support this requirement IAW the PWS, applicable CDRLs, and attachments.

Note 4: The mechanics of this contract will involve the issuance of separate task orders specifying the CLINs in the applicable contract period. The Government may wish to execute multiple task orders in any given period. The Government has the unilateral right to issue task order on any priced CLIN/SUBCLIN and this right will not be rescinded or waived. Any CLIN/SUBCLIN that is required to be negotiated separately shall be signed bilaterally. Failure of the Government to order the maximum quantity will not entitle the contractor to an equitable adjustment in price under the contract.

Note 5: MINIMUM/MAXIMUM VALUE: The contractor shall furnish to the Government, when and if ordered, the items or services specified in this Schedule up to and including the “Maximum” amount of 2 each for all orders issued hereunder. The Government shall order at least the “Minimum” amount of 1 each in conjunction with award of the basic contract. The quantities of supplies or services specified in this Schedule are estimates only and are not purchased by this contract. Except as this contract may otherwise provide, if the Government’s requirements do not result in orders in the quantities described as “estimated” or “maximum” in the schedule, that fact shall not constitute the basis for an equitable price adjustment.

Note 6: Clause 52.21622, Indefinite Quantity, fill in: Delivery of all items ordered under this contract.

Note 7: Ordering: from date of award through the last date for placing orders as identified in Section B.

Note 8: Clause 52.24620 Warranty of Services, (b) Contracting Officer shall give written notice of any defect or nonconformance to the Contractor within 60 calendar days after delivery.

Note 9: Misc. Information: All references to days are hereby defined as calendar days.

Note 10: Incorporation of Subcontract Plan (FAR 19.7055(a)(5) is required at award of basic contract.

Note 11: Any Government property developed, acquired or built under this contract shall be identified in writing to the PCO 60 calendar days of the conclusion of each contract period.

Government shall identify disposition. All property will be shipped at the contractor’s expense.

Note 12: Funding: Accounting and appropriation funds citation to be provided on each order issued under this IDIQ.

Note 13: The AFLCMC/WLSK Procuring Contracting Officer (PCO) shall be solely responsible for the issuance of modifications; however, the PCO may delegate the activities IAW FAR 42.203 to the Administrative Contracting Officer (ACO). DD Form 1155 will be utilized by the Government to issue delivery and/or tasks orders. Standard Form 30 will be utilized to modify the IDIQ Contract and any orders issued thereto.

Note 14: IMPLEMENTATION OF AVAILABILITY OF FUNDS Funds are not available for performance under this order/contract after to be cited in applicable orders. The Contractor shall not perform after to be cited in applicable orders without prior written notice from the Contracting Officer that funds are available for contractor performance.

Note 15: IMPLEMENTATION OF LIMITATION OF COST Funds are not available for performance under this order/contract after to be cited in applicable orders. Note 17: Early deliveries may acceptable if they can be provided at no additional costs to the Government. Contractor Performance Assessment Reporting System (CPARS) will be issued annually at the basic contract level in accordance with the most recent applicable CPARS Guidelines. The performance assessment will include all open task/delivery orders.
