Section H - Special Contract Requirements

H-900 H-900

SUPERVISION OF CONTRACTOR EMPLOYEES

(a) The Contractor personnel are employees of the Contractor and under the administrative control and supervision of the Contractor. The Contractor, through its personnel, shall perform the tasks prescribed herein and in Task Orders issued hereunder. The Contractor shall select, supervise, and exercise control and direction over its employees under this contract. The Contractor shall not supervise, direct, or control the activities of the Government personnel or the employee of any other contractor, except any subcontractor employed by the Contractor on this contract. The Government shall not exercise any supervision or control over the Contractor in the performance of contractual services under this contract. The Contractor is accountable to the Government for the actions of its personnel.

(b) In performance of this contract, the Contractor’s management responsibilities include, but are not limited to, the following:

(1) Ensure employees understand the work to be performed on task orders to which they are assigned.

(2) Ensure employees know their management chain and adhere to company policies and exhibit professional conduct in the best interests of the Government.

(3) Ensure employees adhere to applicable law and regulation governing contractor performance and relationships with the Government.

(4) Ensure contract employees do not create actual or apparent personal service relationships.

(5) Regularly assess employee performance and provide feedback to improve overall task performance.

(6) Ensure high quality results are achieved through task performance.

H-901

PERSONNEL ACCESS

During the life of this contract, the Contractor’s personnel shall have access to Government facilities as required. During all operations on Government premises, the Contractor’s personnel shall comply with the rules and regulations governing the conduct of personnel and the operation of the facility. The Government reserves the right to require Contractor personnel to “sign in” upon entry and “sign out” upon departure from the Government facilities. Certain Government agencies may have security requirements, which necessitate the use of building access passes. No direct charges to any Task Order issued on this contract may be made for personnel or facility security clearances.

H-902

CONDUCT OF CONTRACTOR PERSONNEL

The Contracting Officer may direct that employees of the Contractor, including employees of a subcontractor at any tier, no longer perform work under this contract on a military installation if the Contracting Officer determines that the employees’ actions would be grounds for removal from the Federal civil service if the employees were civilian employees of the United States or if the employees have been ordered not to re-enter the installation by the commander of that installation. Any delays or increased costs of performance resulting from the Contracting Officer’s direction under this clause shall not be considered to be excusable delay or beyond the control and without the fault or negligence of the Contractor, and shall not be grounds for an equitable adjustment.

H-903

CONTRACT HOLIDAYS

(a) The prices/costs in Section B of the contract shall include holiday observances. Accordingly, the Government shall not be billed for such holidays, except when services are specifically required by the Government and are actually performed on a holiday. Holidays, energy days, furlough days, administrative closure days, etc., in addition to the holidays listed in paragraph (b) below, which may be designated by the Government at any time, shall not be billable unless the assigned Contractor employee actually performs the work on these days, with advance approval by the PCO. The exception to this rule is for firm-fixed price contracts based on the Contractor delivering an end item or product.

(b) The following days are contract holidays: New Year’s Day, *Martin Luther King Jr.,’s Birthday, *Presidents’ Day, *Memorial Day, Independence Day, *Labor Day, *Columbus Day, Veteran’s Day, *Thanksgiving Day, and Christmas Day.

H-904

GOVERNMENT INSTALLATION CLOSURE

(a) If necessary, the Government (Installation Commander or designee) may decide to close all or part of a Government installation in response to an unforeseen emergency or similar occurrence. Sample emergencies include, but are not limited to, adverse weather (e.g., snow, flood, etc.), an act of God (e.g., tornado, earthquake, etc.), or a base disaster (e.g., natural gas leak, fire, etc.).

(b) The Contractor shall be officially dismissed upon notification of closure. The Contractor shall promptly secure all government furnished property appropriately and evacuate in an expedient, but safe, manner.

(c) With regard to work under the contract, the Government shall retain the following rights:

(1) The Government may grant a time extension, via a modification, due to delays caused by a closure, equal to the time of the closure – subject to availability of funds and period of performance limitations.

(2) The Government may forego the work. The Contractor will not be paid for work not performed.

(3) The Government may reschedule the work at a time satisfactory to both parties.

(d) Government Installation Closure Notification Procedures:

(1) After an official decision to close the installation has been made by the responsible Government representative, local radio and television stations shall be notified of the closure.

(2) The Contractor is directed to listen to or watch one of the local radio or television stations for notification of installation closures and delays.

(e) This clause is not applicable to the curtailment or closure of Government functions when a shutdown of non-exempt functions is ordered by the Government due to a lapse of appropriations or other reason. The Contractor will be notified by the Government as to the effect a shutdown will have on contract performance.

H-905

CONTRACTOR IDENTIFICATION

(a) Contractor personnel and their subcontractors must identify themselves as contractors or subcontractors during meetings, telephone conversations, in electronic messages, or correspondence related to this contract.

(b) Contractor-occupied facilities (on AFMC or other Government installations) such as offices, separate rooms, or cubicles must be clearly identified with Contractor supplied signs, name plates or other identification, showing that these are work areas for Contractor or subcontractor personnel.

H-906

KEY PERSONNEL CHANGES

The Contractor shall notify the Contracting Officer in advance of any replacement of the Contractor’s Program Manager and Contractor’s Quality Assurance Personnel. The Contractor shall provide all applicable documents showing the replacement individual(s) meets all qualifications for the position, as specified in the PWS.

H-907

LABOR CATEGORY DESCRIPTION AND QUALIFICATIONS

(a) The Contractor shall provide the categories of personnel meeting the minimum requirements listed in the Performance Work Statement (PWS) to perform the functions as described in this solicitation and the resulting contract. The descriptions/requirements listed in the PWS represent the minimum acceptable qualifications for Contractor personnel to perform on this contract.

(b) The Contractor shall do everything possible to insure continuity of effort by using the same personnel throughout the period of the Task Order. However, if a person leaves the employment of the Contractor before the Task Order is complete, an individual of comparable qualifications must be chosen to replace that person.

(c) The Contractor’s personnel must have or be able to obtain secret clearances.

H-908

BASE SUPPORT

Base support shall be provided by the Government to the Contractor in accordance with this provision.

(a) Base support includes Government-controlled working space, material, equipment, desktop computers, laptop computers, telephone services (including automatic data processing), or other support which the Government determines can be made available at, or through, any Air Force installation where this contract shall be performed. All Government property in the possession of the Contractor, provided through the base support provision, shall be used and managed in accordance with the Government Property clauses.

(b) Unless otherwise stipulated in the contract schedule, support shall be provided on a no-charge-for-use basis and the value shall be a part of the Government's contract consideration.

(c) The Contractor agrees to immediately report (with a copy to the cognizant CAO) inadequacies, defective Government-Furnished Property (GFP), or nonavailability of support stipulated by the contract schedule, together with a recommended plan for obtaining the required support. Facilities shall not be purchased under this provision. Additionally, the Contractor (or authorized representative) shall not purchase, or otherwise furnish any base support requirement provided by the provision (or authorize others to do so), without prior written approval of the Contracting Officer regarding the price, terms, and conditions of the proposed purchase, or approval of other arrangements.

(d) The Government support to be furnished under this contract is listed in paragraph (a) above. Because of the nature and location(s) of the work performed, the value of such equipment is undeterminable. The Contractor shall not incur any cost resulting from nonsupport prior to Contracting Officer concurrence in accordance with this provision.

52.203-16 Preventing Personal Conflicts of Interest (DEC 2011)

(a) Definitions. As used in this clause--

Acquisition function closely associated with inherently governmental functions means supporting or providing advice or recommendations with regard to the following activities of a Federal agency:

(1) Planning acquisitions.

(2) Determining what supplies or services are to be acquired by the Government, including developing statements of work.

(3) Developing or approving any contractual documents, to include documents defining requirements, incentive plans, and evaluation criteria.

(4) Evaluating contract proposals.

(5) Awarding Government contracts.

(6) Administering contracts (including ordering changes or giving technical direction in contract performance or contract quantities, evaluating contractor performance, and accepting or rejecting contractor products or services).

(7) Terminating contracts.

(8) Determining whether contract costs are reasonable, allocable, and allowable.

Covered employee means an individual who performs an acquisition function closely associated with inherently governmental functions and is--

(1) An employee of the contractor; or

(2) A subcontractor that is a self-employed individual treated as a covered employee of the contractor because there is no employer to whom such an individual could submit the required disclosures.

Non-public information means any Government or third-party information that--

(1) Is exempt from disclosure under the Freedom of Information Act (5 U.S.C. 552) or otherwise protected from disclosure by statute, Executive order, or regulation; or

(2) Has not been disseminated to the general public and the Government has not yet determined whether the information can or will be made available to the public.

Personal conflict of interest means a situation in which a covered employee has a financial interest, personal activity, or relationship that could impair the employee's ability to act impartially and in the best interest of the Government when performing under the contract. (A de minimis interest that would not ``impair the employee's ability to act impartially and in the best interest of the Government'' is not covered under this definition.)

(1) Among the sources of personal conflicts of interest are--

(i) Financial interests of the covered employee, of close family members, or of other members of the covered employee's household;

(ii) Other employment or financial relationships (including seeking or negotiating for prospective employment or business); and

(iii) Gifts, including travel.

(2) For example, financial interests referred to in paragraph (1) of this definition may arise from--

(i) Compensation, including wages, salaries, commissions, professional fees, or fees for business referrals;

(ii) Consulting relationships (including commercial and professional consulting and service arrangements, scientific and technical advisory board memberships, or serving as an expert witness in litigation);

(iii) Services provided in exchange for honorariums or travel expense reimbursements;

(iv) Research funding or other forms of research support;

(v) Investment in the form of stock or bond ownership or partnership interest (excluding diversified mutual fund investments);

(vi) Real estate investments;

(vii) Patents, copyrights, and other intellectual property interests; or

(viii) Business ownership and investment interests.

(b) Requirements. The Contractor shall--

(1) Have procedures in place to screen covered employees for potential personal conflicts of interest, by--

(i) Obtaining and maintaining from each covered employee, when the employee is initially assigned to the task under the contract, a disclosure of interests that might be affected by the task to which the employee has been assigned, as follows:

(A) Financial interests of the covered employee, of close family members, or of other members of the covered employee's household.

(B) Other employment or financial relationships of the covered employee (including seeking or negotiating for prospective employment or business).

(C) Gifts, including travel; and

(ii) Requiring each covered employee to update the disclosure statement whenever the employee's personal or financial circumstances change in such a way that a new personal conflict of interest might occur because of the task the covered employee is performing.

(2) For each covered employee--

(i) Prevent personal conflicts of interest, including not assigning or allowing a covered employee to perform any task under the contract for which the Contractor has identified a personal conflict of interest for the employee…
