This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested and a written solicitation will not be issued.
This is a sole-source contract effort and not a Small Business Set-Aside.

DESCRIPTION OF ITEMS:
Description of requirements for the items to be acquired: The E-9A Telemetry Relay System (TMRS), which is in need of an upgrade, consists of a passive multi-beam Phased Array Antenna (PAA) mounted externally on the right side of the aircraft along the length of the fuselage. The control system consists of a Telemetry Operator Console (TOC) and Antenna Control Computer (ANCC). The E-9A TMRS supports air-to-air/ground missile firings against targets above and on the Gulf waters for the Weapon System Evaluations Program (WSEP). The PAA is capable of tracking five spatially separated signals that will be multi streams of data. The Airborne Platform (AP) relay records the data on-board and re-transmits the data to a ground based antenna located along the Coast. Requirements are included in the attached System Requirements Document (SRD) and Statement of Work (SOW).
DELIVERY INFORMATION:

12 MO 30 June 2022 – 29 June 2023
The delivery requirement is 12 months in order to meet the WSEP operational schedule. The installation and testing of the TMRS upgrade on the two E-9A aircraft will occur at Tyndall AFB, Florida.
Per FAR 6.302-1 sole source authority, all responsible sources may submit a capability statement, proposal, or quotation, which shall be considered by the agency. The process used in awarding the Sole-Source contract will involve the reviewing of the proposal and subsequent negotiations. The anticipated contract award date is 30 June 2022.
USG requests a Firm-Fixed Price proposal for this effort. The RFP should include the following:
a. Costs and hours associated with all efforts required.
b. Schedule, to include duration of activities.
c. Technical overview for the design, installation, integration, and test efforts.
The response will include a cost estimate to accomplish the above described efforts. This estimate will show a breakout for labor hours and rates IAW 52.222-42 - Statement of Equivalent Rates for Federal Hires, and any additional items deemed necessary to complete the requested effort.

The Contractor shall provide all labor necessary to install, integrate, and test the TMRS on the 2 E-9A aircraft. The Contractor shall report all contractor labor hours (including subcontractor labor hours) required for performance of services provided under this contract via a secure data collection site IAW SOW 3.3.2.3.

All travel requests shall be authorized by the PCO in advance of the travel to Tyndall AFB, Florida for TMRS efforts IAW SOW 3.6.1, 3.7.2, 3.8.1, and 3.11.2. Requests for travel shall be made through a travel request form to the Program Office for PCO approval. Any payment for travel and per-diem cost for which a contractor is entitled to be paid, shall be made upon the submission of properly certified invoices, supported by such other evidence as required by the PCO, covering expenditures for which payment is sought. Payment shall be in accordance with FAR 31.205-46. The contractor shall utilize Joint Federal Travel Regulations (JFTR) as applicable or actual booking costs, whichever is less, when submitting proposed travel expenses. Travel expenses shall be proposed before travel starts without additions (additions are any overheads, subcontractor costs/add-ons, bulks, fees, G&A, or profit). Any additional proposed expenses added to travel shall be approved in advance by the PCO. The Contractor shall submit invoices at the completion of each scheduled travel event.

The Contractor shall provide sufficient spares (i.e. critical components and long-lead items to maintain operational status) to be utilized as needed during the development and testing to ensure modifications can complete all required testing events. Spares shall become USG property at the end of formal testing IAW SOW 3.6.1.1.

The Contractor shall provide subject matter experts to conduct training for TMRS operators and maintenance personnel as well as E-9A Program Office engineers and flight manual managers IAW SOW 3.11.2. The Contractor shall provide training for TMRS and applicable new Line Replacement Units (LRUs) that aircrew and maintenance personnel will have to operate and maintain.
The Contractor shall submit invoices at the completion of each scheduled event.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract and does not contain the clause at 52.215-2, Audit and Records--Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. (i) Is manufactured in the People’s Republic of China or by an entity domiciled in the People’s Republic of China;
(ii) Uses flight controllers, radios, data transmission devices, cameras, or gimbals manufactured in the People’s Republic of China or by an entity domiciled in the People’s Republic of China;
(iii) Uses a ground control system or operating software developed in the People’s Republic of China or by an entity domiciled in the People’s Republic of China; or
(iv) Uses network connectivity or data storage located in, or administered by an entity domiciled in, the People’s Republic of China; or
(2) A system for the detection or identification of a UAS, or any related services or equipment, that is manufactured—
(i) In the People’s Republic of China; or
(ii) By an entity domiciled in the People’s Republic of China.
(b) Subcontracts. The Contractor shall insert the substance of this clause, including this paragraph (b), in all subcontracts or other contractual instruments, including subcontracts for the acquisition of commercial items.

(a) Definitions. As used in this clause—
“Contract financing payment” means an authorized Government disbursement of monies to a contractor prior to acceptance of supplies or services by the Government.

(iv) Progress payments based on cost under the clause at Federal Acquisition Regulation (FAR) 52.232-16, Progress Payments;

“Electronic form” means any automated system that transmits information electronically from the initiating system to affected systems.
“Invoice payment” means a Government disbursement of monies to a contractor under a contract or other authorization for supplies or services accepted by the Government.
(1) Invoice payments include—
(i) Payments for partial deliveries that have been accepted by the Government;
(ii) Final cost or fee payments where amounts owed have been settled between the Government and the contractor;
(iii) For purposes of subpart 32.9 only, all payments made under the clause at 52.232-5, Payments Under Fixed-Price Construction Contracts, and the clause at 52.232-10, Payments Under Fixed-Price Architect-Engineer Contracts; and
(iv) Interim payments under a cost-reimbursement contract for services when Alternate I of the clause at 52.232-25, Prompt Payment, is used.
(2) Invoice payments do not include contract financing payments.
“Payment request” means any request for contract financing payment or invoice payment submitted by the Contractor under this contract or task or delivery order.
“Receiving report” means the data prepared in the manner and to the extent required by Appendix F, Material Inspection and Receiving Report, of the Defense Federal Acquisition Regulation Supplement.
(b) Except as provided in paragraph (d) of this clause, the Contractor shall submit payment requests and receiving reports in electronic form using Wide Area WorkFlow (WAWF). The Contractor shall prepare and furnish to the Government a receiving report at the time of each delivery of supplies or services under this contract or task or delivery order.
(c) Submit payment requests and receiving reports to WAWF in one of the following electronic formats:
(1) Electronic Data Interchange.
(2) Secure File Transfer Protocol.
(3) Direct input through the WAWF website.
(d) The Contractor may submit a payment request and receiving report using methods other than WAWF only when—
(1) The Contractor has requested permission in writing to do so, and the Contracting Officer has provided instructions for a temporary alternative method of submission of payment requests and receiving reports in the contract administration data section of this contract or task or delivery order;
(2) DoD makes payment for commercial transportation services provided under a Government rate tender or a contract for transportation services using a DoD-approved electronic third party payment system or other exempted vendor payment/invoicing system (e.g., PowerTrack, Transportation Financial Management System, and Cargo and Billing System);
(3) DoD makes payment on a contract or task or delivery order for rendered health care services using the TRICARE Encounter Data System; or
(4) The Governmentwide commercial purchase card is used as the method of payment, in which case submission of only the receiving report in WAWF is required.

252.204-7022 EXPEDITING CONTRACT CLOSEOUT (MAY 2021)

(a) At the conclusion of all applicable closeout requirements of Federal Acquisition Regulation 4.804, the Government and Contractor shall mutually agree on the residual dollar amount remaining on the contract. Both the Government and Contractor agree to waive payment of any residual dollar amount of $1,000 or less to which either party may be entitled at the time of contract closeout.
(b) A residual dollar amount includes all money owed to either party at the end of the contract and as a result of the contract, excluding amounts connected in any way with taxation or a violation of law or regulation.
(c) For purposes of determining residual dollar amounts, offsets (e.g., across multiple contracts or orders) may be considered only to the extent permitted by law.
(Applicable in solicitations and contracts when the contracting officer intends to expedite contract closeout through the mutual waiver of entitlement to a residual dollar amount of $1,000 or less determined at the time of contract closeout)

This contract contains a DD Form 254, DOD Contract Security Classification Specification, and requires performance at a government location in the U.S. or overseas. Prior to beginning operations involving classified information on an installation identified on the DD Form 254, the contractor shall take the following actions:
(a) At least thirty days prior to beginning operations, notify the Information Protection Office shown in the distribution block of the DD Form 254 as to:
(1) The name, address, and telephone number of this contract company’s representative and designated alternate in the U.S. or overseas area, as appropriate;
(2) The contract number and military contracting command;
(3) The highest classification category of defense information to which contractor employees will have access;
(4) The Air Force installations in the U.S. (in overseas areas, identify only the APO number(s)) where the contract work will be performed;
(5) The date contractor operations will begin on base in the U.S. or in the overseas area;
(6) The estimated completion date of operations on base in the U.S. or in the overseas area; and,
(7) Any changes to information previously provided under this clause.
5352.209-9000 ORGANIZATIONAL CONFLICT OF INTEREST (OCT 2019)

(a) The following restrictions and definitions apply to prevent conflicting roles which may bias the Contractor's judgment or objectivity, or to preclude the Contractor from obtaining an unfair competitive advantage in concurrent or future acquisitions.
(1) Descriptions or definitions: "Contractor" means the business entity receiving the award of this contract, its parents, affiliates, divisions and subsidiaries. "Development" means all efforts towards solution of broadly-defined problems. This may encompass research, evaluating technical feasibility, proof of design and test, or engineering of programs not yet approved for acquisition or operation. "Proprietary Information" means all information designated as proprietary in accordance with law and regulation, and held in confidence or disclosed under restriction to prevent uncontrolled distribution. Examples include limited or restricted data, trade secrets, sensitive financial information, and computer software; and may appear in cost and pricing data or involve classified information. "System" means the system that is the subject of this contract. "System Life" means all phases of the system's development, production, or support. "Systems Engineering" means preparing specifications, identifying and resolving interface problems, developing test requirements, evaluating test data, and supervising design. "Technical Direction" means developing work statements, determining parameters, directing other Contractors' operations, or resolving technical controversies.
(2) Restrictions: The Contractor shall perform systems engineering and/or technical direction, but will not have overall contractual responsibility for the system's development, integration, assembly and checkout, or production. The parties recognize that the Contractor shall occupy a highly influential and responsible position in determining the system's basic concepts and supervising their execution by other Contractors. The Contractor's judgment and recommendations must be objective, impartial, and independent.
