FAR 2.101 defines a commercial produce as follows:
Commercial product means—
(1) A product, other than real property, that is of a type customarily used by the general public or by nongovernmental entities for purposes other than governmental purposes, and–
(i) Has been sold, leased, or licensed to the general public; or
(ii) Has been offered for sale, lease, or license to the general public;
(2) A product that evolved from a product described in paragraph (1) of this definition through advances in technology or performance and that is not yet available in the commercial marketplace, but will be available in the commercial marketplace in time to satisfy the delivery requirements under a Government solicitation;
(3) A product that would satisfy a criterion expressed in paragraph (1) or (2) of this definition, except for-
(i) Modifications of a type customarily available in the commercial marketplace; or
(ii) Minor modifications of a type not customarily available in the commercial marketplace made to meet Federal Government requirements. “Minor modifications” means modifications that do not significantly alter the nongovernmental function or essential physical characteristics of an item or component, or change the purpose of a process. Factors to be considered in determining whether a modification is minor include the value and size of the modification and the comparative value and size of the final product. Dollar values and percentages may be used as guideposts, but are not conclusive evidence that a modification is minor;
(4) Any combination of products meeting the requirements of paragraph (1), (2), or (3) of this definition that are of a type customarily combined and sold in combination to the general public;
(5) A product, or combination of products, referred to in paragraphs (1) through (4) of this definition, even though the product, or combination of products, is transferred between or among separate divisions, subsidiaries, or affiliates of a contractor; or
(6) A nondevelopmental item, if the procuring agency determines the product was developed exclusively at private expense and sold in substantial quantities, on a competitive basis, to multiple State and local governments or to multiple foreign governments.
1. Does your company consider this requirement to be a commercial requirement? If yes, please review the definition of a commercial product above and provide a clear statement about which part of the definition is applicable and please provide supporting evidence to support a commercial item determination. See the below link for more information on Commercial Item Determinations. https://www.acq.osd.mil/dpap/dars/pgi/docs/DoD_Guidebook_PartA_Commercial_Item_Determination_07_10_19.pdf
2. If commercial, are there established catalog or market prices for our requirement? If you offer this product and/or service to both U.S. Government and commercial sources, is the same workforce used for both the U.S. Government and general public? Is our requirement offered to both under similar terms and conditions? Briefly describe any differences.
3. UPDATED QUESTION: Describe your standard warranty and return process for goods and services furnished to the government for items similar in nature to this requirement. Is there a required acceptance period that documents delivery to begin the warranty timeframe?

D. Contract Strategy Development:
1. UPDATED QUESTION: The USAF is anticipating an Indefinite Delivery/Indefinite Quantity (ID/IQ) contract vehicle to meet this requirement due to the unknown nature of the installation quantity per year. To complete the requirement, the USAF is anticipating a 10 year requirement that will include a base period of 5 years, and one option period for 5 years.
2. UPDATED QUESTION: The Air Force is anticipating a mix of Firm-Fixed-Price (FFP) Contract Line-Item Numbers (CLINs) and Time and Materials (T&M) CLIN types for the installation of voice switches at each location. Specifically, FFP will be for site surveys at each location to determine the scope of the install and material required to complete the installation. Then T&M for the actual installation. It is anticipated that T&M will be modified to reduce the Government’s cost risk by including proposed NTE overhead rates and NTE Joint Travel Regulation Per Diem Rates. From your company’s experiences, can you provide your company’s understanding of this strategy to include a preference of rates that should be established or a different strategy if you think one exists? Please note, if the system is commercial, we are limited to contract types described in FAR 12.207.
3. NEW QUESTION: In order to help support the use of T&M, provide sufficient facts and rationale to justify that FFP contract type is not suitable for this requirement or provide a statement confirming FFP is appropriate.
4. There will be a first article requirement and the delivery will be 120 days after contract award and the production units will be required to be ready for install 120 days after first article approval. The delivery will be FOB Destination. From your company’s experiences, can you provide your company’s understanding of this strategy to include a preference of a different strategy if you think one exists? Is this enough time to deliver? If not suggest a reasonable time expectation.

8. UPDATED QUESTION: If an extended warranty or interim contractor support (ICS) was required could either be procured and how much would that cost? Please provide the kind of warranty item that could be covered under an extended warranty and suggested terms that are industry standard. Could ICS be broken down by specific parts needed if necessary or as the USAF stands up an organic supply chain and depot? What would your company recommend?
9. Do you foresee any future concerns, issues or increased risk with this requirement?
10. Are there any special FAR/DFARS/DAFFARS clauses or custom clauses that would be considered an industry standard? Please provide this with any needed justification.
11. Does your company have Defense Contract Management Agency (DCMA) compliant finance and/or accounting systems or other approved systems?
12. NEW QUESTION: Is there a GSA Contract Vehicle that your company is included within that could meet this requirement? Does your company have available scope on any other known contract vehicle to meeting this requirement.
13. NEW QUESTION: Would your company require the use of an Economic Price Adjustment clause to price out the requirement in full? If so, please provide the cost drivers that could fluctuate that requires the use of such clause and the appropriate index to tie the clause to. What percent of the dollar value of the contract do you estimate this clause being tied too?
14. NEW QUESTION: Please provide recommended fill ins for FAR 52.216-19 Ordering Limitations
