About this file
This document is a comprehensive Question and Answer (Q&A) guide for a federal commercial trucking contract solicitation (RFP No. FA520926R0003) issued by the U.S. Air Force for the Commercial Trucking Solution Contract 2.0 in Japan.
The contract covers multiple transportation families including general trucking, refrigerated/frozen transport (Reefer), oversized/overweight cargo (OSOW), ISO containers, air-suspension vehicles, mobile handling equipment (MHE), ferry services, and rail transport across Honshu and Okinawa. This is an Indefinite-Delivery, Indefinite-Quantity (IDIQ) contract with a minimum guaranteed amount of $500 and firm-fixed pricing based on distance, vehicle type, and service category. Key operational requirements include accommodating government security guards (military escorts), maintaining flexible dispatch capabilities for spot orders, compliance with Japanese dangerous goods regulations, and acceptance of both full-time and contingency assignments. Contractors must maintain active System for Award Management (SAM) registration, secure installation access passes at their own expense, and comply with standard FAR clauses. The contract emphasizes contractor responsibility for cargo security, safe securement procedures, compliance with all Japanese traffic laws, and maintenance of capability to respond to variable military operational requirements including ammunition transport, sensitive freight, and humanitarian relief operations. Specific pricing structures include per-kilometer rates for general freight, hourly retention/demurrage charges, ferry surcharges, and specialized rates for oversize equipment, with all operational costs including toll roads, fuel price fluctuations, and holiday surcharges required to be incorporated into base pricing. The government reserves rights to modify operations based on mission requirements and will not provide advance notice of specific commodity volumes, cargo values, or detailed historical demand data.

In such cases, bidding on this item is not permitted. While there may be instances where securing cargo with nails is not performed (ex. non-ammunition transport), 'Sensitive Freight' also involves transport of explosives where nailing is mandatory by regulations. The Government will not provide a specific list of United Nations (UN) numbers for dangerous, hazardous or sensitive cargo subject to transportation. Under Japanese domestic laws and regulations (such as the Fire Service Act, High Pressure Gas Safety Act, Poisonous and Deleterious Substances Control Act, etc.), hazardous materials are not regulated solely by restricted UN numbers. Rather, each domestic regulation governs substances based on its own unique criteria and classification lists. Therefore, offerors are required to thoroughly review all applicable Japanese laws, independently verify and understand the regulatory status of the cargo, and determine their capabilities to perform the services before bidding. Furthermore, whether a specific shipment is classified as Hazardous or Sensitive is not determined solely by the physical properties of the cargo itself. As described in PWS 1.2.3.1., the classification is also determined by specific transportation scenarios.
Offerors must carefully review applicable regulations and these provisions when preparing their price proposals.

There is a possibility that this may occur in both Honshu and Okinawa. In accordance with the PWS 2.1., the Government reserves the right to place military escorts (government security guards) on some or all vehicles performing work under this contract in both Honshu and Okinawa. Depending on the specific circumstances and the cargo (e.g., certain specified types of ammunition), the escort will be conducted in one of the following ways: Riding along in the contractor's vehicle or following in a separate government vehicle. Offerors must be prepared to accommodate and execute operations with these escort arrangements (including ride-along) in both regions without delay, as directed by the Government.

Generally, the military guard boards the vehicle at the time of departure. However, the exact timing of when the military escort boards the vehicle may vary depending on operational circumstances and specific mission requirements. In transportation missions requiring dual-driver operations where a military security guard is assigned, there may be instances where the security guard rides in the passenger seat of the truck cab; in such cases, as one of the two drivers provided by the contractor will physically be unable to ride in the truck. The Government will secure a rental car or Government vehicle to provide transit for this driver and trail the truck. Please note that the contractor's driver will not be permitted to operate any vehicle provided by the Government, and the Government will fully provide the chase vehicle along with its driver to ensure transportation for the contractor's personnel.

Normally, specific details are individually designated by the Ordering Officer at the time of order issuance. In principle, this contract possesses the characteristics of an Indefinite-Delivery, Indefinite-Quantity (IDIQ) contract, under which specific operational dates and times, delivery windows, and quantities are finalized when the actual transport mission is generated (at the time of order), and the contractor must maintain an operations management structure capable of promptly responding to the various designated timeframes without delay.

With respect to the provisions set forth in Sections 2.1 and 2.2, there have been internal concerns that they may be in violation of the Road Transportation Act.

It is the understanding of the US Military that having Government security guards ride along in vehicles under this PWS does not constitute a "passenger motor carrier business" (i.e., unauthorized or illegal passenger transport) under the Road Transportation Act, but is lawfully conducted within the scope of the freight motor carrier business. The Government security guards (such as military personnel) riding in the vehicles are "mission-essential cargo monitors and security personnel" designated exclusively to ensure the safety of the specific military cargo being transported (e.g., ammunition or classified materials).
As the transport under this contract is executed as an official duty (military mission) of the United States Forces Japan, should the contractor be required by relevant Japanese authorities (such as the police or MLIT) to explain the legal basis for the accompanying personnel after contract award or during actual transport operations, the US Military—through the Government of Japan/Ministry of Defense if necessary—is fully prepared to support the contractor and fulfill its accountability by providing documentation certifying that the individuals are monitors on official duty for cargo security; therefore, the contractor is not required to obtain any special passenger transport permits and may execute this work strictly within the scope of their standard freight motor carrier business license. The Contractor remains independently responsible for ensuring compliance with all applicable host-nation laws.

Delivery lead times, including the required delivery date, are designated in each individual order based on the Government’s mission requirements. The Government recognizes that transport times vary depending on distance and that OSOW transport requires additional lead time to obtain special vehicle permits. The required delivery date will be presented by the Government prior to order issuance (during the coordination phase), and if the contractor determines that the transport distance or the processing time required to obtain the OSOW permit exceeds the Government’s required delivery date, the contractor must promptly notify the Ordering Officer.

The Government will not provide sample TOs or BLs during the solicitation phase, as historical documents contain sensitive operational data, cargo details, and proprietary information. Upon the issuance of a formal written order, the Contractor is contractually obligated to perform the services.
Failure to perform after order issuance constitutes a breach of contract. While direct monetary penalties may not occur in some cases, the fact of non-performance may be recorded in the past performance evaluation, which directly and adversely affects eligibility for future Government awards. In addition, a pattern of repeated non-performance or consistent failure to accept orders may subject the Contractor to 'Off-Ramp' procedures, including the termination of the basic contract.

The Government acknowledges the tight schedules associated with these requests and will continue to make effort to verify and coordinate requirements internally prior to issuance. However, the Contractor also bears a responsibility to promptly review, verify, and coordinate the necessary arrangements upon receipt of a request.
Successful execution requires proactive communication and mutual coordination from both parties.
Additionally, Contractors performing work directed by anyone other than the Contracting Officer or an authorized Ordering Officer acting within their limits do so at their own financial risk.

At this time, transloading cargo to another vehicle during transit is not permitted. Specific vehicle numbers and driver information are verified by Government personnel at the loading point and officially recorded on the BL.
Changing drivers or vehicles during transit introduces significant risks to cargo security and the chain of custody.
It also threatens to severely complicate administrative procedures at the receiving destination. However, exceptions may be made in unavoidable circumstances such as accidents, vehicle breakdowns, or sudden driver illness, subject to obtaining prior Government approval.

Even when multiple trips are performed within the same installation, the Government will order and the Contractor may bill the applicable short-distance line item (e.g., less than 5 km or less than 10 km) for each individual movement completed. For purposes of this contract, an individual movement is defined as a single transportation activity from cargo pickup through cargo delivery. For example, if three individual movements are performed within the same installation, three line items may be ordered or billed. Accordingly, each individual movement is entitled to the standard 1-hour free loading/unloading period. If the free time is exceeded for any individual movement, the Contractor may claim demurrage in accordance with the procedures set forth in the PWS.

PWS Section 3.2.3 is designed for specific scenarios where the stuffing or unstuffing of a container takes significantly longer than expected, and to avoid keeping the Contractor’s driver and truck idle on the installation.
Ex. If the operation cannot be completed within the allowable time, the Ordering Officer may direct the Contractor to detach the container (along with the chassis, if necessary) from the tractor and leave it at the military installation. The tractor and driver will be released from the installation. The Government will then complete the stuffing or unstuffing within two (2) calendar days. Upon completion of the operation, the Contractor will return to the installation, reconnect the container, and either resume the transport or return.

The distance-based rate will be calculated based on the "total transit distance" of the entire route from the initial point of origin to the final destination, rather than by summing individual leg rates; the vast majority of transport missions are direct routes with no intermediate stops (one loading point to one delivery point). Even when intermediate stops (for loading or unloading) are included, they typically involve only one stop (e.g., Origin ① → Stopover ② → Final Destination ③), or at most two stops, with requests involving an extreme number of stopovers not being anticipated. Offerors are required to evaluate this operational reality—where direct shipments are the standard and the addition of intermediate stops is limited—and comprehensively consider these conditions when proposing their distance-based unit rates.

Is it correct to assume that the prices in the distance-based rate table are based on one pickup location to one delivery location? How will the calculation be handled if there are multiple pickup or drop-off locations?
Example: Pickup (1 location): Yokosuka Delivery (1st location): Drop-off at Atsugi Delivery (2nd location): Drop-off at Sagamihara Delivery (3rd location): Drop-off at Yokota In this scenario, would the payment amount be the sum of the three separate rates (Yokosuka to Atsugi, Atsugi to Sagamihara, and Sagamihara to Yokota)? Or will the payment be based solely on the rate for the total combined distance? If the payment is based only on the total distance, it would be difficult to establish the distance-based rates.

Retention within the MHE family primarily refers to the retention of the MHE itself; because basic MHE unit rates already incorporate mobilization and demobilization costs (transportation costs associated with delivery and retrieval), the contractor shall propose a comprehensive, fully loaded unit rate for retention that takes these expenses into account. Furthermore, the unit "per truck" in the Pricing Exhibit encompasses both the retention of the MHE itself and the retention of the vehicle transporting the MHE (should the transport vehicle be required to remain on standby together with the MHE), and the contractor may not invoice separately for the retention of the transport vehicle.

The primary distinction between "Retention" and "Demurrage" lies in whether the detention is pre-planned and authorized under each individual order; "Retention" applies when the Government recognizes the operational necessity in advance and specifies the retention period and conditions within the respective order, whereas "Demurrage" applies when a vehicle and its driver are detained due to unplanned delays occurring through no fault of the contractor. The scenario in your inquiry constitutes an example of retention as prescribed in the PWS, and actual operations will be governed by the specific terms designated in each order, with anticipated scenarios including:
(1) instructing the contractor to leave the vehicle at a designated location (which may not be a Government facility) and dismiss the driver during the standby period, with instructions to reposition the vehicle at a specified time and place; or
(2) requiring both the vehicle and the driver to remain on standby at a designated location.
The specific execution of retention, including the start and end times, as well as whether the presence of a driver is required, will be explicitly defined in each order; furthermore, even in cases where the Government does not require the driver to remain with the vehicle, all associated costs—including the driver's transit, travel, lodging, or other incidental expenses—must be fully incorporated into the proposed retention unit rate and are not eligible for separate reimbursement.

Prior Government approval is not required before the application of demurrage. Any retrospective or after-the-fact demurrage claims submitted at the time of invoicing without real-time Government verification and on-site agreement will be unilaterally rejected. While standby time resulting from base gate congestion or security inspections may be subject to demurrage, the commencement of free time or demurrage will not be recognized unless the Contractor contacts the Ordering Officer (OO) immediately upon arrival to officially log and verify the arrival time. It is contractually prohibited to establish the start of free time at any point—such as arrival at the base gate—where Government personnel cannot directly verify or agree upon the positioning of the vehicle or the commencement of operations, unless immediate notification is made to the OO. Consequently, the Contractor must always contact the OO immediately upon arrival to establish and log the official arrival time.

Both cannot be claimed simultaneously. In accordance with PWS 3.7.3, only one—either the applicable cancellation fee or the accrued demurrage—shall apply. If the transportation service is ultimately canceled, the Contractor may claim the applicable cancellation fee in accordance with the PWS. The cancellation fee is intended to account for the Contractor's costs and impacts associated with transportation planning, preparation, dispatch arrangements, and waiting time. However, if the accured demurrage exceeds the applicable cancellation fee, the Contractor may claim demurrage instead. Accordingly, the Contractor shall be entitled to the greater of the applicable cancellation fee or the accrued demurrage, but not both.

There are two scenarios regarding cancellation fees for transport permit applications for hazardous freight:
(1) Cancellation before the truck cancellation fee period: If an order is canceled before entering the applicable period for truck cancellation fees (e.g., an order is placed 10 days in advance but canceled 5 days prior to the service date), the Government will pay the actual costs incurred for any permits that have already been applied for and obtained; and
(2) Cancellation during the truck cancellation fee period: If an order is canceled after entering the truck cancellation fee period (e.g., the truck is canceled 2 days prior to the transport date), the cost of the permit will be offset within the truck cancellation fee. No separate payment will be made for the permit.

The Government is unable to accept the requested additions to PWS 4.6 or the proposed modifications to the standard FAR/RFO 52.212-4. As a federal agency, the Government is strictly mandated to adhere to the standard clauses established under the Federal Acquisition Regulation (FAR/RFO). Consequently, incorporating individual commercial exceptions—including but not limited to limitations of liability, disputes/continued performance, or proprietary termination procedures—is legally impermissible under standard procurement guidelines. Please be assured that the existing regulatory provisions are designed to protect the rights of both parties and provide an equitable mechanism for contract adjustments, modifications, and dispute resolution. To ensure a fair and equal evaluation of all proposals, please note that any proposal conditioned upon exceptions to these standard, non-negotiable clauses cannot be accepted or considered for award.
