Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

Federal contracts and grants with total value greater than $10,000,000 means--

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Selection will be based on Lowest Price Technically Acceptable (LPTA) technique to make a best value decision.

The application of the LPTA technique in the contract award selection and approval process is as follows:

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(a) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph

(a) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days of contract expiration.

The total evaluated price of the proposal was inclusive of all CLINs for the base period, all option periods to be exercised under FAR clause 52.217-9, and any possible extension under FAR clause 52.217-8 for up to six (6) months. (16) Part I – Technical Proposal (Factor 1):

1. The technical proposal shall not make reference to price data. It will be evaluated as acceptable or unacceptable and will consist of three (3) subfactors. ALL subfactors must be deemed acceptable in order to be technically acceptable.

2. Technical Proposal Requirements: The technical proposal will describe the capability of your organization to perform the requirements of the contract, it shall be specific and complete. The proposal shall not merely offer to perform work in accordance with the PWS, but shall outline the actual method proposed as specifically as possible. Non-conformance with the instructions provided may result in an unacceptable technical evaluation.

3. The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but, rather, shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities or experience and will base its evaluation on the information presented in the offeror's proposal.

4. In addition to Factor 1, your technical proposal shall contain the information specified below in accordance with the following subfactors:

Subfactor 1 – Operations of Plant. Offerors must show successful operation of extended aeration activated sludge treatment plants working at a minimum 1.0 Million Gallon per Day Design Capacity (Ref.

Para. 1.1., Appendix A, section 2, Appendix C, section 1 and Appendix D. Contractor must submit at least one contract. Completing the following contract information that shows successful operations:

Reminder, per the PWS, para. 4.8.1: Contract Manager (CM) must have 8 years' experience and if CM not at plant, responsible person on site must have appropriate certification.

NOTICE: After Government review of proposals and "prior" to award, the potential awardee (Contractor) must submit copies of NM Level 4 Wastewater System certification or equivalent for onsite Contract Manager and all operators within 3 days of notification or your proposal may be eliminated.

Subfactor 3 – Notice of Violations (NOV). Any NOV's must be identified and explained by the offeror.

The offeror must show how they rectified any cited (NOV) to the NPDES permit. (Ref. Para. 4.11.4.) For each NOV, complete the following information. If offeror has never received a NOV, a statement to that fact must be included.

The Government will verify using above information. Government will use the Regional EPA and state environmental department websites to validate any occurrences. Omission of NOV information will be considered a significant reason for technical non-compliance.

Subfactor 4. The offeror must be able to incur initial costs to cover large repair and sludge disposal.

Offeror must provide financial statement on Bank's letterhead indicating financial capability coverage up to $60K (reference CLINs 0002 and 0003). The Government will reimburse the contractor pending monthly invoice. (Ref. Para. 1.3.)

Subfactor 5. Experience. Offeror must have experience with ALL of the following:

• with sludge regulations and disposal procedures. (Ref. Para.1.4. and 1.4.1.)

• has engineering support for operational assistance without Government involvement. For example, an operating system malfunctions and the contractor provides the client (the Government) with solutions or alternatives to correct the problem

• must have experience in working with Chlorine gas and Sulfur Dioxide. (Ref. Appendix D, section 6. through 7.4.)

• must have the capability to perform required wastewater laboratory procedures on site as stated in paragraph 1.5 of the PWS

The offeror certifies it ___does ___does not have ALL the experience or performance capabilities for subfactor 5.

Subfactor 6 – Continuation Of Essential Contractor Services. Offerors must provide a written plan describing how it will continue to perform the essential contractor services as described in DFARS 252.237- 7023, Continuation of Essential Contractor Services.

Factor I and ALL its subfactors must be met in order to be deemed technically acceptable. If a proposal is determined “unacceptable,” the Contracting Officer (CO) will promptly notify the offeror that the proposal will not be considered for award and shall indicate, in general terms, the basis for the determination.

(17) Part II – Past Performance (Factor 2):

Past Performance will be evaluated as acceptable or unacceptable based on recent and relevant as defined below.

• Recent is defined as within the last three (3) years (contract is currently on-going or started on later than May 2015).

• Relevant is defined as contract work in the area of managing Holloman's Waste Water Treatment Plant as identified in the scope of work of the Performance Work Statement (Attachment 1 to this solicitation).

Contractor's Past Performance shall consist of the following:

Pertinent Information: Use the 2-page Attachment 4, PPIS for the basic information. Provide any information currently available (letters, metrics, customer surveys, independent surveys, etc.) which demonstrates customer satisfaction with the Offeror's overall job performance and quality of the Offeror's completed contract services for the same or similar type contract, WWTP services, referenced in this solicitation. The Offeror may provide the amount of time the Offeror has been doing this type of work and a description of the work performed. In addition, explain corrective actions taken in the past, if any, for substandard performance and any current performance problems affecting performance (such as numerous incidences of re-performance of work, discrepancies, etc.). It is the Offeror's responsibility to ensure all past performance data submitted is current and correct so that the Government can perform a proper evaluation.

Past Performance section is limited to a maximum of the three (3) most recent/relevant contracts performed for federal agencies and commercial customers, with a page limit of two (2) pages per contract; therefore, an overall page limit of six (6) pages, not including Attachment 4, Past Performance Information Sheets (PPIS).

Where a teaming arrangement (as defined at FAR Subpart 9.6) is proposed, an additional maximum of up to three (3) projects for partner(s)/subcontractor(s) shall be submitted. Thus a maximum of no more than six (6) projects (3 for the prime and 3 for the subs or other partners) shall be submitted in total. The page size shall be 8½ x 11 inches.

Where a teaming arrangement is proposed, the actual Teaming Agreement shall be submitted as part of the proposal by the managing partner of the agreement. The Government is interested in the roles, responsibilities, and distribution of effort (by type and percentage) between the parties in performance of the Government's requirement and if the agreement does not go into this detail, then a narrative must also be included in order for the Government's understanding of your proposal. This narrative and/or Teaming Agreement will not count against the stated page size limitation. If this not submitted with your proposal, your proposal will be considered non-responsive.

(18) Part III – Price Data (Factor 3):

This section of the proposal shall include only the following:

(a) The completed signed copy of the RFP (SF1449), especially blocks 17 (code & facility code = cage code#) and block 30. In doing so, the offeror accedes to the contract terms and conditions as written in the RFP.

(b) Complete all blanks for unit and total prices for Base and Option Years in whole dollars (no rounding).

(c) Any, signed, solicitation amendments thereto.

Addendum to 52.212-2, Evaluation—Commercial Items (OCT 2014) In addition to paragraph's (a) through (c), the following are added:

(d) Basis for Award: This acquisition will utilize the Lowest Price Technically Acceptable (LPTA) technique to make a best value award decision. The application of the LPTA technique in the contract award selection and approval process is as follows:

(i) The Government will review the two lowest priced offers and if both are deemed technically and performance acceptable, award will go to the lowest priced offeror and no further proposals shall be reviewed.

If either of the two lowest priced offers are not deemed technically and performance acceptable, the next lowest priced offer shall be reviewed for technical and performance acceptability. If this offer is not deemed acceptable, this process shall continue until two offerors are deemed technically and performance acceptable or if only one of the offerors is deemed acceptable, a price analysis report shall be accomplished to determine price fair and reasonable. Note: In accordance with FAR 52.212-1(g), as prescribed in FAR 12.301(b)(1), "The Government intends to evaluate proposals and award a contract without discussions with offerors" (except clarifications as described in FAR 15.306(a)). Therefore, each initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer (CO) to be necessary. A competitive range will be established and discussions will only be with those offerors in the competitive range. The CO may request offerors of marginal proposals to submit clarifications of areas identified by the technical proposal evaluation team. In initiating a request, the CO will set an appropriate time for submission of such information. Late submissions will be handled in accordance with FAR 52.212-1(f) "Late Submissions". The clarification information will be incorporated as part of the proposal.

(ii) The lowest priced technically acceptable proposal will be deemed the successful offeror and award shall be made to this offeror, subject to a positive responsibility determination.
