52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (JULY 2013)
1. The purpose of these instructions is to prescribe the format of request for RFQ and describe the approach for the development and presentation of the request for quote data. This is designed to ensure the essential information required for evaluation is submitted.
2. The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer’s opinion, adequate price competition exists, no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists, offerors may be required to submit information, other than certified cost or pricing data, to the extent necessary for the contracting officer to determine the reasonableness and affordability of the price.
3. To assure the timely and equitable evaluation of request for offerors shall follow the instructions contained herein. Offerors are required to meet and address all of the requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in an offer being deemed ineligible for award. Offerors must clearly identify any exception to the terms and conditions and provide complete accompanying rationale. The RFQ when submitted, shall be comprehensive, complete, self-sufficient, and respond directly to the requirements of the RFQ. Elaborate artwork, expensive paper/binding and expensive visual aids are neither necessary nor desired.

c. Include a statement in the proposal that it contains proprietary information for your company and cannot be released outside the Government.
d. Failure to comply with these instructions may result in the offeror’s proposal being summarily rejected.
Any commitments made in the proposal shall become part of the resultant contract.

FAR 52.212-1 Paragraph (c), Period of Acceptance of Offers, is hereby tailored to read as follows:
c. Period for Acceptance of Offerors. The offeror agrees to hold the prices in its offer for 180 calendar days from the date specified for receipt of offers.
(End of provision)
52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)
(a) The Government will award a contract resulting from this RFQ to the responsible offeror whose offer conforming to the RFQ will be most advantageous to the Government, price and other factors considered. The following factors and subfactors shall be used to evaluate offers:
1. Price
2. Technical Acceptability
(a) Staffing Plan
(b) Security Plan
(c) Phase in/out Plan
3. Past Performance
Technical and past performance, when combined, are equally important when compared to price. Award will be made to the lowest priced technically acceptable offeror with an “acceptable” past performance assessment and a technical subfactor rating of “pass”.
(b) BASIS FOR CONTRACT AWARD: Each offerors’ technical capability/acceptability will be evaluated on a lowest price, technically acceptable basis. By submission of its offer, in accordance with the instructions in clause
52.212-1 “Instructions to Offerors”, the offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and Performance Work Statement requirements. All offers shall be treated equally for technical portions and performance records. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The evaluation process shall proceed as follows:
EVALUATION OF PAST PERFORMANCE
Past Performance shall be evaluated on an “Acceptable” or “Unacceptable” basis. In the event of a negative comments of a offerors performance on either CPARS/PPIRS the contracting officer shall make a determination based on the factors listed in Table 1 Record of Past Performance.
TABLE 1 Record of Past Performance
Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown. To be rated acceptable, no Unsatisfactory CPARS or PPIRS ratings can be found.
Unacceptable Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort. To be rated unacceptable, a negative CPARS or
PPIRS rating of Unsatisfactory will be identified by this office and validated by the Contracting Officer.
EVALUATION OF TECHNICAL
b. Each offeror shall submit information clearly identified for the following technical subfactors: (a) Staffing Plan
(b) Security plan and (c)Phase-In and Phase-Out Plan. Offerors shall submit at a minimum the following information for each subfactor:
(a) The Staffing Plan shall provide information on how the offeror will: (1) ensure supply services worker candidates will be available for successful execution of the requirement program (2) to ensure continuity of services and arrangement for replacing or hiring incumbent personnel IAW FAR 52.207-3 Right of First Refusal of
Employment.
(b) Security Plan to ensure personnel meets security requirements/clearance requirements and the ability to be successfully processed through required background checks.
(c) Phase-In/Out Plan identifying strategy to maintain continuity in service during transition.
Technical subfactors. To be determined technically acceptable, an offer must receive a “Pass” for technical acceptance for each of the subfactors described below.
TABLE 2. Technical Subfactor (s)
Rating Description
Pass
The offeror submitted all documentation in accordance with the Instructions to
Offerors and has an “acceptable” past performance evaluation rating.
Fail
The offeror did not submit or complete an element of documentation required by the Preparation Instructions to Offerors, or has an “unacceptable” past performance evaluation rating.
4. Offerors are cautioned to submit sufficient information and in the format specified in these preparation instructions. Offerors may be asked to clarify certain aspects of their proposal or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond.
5. A written notice of award or acceptance of an offer mailed or otherwise furnished to the successful offeror by the Government within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
(End of clause)
EVALUATION OF PRICE
Price will be evaluated using techniques established in FAR 15.404-1 to ensure the Government receives a fair, reasonable and balanced price. If the Government cannot determine the proposed pricing to be fair and reasonable, other than cost and pricing data will be obtained from the offerors. The Government will evaluate offers for award purposes by adding the total price for all CLINS including phase-in, phase-out, basic period, option years, optional
CLINS and fifty percent (50%) of the last option period price to cover the option to extend services IAW clause
52.217-8.
There is a great expectation of competition for this requirement; offerors are cautioned to present their best price proposal up-front. The offeror’s price proposal shall represent the offeror’s best effort to respond to the solicitation.
NOTE: Evaluation of the optional line items and/or option periods shall not obligate the Government to exercise such options.
Option to Extend Services. Both the solicitation and resultant contract shall contain FAR Clause 52.217-8, entitled
“Option to Extend Services”. This clause allows for up to an additional 6 month continued contract performance if required. Interested offerors shall not include pricing in their proposal for this clause as fifty percent (50%) of the last option period shall be used for the pricing if clause 52.217-8 is required.
Materially Unbalanced Offer If the PCO sees a wide variation in prices, the PCO can consider the need to amend the solicitation or ask the offeror(s) appropriate questions. Unbalanced pricing poses an unacceptable risk to the
Government and may be a reason to reject an offeror’s proposal.
52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (NOV 2013)
An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically via http://www.acquisition.gov. If an offeror has not completed the annual representations and certifications electronically at the System for Award Management (SAM) website, the offeror shall complete only paragraphs (c) through (o) of this provision.
