1.0 General Instructions
a. The offeror’s proposal must include all data and information requested by these instructions and must be submitted in accordance with (IAW) these instructions. The offer shall be compliant with the requirements as stated in the Performance Work Statement (PWS). Non-conformance with these instructions may result in an unfavorable proposal evaluation.
b. The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government’s requirements but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation on the information presented in the offeror's proposal.
c. Elaborate brochures or documentation, binding, detailed art work, or other embellishments are unnecessary and are not desired.
d. FAR 52.212-1(c) is amended as follows: The offeror agrees to hold the prices in its offer firm until 18
Nov 17.
e. In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one electronic (CD) copy of all unsuccessful proposals. Unless the offeror requests otherwise, the Government will destroy extra electronic copies of such unsuccessful proposals.
1.1 General Information
1.1.1. Points of Contact (POCs)

1.1.2 Debriefings
The PCO will promptly notify offerors of any decision to exclude them from the competitive range (if discussions are held); whereupon, they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre award debriefing or they may choose to wait until after the source selection decision to request a post award debriefing. However, offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The PCO will notify unsuccessful offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or FAR 15.506, as applicable.
1.1.3 Discrepancies
If an offeror believes that the requirements in these instructions contains an error, omission, or are otherwise unsound, the offeror shall immediately notify the CS or PCO in writing with supporting rationale as well as the remedies the offeror is asking the CS or PCO to consider as related to the omission or error. The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion. This reservation includes matters of additional or substitute pages of the initial proposal.
1.1.4 Oral Presentations
Oral presentations will not be permitted.
1.1.5 Communications
Exchanges of evaluation information between Government and offerors will be controlled by the CS. When email is used to transmit such information to offerors, it will include “Source Selection Information – See FAR 2.101 &
3.104” in the Subject line.
1.1.6 Amendments to Solicitation
If this Request for Proposal (RFP) is amended, all terms and conditions that are not amended remain unchanged.
Offerors shall acknowledge receipt of any amendment to this request by the day and time specified in the amendment(s).
1.2 Organization/Number of Copies/Page Limits
The offeror shall prepare a proposal for award of the IDIQ and a proposal for award of the Seed TO. Each proposal shall be organized as set forth in the Proposal Organization Tables (Table 1.2a. and 1.2b., below). The titles and contents of the volumes shall be as defined in this table, all of which shall be within the required page limits and with the number of copies as specified in Tables 1.2a. and 1.2b. The volumes identified in each table shall be in a separately identified document on the CD as necessary. The contents of each proposal volume are described in the instruction paragraphs as noted in each table below:

1.2.1 Page Limitations
Page limitations for the electronic copies submitted on a CD shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal and excess electronic copies will be destroyed.
Page limitations may be placed on responses to Evaluation Notices (ENs). The specified page limits for EN responses will be identified in the letters forwarding the ENs to the offerors. Each page shall be counted except the following: blank pages, cover pages, table of contents, tabs, indexed lists of tables and figures, glossaries, labor category position descriptions of all personnel, organization structure change history, quality control plan, key personnel resumes, and those noted in the Proposal Organization Tables (Table 1.2a and 1.2b) as unlimited.
1.2.1.1 Page Size and Format
a. These limitations shall apply to electronic copy proposals on a CD. A page is defined as any piece of a document containing information. When both sides of a sheet display printed material, it shall be counted as two pages. Page size shall be 8.5x11 inches. Pages shall be single spaced and the text size shall be no less than 12 point.
Tracking, kerning, and leading values shall not be changed from the default values of the word processing or page layout software. Use at least 1 inch margins on the top and bottom and ¾-inch side margins. Pages shall be numbered sequentially by volume.
b. Legible tables, charts, graphs and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible, and shall not exceed 11x17 inches in size. Pages exceeding 8.5x11 shall fold entirely within the volume, and count as two pages. Foldout pages should only be used for large tables, charts, graphs, diagrams and schematics not for pages of text. For tables, charts, graphs and figures, the text shall be no smaller than 10 point. These limitations shall apply to electronic copy proposals on a CD.
1.2.2 Cost or Pricing Related Data
All cost or pricing data shall be addressed ONLY in the Price Proposals and Contract Documentation Volumes.
Cost trade-off information, work hour estimates, and material kinds and quantities may be used in other volumes only as appropriate for presenting rationale for alternatives or design and trade-off decisions.
The contracting officer has determined there may be adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer's opinion, adequate price competition exists no additional data will be requested and certification under FAR
15.406-2 will not be required. However, if at any time during this competition, the contracting officer determines that adequate price competition no longer exists; offerors may be required to submit cost data to the extent necessary for the contracting officer to determine the reasonableness of the price.
1.2.3 Cross-Referencing
Each volume shall be written on a stand-alone basis so that its contents may be evaluated without cross referencing to other volumes of the proposal. Information required for proposal evaluation which is not found in its designated volume will be assumed to have been omitted from the proposal. Cross-referencing within a proposal volume is permitted.

1.2.4 Indexing
Each volume shall contain a more detailed table of contents to delineate the subparagraphs within that volume. Tab indexing shall be used to identify sections and will not count against page limitations.
1.2.5 Title Page
Each volume must include a title page. The title pages must show:
a. Solicitation Number
b. Name, address, telephone numbers and email address of the offeror
1.2.6 Glossary of Abbreviations and Acronyms
Each volume shall contain a glossary of all abbreviations and acronyms used, and with an explanation for each.
Glossaries do not count against the page limitations for their respective volumes.
1.2.7 Tables and Figures
Include an indexed list of Tables and Figures. This index will not count against page limitations.
1.2.8 Labeling
Be sure to apply all appropriate markings including those prescribed in accordance with FAR 52.215-1(e), Restriction on disclosure and use of data, and FAR 3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information.
1.3 Electronic Offers
Electronic offers alone will only be accepted on a CD, no other forms of electronic offers will be accepted. Each offeror is required to submit an electronic copy of each proposal on a CD no later than the required proposal due date. The CD shall be IAW the required number of copies designated in Table 1.2a and 1.2b above. The outside of the CD or the CD jacket must be labeled to indicate proposal type (IDIQ/Seed TO), volume number and title, and use separate files to permit rapid location of information. The electronic copies of the proposals shall be submitted in Adobe PDF format or a format readable by Microsoft (MS) Office 2013 suite of applications. Your submission must be checked and determined “virus free” prior to submission.
1.4 Distribution
The “original” proposal shall be identified. Electronic copies (CD) of the proposals shall be addressed and mailed or hand carried to:

Access to Scott AFB for Delivery of Hand Carried Proposals: Offerors are cautioned that when hand-carrying proposals, individuals not affiliated with this installation must obtain visitors’ passes prior to entrance. The Shiloh gate has been designated as the “Visitor’s Control Center.” Some delays can be anticipated for visitors to process through the “Visitor’s Control Center” and offerors should allow sufficient time to obtain visitors’ passes. FAR 52.212-1(f), Submission, Modifications, Revisions, and Withdrawals of Proposals.
1.5 Acceptance
A written notice of award or acceptance of an offer mailed or otherwise furnished to the successful offeror(s) within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.
Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
2.0 Seed TO Volume I – Technical/Technical Risk
The offeror shall include a master table of contents of the entire proposal at the front of the Technical/Technical
Risk volume.
The Technical volume shall be organized according to the following general outline:

3. Staffing and Management Approach
4. Other Technical Requirements (Mission Essential)
5. Glossary of Abbreviations and Acronyms
2.1 General
The Technical Volume should be specific and complete. Legibility, clarity, and coherence are very important. Your responses will be evaluated against the Technical subfactors defined in the Addendum to FAR 52.212-2, Evaluation
– Commercial Items. Using the instructions provided below, provide as specifically as possible the actual methodology you would use for accomplishing/satisfying the subfactors. All the requirements specified in the solicitation are mandatory. By your proposal submission, you are representing that your firm will perform all the requirements specified in the solicitation. It is not necessary or desirable for you to tell us so in your proposal. Do not merely reiterate the objectives or reformulate the requirements specified in the solicitation.
2.2 Format and Specific Content
2.2.1 Technical/Technical Risk – Methodology 1 (Separate Technical/Technical Risk Rating Process)
In the Technical/Technical Risk volume, address your technical solution for meeting or exceeding the Government’s minimum performance or capability requirements of each technical subfactor. Address Technical Risk associated with those aspects of your proposed technical approach you consider to have the potential for disruption of schedule, degradation of performance, the need for increased Government oversight, or the likelihood of unsuccessful TO performance. Classify each risk in accordance with DoD Source Selection Procedures Table 2B, Technical Risk
Rating. Provide the rationale for each risk and its rating, including quantitative estimates of the impact on cost, schedule, and performance. Describe the impact of each identified risk in terms of its potential to interfere with or prevent the successful accomplishment of other TO requirements, whether or not those requirements are identified as subfactors. Propose a realistic “work-around” or risk mitigators for identified risks that will eliminate or reduce risk to an acceptable level. Identify and classify any new risks introduced by such risk mitigation.
2.2.1.1 Subfactor 1 – Staffing and Management Approach
Each offeror shall provide a supporting personnel matrix to identify their key personnel which will include their key personnel labor category descriptions, key personnel specific résumés, labor category descriptions for non-key personnel, an organizational structure hierarchy chart, and a phase-in plan. Each offeror shall also provide an integrated solution to demonstrate their approach to meeting the overall Seed TO’s requirements and identify any best practices/ innovations proposed. The specific requirements of the Staffing and Management Approach subfactor are defined in Addendum to FAR 52.212-2, Evaluation – Commercial Items.

Each offeror shall provide a Mission Essential Contractor Services plan as required by DFARS 252.237-7024 to ensure the delivery of conforming services IAW the PWS.
2.3 Teaming Matrix
A Teaming Matrix (if applicable) shall be submitted with the Seed TO Volume I. Teaming arrangements are encouraged. Offerors shall describe which tasks each member of their teaming arrangement will be responsible for and indicate any potential OCI concerns and mitigations.
3.0 Seed TO Volume II – Past Performance
3.1 General
Each offeror shall submit a past performance volume with their proposal containing past performance information IAW the format contained in the Past Performance Information Sheet (PPIS) (Attachment 9). Your submissions will be evaluated against the Technical subfactors defined in the Addendum to FAR 52.212-2, Evaluation – Commercial
Items. This information is required on the offeror and all subcontractors, teaming partners, and/or joint venture partners who are proposing to perform aspects of the effort the offeror considers critical to overall successful performance. Offerors are cautioned that the Government will use data provided by each offeror in this volume and data obtained from other sources in the evaluation of past performance.
Along with the information required in this paragraph, the offeror shall submit a Subcontractor Consent Letter
(Attachment 3) executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing release of adverse past performance information to the offeror so the offeror can respond to such information. For each identified effort for a commercial customer, the offeror shall also submit a Client Authorization Letter (Attachment 10 for a sample letter), authorizing release to the Government of requested information on the offeror's performance.
3.2 Early Proposal Information
Each offeror is requested to submit the information shown in the Past Performance Questionnaire (PPQ) (Attachment 12), for each relevant contract 10 calendar days prior to the date set for receipt of proposals. Failure to submit early proposal information will not result in offeror disqualification.
As soon as practicable, offerors shall complete Section 1 of the attached PPQ (Attachment 12) and email it and the PPQ
Cover Letter (Attachment 11) to points of contact (POCs) the offeror has listed in the PPIS (Attachment 9). The POCs listed in the PPIS’s should represent the individuals most knowledgeable about the offeror’s performance on the identified contract or program, such as the following: (1) Contracting Officer’s Representative; (2) Program/Project Manager; (3)
Contracting Officer. The POCs will complete the questionnaires and forward them by email directly to the Contract
Specialist, Ms. Pamela Bragg at pamela.bragg@us.af.mil. RESPONDENTS TO THE QUESTIONNAIRES SHALL NOT
SEND THE COMPLETED INFORMATION SHEETS BACK TO THE OFFEROR. Offerors shall state this in their emails to the POC’s completing the PPQ. In order to facilitate receiving the PPQs that are not received early, offerors shall submit the name, phone number, and email address for the POCs receiving PPQs to the CS 10 calendar days prior to the date set for receipt of proposal. The Source Selection Evaluation Board (SSEB) will conduct follow-up reviews with any
POCs as necessary. The SSEB will evaluate no more than three PPQs (total) for each referenced contract.
3.3 Relevant Contracts
There is no page limit per PPIS; however, the total Past Performance volume shall not exceed 30 pages, not including the required Subcontractor Consent Letters and Client Authorization Letters. Submit information in accordance with the PPIS (Attachment 9) on no more than three recent contracts that you consider most relevant in demonstrating your or your subcontractor’s ability to perform the proposed effort. A contract, TO or blanket purchase agreement (BPA) call is considered recent if it is ongoing or if it was completed within three years of the date of issuance of this solicitation. If submitting an indefinite delivery contract vehicle or BPA for consideration, the TO or BPA call for which evaluation is requested, shall be specified. Past Performance Information sheets including more than one contract, TO or BPA call will be counted for as many contracts, TOs or BPA calls that are included on the Past
Performance Information sheet. Include rationale supporting your assertion of relevance. For a description of the characteristics or aspects the Government will consider in determining recency and relevance, see Addendum to FAR
52.212-2, Evaluation – Commercial Items, paragraph 2.1.2 – Factor 2 Past Performance. The Government may consider past performance in the aggregate in addition to on an individual contract basis. In the case of offerors for which there is no information on past contract performance or where past contract performance information is not available, the offeror may not be evaluated favorably or unfavorably on the factor of past contract performance (see
FAR 15.305(a)(2)(iv).) In this case, the offeror’s past performance is unknown and assigned a performance confidence rating of “neutral.” Although the SSEB will not rate an offeror that lacks recent, relevant past performance favorably or unfavorably with regard to past performance, the SSA may determine that a “Substantial
Confidence” or “Satisfactory Confidence” past performance rating is worth more than a “Neutral Confidence” past performance rating in a best value tradeoff.
3.3.1 Specific Content
Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort and to what aspects of the proposed effort they relate. This may include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a limited or no confidence rating, since the problems encountered may have been on a more complex program, or an offeror may have subsequently demonstrated the ability to overcome the problems encountered. The offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions in terms of improvements achieved or problems rectified. This may allow the offeror to be considered a higher confidence candidate. For example, submittal of quality performance indicators or other management indicators that clearly support that an offeror has overcome past problems is required. Categorize the relevant information into the specific Past Performance criteria used to evaluate the proposal.
3.3.2 Organizational Structure Change History
Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a “roadmap” describing all such changes in the organization of your company. A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/ performance confidence assessment. Since the Government intends to consider past performance information provided by other sources as well as that provided by the offeror(s), your “roadmap” should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the
Government receives information from other sources.
4.0 Seed TO Volume III – Contract Documentation and Price
4.1 General
Each offeror shall submit a contract documentation and price volume with their proposal containing labor category price information as it relates to the Seed TO.
4.2 Format and Specific Content
The Contract Documentation and Price Volume III is required at the time offers are due and must utilize the TO
Pricing Worksheet, provided as Attachment 8 to the solicitation. The offeror shall submit proposed prices for all labor categories proposed for the Seed TO IAW the IDIQ prices and ordering periods, including Government on-site and off-site locations and prices for each period of performance.
4.2.1 Contract Documentation
4.2.1.1 Fill-ins
Complete blocks 12, 17a, 17b, 30a, 30b, and 30c on the SF 1449. By completing these blocks, the offeror accepts the contract terms and conditions as written in the RFP.
Complete all fill-in full text clauses and provisions unless already completed in your online representations and certifications at SAM.gov.
Complete the provision DFARS 252.209-7991 (Dev) included in this solicitation.
4.2.1.2 Labor Categories
The offeror shall insert its proposed labor categories and prices for the Seed TO in the spaces provided in the TO
Pricing Worksheet IAW the Pricing Instructions (Attachment 8) traceable to the prices submitted for the IDIQ.
Prices shall reflect all inputs associated with providing the Geospatial Services Seed TO. Please use Labor Category
Descriptions (Attachment 4) for detailed descriptions of each labor category. All prices shall be rounded as described in paragraph 4.2.4 below.

4.2.1.6 Exceptions to Solicitation Requirements
Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors.
Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken. Provide rationale in support of the exception and fully explain its impact, if any, on the performance, schedule, cost, and specific requirements of the solicitation. This information shall be provided in the format and content of Table 4.2.1.5.

4.2.2 Price Completeness and Reasonableness
The offeror shall submit pricing information to support the completeness and reasonableness of their proposed prices for all labor categories IAW the IDIQ proposed prices and CLINs. Your responses will be evaluated (but not rated) against the Technical subfactors defined in the Addendum to FAR 52.212-2, Evaluation – Commercial Items. The pricing information submitted should fully support the PWS requirements for each functional element specified in the PWS. The breakdown should be provided for price traceability which will show the labor categories including position descriptions. This breakdown shall be traceable to the labor categories listed in Attachment 4. Information shall also be segregated by the ordering periods and a total price for each CLIN as specified in the solicitation.
Information shall also show the consolidated total price for performance. Offers should be sufficiently detailed to demonstrate their reasonableness. The burden of proof for credibility of proposed prices rests with the offeror.
4.2.3 Price Data
Data beyond that required by this instruction shall not be submitted unless you consider it essential to document or support your price position. All data relating to the proposed price, including all required supporting documentation, must be included in the section of the proposal designated as the Contract Documentation and Price Volume.
4.2.4 Rounding
All unit and extended prices provided shall be rounded to the nearest dollar. Extended prices MUST be divisible by
12 for base and option periods. All loaded labor rates shall be rounded to the nearest penny.
5.0 IDIQ Volume I – Contract Documentation and Price
5.1 General
Each offeror shall submit a Contract Documentation and Price Volume with their proposal containing labor category price information IAW the instructions in the below paragraphs.
5.2 Format and Specific Content
The Contract Documentation and Price Volume is required at the time offers are due and must utilize the IDIQ Price
Sheet, provided as Attachment 2 to the solicitation. The offeror shall submit proposed prices for all labor categories and ordering periods, including Government on-site and off-site locations and for a contingency situation.

5.2.2 Price

6.0 IDIQ Volume II – Small Business Participation Plan
6.1 General
The Small Business Participation Plan Volume should be specific and complete. Legibility, clarity and coherence are very important. The Plan will be evaluated in accordance with Addendum to FAR 52.212-2, Evaluation –
Commercial Items. Using the instructions provided below, provide a specific plan to accomplish the requirements of this evaluation factor.
6.2 Format and Specific Content
The Small Business Participation Plan is required at the time offers are due and must specifically address the following:
6.2.1 Names of small businesses to be utilized.
6.2.2 Describe the type and complexity of products/services to be provided by each small firm.
6.2.3 The extent of participation of each firm in terms of the value of the total acquisition. A minimum of
25% of total contract value subcontracted to small business is required. Small businesses can achieve goals through their own performance/participation as a prime contractor without having to subcontract.
6.2.4 Positive percentage goals for each small business subcategory including the extent of commitment to reach these goals. If a small business subcategory does not provide a positive goal, reasoning must be provided as to why one cannot be reached, and what steps may be taken in the future to provide a positive goal.
7.0 Other Information Required
Offerors are to include required documentation from this section in IDIQ Volume I – Contract Documentation and
Price
7.1 Authorized Contractor Personnel
Provide the name, title, and telephone number of the company/division point of contact regarding decisions made with respect to your proposal and who can obligate your company contractually. Also, identify those individuals authorized to negotiate with the Government.
7.2 Company/Division Address, Identifying Codes, and Applicable Designations
Provide company/division's street address; CAGE code; DUNS code; TIN; and size of business (large or small).
This same information must be provided if the work for this contract will be performed at any other location(s).
7.3 Organizational Conflict of Interest (OCI)
The Government does not anticipate any OCI related to this requirement; however, at time of submitting a proposal, the offeror shall submit an Organizational Conflict of Interest Identification and Mitigation Plan (OIMP), as described herein: the offeror must submit and maintain an OIMP acceptable to the PCO. The OIMP shall include, at a minimum, processes and internal controls necessary to identify, capture, and mitigate OCI activities at the subcontractor level. The Government-accepted OIMP shall be incorporated by reference into a resultant contract. If the offeror does not identify any OCI, no OIMP is required.
7.4 Security Clearance
A SECRET security clearance is required. Specific security requirements are identified in the DD Form 254.
7.5 Subcontracting Plan - (Applies to Other Than Small Business Only)
IAW FAR 19.705-2, other than small business prime Offerors shall provide a clear, detailed and realistic plan that complies with FAR 52.219-9 Alt II (Dev) and DFARS 252.219-7003 and satisfies all of the requirements of FAR
19.704, DFARS 219.704, and AFFARS 5319.704(a)(1). The Offeror's submission must provide sufficient information to support the PCO's review of the subcontracting plan to determine acceptability. Offerors should propose positive goals that are realistically obtainable and provide rationale for the proposed goals. If small business subcontracting possibilities do not exist or are limited for a certain social-economic categories, the
Offeror's plan must state such and provide rationale supporting the assertion. An approved Subcontracting Plan is required for any contract awarded to another than small business Offeror. (NOTE: The Small Business
Subcontracting Plan Checklist that will be used by the Contracting Officer is included as Attachment 14 to the RFP and shall be used as a guide when preparing a subcontracting plan). In addition, IAW DFARS 315.304(c)(i)(B) and
(C), proposals addressing the extent of small business performance (Small Business Participation Plan) shall be separate from subcontracting plans submitted pursuant to the clause at FAR 52.219-9, and when an evaluation assesses the extent that small businesses are specifically identified in proposals (Small Business Participation Plan), the small businesses considered in the evaluation shall be listed in any subcontracting plan submitted pursuant to
FAR 52.219-9.
The subcontracting plan will be assessed (not evaluated) for acceptability on an Acceptable/Unacceptable basis IAW
FAR 19.704. The subcontracting plan must be submitted and assessed as acceptable as a matter to be eligible for award.
