SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

INSTRUCTIONS, CONDITIONS AND NOTICES TO OFFERORS
PROPOSAL PREPARATION INSTRUCTIONS
A. To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or sub factors. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The response shall consist of four (4) separate parts; Part I - Technical Acceptability, Part IA- Sample Project Execution Plan, Part II - Price Proposal, and Part III - Past Performance Information. Part I is limited to 50 pages, not including drawings or the volume for Part IA (Sample Project Execution Plan). See the Technical Sub Factor 4, paragraph 1, for more details regarding the required documentation for Volume Part IA.

B. The contracting officer has determined there is a high probability of adequate price competition in this acquisition per FAR 15.403-1(c)(1). Therefore, certified cost or pricing data is not required. However, the offeror is required to submit data other than certified cost or pricing data as specified in this section Instructions to Offerors, PART II-Price Proposal, to determine price reasonableness and realism in accordance with FAR 15.404-1. However, if at any time during this competition, the contracting officer determines that adequate price competition no longer exists or that price reasonableness cannot be determined, offerors may be required to submit certified cost or pricing data or additional data other than certified cost or pricing data, as appropriate, for the contracting officer to determine price reasonableness.
C. PRE-PROPOSAL CONFERENCE: A pre-proposal conference will be held on 17 April 2012. All prospective offerors are urged to attend this conference. Failure of a prospective offeror to submit any written questions or to attend the conference will be construed to mean that the offeror fully understands all requirements of the solicitation. Prospective offerors are advised that the pre-proposal conference will be held solely for the purpose of explaining the concepts involved in the project and the specifications, terms and conditions of the solicitation. Answers to questions raised during the pre-proposal conference will be provided to prospective offerors via an amendment to the solicitation. All prospective offerors are advised that this solicitation will remain unchanged unless it is specifically amended in writing. If an amendment is issued, normal procedures relating to the acknowledgement and receipt of any such amendment as described in contract clause FAR 52.215-1, Instructions to Offerors, Competitive Acquisition, of this RFP shall apply.
D. Those planning to attend the pre-proposal conference shall forward the names of attendees and their company names to SrA Russell Rogers at email address Russell.rogers@sheppard.af.mil or fax at 940-676-3784, no later than 13 April 2012. A valid driver’s license is required for base access for all drivers. Passengers must also present Government issued identification to obtain a base pass.
E. JOINT VENTURE OFFERORS: If the offeror is a joint venture, the offeror shall provide all required solicitation information for all parties including a copy of the joint venture agreement. The agreement shall include information that identifies the responsibilities for each entity under the subsequent contract. The agreement shall demonstrate the relationship between the firms; and, identify contractual relationships and authorities to bind each entity of the joint venture. If the joint venture is comprised of 8(a) firms, the Small Business Administration (SBA) must approve the joint venture agreement prior to award.
F. TEAMING/PARTNERING OFFERORS: If the offer is based on a teaming/partnering relationship, the offeror shall provide all required solicitation information for all parties including a copy of the teaming/partnership agreement. The agreement shall include information that identifies the responsibilities for each entity under this contract. The agreement shall demonstrate the relationship between firms and identify contractual relationship and authorities to bind each entity of the teaming/partnering relationship.
G. INCURRED EXPENSES: The Government is not responsible for any costs incurred or associated with preparation and submission of a proposal in response to this solicitation. The offeror is required to submit an offer on all items. Failure to do so may disqualify the proposal.
H. In compliance with FAR Subpart 4.8, the Government will retain one copy of all unsuccessful proposals and will destroy all extra copies. No destruction certificate will be provided.
I. SUBMISSION OF COMPLETE PROPOSALS: All proposals must be complete, self-sufficient, and respond directly to the requirements of this solicitation. Failure to furnish a complete proposal, at the time of proposal submission, may result in the proposal being unacceptable to the Government and elimination from award consideration. Any commitments made in the proposal shall become a part of the resultant contract.
J. MODIFICATIONS PRIOR TO RECEIPT OF PROPOSALS: The Government reserves the right to revise or amend the specifications or drawings, or both, prior to the date of receipt of proposals. If, in the opinion of the Contracting Officer, revisions or amendments require material changes in the quantity or price of items, the date of receipt of proposals will be announced by an amendment to the Request for Proposal.
K. TELEGRAPHIC/TELEFAX OFFERS/AMENDMENTS: Telegraphic and telefax offers/amendments will not be accepted.
L. SPECIFIC PROPOSAL PREPARATION INSTRUCTIONS:
PART I – Technical Proposal -Submit original and two (2) copies. Within the Technical Acceptability factor, the offeror's proposal shall demonstrate sound management principles to ensure that Statement of Work (SOW) requirements are met.
FACTOR A -Technical Acceptability. Initially, the Government technical evaluation team shall evaluate the technical proposals using the ratings of “Acceptable,” or “Unacceptable.” The technical proposal shall be evaluated against the following sub factors. The technical proposal shall include and address the following:
Sub Factor 1 – Organizational Plan and Manning Process:
(1) Provide an Organizational Chart that clearly identifies the management, construction and design teams.
(2) Identify lines of authority and responsibilities of key personnel in Management, Construction and Design positions.
(3) Describe the coordination, monitoring and construction/design of projects.
(4) Describe the interface between home office management and design, on-site construction teams, and subcontractor personnel.
(5) Identify how many concurrent task orders each project management team is capable of supporting.
(6) Describe the process and criteria used in selection of subcontractors.
Sub Factor 2- Quality Control Plan (QCP):
(1) Describe the process for identifying and preventing defects before the performance becomes unacceptable.
(2) Describe the process for ensuring only high quality materials and workmanship are employed.
(3) Describe the procedures/processes used to identify unfavorable performance trends, poor performing subcontractors, and/or in-house workforce and how corrective action is integrated
(4) Describe the surveillance process and frequency, and, how the Government will interface with this process.
Sub Factor 3- Design Capability: Note: This contract is not to be used solely for 100% design projects.
(1) The offeror shall provide qualification and work experience information on key design personnel. Include professional registrations in both Texas and Oklahoma, education, training, relevant experience, and office location.
(2) Provide a list of up to six (6), multidiscipline projects designed by the offeror or its design team in the last three (3) years. These projects may include commercial designs similar to military installations, industrial complexes, and historical facilities and medical facilities with a minimum awarded contract value of $250,000.00.
(3) Provide one (1) set of 11” X 17” drawings for one (1) of the projects provided in response to Sub Factor 3 (2) above. The drawings may either be construction documents or as-built drawings.
Sub Factor 4- Sample Project Execution Plan
(1) In accordance with the attached Sample Project Specifications/Statement of Work (RFP Attachment 12) and the General Requirements (RFP Attachment 1), the offeror shall submit, in a separate volume titled Part IA, a Sample Project Execution Plan. The Sample Project Execution Plan shall match the detailed cost estimate breakdown described in PART II- Price Proposal, Paragraph 1 (RFP Attachment 17).
(2) The Sample Project Execution Plan should include the planned activities and management approach the Offeror will use to achieve the construction from the project Specifications/Statement of Work and Drawings (RFP Attachments 12 and 13). The Sample Project Execution Plan must contain the following:
a. Sample Project Execution Plan Summary
b. Detailed Construction Progress Schedule (The sample task schedule can be created in any software package but needs to be submitted in hard copy)
c. Proposed Submittals (as shown on the Material Submittal Schedule- RFP Attachment 15)
d. Complete list of the materials needed
e. Complete list of the types and quantities of the heavy equipment needed
f. Complete list of the employees needed, including the quantities, total hours worked, and labor classifications
PART II – PRICE -Submit original and two (2) copies. The offeror shall submit a Price Proposal, which consists of and complies with the following instructions:
FACTOR B- Price
(1) Complete blocks 14 through 20c of the RFP Section A, SF 1442, and in accordance with the General Requirements (RFP Attachment 1) and the Specifications/Statement of Work (RFP Attachment 12). In doing so, the offeror accedes to the contract terms and conditions as written in the RFP, Sections A through K.
(2) Submit with the price proposal, a proposal in which the total price for the sample project, VNVP 111089, Demolish B17, B19, B2013, Construction Warehouse B2003, is identified using a detailed construction cost estimate breakdown (RFP Attachment 17) showing the lump sums for the subtotals for each standard construction division a.-j. (as shown below). The proposed price for the sample project must be based on the offeror’s own technical approach submitted in the Technical Proposal and in accordance with the General Requirements (RFP Attachment 1), the Specifications/Statement of Work, Drawings, and the Material Submittal Schedule (RFP Attachments 12, 13, and 15 respectively), as set forth herein. The sum of the divisions must equal the total proposed price for the sample project and must be submitted on the provided detailed construction cost estimate breakdown (RFP Attachment 17).

(3) All offerors should base pricing of the sample project on a performance period of 390 calendar days. The sample project described above may or may not be awarded as a subsequent task order at a future date. The Government is not obligated to award the sample project at any time.
(4) Complete the necessary fill-ins and certifications located in section I through K. Section K shall be returned in its entirety. For sections C through I, the offeror shall submit only those pages that require a fill-in response.
(5) Provide a copy of the letter from the Small Business Administration (SBA) showing proof of certification as a Section 8(a) contractor.
PART III – PAST PERFORMANCE INFORMATION - The offerors shall include a list of points of contact, and the appropriate contact and contract information in document form, limited to no more than one (1) page per contract. This volume and the all documentation contained in the volume shall be due the same date as the proposals. Disregard the due date described on the cover page of the Past Performance Questionnaire (RFP Attachment 19). Only references for same or similar type contracts are desired. Submit original plus two (2) copies.
FACTOR C -Past Performance Information.
(a) Performance Surveys: The government will evaluate the quality and extent of offeror's performance deemed relevant to the requirements of this RFP. The government will use information submitted by the offeror and other sources, such as Federal Government operated contractor performance reporting databases, and commercial sources to assess offeror past performance. To assist in the past performance survey, each offeror is required to provide a list of no more than seven (7), of the most relevant construction contracts performed for Federal and commercial organizations within the last three (3) years from the date of this solicitation. The evaluation of past performance information will take into account past performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to this acquisition. Furnish the following information for each contract listed:
(i) Company/Division name
(ii) Product/Service, description of the project
(iii) Contracting Agency/Customer (including name and telephone number of contract administrator, buyer or Contracting Officer.
(iv) Contract number, contract type (i.e. fixed price, time and materials, etc.), indicating whether government or commercial contract, and dollar amount. Include a summary description of any subcontractor and the scope of involvement.
(v) Contract Dollar Value
(vi) Period of Performance
(vii) Notice to Proceed Date
(viii) Verified, up-to-date name, address, FAX & telephone number, and email address of the Contracting Officer, and the Government/Customer Project Engineer.
(ix) Comments regarding compliance with contract terms and conditions.
(x) Comments regarding any known performance deemed unacceptable to the customer, or not in accordance with the contract terms and conditions.
Using this information, the contractor is required to send past performance surveys to the points of contact listed for each contract submitted by the offerors. The points of contact shall be the personnel with the most knowledge for each subject contract, at the point of contact’s organization. Contact information for each point of contact submitted is also required for submission to allow the Government follow-up capability. The past performance questionnaire can be found at RFP Attachment 19.
L-1 AVAILABILITY OF FUNDS
ATTENTION OFFERORS: Funds are not currently available for this solicitation. Award of a contract as a result of this solicitation is contingent upon the availability of appropriated funds from which payment of this contract may be made. There shall be no legal liability on the part of the Government for contract purposes until funds are made available to the contracting officer. The contracting officer will confirm availability of funds in writing to the contractor upon award of contract. The sample project described above may or may not be awarded as a subsequent task order at a future date. The Government is not obligated to award the sample project at any time.
L-2 NON-GOVERNMENT ADVISOR NOTICE TO OFFERORS
ATTENTION OFFERORS: During the technical evaluation of proposals an employee of the company Defense Support Services (DS2) will be a non-Government technical advisor. Non-Government advisors are prohibited from proposal rating, ranking, voting, or recommending the selection of a source. Also, they are not normally permitted to participate in oral presentations or discussions, but may attend if requested by the chairperson(s). Non-Government advisors are not normally permitted to participate in Government decision making meetings such as SSEB sessions, or SSA briefings, unless invited by the chairperson(s) to be present during a particular portion of the meeting when they may be called upon to provide specific technical information. The non-Government advisor will be required to protect offeror proprietary data and Government source selection information and prohibit the companies from otherwise participating as an offeror, a subcontractor, or as a consultant to any offerors or subcontractors in relation to this acquisition.
L-3 SAMPLE PROJECT MAGNITUDE OF CONSTRUCTION
ATTENTION OFFERORS: The magnitude of construction for the sample project is between $1,000,000.00 and $5,000,000.00. Please note that all task orders awarded under the MACC parent contract will have varying contract values ranging from a minimum of $2,000.00, with the exception of the initial task order of $1,500.00, to a maximum of $5,000,000.00.
L-4 OTHER CONTRACTING CONSIDERATIONS
Attention to Offerors: The Statement of Compliance with the Davis Bacon Act (DBA). The DBA Wage Decisions provided at Attachments 4-11 are applicable to this requirement. The Offeror shall provide a signed statement acknowledging that:
(a) They are in compliance with the requirements of the DBA Wage Decisions, as applicable,
(b) The prices proposed for labor covered by the DBA Wage Decisions were formulated using the minimum wage and benefit rates specified in those documents as required for covered contractor personnel; and
(c) The Offeror shall also verify that the proposed prices in the Price Proposal demonstrate a logical correlation to the staffing (e.g. Full Time Equivalents/man-years and man-hours, labor categories, skill mix) proposed in the Technical Proposal.
