About this file

This document is an Exhibit D-2 - Contract Issues List for a Competitive Solicitation issued by the Washington Lottery for Digital Jackpot Signs. The solicitation seeks vendors with at least 5 years of experience in providing, producing, or creating products of the same nature as those identified, which involve signage at retail locations to advertise current jackpots and draw days for various lottery games. Bidders must document any issues, concerns, exceptions, or objections to the terms and conditions of the contract in the provided Contract Issues List, including a proposed solution or rationale. Lottery will review the number and nature of the items on the bidders' Contract Issues List in determining the likelihood of completing a contract with such bidder. No substantial changes to the material terms and conditions of the solicitation or contract will be accepted.

The pricing terms, set-asides, funding requirements, and other salient details are not provided in this Exhibit. The key focus is on the process for bidders to raise and document any contract issues in order to reach an agreement on the final contract terms.

Competitive Solicitation:
RFP173 Digital Jackpot Signs
Bidder:
_________________________________

Type/print full legal name of Bidder

Instructions. Issues, concerns, exceptions, or objections to any of the terms or conditions contained in Exhibit D-1 – Contract must be documented by bidders in the Contract Issues List provided below. The Contract Issues List frames discussions between Lottery and bidders regarding the terms and conditions contained in the Contract. In completing the Contract Issues List, bidders must describe, in business terms, a concern, exception, or objection and then propose a compromise that is reasonable in light of the commitment being sought by Lottery. The Contract Issues List must provide the reason or rationale supporting the issue.

· Redlined Documents Will Not Be Reviewed. Do not provide a redlined Contract, paragraph, or clauses. Redlined text may result in Lottery making potentially inaccurate assumptions about what bidders’ specific issues or concerns might be.

· Standard Bidder Contract Will Not Be Reviewed. Do not provide a copy of a bidder's or a third party’s standard contract or proposed language.

· No Substantial Changes. Bidders are cautioned that this is a competitive solicitation for a public contract and that Lottery cannot and will not accept a bid or enter into a Contract that substantially changes the material terms and conditions set forth in this Competitive Solicitation and Contract. Bids that are contingent upon Lottery making substantial changes to material terms and conditions set forth in the Competitive Solicitation or Contract may be determined to be non-responsive. Lottery will consider the number and nature of the items on the bidders’ Contract Issues List in determining the likelihood of completing a Contract with such bidder.
