About this file
This is a Data Use Agreement (DUA) between the Texas Workforce Commission (TWC) and contractors providing Employee Verification Services. The DUA establishes the terms, conditions, and obligations governing contractor access to, creation, receipt, maintenance, use, disclosure, and transmission of confidential information. The agreement applies to all confidential information that contractors may handle on behalf of TWC, including unemployment compensation records, vocational rehabilitation services records, education records, federal tax information, personal identifying information, sensitive personal information, Social Security Administration data, and Medicaid information. The DUA becomes effective upon execution of the base contract and runs concurrent with the contract term, including any extensions. Contractors must comply with this agreement as a material condition of their base contract, and any conflicting provisions in the base contract are superseded by this DUA.
Contractors are required to implement comprehensive procedural, administrative, physical, and technical safeguards to protect confidential information, establish privacy and security policies and incident response plans, complete cybersecurity training certified by the Texas Department of Information Resources, and maintain an updated list of authorized users with demonstrated need-to-know access. Contractors must report suspected or actual breaches of confidential information within one hour for federal data and twelve hours for all other information to specified TWC officials. The contractor bears all costs associated with breach investigation, mitigation, notification, credit protection, and any resulting fines or penalties. The DUA provides TWC the right to inspect contractor facilities and systems for compliance monitoring and includes indemnification provisions requiring contractors to reimburse TWC for all losses, liabilities, fines, penalties, and reasonable attorney fees arising from contractor breaches. Contractors must return or destroy all confidential information upon contract termination and may be required to maintain special cyber liability, data breach, and crime insurance with TWC named as an additional insured.
