ADDENDA TO FAR 52.212-1 Instructions to Offerors—Commercial Products and Commercial Services (Mar 2023)
Addendum to 52.212-1(b), Submission of Offers. The paragraph is tailored as follows:
1.0 General Instructions. This section provides general guidance for preparing quotes, as well as specific instructions on the format and content of the quote. Throughout this solicitation, the term “Offeror” includes subcontractors, teammates and/or joint venture partners. The Offeror’s quote must include all data and information requested and must be submitted in accordance with (IAW) these instructions. The Offeror shall be compliant with the requirements as stated in the solicitation. A quote that is sufficiently documented to support technical capability and price in a complete, orderly, and specific detailed manner will enable the Government to perform a thorough and fair evaluation. Compliance with the instructions and solicitation is mandatory. Failure to comply may result in an unfavorable quote evaluation and render the quote ineligible for award.
2.0 Information Regarding Submission Requirements. Documents submitted in response to this solicitation must comply with requirements of the solicitation and Performance Work Statement (PWS).
To be considered, the complete quote must be received not later than the date and time established in the Request for Quote. The quote shall be emailed to the following Point of Contracts (POC):

Late quotes will be processed in accordance with FAR 52.212-1(f) “Late submission, modifications, revisions, and withdrawals of offers.”
All quotes must be in English. All questions must be submitted in writing and emailed to the above POCs no later than 14 February 2025 at 10:00 AM Eastern Standard Time (EST). Questions submitted after this date will not be considered.
3.0 Quote Preparation and Format Instructions. This section provides general guidance for preparing quotes in regard to the format and content of the quote.; All the requirements specified in this solicitation are mandatory. Offeror is cautioned not to include any cost/pricing information in the technical volume. Offeror must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale.
3.1 Page Limitations. Page limitations shall be treated as maximums. Total page count will be based on the printed quote submission. If page limitations are exceeded, excess pages will not be read nor considered in the evaluation of the quote. A page is defined as each face of an 8.5 x 11-inch sheet of paper containing information. All information except for document numbers, page number, etc., shall be provided in an image area with no less than one inch in margin.
3.2. Pages Counted. Each page shall be counted except for the following:

3.3 Text. Text type should be Times New Roman or Arial, no smaller than 12-point with normal proportional spacing. Illustrations and tables shall be no smaller than Times New Romans or Arial 10 point. Text lines will be, at a minimum, single-spaced.
3.4 Tables, Charts, Graphs, and Figures. Legible tables, charts, graphs and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible, and shall not exceed 11 x 17 inches in size. For graphics, exhibits and figures, text shall be no smaller than Times New Roman or Arial 10-point font. Text within tables shall be no smaller than Times New Roman or Arial 10-point font.
3.5 Electronic Copies. The content of electronic copy shall be emailed to both mentioned POCs above. The format of all documents submitted shall be either Microsoft Word, Microsoft Excel, or Adobe PDF files only. Each document submitted shall clearly be titled as to what the file contains.
For Volume II, the offeror shall submit the completed Pricing Matrix, Attachment 5, electronically as an unlocked (unless previously locked by the Government) Microsoft Excel file (.xlsx) with all formulas intact (not presented as values). Offeror shall ensure the Microsoft Excel files are NOT “Read Only,” so that the Government can verify the offeror’s calculations.
3.6 Quote Clarity. The quote shall be clear, concise, and shall include sufficient detail for effective evaluation of the Offeror’s capabilities and for substantiating the validity of stated claims. The Offeror’s quote shall not simply rephrase, reiterate, or restate the Government’s own language, but rather shall provide convincing rationale describing how it intends to fulfill the requirement.
4.0 Specific Quote Instructions. To assure timely and equitable evaluation of the quote, the Offeror must follow the instructions contained herein. The quote must be complete, stand-alone, and respond directly to the requirements of this solicitation. The response shall consist of two separate parts:
Volume I – Price Quote Volume II – Technical
4.1 Volume I – Price Quote.
4.1.1 Instructions. The Offeror shall complete the Price Matrix, Attachment 5. A unit price shall be proposed and inserted for each Contract Line-Item Number (CLIN) for each performance period and shall be in whole dollar amounts. The extended amount must equal the unit price multiplied by the number/quantity of units. No pricing data or information shall be included in any other volume, including cover letters, unless specifically requested by the Government in the respective volume. If price information is included elsewhere in the documentation, the proposal may be deemed unacceptable and the proposal may not be evaluated. The Offeror shall comply with the intent of the pricing instructions in supplying information that is current, timely, and in full support of the proposal.
4.1.1.1 Price Factor. The Offeror shall submit the completed Pricing Matrix (Attachment 5) IAW the format below.
• To complete the Pricing Matrix, offeror shall fill in all green highlighted cells with proposed prices by CLIN for each period of performance.
• Input all prices in United States Currency (USD) using only whole dollar amounts (in order to avoid potential rounding issues).
• This Pricing Matrix will calculate the total proposed price for the Base and each Option Year based on offeror inputs, and totals by year will appear in row 28.
• A six (6) month Extension of Services (EOS) will be calculated in column G as outlined in Addendum 2 to the solicitation (Evaluation Factors).
• The Total Evaluated Price (TEP) that the Government will use in its evaluation of the offer will be calculated based on the sum of the totals of the Base Year, all Option Years, and the calculated EOS. The TEP will appear in cell J28.
• Only green highlighted cells are unlocked for data entry by the offeror. No rows, columns, or cells may be added or deleted.
NOTE: The calculation of the EOS is for evaluation purposes only and is not 1) an indicator of the anticipated pricing or timing of any exercise of the clause at FAR 52.217-8, Option to Extend Services, or 2) an indicator as to whether the Government will choose to exercise that clause during the performance of any contract awarded based on this solicitation. Refer to the language of the clause at FAR 52.217-8 for full details regarding this option.

4.2 Volume II - Technical Quote.
4.2.1 Instructions: The Offeror shall submit a technical volume with its quote IAW the format below. Offerors are cautioned that the Government will only use data provided by the Offeror in this volume in the technical evaluation.
By your quote submission, you are representing that you will perform all the requirements specified in the RFQ. It is not necessary or desirable for you to tell us so in your quote. Do not merely reiterate the objectives or reformulate the requirements specified in the solicitation.
4.2.1.1 Technical Factor. All the requirements specified in the solicitation are mandatory. Offeror shall address the proposed approach to meeting the minimum performance or capability requirements of each technical factor and sub-factors. The response will be evaluated against FAR 52.212-2, Evaluation Factors. Marketing presentations are not wanted and will not be evaluated. Hard and compelling evidence of capabilities is required to receive credit for evaluation factors. Legibility, clarity, and coherence are very important. Offerors are strongly encouraged to provide as specifically as possible, the actual methodology to be used for accomplishing and satisfying the requirements of the following factors:
4.2.1.2 Sub-factors: The Government will evaluate the technical acceptability on an acceptable or unacceptable basis in regard to meeting the following minimum standards;
1) The Offeror shall provide evidence of prior experience.
2) The Offeror shall provide a transition plan.
3) The Offeror shall provide an implementation plan.
5.0 Other Required Information.
5.1. Cover Letter Instructions: The offeror shall complete the Offeror’s Commercial and Government Entity (CAGE) code, Unique Entity Identifier (UEI), and Tax Identification number (TIN). The cover letter shall include the name, title, and telephone number of the company/division point of contact regarding decisions made with respect to your proposal and who can obligate your company contractually. The offeror shall also provide in the cover letter a statement that the proposal and prices therein will remain in effect for 120 days.
5.2 Continuation of Essential Contractor Services Instructions: In accordance with DFARS 252.237-7023, the Government has identified all of the contractor services performed under this contract as essential contractor services in support of mission essential functions. These services are listed in Attachment 3, Mission-Essential Contractor Services, dated 14 December 2024. Offerors shall submit a Mission-Essential Contractor Services Plan with their proposal.
NOTE: It is the offeror’s responsibility to submit with its offer all required representations, certifications, acknowledgements, and statements required by the solicitation even if they are not reiterated in this paragraph. The Government’s preference is that representations and certifications required by the solicitation are completed online.
However, if offerors have not completed representations and certifications required by the solicitation online, they must submit a hardcopy of the applicable representations and certifications with their proposals in the same form as incorporated into the solicitation.
Addendum to 52.212-1(c), Period for Acceptance of Offers. The paragraph is tailored as follows: “The offeror agrees to hold the prices in its offer firm for 120 calendar days from the date specified for receipt of offers.”
Addendum to 52.212-1(d), Product Samples, is deleted in its entirety.
Addendum to 52.212-1(e), Multiple Offers, is deleted in its entirety.
Addendum to 52.212-1(h), Multiple Awards, is deleted in its entirety.

52.212-2 Evaluation—Commercial Products and Commercial Services (Nov 2021)
(a) Basis for Contract Award. The Government intends to award one firm-fixed price Indefinite-Delivery, Indefinite- Quantity (IDIQ) type contract for this 100% Small Business Set-Aside service acquisition. Evaluation criteria for this acquisition will be based on a Lowest Price Technically Acceptable (LPTA) source selection process. The contract will be awarded to the offeror whose proposal is determined to be the lowest priced while fully meeting all technical requirements. Award will be made only if the Offeror’s negotiated price is found reasonable and if Offeror is determined responsible in accordance with FAR Part 9.104 and if Offeror’s quote conforms to the solicitation requirements. The solicitation requirements include all stated terms, conditions, representations, certifications, and all other information required by this solicitation.
1.0 Evaluation Process. A price analysis will be conducted on the Offeror’s negotiated priced and technically acceptable quote to determine price reasonableness. Award will be made to the Offeror’s meeting the technical acceptability standards (contingent on Offeror’s responsibility determination).
1.1 The Government will initiate concurrent evaluation of all evaluation factors on all proposals. The Government will consider, throughout the evaluation, the "correction potential" of a proposal including whether any proposal deficiency can be rectified and whether any uncertainty can be resolved. The judgment of such "correction potential" is within the sole discretion of the Government.
1.2 If pursuant to initial evaluation, the Government rates the Technical factor as “Unacceptable” or if the Government determines that there is some other deficiency or uncertainty relative to an offeror’s proposal, and in the Government’s judgment, the deficiency is rectifiable or the uncertainty is resolvable, the Contracting Officer (CO) may conduct interchanges and may continue interchanges as long as, in the Government’s judgment, the deficiency is rectifiable or the uncertainty is resolvable.
1.3 For the purpose of conducting interchanges, if the Government rates the technical factor as “Unacceptable” or if the Government determines that there is some other deficiency or uncertainty relative to an offeror’s proposal, the entire proposal will be rated “Unacceptable.” At the conclusion of interchanges, if the technical factor is rated “Unacceptable” or if any deficiency or uncertainty relative to the proposal has not been unresolved, evaluation of that proposal will be considered final. The entire proposal will be rated “Unacceptable”, and no further consideration will be given to that proposal for award.
1.4 For the purpose of award without interchanges, if pursuant to initial evaluation, the Government rates the technical factor as “Unacceptable” or if the Government determines that there is some other deficiency or uncertainty relative to an offeror’s proposal, notwithstanding that any deficiency may be rectifiable or any uncertainty may be resolvable, the entire proposal will be rated “Unacceptable,” the initial evaluation will be the final evaluation, and no further consideration will be given to that proposal for award.
2.0 Evaluation Factors. In evaluating quotes, the Government will accept the quote that is complete, fair and reasonable, and most advantageous to the Government. To arrive at a decision, the offer will be assessed in accordance with the following evaluation factors for the contract:
Factor 1: Price Factor 2: Technical
2.1 Price Evaluation. Price proposals will be evaluated for (1) completeness, (2) unbalanced pricing,
(3) reasonableness, and (4) Total Evaluated Price (TEP). The TEP consists of all CLINs added together to form the period of performance as well as the FAR 52.217-8 six-month period amount.
2.1.1 Completeness: The Government will review the pricing submissions for completeness and compliance with ADDENDA TO FAR 52.212-1 Instructions to Offerors.
2.1.2 Unbalanced Pricing: The Government will analyze each proposal to determine whether they are unbalanced with respect to prices proposed on different Contract Line Items Numbers (CLIN) for the same or similar services and/or supplies in the same or similar quantities and with respect to option pricing. An offer may be rejected if the Contracting Officer (CO) determines that the option prices are significantly unbalanced or that otherwise unbalanced pricing poses an unacceptable risk to the Government.
2.1.3 Reasonableness: The offeror’s price proposal will be evaluated using price analysis in accordance with FAR 15.404-1(b) or DFARS 215.371-3 if only one offer is received.
2.1.4 Total Evaluated Price (TEP): The Government will add the total price for all options to the total price for the basic requirement to arrive at a total evaluated price (TEP). The TEP will be calculated as:
(i) The sum of the extended prices (unit quantity multiplied by unit price) for CLINs 0001 through 0021 for the base performance period and option periods I through IV; and
(ii) To account for the maximum six-month extension possible under the clause at FAR 52.217-8, Option to Extend Services, the Government will take the proposed price of the final option periods (CLINs 4001 through 4021), prorate it to a six (6) month value, and add that amount to the sum of all CLINS (base performance period and option periods I through IV). Please note that this calculation is used for evaluation purposes only. After award, the Government reserves the right to exercise the Option to Extend Services at any time allowed by 52.217-8, and at the price allowed by 52.217-8.
The resulting amount will be the TEP. Evaluation of options shall not obligate the Government to exercise the option(s).
2.2 Technical Evaluation. The Offeror is advised that their initial submission should be their best effort. Only technically acceptable quotes are eligible for award. The Government will evaluate the quote for technical acceptability on an Acceptable/Unacceptable basis. For the technical quote to be rated as “Acceptable”, the technical sub factors must be rated acceptable. If any technical sub factor is rated “Unacceptable” the overall quote will be rated as “Unacceptable”.
(i) Acceptable – The quote clearly meets the minimum requirements of the solicitation.
(ii) Unacceptable – The quote does not clearly meet the minimum requirements of the solicitation.
2.2.1 Technical. Proposal must clearly demonstrate that the offeror can meet all the performance standards specified in the Performance Work Statement (PWS).
(A) Sub Factor # 1 – Prior Experience
Description: Offerors shall provide evidence of current or recent experience in performing the services, either from a current contract or one performed in the last three (3) years, that is similar in scope and magnitude to the services described in the PWS. Offerors shall provide a narrative which shall include detail of commercial internet and CATV services currently being performed, or that have been performed within three (3) years of the solicitation issue date, by the offeror as a prime contractor or a subcontractor on a Government contract. Contract numbers, issuing departments/agencies, and contract award dates shall be included.
Measure of Merit: This sub-factor is met when the Offeror demonstrates that it has current or recent experience in:
1) Commercial internet speeds comparable to speeds specified in the PWS;
2) Broad categories of programming and channels comparable to CATV service tiers and access channels described in the PWS;
3) Providing the services listed in the PWS to an area comparable to the size of Wright
Patterson Air Force Base (WPAFB);
4) The amount of service subscribers comparable to the Appendix B of the PWS.
(B) Sub Factor # 2 -- Implementation Plan:
Description: Offeror shall submit an Implementation Plan that demonstrates a sound approach for providing Cable TV and Commercial Internet services to all buildings listed in Appendix A of the Performance Work Statement. The Implementation Plan should also demonstrate a sound approach to transitioning the services from the incumbent contractor, while maintaining continuity of all contracted services listed in Appendix B of the PWS, throughout the Transition Period.
Measure of Merit: This sub-factor is met when the Offeror demonstrates:
1) A sound approach to providing CATV and internet services in accordance with the
PWS, to include proposed manpower and sequence of events from receipt of new task order to completion;
2) A sound approach to transitioning current services using existing internet and CATV cables;
3) A sound approach to transitioning current services using new internet and CATV cables;
4) The timeframe upon which current services will be operational in each facility listed in
Appendix B of the PWS;
3.0 A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
