3.1-1 CLAUSES AND PROVISIONS INCORPORATED BY REFERENCE (JULY 2011)

3.10.4-13 Higher-Level Contract Quality Requirement (October 2015)

(a) The Contractor must comply with the standard titled American National Standards Institute/International Organization for Standardization/American Society for Quality (ANSI/ISO/ASQ) Q9001-2008 Quality Management Systems -- Requirements, which are hereby incorporated into this contract.

(b) The Contractor must establish and maintain a Quality System in accordance with the above referenced standard(s) and the contractor's Quality System Plan (QSP). This QSP is hereby incorporated into this contract when approved by the Contracting Officer. If the QSP is submitted as part of a response to a Screening Information Request (SIR) submission and approved before award, then the QSP is hereby incorporated into this contract at time of award.

The QSP must describe the Contractor's provisions for quality assurance, inspection and test of http://conwrite.faa.gov/ all supplies to be provided under this contract, in accordance with the terms of this contract, including but not limited to the contract specifications and the above referenced standard. (Note;

Formal third-party ISO9001 registration is not required. Formal third-party ISO9001 registration does not relieve the contractor from the requirements of submitting a QSP.)

See CDRL Q01 in Attachment J-5.

(c) In the event of conflict between the Quality System Plan (QSP) and the above referenced standard(s), the applicable standards shall control.

(d) Calibration systems and measuring and test equipment shall be controlled in accordance with a nationally recognized standard, such as ISO 10012.

(e) Government Furnished Property must be controlled to assure acceptability upon receipt, preclude degradation, damage or misuse during storage, use or test, and assure proper final disposition in accordance with the contract.

(f) Site installation activities, maintenance, and support services shall be controlled in accordance with contract requirements.

3.10.4-14 Assignment of a Quality Reliability Officer (QRO) (October 2015)

The following provisions are a part of this contract:

(a) The Government's Quality and Reliability Officer (QRO) assigned to this contract, and designated as such by the Government, has the authority to verify that the contractor's quality system complies with contract requirements, including the contractor's Quality System Plan (QSP) (if applicable), to witness tests, and to inspect and accept or reject supplies provided under this contract.

(b) Prior to shipment thereof, the Contractor must submit to the QRO, for inspection and preliminary acceptance, all supplies which are subject to final Government inspection and acceptance at destination. Preliminary acceptance by the QRO constitutes verification by the Government that supplies comply with all contract requirements that are to be completed prior to shipment, including satisfactory completion of factory tests. Any supplies determined by the QRO to be nonconforming or suspected counterfeit parts must be corrected prior to shipment.

All other supplies, except those specified to be accepted by the Contracting Officer, must be submitted to the QRO for final inspection and acceptance prior to shipment. For all supplies subject to preliminary acceptance, final acceptance and passage of title to the Government must occur at destination.

(c) Failure of the Contractor to maintain and operate a Quality System in accordance with the terms of the contract may, based upon a written determination of the QRO (and consistent with the quality system requirements of the contract), be grounds for rejection of affected supplies.

(d) The Contractor must provide office space for the QRO and staff for the performance of Government evaluations and administrative functions. The office area must be secure to accommodate meetings of a sensitive nature. File cabinets and suitable desks (both with locking capabilities), office chairs, and other miscellaneous office equipment (as required) must be supplied by the Contractor. .

The Contractor must provide general administrative office support , as required by the QRO, for generating documents related to the contract. The office(s) must have both telephone and broadband internet access. A telephone must be provided to each desk, with no less than one line per QRO staff member. The cost of business long distance calls placed by the QRO staff will be borne by the Contractor. The Contractor must provide parking space to the extent available. In the event a change in location of the QRO staff is required, Contractor/QRO coordination will take place in order to facilitate Government planning and implementation of a smooth transition.

(e) Notification of Readiness for Inspection. Unless otherwise specified in the contract, the contractor must notify the designated resident QRO in writing within 2 workdays (7 workdays if there is not a resident FAA QRO) of the time:

(1) when contractor inspection or tests will be performed in accordance with the conditions of the contract and

(2) when the supplies or services performed will be ready for government inspection.

3.10.4-25 Alternate Quality System Plan (April 2009)

Offerors may submit alternate quality system plan proposals that depart from the stated quality assurance standard requirements. These alternate proposals shall be submitted in addition to the proposal that satisfies the stated quality assurance standard requirements in the SIR. The offeror, in its submission of the alternate proposal that departs from the stated requirements, shall clearly identify why the acceptance of the alternate proposal would be advantageous to the Government.

Any deviations from the terms and conditions of the SIR, as well as the comparative advantage to the Government, shall be clearly identified and explicitly defined. The Government is not liable for the alternate proposal preparation costs or any delay in acting upon any proposal. The decision of the Contracting Officer as to acceptance of the alternate proposal is final and not subject to dispute in any forum. The offeror shall submit as a minimum the following information along with the alternate proposal:

(a) A description of the difference between the primary and the alternate proposal, and the comparative advantages and disadvantages of each;

(b) Itemized requirements of the SIR which must be changed if the alternate proposal is adopted, and the proposed revision to the resulting contract for each change;

(c) An estimate of the changes in performance, schedule, and cost, if any, that will result from adoption of the alternate proposal;

(d) A reasonable method for sharing in the proposed savings, if any, between the Government and the offeror, if the proposed change would result in the overall lifecycle costs.

E.2 POINTS OF INSPECTION AND ACCEPTANCE

E.2.1 Supplies and/or services specified for delivery in Part I-Section F.5, Deliverables, of this contract must be inspected and accepted at the locations specified in Section F.5.1 or specific CLIN tasking which takes precedence.

E.2.2 Inspection, review and approval of deliverables or associated services prior to final acceptance must not be construed as assurance of acceptance of the finished product.

E.2.3 Unless otherwise specifically provided in this contract, the Contracting Officer is the person authorized to make final Government acceptance of all deliverables called for in the CDRLs/DIDs and all reviews specified in Section C of the contract. Final acceptance of all deliverable items must be made, in writing, by the FAA Contracting Officer or designee. Contracting Officer Designee(s) are identified in Section G.4.

E.3 INSPECTION AND ACCEPTANCE

E.3.1 Government Inspection: The Government must perform final inspection and acceptance on all system products and components, including all software, firmware, and hardware and documentation delivered under this contract. Final acceptance consists of satisfactory completion of all inspections and tests associated with the delivered items.

Final acceptance must be made by the Contracting Officer or designated representative on Form FAA-256, Inspection Report of Material and/or Services as defined is CLIN specific tasking.

E.3.2 Government Acceptance Criteria: General criteria for acceptance of contract deliverables are noted below. In addition, criteria for all items identified in the SOW and CLIN specific tasking for each phase of engineering, design and/or development of the requirement and/or tasking are noted below. The Contractor must also provide the related minimum artifacts required to support criteria compliance validation and documentation as identified below. The Government reserves the right to include additional inspection requirements for supplies and services provided under specific tasks as they are definitized and negotiated into the contract.

E.3.2.1 General: Government acceptance criteria for deliverables under all CLIN tasking ordered under this contract include the following:

(a) All contractual requirements have been satisfied and demonstrated to the FAA via documentation reviews and meeting minutes.

(b) To demonstrate successful completion of all associated CDRLs, as the minimum supporting artifact, the Contractor must provide the supporting documentation from the FAA showing acceptance of all CDRLs.

E.3.2.2 Design Phase Criteria:

(a) Successful completion of System Design Reviews (SDR) and Detailed Design Review (DDR) as defined in the SOW and CLIN specific tasking. For the minimum supporting artifact, the Contractor must provide a completed post design review Action Item List containing the signatures of the FAA QRO, the Contractor QA Representative, and the Contractor Program Manager.

(b) Successful completion of all CDRLs identified SOW and CLIN specific tasking relative to the design phase of system changes. For the minimum supporting artifact, the Contractor must provide the supporting documentation showing acceptance of all CDRLs.

(c) Satisfaction of all contractual requirements and demonstration of that to the FAA via documentation reviews and meeting minutes. As the minimum supporting artifact, the Contractor must provide copies of all submitted and approved waivers/deviations.

E.3.2.3 Development Phase Criteria:

(a) Successful completion of WJHTC System Acceptance Test (WSAT) per the SOW and CLIN specific CDRLs. For the minimum supporting artifact, the Contractor must provide a completed post-test briefing package that includes the signatures of the FAA Test Manager, QRO, and TFM-2 Contractor Program Manager.

(b) Listing of all open Program Trouble Reports (PTRs). Any Severity-1 and 2 PTRs, as defined in Section H.10.2 Program Trouble Report (PTR) Classifications, must be successfully resolved and in a “closed” status. All Severity-3 PTRs must have workarounds accepted by the FAA. The aggregate impact of all open Severity-3 PTRs must be acceptable to the FAA. For the minimum supporting artifact required, the Contractor shall provide an itemized list of all open PTRs and their assigned category. This artifact must include the signatures of the FAA Test Manager and the

QRO.

(c) Satisfaction of all contractual requirements and demonstration of same to the FAA via documentation reviews and meeting minutes. As the minimum supporting artifact, the Contractor shall provide copies of all submitted and approved waivers/deviations.

Additionally, the Contractor shall present the verification requirements traceability matrix (VRTM) to the FAA and validate closure of all contractual requirements through FAA and Contractor signoff with Contractor QA stamp and witness. This shall be documented by the Contractor as meeting minutes and delivered to the FAA.

(d) Completion of the training requirements if required by CLIN specific tasking.

(e) Completion of functional configuration audit and physical configuration audit (FCA/PCA) if required by CLIN specific tasking.

E.3.2.4 Deployment Phase Criteria:

(a) Successful completion of Key Site Acceptance Test (KSAT) and/or Site Acceptance Test (SAT) activities per the SOW and CLIN specific CDRLs. As the minimum supporting artifact, the Contractor shall provide a completed post-test briefing package signed by the FAA Test Manager.

(b) Listing of all open program trouble reports (PTRs) still pending FAA verification or action Any Severity-1 and 2 PTRs, as defined in Section H.10.2 Program Trouble Report (PTR) Classifications, must be successfully resolved and in a “closed” status.

All Severity-3 PTRs must have workarounds accepted by the FAA. The aggregate impact of all open Severity-3 PTRs must be acceptable to the FAA. As the minimum supporting artifact, the Contractor must provide an itemized list of all open PTRs and their assigned category. This artifact must include the signatures of the FAA Test Manager and the QRO.

(c) Completion of the training requirements if required by CLIN specific tasking.

E.3.2.5 Time &Material (T&M) Task Orders

(a) Technical inspection and acceptance of all work, performance, reports, and other deliverables under each order issued must be performed at the location specified in the individual task order. The task order shall also designate the individual responsible for inspection and acceptance, as well as the basis for acceptance. The government reserves the right to require correction of any rejected deliverable immediately upon notification by the CO or designee.

(b) For each task order, the contractor must perform to a level that meets the Government‘s specific written inspection criteria for that task order and addition to applicable criteria cited in this contract.

(c) Final acceptance will be performed by the CO or designee.

E.4 DEVIATIONS AND WAIVERS

E.4.1 The Government reserves the right to waive any Government inspection. If

Government inspection is waived for a Contract deliverable the Contractor shall nevertheless perform all of the required tests utilizing the Government approved test procedures and provide to the Government certified test data recorded on forms approved by the Government.

E.4.2 The contracting officer may delegate authority to the QRO to approve minor deviations or waivers. A minor deviation or waiver is one that does not adversely affect safety, security, durability, reliability, performance, interchangeability of parts or assemblies, or any technical or other requirement of the Contract and does not change price or quantity, or affect delivery under the Contract. The contracting officer will provide written definition of the scope, duration and depth of this authorization prior to the QRO exercising this authority.
