About this file

This is a HIPAA Business Associate Addendum between the State of West Virginia and Welch Community Hospital establishing the terms and conditions for the exchange and protection of protected health information (PHI). The addendum outlines the permitted uses and disclosures of PHI created, received, maintained, or transmitted by the hospital on behalf of the state agency, limited to the minimum necessary to complete tasks or provide services under the underlying agreement. The associate is authorized to use PHI only for purposes stated in the addendum or as required by law, and may disclose PHI to third parties only under specific conditions including receipt of reasonable assurances of confidential treatment and notification of any breaches. The contract terms continue for the duration of the underlying agreement and survive termination with respect to certain obligations including assistance with HIPAA-required accounting of disclosures.

The addendum requires the hospital to implement comprehensive safeguards including administrative, technical, and physical security measures compliant with HIPAA's Security Rule standards found in 45 CFR Part 164. The hospital must notify the state agency and West Virginia Office of Technology within 24 hours of discovering any suspected security incident, unauthorized use, or breach, and provide detailed breach notification within 72 hours including data elements involved, description of unauthorized persons, and probable causes. All costs associated with breach mitigation and individual notification shall be borne by the hospital. Upon agreement termination, the hospital must return or destroy all PHI or, if infeasible, maintain protective measures and limit use to purposes making return or destruction infeasible. The addendum permits termination for cause if the hospital violates material terms, and the hospital remains subject to Department of Justice prosecution for HIPAA violations with associated costs borne by the hospital. Appendix A, to be completed by the agency's procurement officer, identifies the specific categories of PHI involved, including patient identifying information and protected health information related to diagnoses, laboratory tests, radiological exams, physical examinations, and treatment procedures.
