Special Note: We anticipate issuing up to three (3) individual IDIQ awards under this solicitation depending on the results of the solicitation. Our total estimated budget for this effort is $164,000,000.00. Due to the unknown variables during Task Order Awards, all IDIQs will be awarded with a NTE Estimated Amount of $164,000,000.00. However, the cumulative total of the Task Orders among all IDIQs shall not exceed the MTO Estimated budgeted value of $164,000,000.00.

Prohibition on Contracting with Entities that Require Certain Internal Confidentiality Agreements (FEB 2015)

(a) The contractor shall not require employees or subcontractors seeking to report fraud, waste, or abuse to sign or comply with internal confidentiality agreements or statements prohibiting or otherwise restricting such employees or subcontractors from lawfully reporting such fraud, waste, or abuse to a designated investigative or law enforcement representative of a Federal department or agency authorized to receive such information.

(b) The contractor shall notify employees that the prohibition and restrictions of any internal confidentiality agreements covered by this clause are no longer in effect.

(c) The prohibition in paragraph (a) of this clause does not contravene requirements applicable to Standard Form 312, Form 4414, or any other form issued by a Federal department or agency governing the nondisclosure of classified information.

(d) (1) In accordance with section 743 of Division E, Title VII, of the Consolidated and Further Continuing Resolution Appropriations Act, 2015 (Pub. L. 113-235), use of funds appropriated (or otherwise made available) under that or any other Act may be prohibited, if the Government determines that the contractor is not in compliance with the provisions of this clause.

SECTION L -- Instructions, Conditions, and Notices to Offerors

L.3 Instructions, Conditions and Notices to Bidders

VOLUME I - GENERAL

This volume shall include the following:

A. PROPOSAL TRANSMITTAL LETTER. A letter formally transmitting the proposal to include the following:

a. Statement of Compliance. Each Offeror shall include a statement indicating complete compliance with the solicitation, or detailed analysis of any objections, exceptions, contingencies, or additions. Any objections, exceptions, contingencies, or additions shall also cross reference the particular paragraph(s) in the solicitation document to which they apply.

b. Proprietary Information. Each Offeror shall include a statement indicating whether or not the offer intends to make use of any proprietary or patent information. In the event that use of such information is anticipated, the specific areas of use by the Offeror and its subcontractors must be clearly defined, including whether limited or unlimited rights are applicable. Each Offeror shall indicate the cost to the Government for acquisition of each and all proprietary information identified in the proposal.

c. Format and Content. Each Offeror shall describe any deviations from the specified format of their proposal. If the content of the Offeror's proposal differs significantly from these guidelines, state the differences, and explain the reason for the differences.

d. Joint Venture/Teaming Arrangements. Each Offeror shall provide, if applicable, a summary describing the Joint Venture/Teaming Arrangement established for this RFP and a document establishing the legally binding nature among the joint venture/teaming parties.

e. DOD Security Clearance. Each Offeror shall provide, as part of this proposal volume, a copy of their letter (print out) from DSS, Facility Clearance Branch that grants their facility and security clearance levels. Include a statement certifying that all personnel employed to perform under the resultant contract meet the qualifications (to include the requisite security clearances, and National Agency Checks) in the DD Form 254, Contract Security Classification Specification, which will be provided at the time of the contract award.

f. Disclosure of Potential Organizational Conflicts of Interest. The Offeror shall disclose complete information of any work performed by their company that is in any way associated with the contemplated acquisition or which could result in a potential organizational conflict of interest. Without prior approval or a waiver from the DARPA Deputy Director, in accordance with FAR 9.503, a Contractor cannot simultaneously provide scientific, engineering, technical assistance (SETA) or similar support and also be a technical performer. Therefore, all Proposers as well as proposed subcontractors and consultants must affirm whether they (their organizations and individual team members) are acting as a technical performer to DARPA through an active contract or subcontract. All affirmations must identify the prime contract number(s). Affirmations shall be furnished at the time of proposal submission. All facts relevant to the existence or potential existence of organizational conflicts of interest (FAR 9.5) must be disclosed. The disclosure must include a description of the action the Proposer has taken or proposes to take to avoid, neutralize, or mitigate such conflict. If in the sole opinion of the Government after full consideration of the circumstances, a proposal fails to fully disclose potential conflicts of interest and/or any identified conflict situation cannot be effectively mitigated, the proposal will be rejected without technical evaluation and withdrawn from further consideration for award.

If a prospective Proposer believes that any conflict of interest exists or may exist (whether organizational or otherwise) or has questions on what constitutes a conflict of interest, the Proposer should promptly raise the issue with DARPA by sending his/her contact information and a summary of the potential conflict to the Contracting Officer before time and effort are expended in preparing a proposal and mitigation plan.

g. Solicitation Documents. Offeror shall complete all blocks in the sections listed below with the appropriate information, signatures, dates, any other requested information, or with annotations of yes, no, or not applicable (N/A). Blanks are not acceptable, and will make the proposal non-responsive.

1. Standard Form 33 (SF 33), Solicitation, Offer and Award and Standard Form 30 (SF30), Amendment of Solicitation/Modification of Contract (acknowledgement of receipt and acceptance of all amendments)

VOLUME II - TECHNICAL AND MANAGEMENT PROPOSAL

Offerors shall submit two (2) separate versions of the Volume II – TECHNICAL AND MANAGEMENT PROPOSAL. Both proposals will be identical in nature and detailed in accordance with the requirements of this section. One shall be fully redacted for all contractor, subcontractor, or suppliers’ names, logos, or any other identifying markings.

These volumes shall be specific, detailed, and complete as to demonstrate clearly and fully that the Offeror has a thorough knowledge of the work to be performed and knowledge of the problems inherent in performing the requirements of the PWS. Statements that the Offeror understands, can, or will perform the listed functions without supporting information or narrative is inadequate. Paraphrasing the PWS or parts thereof, is similarly inadequate, as are phrases such as "standard procedures will be employed" or "well-known techniques will be used."

These volumes shall be written such as to enable evaluators to make a thorough evaluation as to whether the services offered adequately respond to the specific Government requirements and shall contain the following subfactors.

Subfactor 1 – Technical Approach & Staff Proposed to Perform the Sample Tasks Subfactor 2 – Overall Contract Management Plan Subfactor 3 - Organizational Experience Subfactor 4 - Contractor Facilities

Subfactor 1 - TECHNICAL APPROACH & STAFF PROPOSED TO PERFORM THE SAMPLE TASKS

In order to perform effectively under this IDIQ contract, all personnel must possess certain knowledge, skills, experience, and abilities related to the work to be performed.

Offerors should provide a separate technical approach for each of the sample tasks (attachment 6). Failure to provide a separate technical approach for each of the sample tasks will be reflected in the evaluation for this Section. The approach, separated by each individual sample task in the proposal, shall include: (1) a description of the approach to provide superior support for each effort listed in the sample task; (2) a description and/or graphic showing the support team's organizational structure; (3) a summary of the qualifications of the proposed personnel to perform the requirements of the sample task; (4) a description of available facilities to perform the requirements of the Sample Task(s); and, (5) any Government Furnished Equipment/Information/Property needed to perform the requirements of the Sample Task(s).

For each sample task, the Offeror shall provide a summary list (MS Excel format preferred) of ALL personnel proposed for each sample task. This list should comprehensively include all management, administrative, and execution staff proposed as a direct charged to the task (e.g. program manager, contract administrator, administrative staff, etc.). This summary will include:

(a) Full Name

(b) Contract Labor Category

(c) Security Clearance(s)

(d) If the individual is considered key on the sample task

(e) The percentage of a Full-Time equivalent (FTE) proposed

(f) The number of days after task award that each person proposed will be able to provide services at the percentage levels quoted

(g) If the individual is currently charging to another Government contract or proposed as such in response to a separate solicitation, it shall be specifically noted as to which contract/solicitation together with the percentage of dedication to

that effort. The Offeror's plans for satisfying all requirements shall be discussed.

Additionally, resumes shall be submitted, separated by sample task, for ALL personnel proposed for each sample task and are limited to 3 pages each. Resumes shall include the following information:

(a) Full Name

(b) Contract Labor Category

(c) List if the individual is proposed as Key or Non-key on the Sample Task Order

(d) Security Clearance(s)

(e) Current work location

(f) Planned work location upon contract award - if the planned location is different from the contractor's primary office supporting this acquisition, a discussion of the individual's planned contribution to this effort shall be provided.

(g) Summary information:

(1) Number of years/months experience performing tasks described in the sample task order. The cutoff for experience claimed shall be the closing date of this solicitation.

(h) Work experience (beginning with most recent position):

(1) Employer Name; Position(s) held; Dates held (month/year).

(2) Experience: Describe duties/tasks performed. Discuss in sufficient detail so as to permit comparison with contract requirements. Specific examples of work assignments, accomplishments, etc. shall be provided. Use action verbs to describe duties as opposed to passive verbs, i.e., "create", "perform", "research", "analyze" vs. "responsible for …"

(3) All military experience claimed shall be described such that each tour is treated as a separate employer. Time frames/title(s)/duties shall be provided in accordance with paragraph (1) and (2) above.

(4) If relevant and non-relevant experience was obtained while at the same employer, separate time periods shall be noted for each assignment.

(5) Offerors shall explain any gaps in experience to avoid confusion and need for further clarification.

(i) Education:

(1) Degree(s); Date(s); Institution; Major/Minor

(2) If non-degreed, or if the degree is in an unrelated field, a statement as to which specific work experience(s) is (are) being substituted for the education requirement. The work experience being substituted for a degree shall be described to the level of detail discussed in paragraph (h) above.

Subfactor 2 - OVERALL CONTRACT MANAGEMENT PLAN

The Offeror shall demonstrate the feasibility of a proposed management approach for accomplishing the tasks delineated in the PWS.

This approach should include the following:

1. Organizational Structure: The corporate structure and functional relationships and responsibilities among the organizational elements that will participate in accomplishing this effort should be addressed. Internal management communication lines and methods of supervision of all proposed staff, to include subcontractors and independent consultants, at the Government site and contractor off-site locations, should also be addressed. The Plan shall describe how the Offeror will interface and coordinate with the MTO Office Leadership, DARPA Program Managers, the Government Contracting Officer's Representative (COR), other DARPA offices, and other SETA contractors. The Offeror shall provide an organizational chart that graphically depicts the Offeror's organization and reporting relationships, to include subcontractors and independent consultants, as described.

2. Staff Management: The Offeror shall describe in detail the intended monitor and measure of staff performance, including subcontractor and independent consultant staff, will ensure superior support is provided. This process should identify self-assessment methods and remedial plans as part of its quality assurance. Additionally, the Offeror shall describe, in detail, how they plan to train and mentor new personnel on DARPA procedures and policy; as well as the methods and processes that will be used to ensure continued operations during vacations and other temporary staff absences (the methods and processes used must assure that the ability to perform all required functions will not be impaired).

3. Staffing/Hiring Methodology: The Offeror shall describe the overall staffing/hiring methodology as it will be used to address evolving DARPA MTO needs. In addition to explaining the Offeror’s standard external hiring practices; the Offeror shall provide a detailed process through which it will leverage its proposed teaming relationships, and its willingness and process to identify and create new partners, in order to ensure that it will effectively meet MTO’s current and future needs. To clarify the approach, the Offeror should provide detailed examples of how this process would work given two scenarios:

a) Scenario 1: Halfway through the first option year of the contract, MTO issues an RFP to support a new MTO technical area spanning several potential new programs. The performer has thirty (30) days to respond to the RFP.

b) Scenario 2: Halfway through the first option year of the contract, the Offeror is notified by a subcontractor that a critical financial support staff member is terminating employment effective two (2) weeks from notification.

4. Transition Plan: The Offeror shall provide a transition plan. This plan shall identify any performance, schedule, and/or cost risks associated with the transition to this new contract, to include, how those risks will be mitigated.

Subfactor 3 - ORGANIZATIONAL EXPERIENCE

The Offeror shall provide a description of the SETA support services that the company has performed within the past five years.

Specifically, address experience with the following areas:

(1) Experience in technical support tasks as defined in the PWS.

(2) Experience in programmatic, financial, and administrative support tasks as defined in the PWS.

(3) Experience in contract administrative and management support tasks as defined in the PWS.

(4) Experience in meeting/conference support tasks as defined in the PWS

Subfactor 4 - CONTRACTOR FACILITIES

The Offeror shall demonstrate the capabilities of the Offeror team's facilities to support the requirements delineated in PWS.

Acceptable local facilities are required for performing all technical requirements of this effort. It is highly desirable that the Offeror possess all of its own off-site computers and support software required for this effort. Inclusion of the subcontractor's facilities, if applicable, is required.

VOLUME III - COST PROPOSAL

This volume shall be a complete and detailed breakdown and shall include all elements of cost and such other data as considered appropriate to support the Offeror's proposal. Particular emphasis will be placed upon the reasonableness of applied fringe and burden of the labor rates, along with subcontractor costs and pass through fees. The straight time hourly rates shall use a forty-hour week for the conversion of salaried employees (FTE) to the hourly basis and shall be exclusive of loading factors, (i.e., vacation, sick leave, holidays, overhead, G&A, fee, etc.). Complete listing of labor categories and rates for Firm Fixed Price, Cost Plus Fixed Fee, and Time and Materials schedules is required. These listings shall be separate and concise. As this solicitation requires work to be performed at both the contractor and a Government site (assume 80/20 split), the proposal shall clearly state Offeror's company policy concerning any stipulations as to when on/off-site rates are effective and the changes to rates for Firm Fixed Price, Cost Plus Fixed Fee, and Time and Materials schedules, or discrepancies that might arise between the Offerors disclosure statement. Offeror’s must have an approved DCAA accounting system in accordance with FAR 16.301-3. For DoD the Accounting System is approved (determined acceptable) by DCMA, adherence to DFARS 252.242.7005 (criteria is in 252.242.7006) is required. Contractors must be able to support all three pricing agreements as needed; furthermore, awards must follow requirements for CAS covered contract per FAR 30.206(b). A copy of the DCMA approval must be included in this volume.

Part 1: Cost Realism: This requires summary and detailed information on the Offeror's unit prices, fully burdened hourly labor rate, and total compensation package.

(1) Hourly Labor Rate. Offerors shall propose rates for all labor categories for all contract periods. Offerors may propose inflation increases in the out years (this covers cost of living increases). The Offeror shall provide the following information:

(i) Base Labor Rate - basic hourly rate for the employee minus fringe benefits and loadings (indirect costs)

(ii) Fringe - fringe benefits per hour (Offeror is to list individual items included in the fringe rate)

(iii) Indirect costs – including G&A and overhead including facilities costs for Contractor provided facilities

(iv) Fee – proposed fixed fee

(v) Total Cost - sum of base labor rate, fringe, and burden

If used, the Offeror will identify the index or indices used in the development of labor prices. Any escalation factors used shall also be described and justified. The Offeror shall provide clear instructions to permit the Government to mathematically compute the total loaded rate based on the information provided in the table. For a Time & Materials task order, the fixed, fully loaded hourly rate by labor category shall be the only rate charged to the government on Task Orders.

(2) The Offeror shall provide a detailed cost realism narrative of the total compensation for employees. It shall include a single or range of rates in effect; a statement on the policy governing merit and length of service increases within those rate ranges, with specific reference to minimum amount and frequency of such increases; and fringe benefits (life and/or health insurance, bonus/incentive plans, vacation time, etc.). The Offeror shall list the individual components of its fringe benefit package. The terms "compensation package" and "fringe benefit package" are used interchangeably. The prices and narrative explanation of the fringe benefits package shall be used in determining cost realism and best overall value determination.

(3) The Offeror’s shall identify uncompensated overtime hours and the uncompensated overtime rate for direct charge Fair Labor Standards Act -- exempt personnel included in their proposals and subcontractor proposals. This includes uncompensated overtime hours that are in indirect cost pools for personnel whose regular hours are normally charged direct.

(4) Subcontract costs: For Cost Plus Fixed Fee Task orders, subcontract costs shall be treated as Direct Costs. For Time and Materials Task Orders, 52-232-7 applies to T&M and has specific requirements under this clause must be followed. The Offeror shall describe all efforts to be subcontracted, to include the source (i.e. company), labor category, personnel proposed, the estimated cost, and the basis for this estimate. Subcontract labor shall be accounted to the detail required for any prime contract labor. A cost proposal as detailed as the Offeror's cost proposal will be required to be submitted by the subcontractor. The subcontractor's cost proposal can be provided in a sealed envelope with the Offeror's cost proposal. T&M must be proposed IAW FAR 52-216-29.

(5) Additional Reimbursable Line Items. The Offeror shall include an estimated dollar amount for other reimbursable line items (not including subcontract costs), such as purchases and travel unless in conflict with Offeror’s Disclosure Statements. Other Direct Costs (ODCs) will be reimbursed at actual costs only (excluding indirect costs and profit).

The Government may pay a fixed material handling fee, or other equivalent charge unless in conflict with Offeror’s Disclosure Statements.

(6) In accordance with solicitation clause 52.237-10, Identification of Uncompensated Overtime, the Government must consider all proposed work hours, both compensated and uncompensated. The Government requires Offerors to submit overtime rates for both professional and non-professional labor categories. These rates will become firm fixed rates and incorporated into the contract via the price laydown document that becomes part of the Schedule B contract costs, and attached at Section J (applicable to T&M task orders only).

(7) The cost proposal shall present labor prices for a five-year base period. Innovative techniques that result in low estimates shall be fully explained. The Offeror shall explain how the proposed prices support the proposed approach in meeting the requirements of the contract. Included should be a narrative of methods to be employed by the prime contractor to keep subcontracting costs, and costs for independent consultants (i.e. "pass through" costs), as low as is practicable.

(8) The cost proposal must include a copy of the Offeror's Forward Pricing Rate Agreement, DCAA/DCMA Approved Rates, or any Forward Pricing Rate Recommendations. If the Offeror does not have a Forward Pricing Rate Agreement or DCAA/DCMA Approved rates, sufficient documentation shall be provided with the proposal to sufficiently document how the indirect rates were calculated.

For information purposes only, the following labor categories have been historically utilized to support the requirements of this type.

Part 2: Sample Task Orders (attachment 6):

A. The sample task orders proposed prices will be analyzed to determine whether they are realistic for the work to be performed;

reflect a clear understanding of the requirements; and are consistent with the Offeror's Technical Proposal. Additionally, all offers will be analyzed for unbalanced pricing. The Government will perform a cost analysis on all acceptable proposals received as a result of the Sample Task Orders evaluation. Cost analysis will be performed in accordance with FAR 15.404-1, to determine fairness and reasonableness, as well as, to assure an understanding of the work and ability to execute this task order at a proposed price.

Unrealistically low or high prices may also indicate a lack of understanding of the requirement. Proposals with total prices that fail this initial price analysis may not be considered for award under the criteria of this solicitation because those prices may be deemed unrealistic or unreasonable. The evaluation will determine the extent to which the cost realism/cost proposal is consistent with the requirements of the RFP and design solution offered. Historical price information, competitive price information, the Independent Government Estimate (IGE), or any other pricing tool as necessary, will be utilized in making this determination. Offerors are advised that any offer wherein pricing is deemed unrealistic or unreasonable will be rendered ineligible for award.

B. Offerors shall submit three (3) cost proposals for each sample task order, as follows: (1) Fixed Price proposal; (2) Cost-Plus- Fixed-Fee proposal using on-site and off-site rates, and (3) Time & Materials proposal using on-site rates and off-site rates.

Instructions regarding the content and format for each type of cost proposal are outlined below.

Sample Task Cost Proposal Format:

(1) Offerors are to submit cost proposals as required to perform the Sample Tasks found in Attachment Six (6) along with a narrative supporting the costs. Proposals shall be submitted with, at a minimum, the information listed below. Offerors shall provide separate proposals for a Firm Fixed Price, Cost Plus Fixed Fee, and Time and Materials (using on-site rates and off-site rates) for each sample Task Order. Offerors are advised that costs should be:

(a) Realistic for the work to be performed;

(b) Reflect a clear understanding of the requirements;

(c) Consistent with the various elements of the Offeror's technical proposal.

(2) Cost proposals shall include, at a minimum, the following elements:

For a Firm Fixed Price Order, the proposal should contain, at a minimum, the total price and number of hours proposed to perform the sample task.

For a Cost Plus Fixed Fee Order:

(a) Direct Costs breakout (to include, at a minimum, labor category, hours proposed and unburdened hourly rate for each person proposed) Note that subcontractor/consultant costs should be proposed separate from prime contractor labor.

(b) Indirect Costs/Rates breakout

(3) If subcontractors are used, each subcontractor is required to submit the same level of pricing detail as is required for the prime contractor.

NOTE: It is not possible for the Sample Task Orders to capture the full breadth and variety of the types of Task Orders that will be issued under this IDIQ. Therefore, any Offeror may, as they deem appropriate, include an addendum to the Sample Task Order proposal explaining perceived weaknesses in their proposal and how cost proposals for other types of services within the Performance Work Statement would be different.

VOLUME IV - PAST PERFORMANCE

Offerors shall provide past performance information for evaluation. NOTE: An Offeror with no past performance experience should submit the Past Performance Volume with explanation that it has no recent or relevant experience. Past Performance information is required on the Prime Offeror, subcontractors, consultants, teaming partners, and/or joint venture partners proposed to perform aspects of the effort the Offeror considers critical to overall successful performance.

Organization of Volume IV.

The Offeror shall submit a Past Performance Volume containing the following information:

(a) Table of Contents

(b) Summary Page

(c) Present/Past Performance Information Submission

(d) Consent Letters

(e) Client Authorization Letters. Client authorization letters for each identified effort for a commercial customer authorizing release to the Government of requested information on the Offeror's performance

(f) List of questionnaire recipients

Recency.

Recent contracts that are considered most relevant in demonstrating the ability to perform the proposed effort should be included in the Past Performance volume. Recent performance is defined as any effort completed or ongoing in the last three years from date of this RFP release.

Relevancy.

Offerors shall submit past performance information that provide relevant present and past performance examples, either Government (federal, state or local) or commercial; for the prime, subcontractors, consultants, teaming partner(s), and/or joint venture partner(s).

These examples should clearly link past performance to the requirements described in the Performance Work Statement.

Summary Page.

The Summary Page shall describe the role for the proposed DARPA/MTO SETA Support of the Offeror and each subcontractor, consultant, teaming partner, and/or joint venture partner for which the Offeror will submit Past Performance Information on.

Consent Letter.

Past performance information, concerning subcontractors and teaming partners, cannot be disclosed to a private party without the subcontractor's or teaming partner's consent. Because a prime contractor is a private party, the Government will need that consent before disclosing subcontractor/teaming partner past performance information to the prime during exchanges. The consent letter must be completed by major subcontractors/teaming partners identified in the proposal. The completed consent letters should be submitted as part of the Past Performance Volume. Should the subcontractor or teaming partner not sign the consent form, the prime contractor, by virtue of submitting a proposal, gives consent for the government to address any past performance clarifications with the subcontractor(s) directly. This direct contact applies only as it relates to past performance information. This letter is not included in the page count limitations.

Past Performance Data.

Offerors are advised that the Government will use data provided by the Offeror, as well as data obtained from other sources in the evaluation of past and present performance.

Organization Structure Change History.

Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company.

As part of this explanation, show how these changes affects the relevance of any efforts you identify for past performance evaluation.

Since the Government intends to consider past performance information provided by other sources as well as that provided by the Offeror(s), the "roadmap" shall be both specifically applicable to the efforts identified and general enough to apply to efforts on which the Government receives information from other sources. This information is required on the Offeror, subcontractors, teaming partners, and/or joint venture partners. The Government reserves the right to exclude sources due to conflicts of interest.

Determination of Responsibility.

Even though the assessment of past performance information as a specific evaluation factor is separate and distinct from the Determination of Responsibility required by FAR 9.1, Responsible Prospective Contractors, past performance information obtained herein will be used to support the Determination of Responsibility for the successful Offeror. Offerors shall limit the number of past performance references not to exceed ten (10) contract or task order references.

Past Performance Questionnaires (Attachment 2).

The Offeror shall ensure that a Past Performance Questionnaire, and a Past Performance Information Summary, as set forth in Section J, Attachments 2 and 3, Past Performance Questionnaire and Past Performance Summary, are completed for each referenced contract.

It is the sole responsibility of the Offeror to provide their references with a copy of the questionnaire. It is also the Offerors responsibility to ensure the references return the questionnaire directly to the contracting office listed below.

VOLUME V - SUBCONTRACT GOALS/ SMALL BUSINESS PARTICIPATION

a. The Volume shall include a Small Business Participation Plan from all Offerors, regardless of business size, delineating the extent the Offeror commits to small businesses, especially small, disadvantaged businesses, on this specific effort. The purpose of the Small Business Participation Proposal is to review how all businesses both large and small will participate in the small business programs. The Small Business Participation Proposal will be in accordance with the criteria found in DFARS 215.304. A Small Business Participation Goals document is provided (Attachment 4).

b. In addition, all Offerors, with the exception of small businesses, shall submit a Subcontracting Plan in accordance with FAR

19.704 and FAR 52.219-9. The subcontracting plan must identify the types of small businesses on the Offeror’s team and specify the services the businesses will provide, to include the complexity and variety of the work these businesses will perform. The Offeror’s subcontracting plan will demonstrate the extent of its commitment to the use of the businesses indicated.

L.6.2 Organization:

a. All information pertaining to the Technical and Management, Cost Proposal, Past Performance, and Subcontract Goals, shall be confined to the appropriate Proposal Volume in order to facilitate independent evaluation. Proposals shall be clear and concise, logically assembled (with all pages appropriately numbered) and indexed and cross-indexed to applicable parts of the Performance Work Statement or Request for Proposal, as appropriate. To reduce proposal size, the Offerors shall confine submission to essential matters sufficient to define the proposal, and provide an adequate basis for evaluation. Proposal Format.

This section provides general guidance for preparing proposals as well as specific instructions on the format and content of the proposal. Each volume shall be complete in and of itself. Unless otherwise specified, any form of presentation may be used, such as narrative, pictures, tables, graphs, schematics, logic and other functional block diagrams to provide a concise description of information.

Page.

A page is defined as each face of an 8.5 x 11-inch sheet of white paper containing information (excludes such things as blank pages, title pages, tabs, dividers, glossaries, and indices). Use at least 1-inch margins on all sides of each page. All material must be contained within the page limit identified for each volume. When both sides of a sheet of paper display printed material, it shall be counted as two pages. Pages shall be numbered sequentially by volume. Each Offeror shall use a consecutive page numbering.

Charts, etc. will be page numbered as part of the page numbering system. Page limits shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal and the paper copies will not be returned to the Offeror.

These limitations shall apply to both electronic and paper proposals. If Final Proposal Revisions (FPRs) are required, the same page limitations apply.

Text.

Text type should be Times New Roman or Arial, no smaller than 12-point with normal proportional spacing. Text lines will be no less than single-spaced.

Illustrations and Tables.

Legible tables, charts, graphs and figures should be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays should be uncomplicated, legible and shall not exceed 11 x 17 inches in size.

Foldout pages shall fold entirely within the volume, and for page count purposes, each printed side of foldout pages shall count as two pages. Foldout pages may only be used for large tables, charts, graphs, diagrams and schematics, and not for pages of text. For tables, charts, graphs and figures, the text shall be no smaller than 8 point. These limitations shall apply to both electronic and paper proposals.

Glossary.

Each volume shall contain a glossary of all abbreviations and acronyms used, with an explanation for each. Glossaries do not count against the page limitations for their respective volumes.

Binding and Labeling.

Each volume shall be separately bound and labeled in standard three-ring loose-leaf binders, which shall permit the volume to lie flat when open. Staples shall not be used. The cover and spine of each binder will clearly identify the Offeror's name, volume number, RFP number, RFP title (e.g., Company A, Vol I, RFP D15PS00125, DARPA/MTO SETA Support) and copy number (e.g., copy 2 of 4). All binders will allow for easy removal and replacement of pages. Offers must use appropriate markings including those prescribed in accordance with FAR 52.215-1(e), Restriction on Disclosure and Use of Data, and FAR 3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information.

Electronic Offers.

A complete copy of the proposal shall be submitted in electronic format using IBM-compatible, virus-free CD-ROM. Use separate files and folders to permit rapid location of all portions, including exhibits, annexes, and attachments, if any. The electronic copies of the proposal shall be submitted in a format readable by Microsoft (MS) Word 2010, MS Excel 2010, or MS-Power Point 2010, as applicable. Read passwords on files shall not be used. In the event that there is a discrepancy between the content found in a paper copy and an electronic copy, the paper copy shall take precedence.
