About this file
This is a Purchase Order Agreement template established between the State of Maryland Department of General Services (DGS) and a contractor for services under an Indefinite Quantity Contract (IQC) Master Contract framework. The agreement outlines the contractor's obligation to provide services as specified in the Purchase Order Request for Proposals (PORFP), with the scope of work incorporating terms from the Master Contract, the PO Agreement, and associated exhibits. The contract term begins on the Effective Date following required approvals, including Board of Public Works approval if necessary, and continues until a specified completion date. Work shall not commence until the contractor receives a written Notice to Proceed from DGS. The contractor must complete all work within timeframes specified in the PORFP and confirmed in the Notice to Proceed, with failure to meet deadlines resulting in liquidated damages assessed at a daily rate to be specified.
Payment to the contractor shall not exceed a specified not-to-exceed ceiling amount and will be made no later than thirty days after DGS receives a proper invoice, accepts services, and fulfills conditions outlined in the agreement. All invoices must include the contractor's Federal Tax Identification Number and be submitted to the designated PO Manager. The PO Procurement Officer retains authority to modify work within the general scope through written change orders, with the contractor entitled to equitable adjustment for cost or time impacts provided claims are submitted in writing within thirty days of the change order. The agreement establishes clear performance standards, permitting the PO Procurement Officer to refuse, limit, reduce, or withhold payment approval if the contractor fails to perform satisfactorily and timely. The Master Contract terms take precedence in case of conflicts, followed by the PO Agreement and then associated exhibits.
