About this file
This document is a Service Agreement between Denver Health and Hospital Authority (DHHA), a body corporate and political subdivision of the State of Colorado, and an unnamed contractor for Sleep Apnea Testing Solution services. The agreement outlines the terms for the contractor to provide services, with the specific scope of services to be determined by selecting one of three options: inserting a direct description, referencing an attached Exhibit A, or incorporating a previous Request for Proposal (RFP) and the contractor's proposal. The contract term is to be specified by the parties, with provisions for early termination by either party, and allows for flexibility in service delivery and schedule.
The compensation structure provides for a fixed sum not to exceed a specified amount, with invoicing options that include payment upon commencement and completion of services, or monthly billing. The contractor is required to maintain specific insurance coverages, including Commercial General Liability, Automobile Liability, Workers' Compensation, and Professional Errors & Omissions insurance. The agreement includes detailed provisions for confidentiality, ownership of work product, non-discrimination, prohibition on hiring illegal aliens, and access to records. The contractor is classified as an independent contractor, with clear stipulations that they are not an employee of DHHA and are responsible for their own taxes and benefits.
