About this file

This is a model contract document for Senior Non-Emergency Medical Transportation (SNEMT) Services between the County of Orange, California, operating through OC Community Resources, and a contractor to be selected through Request for Proposals (RFP 012-2831101-RG). The County is soliciting proposals to provide demand-responsive, non-emergency medical transportation services for eligible seniors age 60 and older across three geographically divided service areas: North County (11 jurisdictions), South County (18 jurisdictions), and Central/West County (15 jurisdictions). Services include door-to-door or curb-to-curb transportation, wheelchair-accessible vehicles, full reservation and dispatch operations, client eligibility determination and maintenance, and comprehensive trip documentation. Eligible trips are limited to medically necessary destinations (physician appointments, dialysis, chemotherapy, radiation therapy, dental, vision, and rehabilitation services), with a maximum of 16 one-way trips per client per calendar month and a 15-mile maximum distance from client residence. The contract term is three years, commencing July 1, 2027, with maximum contract amounts of $5,506,329 for fiscal year 2027-28, $5,483,516 for fiscal year 2028-29, and $5,450,491 for fiscal year 2029-30. The RFP submission deadline is October 23, 2026, with all questions due by September 24, 2026, at 2:00 p.m.

Compensation is structured using a Base Rate per completed one-way trip and a Mileage Rate per loaded mile, with rates subject to County approval. No price increases are permitted during the first contract year; subsequent rate adjustments are capped at 3 percent annually and require County approval with verifiable supporting documentation. Deadhead mileage is not reimbursable. A $2.00 user fee per trip applies to clients unless waived for documented financial hardship, with waivers constituting program income that reduces County monthly reimbursements. The contractor must collect and account for all user fees and program income. Eligible applicants qualify for Orange County Local Small Business (OCLSB) or Disabled Veteran Business Enterprise (DVBE) preference, receiving up to an 8 percent preference adjustment. Contractors must demonstrate minimum three years of experience, current SAM registration, D-U-N-S and UEI numbers, and audited financial statements if expending over $1 million annually. Insurance requirements include $1 million Commercial General Liability, $1 million Automobile Liability, statutory Workers' Compensation coverage, $1 million Employers Liability Insurance, $1 million Network Security & Privacy Liability, $1 million Professional Liability, and Employee Dishonesty coverage with the County as loss payee. Evaluation uses three-phase scoring with Phase 1 written response (500 points, capped at 30 pages), Phase 2 presentation/interview (400 points), and Phase 3 cost proposal (100 points), with final award requiring County Board of Supervisors approval.

County may terminate this Contract and be relieved of the payment of any compensation to Contractor.

In the event of such termination, County may proceed with the work for which this Contract provides in any manner deemed proper by County. The cost to County of completing the work for which this Contract provides shall be deducted from any sums due Contractor under this Contract but Contractor shall not be relieved of liability. Notwithstanding the above, Contractor shall not be relieved of liability to County for damages sustained by County by virtue of any breach of this Contract by Contractor, and County may withhold any payments to Contractor until such time as the exact amount of damages due County from

No term or provision of this Contract shall be deemed waived and no breach excused, unless such waiver or consent shall be in writing and signed by the party claimed to have waived or consented. Any consent by any party to, or waiver of, a breach by the other, whether express or implied, shall not constitute consent to, waiver of, or excuse for any other different or subsequent breach.

13. Independent Contractor:

Contractor shall be considered an independent contractor and neither Contractor, its employees, nor anyone working under Contractor shall be considered an agent or an employee of the County. Neither Contractor, its employees nor anyone working under Contractor shall qualify for workers’ compensation or other fringe benefits of any kind through the County. County reserves the right to immediately terminate the Contract in the event the County determines that the assignee is not qualified or is otherwise unacceptable to the County for the provision of services under the

Contract.

In addition, Contractor has the duty to notify the County in writing of any change in the Contractor’s status with respect to name changes that do not require an assignment of the Contract. The Contractor is also obligated to notify the County in writing if the Contractor becomes a party to any litigation against the

County, or a party to litigation that may reasonably affect the Contractor’s performance under the Contract, as well as any potential conflicts of interest between Contractor and County that may arise prior to or during the period of Contract performance. While Contractor will be required to provide this information without prompting from the County any time there is a change in Contractor’s name, conflict of interest or litigation status, Contractor must also provide an update to the County of its status in these areas whenever requested by the County.

The Contractor shall exercise reasonable care and diligence to prevent any actions or conditions that could result in a conflict with County interests. In addition to the Contractor, this obligation shall apply to the

Contractor’s employees, agents, and subcontractors associated with the provision of goods and services provided under this Contract. The Contractor’s efforts shall include, but not be limited to, establishing rules and procedures preventing its employees, agents, and subcontractors from providing or offering gifts, entertainment, payments, loans or other considerations which could be deemed to influence or appear to influence County staff or elected officers in the performance of their duties.

17. Force Majeure:

Contractor shall not be assessed with liquidated damages or unsatisfactory performance penalties during any delay beyond the time named for the performance of this Contract caused by any act of God, war, civil disorder, employment strike or other cause beyond its reasonable control, provided Contractor gives written notice of the cause of the delay to County within 36 hours of the start of the delay and Contractor avails himself of any available remedies.

INDEMNIFICATION AND INSURANCE PROVISIONS

1. Indemnification

Contractor agrees to indemnify, defend with counsel approved in writing by County, and hold County, its elected and appointed officials, officers, employees, agents and those special districts and agencies which

County’s Board of Supervisors acts as the governing Board (“County Indemnitees”) harmless from any claims, demands or liability of any kind or nature, including but not limited to personal injury or property damage, arising from or related to the services, products or other performance provided by

Contractor pursuant to this Contract. If judgment is entered against Contractor and County by a court of competent jurisdiction because of the concurrent active negligence of County or County Indemnitees, Contractor and County agree that liability will be apportioned as determined by the court. Neither Party shall request a jury apportionment. Notwithstanding anything stated above, nothing contained herein shall relieve Contractor of any insurance requirements of obligations created elsewhere in this Contract.

2. General Insurance Requirements

Contractor will need to comply with the following insurance requirements if making the deliveries to the

County. No insurance is required if a common carrier makes deliveries to the County.

Prior to the provision of services under this Contract, the Contractor agrees to carry all required insurance at Contractor’s expense, including all endorsements required herein. Contractor agrees to keep such insurance coverage current, provide Certificates of Insurance, and endorsements to the County during the entire term of this Contract.

The procuring of such required policy or policies of insurance shall not be construed to limit Contractor's liability hereunder nor to fulfill the indemnification provisions and requirements of this Contract, nor act in any way to reduce the policy coverage and limits available from the insurer. Any failure on the part of the

County to monitor or enforce compliance with any of the insurance requirements shall not be construed as a waiver of any required insurance provisions herein.

Insurance certificates and all endorsements shall be forwarded to the County agency/department. The name of the Insured Party on the Certificate of Insurance shall match the name of the Contractor identified in the

Failure to maintain and/or provide evidence of insurance acceptable to the County for the full term of this

Contract shall constitute a material breach, upon which the County may terminate this Contract.

Cancellation and Changes in Insurance

Contractor shall provide thirty (30) days prior written notice to the County of any policy cancellation or non-renewal and ten (10) days prior written notice where cancellation is due to non-payment of premium and provide a copy of the cancellation notice to County. Failure to provide written notice of cancellation may constitute a material breach of the Contract, upon which the County may suspend or terminate this

Contract.

Insurance requirements are subject to periodic review by County. County retains the right to require additional types of insurance coverage or higher limits throughout the term of this Contract. Any change will be deemed by County Risk Manager as appropriate to adequately protect County’s risk. County shall notify Contractor in writing of changes in the insurance requirements. If Contractor does not provide acceptable Certificates of Insurance and endorsements to County incorporating such changes within thirty

(30) days of receipt of such notice, this Contract may be in breach without further notice to Contractor, and

County shall be entitled to all legal remedies.

Subcontractor Insurance Requirements

All subcontractors performing work on behalf of Contractor pursuant to this Contract shall be included under Contractor’s insurance as an Additional Insured or shall maintain insurance subject to the same requirements as Contractor (unless specified below). Contractor shall not allow subcontractors to work if subcontractors have less than the level of coverage required by County from Contractor under this

Contract. Contractor shall provide the insurance requirements to every subcontractor and shall be responsible for verifying each subcontractor complies with the required insurance prior to allowing any subcontractor to begin work. Evidence of subcontractor’s insurance must be maintained by

Contractor through the entirety of this Contract for inspection by County at any reasonable time.

Self Insured Retention (SIR)

All SIR’s shall be clearly stated on the Certificate of Insurance. Any SIR above Fifty Thousand Dollars

$50,000 shall specifically be approved by the County’s Risk Manager, or designee. The County reserves the right to require current audited financial reports from Contractor as evidence it can support the SIR.
