Attachment A: Authorization & Certification

This is an Authorization and Certification form required by the City of Long Beach for submission of proposals in response to a Request for Proposals (RFP). The document establishes the signatory requirements based on business entity type: individual proprietors require one signature from the owner; partnerships require signatures from general partners; corporations require two officer signatures or one officer signature with a certified corporate resolution; and limited liability companies require one signature from a member or manager. Proposers must certify that they have read and agree to comply with all terms and conditions specified in the RFP, abide by the City of Long Beach Vendor Code of Conduct, and that their proposal is firm and fixed for 90 days from the submission deadline. Failure to submit all required documents as specified in section 4.2 will result in the proposer being deemed nonresponsive. Additionally, proposers must certify that their proposal is genuine and not collusive and that there are no conflicts of interest in the selection, award, or administration of any subcontract.

The document further requires compliance with Executive Order No. 12549 and Title 2 CFR Part 180 Subpart C regarding federal grant fund recipients. Proposers must certify under penalty of perjury that neither the business entity nor any principals are currently under suspension, debarment, or voluntary exclusion by any federal department or agency; have not been suspended, debarred, or deemed ineligible within three years preceding the bid; do not have a proposed debarment proceeding pending; have not been indicted or convicted of fraud or official misconduct within three years; and have not had public transactions terminated for cause or default within three years. Any reorganization, management turnover, or change in principals' status requires written notice within 21 days. The form includes a section for proposers to document any exceptions to terms and conditions, though such exceptions are discouraged and the City of Long Beach has no obligation to accept them.

Exceptions to Terms & Conditions

EXCEPTIONS TO TERMS AND CONDITIONS (IF APPLICABLE)

Exceptions to terms and conditions are uncommon, and Proposers are not encouraged to take exception to terms and conditions. However, in the event there are terms that should be reviewed as part of potential negotiation of a final contract, they should be listed here. The City of Long Beach has no obligation to accept any exceptions to terms and conditions. Any award is contingent upon the successful negotiation of final contract terms. If contract negotiations cannot be concluded successfully, the City reserves the right to negotiate a contract with another

Contractor or withdraw the RFP.
