This document is Attachment 8 to a federal solicitation containing the full text of contract clauses and provisions applicable to a Total Service-Disabled Veteran-Owned Small Business (SDVOSB) Set-Aside construction contract.

The solicitation is for construction services under NAICS code 236220, evaluated using Lowest Price Technically Acceptable (LPTA) criteria and governed by FAR Parts 12 and 36 (commercial products/services and construction). The contract is restricted to certified SDVOSBs, with offerors required to complete a Certificate of Compliance confirming SDVOSB status and commitment to limitations on subcontracting (85 percent for construction contracts). Key contractual requirements include: submission of bid guarantees of 20 percent of bid price (not to exceed $3,000,000); performance and payment bonds equal to 100 percent of contract price; compliance with Davis-Bacon prevailing wage requirements; progress payments on a monthly basis with up to 10 percent retention; and maintenance of payroll records for three years. The contractor must comply with personnel vetting and credentialing requirements per VA Directive 0710 and HSPD-12, initiate background investigations on day one of employment for employees requiring facility or system access, and provide PIV cards to qualified personnel. Additional requirements include compliance with construction wage rate determinations, differing site conditions procedures, equipment and material site investigation obligations, restrictions on racially discriminatory DEI activities, drug-free workplace policies, and Buy American construction materials provisions. Award is intended without exchanges, and all clauses are incorporated by reference or provided in full text within the attachment.

SECTION 1 -- FAR 52.212-4 (FULL TEXT)

52.212-4 Terms and Conditions -- Commercial Products and Commercial Services (Construction Version) (Deviation)

As prescribed in FAR 12.205(b)(3), insert the following clause (construction-tailored version per August 2025 RFO Class Deviation):

Terms and Conditions -- Commercial Products and Commercial Services (Deviation Date)

(a) Definitions. The clause at Federal Acquisition Regulation (FAR) 52.202-1, Definitions, is incorporated by reference.

(b) Inspection/Acceptance. See 52.246-12.

(c) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act (31 U.S.C. 3727). However, when a third party makes payment (e.g., use of the Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract.

(d) Changes. See 52.243-4 or 52.243-5, whichever is inserted in this contract.

(e) Disputes. This contract is subject to 41 U.S.C. chapter 71, Contract Disputes. Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal, or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause FAR 52.233-1, Disputes, which is incorporated in this contract by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.

(f) Excusable delays. See paragraph (m).

(g) Invoice. The Government will handle invoices according to the Prompt Payment Act (31 U.S.C. 3903) and 5 CFR part 1315. The Contractor shall submit invoices to the address designated in the contract to receive invoices. An invoice must include the information required by 5 CFR part 1315.9(b).

(h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees, and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark, or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings.

(i) Payment--

(1) Items accepted. Payment shall be made for items accepted by the Government that have been delivered to the delivery destinations set forth in this contract.

(2) Prompt payment. The Government will make payment in accordance with the Prompt Payment Act (31 U.S.C. 3903) and prompt payment regulations at 5 CFR part 1315.

(3) Discount. In connection with any discount offered for early payment, time shall be computed from the date of the invoice. For the purpose of computing the discount earned, payment shall be considered to

TOTAL SDVOSB SET-ASIDE | NAICS 236220 | Page 2 | FAR Parts 12 and 36 | LPTA have been made on the date that appears on the payment check or the specified payment date if an electronic funds transfer payment is made.

(4) Overpayments. If the Contractor becomes aware of a duplicate contract financing or invoice payment or that the Government has otherwise overpaid on a contract financing or invoice payment, the Contractor shall: (i) remit the overpayment amount to the payment office cited in the contract along with a description of the overpayment; and (ii) provide a copy of the remittance and supporting documentation to the Contracting Officer.

(5) Interest. (i) All amounts that become payable by the Contractor to the Government under this contract shall bear simple interest from the date due until paid unless paid within 30 days of becoming due. The interest rate shall be the interest rate established by the Secretary of the Treasury as provided in 41 U.S.C.

7109. (ii) The Government may issue a demand for payment to the Contractor upon finding a debt is due under the contract. (iii) Final decisions. The Contracting Officer will issue a final decision as required by FAR part 33 if the parties cannot reach agreement on the existence or amount of a debt within 30 days, the Contractor fails to liquidate a previously demanded debt within the specified timeline, or the Contractor requests a deferment of collection. (iv) If a demand for payment was previously issued for the debt, the demand included in the final decision shall identify the same due date. (v) Amounts shall be due at the earliest of: (A) the date fixed under this contract; or (B) the date of the first written demand for payment. (vi) Interest accrues from the due date until the date the designated office receives payment.

(vii) Interest charges may be reduced under procedures for interest credits prescribed in FAR part 32.

(j) Risk of loss. Unless the contract specifically provides otherwise, risk of loss or damage to the supplies provided under this contract shall remain with the Contractor until, and shall pass to the Government upon delivery of the supplies to the Government at the destination specified in the contract.

(k) Taxes. The contract price includes all applicable Federal, State, and local taxes and duties.

(l) Termination for the Government's convenience. The Government reserves the right to terminate this contract, or any part hereof, for its sole convenience. In the event of such termination, the Contractor shall immediately stop all work and shall immediately cause any and all of its suppliers and subcontractors to cease work. Subject to the terms of this contract, the Contractor shall be paid a percentage of the contract price reflecting the percentage of the work performed prior to the notice of termination, plus reasonable charges the Contractor can demonstrate to the satisfaction of the Government using its standard record keeping system, have resulted from the termination. The Contractor shall not be required to comply with the cost accounting standards or contract cost principles for this purpose. This paragraph does not give the Government any right to audit the Contractor's records. The Contractor shall not be paid for any work performed or costs incurred which reasonably could have been avoided.

(m) Termination for cause.

(1) Right to Terminate: The Government may terminate this contract, or any part hereof, for cause in the event of any default by the Contractor. If the Contractor refuses or fails to prosecute the work or any separable part with the diligence that will ensure completion within the time specified in this contract, including any extensions, or fails to complete the work within such time, the Government may, by written notice, terminate the Contractor's right to proceed with the work (or the portion of the work that has been delayed). In such event, the Government may take over the work and complete it by contract or otherwise and may take possession of and use any materials, appliances, or plant located at the work site that are necessary to complete the work.

(2) Liability: The Contractor and its sureties shall be liable for any damages to the Government resulting from the Contractor's refusal or failure to complete the work within the required performance period. This liability includes any increased costs incurred by the Government in completing the work, whether or not the Contractor's right to proceed is terminated.

(3) Excusable Delay: The Contractor's right to proceed shall not be terminated nor charged with damages under this clause if the delay arises from unforeseeable causes beyond the control and without the fault or negligence of the Contractor. Such causes include, but are not limited to: (i) Acts of God or of the public enemy; (ii) Acts of the Government in either its sovereign or contractual capacity; (iii) Acts of another contractor in the performance of a Government contract; (iv) Fires; (v) Floods; (vi) Epidemics; (vii) Quarantine restrictions; (viii) Strikes; (ix) Freight embargoes; (x) Unusually severe weather; or (xi)

TOTAL SDVOSB SET-ASIDE | NAICS 236220 | Page 3 | FAR Parts 12 and 36 | LPTA

Delays of subcontractors or suppliers at any tier arising from unforeseeable causes beyond their control and without their fault or negligence. To obtain relief, the Contractor must notify the Contracting Officer in writing of the causes of delay within 10 days from the beginning of the delay (unless the Contracting Officer extends this period). The Contracting Officer shall determine the facts and extent of the delay; if warranted, the time for completion shall be extended. The Contracting Officer's findings are final and conclusive, subject to appeal under the Disputes clause.

(4) Wrongful Termination Treated as Convenience: If, after issuing a notice of termination for cause, the Government determines that the Contractor was not in default or that the delay was excusable, the termination shall be treated as a termination for the convenience of the Government.

(5) Effect on Other Rights: This clause supplements, but does not diminish, the Government's rights under paragraph (l). The Government shall not be liable for payment for any supplies or services not accepted, and the Contractor shall remain liable for all remedies available at law or in equity.

(n) Title. Unless specified elsewhere in this contract, title to items furnished under this contract shall pass to the Government upon acceptance, regardless of when or where the Government takes physical possession.

(o) Warranty. See 52.246-21.

(p) Reserved.

(q) Compliance with laws unique to Government contracts. The Contractor agrees to comply with 31 U.S.C.

1352 relating to limitations on the use of appropriated funds to influence certain Federal contracts; 40 U.S.C.

chapter 37, Contract Work Hours and Safety Standards; 41 U.S.C. chapter 87, Kickbacks; 49 U.S.C. 40118, Government-financed air transportation; and 41 U.S.C. chapter 21 relating to procurement integrity.

(r) Order of precedence. Any inconsistencies in this solicitation or contract shall be resolved by giving precedence in the following order: (1) The schedule of supplies/services; (2) The Disputes, Payments, Invoice, Compliance with Laws Unique to Government Contracts, and Unauthorized Obligations paragraphs of this clause; (3) Other contract clauses incorporated in the solicitation or contract; (4) Addenda to this solicitation or contract; (5) Solicitation provisions incorporated in the solicitation; (6) Other paragraphs of this clause; (7) Other documents, exhibits, and attachments; and (8) The specification.

(s) Unauthorized obligations. (1) Except as stated in paragraph (s)(2), when any supply or service acquired under this contract is subject to any End User License Agreement (EULA), Terms of Service (TOS), or similar legal instrument that includes any clause requiring the Government to indemnify the Contractor or any person or entity for damages, costs, fees, or any other loss or liability that would create an Anti-Deficiency Act violation (31 U.S.C. 1341): (i) any such clause is unenforceable against the Government; (ii) neither the Government nor any Government-authorized end user shall be deemed to have agreed to such clause; and (iii) any such clause is deemed stricken. (2) Paragraph (s)(1) does not apply to indemnification by the Government expressly authorized by statute and specifically authorized under applicable agency regulations.

(t) Comptroller General examination of record. This paragraph applies if this contract was awarded using other than sealed bid procedures and is in excess of the simplified acquisition threshold. (1) The Comptroller General of the United States, or an authorized representative, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract. (2) The Contractor shall make available at its offices, at all reasonable times, the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR part 4. (3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and form.

(u) Incorporation by reference. The Contractor's representations and certifications, including those completed electronically via the System for Award Management (SAM), are incorporated by reference into the contract.

Construction Wage Rate Requirements (AUG 2018)

(a) Definition. As used in this clause, Site of the work -- (1) Means the physical place or places where the construction called for in the contract will remain when work on it is complete; and (2) Includes any other site where a significant portion of the building or work is constructed, provided that such site is established specifically for the performance of the contract or project.

(b) All laborers and mechanics employed or working upon the site of the work will be paid unconditionally and not less often than once a week, and without subsequent deduction or rebate on any account (except such payroll deductions as are permitted by regulations issued by the Secretary of Labor under the Copeland Act (29 CFR part 3)), the full amount of wages and bona fide fringe benefits (or cash equivalents thereof) due at time of payment computed at rates not less than those contained in the wage determination of the Secretary of Labor which is attached hereto and made a part hereof, regardless of any contractual relationship which may be alleged to exist between the contractor and such laborers and mechanics. Contributions made or costs reasonably anticipated for bona fide fringe benefits under Section 1(b)(2) of the Davis-Bacon Act on behalf of laborers or mechanics are considered wages paid to such laborers or mechanics.

(c) Employment of laborers or mechanics at wage rates below those required by this contract is a violation of the contract and of the Davis-Bacon Act. The contractor or subcontractor responsible shall pay any affected workers the difference between the required rates and the rates paid.

(d) The contracting agency shall upon its own action or upon written request of an authorized representative of the Department of Labor withhold or cause to be withheld from the contractor under this contract or any other Federal contract with the same prime contractor, or any other Federally-assisted contract subject to Davis-Bacon prevailing wage requirements, which is held by the same prime contractor, so much of the accrued payments or advances as may be considered necessary to pay laborers and mechanics, including apprentices, trainees, and helpers, employed by the contractor or any subcontractor the full amount of wages required by the contract.

(e) The contractor or subcontractor shall maintain payrolls and basic payroll records during the course of the work and shall preserve them for a period of three years thereafter for all laborers and mechanics working at the site of the work. Such records shall contain the name, address, and social security number of each such worker, each worker's correct classification, hourly rates of wages paid (including rates of contributions or costs anticipated for bona fide fringe benefits or cash equivalents thereof), daily and weekly number of hours worked, deductions made, and actual wages paid. The records to be maintained under this paragraph shall be made available by the contractor or subcontractor for inspection, copying, or transcription by authorized representatives of the contracting agency or the Department of Labor, and the contractor or subcontractor will permit such representatives to interview employees during working hours on the job.

(f) The contractor or subcontractor shall submit weekly to the Contracting Officer a copy of each payroll to the appropriate Federal or State agency, with a statement signed by the employer or the employer's agent indicating that the payrolls are correct and complete, that the wage rates contained therein are not less than the

TOTAL SDVOSB SET-ASIDE | NAICS 236220 | Page 9 | FAR Parts 12 and 36 | LPTA applicable rates required by this contract, and that the classifications set forth for each laborer or mechanic conform with the work each laborer or mechanic performed. Payroll submissions shall be on Standard Form (SF) 1444 or Optional Form (OF) 347, or on any form with the same content as Optional Form 347, or the Copeland Act regulations (29 CFR part 3) require. The contractor or subcontractor shall maintain the weekly certified payroll records in accordance with applicable recordkeeping requirements.

(ii) The Contracting Officer shall determine the amount to be paid based on the percentage of work completed and materials stored at the construction site. (iii) The Government may retain up to 10 percent of the earned amount of each progress payment as a contract reserve; the amount retained shall not exceed 10 percent of the contract price. Retained amounts shall be paid to the contractor at final settlement. (2) The contractor shall submit each payment request as specified in the contract. The designated billing office shall receive the payment requests.

(c) Final payment. The Government shall pay the amount due the contractor under this contract after -- (1) Completion and acceptance of all work; (2) Presentation of a properly executed voucher; and (3) Presentation of release of all claims against the Government arising by virtue of this contract, other than claims in stated amounts as may be specifically excepted by the contractor from the operation of the release. A release may also be required of the assignee if the contractor's claim to amounts payable under this contract has been assigned under the Assignment of Claims Act of 1940 (31 U.S.C. 3727).

(d) Withholding of payments. (1) The Contracting Officer may withhold payments due the contractor under this contract as the Contracting Officer may deem proper to protect the Government if (i) any claims against the contractor for labor or materials have been filed with the Government or other evidence of such claims is received; (ii) there is reasonable evidence of defective work not yet remedied; (iii) claims, costs, or damages to which the Government may become entitled have arisen; (iv) amounts are owed by the contractor to the Government under this contract; or (v) failure of the contractor to make payments properly to subcontractors or for labor, materials, or equipment. Amounts withheld shall be paid to the contractor when the conditions that gave rise to withholding have been removed.

As prescribed in 36.502, insert the following clause:

Differing Site Conditions (APR 1984)

(a) The Contractor shall promptly, and before the conditions are disturbed, give a written notice to the Contracting Officer of -- (1) Subsurface or latent physical conditions at the site which differ materially from those indicated in this contract; or (2) Unknown physical conditions at the site, of an unusual nature, which differ materially from those ordinarily encountered and generally recognized as inhering in work of the character provided for in the contract.

(b) The Contracting Officer shall investigate the site conditions promptly after receiving the notice. If the conditions do materially so differ and cause an increase or decrease in the Contractor's cost of, or the time required for, performing any part of the work under this contract, whether or not changed as a result of the conditions, an equitable adjustment shall be made under this clause and the contract modified in writing accordingly.

(c) No request by the Contractor for an equitable adjustment to the contract under this clause shall be allowed, unless the Contractor has given the written notice required; provided, that the time prescribed in paragraph (a) of this clause for giving written notice may be extended by the Contracting Officer.

(d) No request by the Contractor for an equitable adjustment to the contract for differing site conditions shall be allowed if made after final payment under this contract.

SECTION 9 -- FAR 52.236-3 -- SITE INVESTIGATION AND CONDITIONS

(FULL TEXT)

52.236-3 Site Investigation and Conditions Affecting the Work

As prescribed in 36.503, insert the following clause:

Site Investigation and Conditions Affecting the Work (APR 1984)

(a) The Contractor acknowledges that it has taken steps reasonably necessary to ascertain the nature and location of the work, and that it has investigated and satisfied itself as to the general and local conditions which can affect the work or its cost, including but not limited to (1) conditions bearing upon transportation, disposal, handling, and storage of materials; (2) the availability of labor, water, electric power, and roads; (3) uncertainties of weather, river stages, tides, or similar physical conditions at the site; (4) the conformation and conditions of the ground; and (5) the character of equipment and facilities needed preliminary to and during work performance. The Contractor also acknowledges that it has satisfied itself as to the character, quality, and quantity of surface and subsurface materials or obstacles to be encountered insofar as this information is reasonably ascertainable from an inspection of the site, including all exploratory work done by the Government, as well as from the drawings and specifications made a part of this contract. Any failure of the Contractor to take the actions described and acknowledged in this paragraph will not relieve the Contractor from responsibility for estimating properly the difficulty and cost of successfully performing the work, or for proceeding to successfully perform the work without additional expense to the Government.

(b) The Government assumes no responsibility for any conclusions or interpretations made by the Contractor based on the information made available by the Government. Nor does the Government assume responsibility for any understanding reached or representation made concerning conditions which can affect the work by any of its officers or agents before the execution of this contract, unless that understanding or representation is expressly stated in this contract.

(6) The Contractor recognizes that compliance with the requirements of this clause are material to the Government's payment decisions for purposes of 31 U.S.C. 3729(b)(4).

(c) The Contractor must include the substance of this clause, including this paragraph (c), in subcontracts at any tier, including those for commercial products and commercial services, except those where the place of delivery or performance is outside the United States.

The Contractor shall initiate the background investigation process for all contractor and subcontractor employees required to have physical or logical access to VA facilities or information systems no later than the day the employee commences work under this contract.

The Government will provide a Personal Identification Verification (PIV) card or other identification card to fit Contractor personnel who require physical access to VA facilities and/or logical access to VA data or information systems. Contractor and subcontractor personnel shall prominently display their PIV/identification card on their persons while working at a VA facility and shall present their PIV/identification card for inspection upon request by a VA official.
