4. SYSTEM FOR AWARD MANAGEMENT (SAM) REGISTRATION.

Contractors must be registered in the System for Award Management (SAM) prior to the closing date for receipt of proposals. Contractors may obtain information on registration and annual confirmation requirements via the SAM website accessed via https://www.acquisition.gov or by calling 866-606-8220, or 334-206-7828 for international calls. 5. FAR PROVISION 52.229-11 AND FAR CLAUSE 52.229-12

FAR provision 52.229-11 and FAR clause 52.229-12 are included in this RFQ. This provision and clause concern the imposition of a 2 percent Federal excise tax withholding on any resultant contract award or payment request.

This rule applies to Federal Government contracts for goods or services that are awarded to foreign persons. It implements the Department of the Treasury final regulations published in the Federal Register at 81 FR 55133 on August 18, 2016, under section 5000C of the Internal Revenue Code relating to the 2 percent tax on payments made by the U.S. Government to foreign entities pursuant to certain contracts.

Exemptions from this excise tax must be claimed by a quoter when it submits, with its quote, a U.S.

Department of Treasury Internal Revenue Service (IRS) Form W-14, Certificate of Foreign Contracting Party Receiving Federal Procurement Payments, available via the internet at www.irs.gov/w14. If not submitted with the quote, exemptions will not be applied to any resulting contract and the Government will withhold a full 2 percent on each payment. Failure to submit IRS Form W-14 with a payment request will also result in an automatic withholding of 2 percent from the payment request.

When filling out the IRS Form W-14 the following information may be used to complete Part I, Line 6 and 7:

Line 6 Contract / reference number: N40084-20-T-0059 Line 7 Name and address of the acquiring agency:

Naval Facilities Engineering Command (NAVFAC) Far East City or town, state or province. Include postal code where appropriate Country (do not abbreviate) Bldg. 1828, 1F, Tomari-cho Yokosuka, Kanagawa, 238-0001 Japan

Any exemption claimed and self-certified is subject to audit by the IRS. Any disputes concerning this tax are adjudicated by the IRS because the Section 5000C tax is a tax matter not a contract issue.

mailto:Joshua.Kaimikaua@fe.navy.mil https://beta.sam.gov/ https://www.acquisition.gov/ http://www.irs.gov/w14

Quoters are encouraged to seek guidance from their own tax, legal, or accounting professionals for advice concerning the provision, clause, and the execution/submission of IRS Form W-14. Additional information is also available at:

https://www.navfac.navy.mil/navfac_worldwide/pacific/fecs/far_east/about_us/contractors_information.html

However, quoters are advised to consult Title 26 U.S.C. 5000C and its implementing regulations at 26 CFR 1.5000C-1 through 1.5000C-7 (see FAR 29.402-3, 31.205-41(b)(8)) for specific details and/or updates.

6. RFQ AMENDMENTS.

Any amendments made to this RFQ before the time set for receipt of quotations will be posted to the Contract Opportunities at https://beta.sam.gov/. Hard copies of the amendment will not be mailed. It is the offeror’s responsibility to check the website periodically for any amendments to this solicitation. Section Evaluation Factors for Award

FAR 52.212-2 Evaluation – Commercial Items (OCT 2014)

Evaluation Factors for Award

This is a solicitation for commercial items prepared in accordance with the format in FAR Subpart 12.6 (Streamlined evaluation of offers). This solicitation is issued as a Request for Quotation (RFQ) in accordance with FAR 13.106. The Offeror must be an authorized dealer and/or manufacturer. Written quotes are required (oral offers will not be accepted). Submission of quotes must be in accordance with FAR 52.212-1, Instructions to Offerors, Commercial Items. The Government will award a Purchase Order on the basis of the lowest priced offer.

Since award of the Purchase Order will be based on initial responses, offerors are highly encouraged to quote their most advantageous pricing in their initial response. Award of the Purchase Order will be made using the Simplified Acquisition Procedures in accordance with FAR 13.106-2(a)(3)(b)(1).

Basis for Award: The Government will award a Purchase Order resulting from this solicitation to the responsive and responsible offeror whose quote conforming to the solicitation (i.e., meets all identified minimum mandatory characteristics identified for each item specified in Attachment 1: Specification) will be most advantageous to the Government at the lowest price. The following factor shall be used to evaluate quotes: price alone.

1. The Government reserves the right to eliminate from consideration from award any or all quotes at any time prior to award of the contract(s) that do not conform to the solicitation; to negotiate with offerors in the competitive range; and to award Purchase Order(s) to the offeror(s) submitting the lowest price quote(s) that conforms to the solicitation (i.e., meets all minimum mandatory requirements specified in Attachment 1:

Specification)

2. The Government intends to evaluate the quotes and award Purchase Order(s) without discussions with offerors (except clarifications as described in FAR 15.306(a)). The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary.

SUBMISSION REQUIREMENTS & BASIS OF EVALUATION

(i) RFQ Submittal Requirements: The Offeror shall complete and submit the following in the order shown below:

a. Price Schedule, Attachment 4, to include acknowledgements of amendments, if any. Quotations shall be priced in Japanese Yen ONLY. Quotations not priced in Japanese Yen will be considered non-responsive and will not be evaluated.

b. Completed Attachment 1: Specification.

c. Completed Representations and Certifications, Attachment 3.

d. Completed IRS Form W-14, Certificate of Foreign Contracting Party Receiving Federal Procurement

Payments, if applicable. If not submitted with the offer, excise tax exemptions will not be applied to any resulting contract and the Government will withhold a full 2 percent on each payment.

Note: The failure of an Offeror to complete and submit items a, and b will result in the Offeror’s quote being deemed non-responsive and ineligible for further consideration for award. Submission of item c and d is strongly encouraged to facilitate responsibility assessment per FAR 9.104-1 and validate eligibility to receive an award.

(ii) Basis of Evaluation of Price: The Government will evaluate price per Item No(s) that conform to the solicitation (i.e., meet all minimum mandatory requirements specified in Attachment 1: Specification) to determine fairness and reasonableness in accordance with FAR 13.106-3.

Deviations from the RFQ minimum/maximum requirements are NOT allowed and the offeror’s quote for that Item No that deviate from the RFQ will be determined non-responsive and not eligible for award.

In accordance with FAR 12.209 (Determination of price reasonableness) the contracting officer must establish price reasonableness in accordance with FAR 13.106-3 (Award and documentation), 14.408-2 (Responsible Bidder – reasonableness of price), or subpart 15.4 (Contract Pricing), as applicable.

In accordance with FAR 13.106(3) before making award the contracting officer must determine the proposed price is fair and reasonable. The contracting officer may, whenever possible, base price reasonableness on competitive quotations or offers.

AWARD OF PURCHASE ORDER

In accordance with FAR 13.004 (Legal effect of quotations) the Government intends to award a Purchase Order, to the responsive and responsible offeror submitting the lowest priced quotation. The RFQ does not commit the Government to make any award. The Government may cancel this RFQ or any part of it at any time. The Contracting Officer reserves the right to reject any and all quotations and to waive any information, or minor irregularities in quotations received.

A written notice of award and/or Purchase Order, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.

Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

Foreign person means any person other than a United States person.

United States person, as defined in 26 U.S.C. 7701(a)(30), means–

(1) A citizen or resident of the United States;

(2) A domestic partnership;

(3) A domestic corporation;

(4) Any estate (other than a foreign estate, within the meaning of 26 U.S.C. 7701(a)(31)); and

(5) Any trust if-

(i) A court within the United States is able to exercise primary supervision over the administration of the trust; and

(b) This clause applies only to foreign persons. It implements 26 U.S.C. 5000C and its implementing regulations at 26 CFR 1.5000C-1 through 1.5000C-7.

(c) (1) If the Contractor is a foreign person and has only a partial or no exemption to the withholding, the Contractor shall include the Department of the Treasury Internal Revenue Service Form W-14, Certificate of Foreign Contracting Party Receiving Federal Procurement Payments, with each voucher or invoice submitted under this contract throughout the period in which this status is applicable. The excise tax withholding is applied at the https://uscode.house.gov/view.xhtml?req=granuleid:USC-prelim-title26-section7701&num=0&edition=prelim https://uscode.house.gov/view.xhtml?req=granuleid:USC-prelim-title26-section7701&num=0&edition=prelim https://uscode.house.gov/view.xhtml?req=granuleid:USC-prelim-title26-section5000C&num=0&edition=prelim payment level, not at the contract level. The Contractor should revise each IRS Form W-14 submission to reflect the exemption (if any) that applies to that particular invoice, such as a different exemption applying. In the absence of a completed IRS Form W-14 accompanying a payment request, the default withholding percentage is 2 percent for the section 5000C withholding for that payment request. Information about IRS Form W-14 and its separate instructions is available via the internet at www.irs.gov/w14.

(2) If the Contractor is a foreign person and has indicated in its offer in the provision 52.229-11, Tax on Certain Foreign Procurements—Notice and Representation, that it is fully exempt /content/42702-purposeom the withholding, and certified the full exemption on the IRS Form W-14, and if that full exemption no longer applies due to a change in circumstances during the performance of the contract that causes the Contractor to become subject to the withholding for the 2 percent excise tax then the Contractor shall–

(d) The Government will withhold a full 2 percent of each payment unless the Contractor claims an exemption. If the Contractor marks box 9 of the IRS Form W-14 (rather than completes Lines 10 through 12), the Contractor must identify and enter the specific exempt and nonexempt amounts in Line 15 of the IRS Form W-14;

the Government will then withhold 2 percent only /content/42702-purposeom the nonexempt amount. See the IRS Form W-14 and its instructions.

(e) Exemptions /content/42702-purposeom the withholding under this clause are described at 26 CFR 1.5000C- 1(d)(5) through (7). Any exemption claimed and self-certified on the IRS Form W-14 is subject to audit by the IRS.

(f) Taxes imposed under 26 U.S.C. 5000C may not be—

(1) Included in the contract price; nor

(2) Reimbursed.

(g) A taxpayer may, for a fee, seek advice /content/42702-purposeom the Internal Revenue Service (IRS) as to the proper tax treatment of a transaction. This is called a private letter ruling. Also, the IRS may publish a revenue ruling, which is an official interpretation by the IRS of the Internal Revenue Code, related statutes, tax treaties, and regulations. A revenue ruling is the conclusion of the IRS on how the law is applied to a specific set of facts. For questions relating to the interpretation of the IRS regulations go to https://www.irs.gov/help/tax-law-questions.
