About this file

This is a Performance Work Statement (PWS) for a Blanket Purchase Agreement (BPA) to provide gym membership services for eligible U.S. Government personnel stationed throughout Australia. The BPA is a multiple-award, decentralized contract vehicle with a five-year period of performance and an administrative ceiling of $2,500,000 USD across all BPA holders combined. The geographic scope covers all Australian states and territories, with initial required service areas including Australian Capital Territory, New South Wales, Queensland, Northern Territory, Western Australia, South Australia, and Victoria, with specific target cities including Canberra, Sydney, Brisbane, Darwin, Alice Springs, Perth, Melbourne, Cairns, and Adelaide. Contractors are not required to offer coverage in all cities and may propose partial geographic coverage as documented in their accepted price list.

The PWS establishes outcome-based service requirements focused on maintaining mandated fitness standards for U.S. Government personnel. Contractors must offer firm-fixed-price memberships for Month-to-Month, 3-Month, and 12-Month terms and are required to support the Government's preferred "Preferred Transferable Membership Slot" model, which allows memberships to be reassigned to different individuals without additional fees when personnel relocate or separate. All facilities must comply with Australian Work Health and Safety laws, maintain daily professional cleaning and sanitization, provide comprehensive commercial-grade fitness equipment including free weights, resistance machines, cardiovascular equipment, and functional space, and be capable of accommodating multiple members during peak and off-peak hours. Contractors must activate memberships within three calendar days of Call Order issuance, respond promptly to personnel reassignments, and maintain equipment in safe, fully operational condition. Pricing must be submitted exclusive of Australian Goods and Services Tax, with GST invoiced separately. Call Orders at or below the Micro-Purchase Threshold of $25,000 USD may be placed by designated Authorized Callers, while larger orders require a warranted Contracting Officer. The administering Contracting Officers are Nicholas Johnson and Christian Lau Wong, with master BPA administration directed to indopacom.pcj4.mbx.osgaus-j4@us.navy.mil.

Performance Work Statement (PWS)

For

Gym Membership Services

Blanket Purchase Agreement (BPA)

Date: 29 July 2026

1. DESCRIPTION OF SERVICES – Vision and Objective

1.1. Objective:

The objective of this Blanket Purchase Agreement (BPA) is to secure reliable, outcome-based commercial gym memberships and fitness facility access for eligible U.S. Government personnel stationed throughout Australia to maintain mandated fitness standards and physical readiness.

1.1.1. Eligibility and Authority:

Only eligible U.S. Government personnel may qualify for memberships under this BPA. This requirement is established in accordance with Department of Defense Instruction (DoDI) 1015.10, Section 18, which states that where government-owned fitness facilities are not available or are inadequate, Appropriated Funds (APF) are authorized for contracting with commercial fitness facilities on behalf of personnel. The instruction further dictates that individual (by-name) memberships paid for with Government funds are not authorized unless the sponsoring agency grants a formal waiver due to unique circumstances. Consequently, the Preferred Transferable

Membership Slot model is the Government’s preferred method under this BPA. Standard individual

(non-transferable) memberships remain available when a Contractor cannot support the transferable slot model.

1.2. Scope and Nature of Agreement:

1.2.1. Statement of Agreement:

In accordance with RFO 12.201-1(e)(3)(iv)(A), this PWS establishes the terms for a multiple-award

Blanket Purchase Agreement (BPA), wherein the Contractor will furnish gym membership services, described in general terms, if and when requested by authorized individuals during the specified period of performance and within the stipulated aggregate amount.

1.2.2. Government Obligation:

In accordance with RFO 12.201-1(e)(3)(iv)(B), the Government is obligated only to the extent of authorized purchases actually made under this BPA. Award as a BPA holder under this PWS is not a guarantee of any order, minimum quantity, or minimum dollar value of business. BPA holders compete for individual Call Orders in accordance with the ordering procedures in Section 8.2.

1.2.3. Decentralized Ordering:

This is a decentralized BPA. Call Orders may be placed by any Authorized Caller (as defined in

Section 2.4) against any BPA holder capable of servicing the required geographic location, without a requirement to route orders through a single central ordering point.

1.3. Geographic Scope and Operational Area:

1.3.1. Australia-Wide Coverage:

This BPA covers gym membership services for U.S. Government personnel located throughout

Australia.

1.3.2. Initial Required Service Areas:

Initial required coverage encompasses the Australian Capital Territory (ACT) and the states and territories of New South Wales (NSW), Queensland (QLD), Northern Territory (NT), Western

Australia (WA), South Australia (SA), and Victoria (VIC).

1.3.3. Key Metropolitan and Regional Hubs (with coordinates):

The Government anticipates that BPA holder coverage will vary depending on commercial gym footprints. To facilitate accurate and localized market pricing, the Contractor shall submit pricing utilizing the designated geographic areas within the master price list. The target service areas include, but are not limited to:

1.3.3.1. Canberra, ACT: -35.2809° S, 149.1300° E

1.3.3.2. Sydney, New South Wales: -33.8688° S, 151.2093° E

1.3.3.3. Brisbane, Queensland: -27.4705° S, 153.0260° E

1.3.3.4. Darwin, Northern Territory: -12.4634° S, 130.8456° E

1.3.3.5. Alice Springs, Northern Territory: -23.7000° S, 133.8833° E

1.3.3.6. Perth, Western Australia: -31.9505° S, 115.8605° E

1.3.3.7. Melbourne, Victoria: -37.8136° S, 144.9631° E

1.3.3.8. Cairns, Queensland: -16.923° S, 145.766° E

1.3.3.9. Adelaide, South Australia: -34.9285° S, 138.6007° E

1.3.4. Partial Geographic Offers:

Contractors are not required to offer coverage in all cities listed above. A Contractor’s awarded

BPA will reflect only the specific cities, neighborhoods, or franchise locations they commit to servicing, as documented in their accepted price list.

1.3.5. Future Expansion:

The geographic scope of this BPA may be expanded to include other locations during the ordering period in accordance with the on-ramping provisions outlined in paragraph 8.8.

1.4. Covered Services and Salient Characteristics:

All services and facilities provided by the Contractor must meet the following minimum physical, functional, and safety specifications to safely accommodate physical readiness routines:

1.4.1. Local Standards and Compliance:

1.4.1.1. WHS Compliance:

All facilities must be fully compliant with local Australian Work Health and Safety (WHS) laws and maintain all required commercial licenses and insurances for a public fitness facility.

1.4.1.2. Hygiene and Cleanliness:

All facilities, including training floors, locker rooms, showers, and bathrooms, must be professionally cleaned and sanitized daily to prevent the spread of communicable diseases.

1.4.2. Facility Capacity and Equipment:

1.4.2.1. Capacity:

The facility must possess adequate square footage and a sufficient density and variety of equipment to allow multiple members to train simultaneously during peak and off-peak hours without experiencing significant equipment bottlenecks, excessive wait times, or safety hazards.

The overall environment must be conducive to completing a full physical readiness routine in a timely and efficient manner.

1.4.2.2. Required Equipment Access:

At a minimum, the facility must provide a comprehensive range of standard, commercial-grade fitness equipment that is fully functional and regularly maintained. This must include adequate access to:

(a) Free Weights: A comprehensive selection of dumbbells, barbells, and weight plates with associated benches and racks.

(b) Resistance Machines: A variety of cable, plate-loaded, or pin-loaded machines targeting major muscle groups.

(c) Cardiovascular Equipment: A sufficient quantity of varied aerobic machines (e.g., treadmills, stationary bicycles, elliptical trainers, rowing machines, or stair climbers).

(d) Functional Space: Dedicated open floor space suitable for calisthenics, stretching, and functional movements.

1.4.3. Required Membership Durations:

Contractors shall propose firm-fixed-prices for the following membership term lengths: Month-to-

Month, 3-Months, and 12-Months.

1.4.4. Preferred Transferable Membership Slot:

The Government’s preferred membership model is the “Preferred Transferable Membership Slot.”

This model provides operational flexibility while maintaining the expectation that each membership is purchased for a specific authorized individual who is expected to utilize the membership for the majority of its term.

Under this model, the Government purchases a membership slot for a designated individual.

The individual will be required to complete the Contractor’s standard registration process

(including signing required paperwork and receiving their personal access credential). The membership is expected to remain assigned to that individual for the duration of the term.

However, if the originally assigned individual no longer requires the membership (due to

Permanent Change of Station (PCS), separation, or other reasons), the Government may request that the Contractor transfer the remaining term of the membership slot to another authorized individual. The Contractor shall execute such a transfer without charging any additional initiation, transfer, re-registration, cancellation, or administrative fees for the remainder of the active membership term.

This structure allows the Government to retain the value of the membership while providing limited flexibility to reassign the slot when personnel changes occur.

If a Contractor is unable to support the Preferred Transferable Membership Slot model, they may offer standard individual (non-transferable) memberships. The Transferable Membership

Slot model is strongly preferred.

1.4.5. Multi-Facility Access:

If the Contractor operates a network of multiple gym locations, franchises, or a tiered membership structure, the Contractor shall provide an “all-access” or multi-gym membership tier. This feature is required to maximize geographic flexibility, allowing personnel to utilize any participating facility without incurring additional daily or drop-in fees while traveling within the serviced areas.

The specific dollar value for the MPT is defined in RFO 2.101 and is subject to change in accordance with updates to the RFO. As of the date of this PWS, the MPT limit explicitly established in paragraph 8.2.5 is $25,000 USD.

3. CORE CONTRACTOR EXPECTATIONS & PERFORMANCE STANDARDS

3.1. Membership Activation and Access:

Upon acceptance of an authorized Call Order, the Contractor agrees to activate the requested number of memberships and provide facility access to the designated U.S. Government personnel.

3.1.1. Onboarding Readiness and Membership Activation:

(a) Contractor Onboarding Readiness: The Contractor’s primary performance requirement is to be ready to onboard the designated U.S. Government personnel within three (3) calendar days of Call

Order issuance. This includes creating the membership account in the Contractor’s system and preparing all necessary administrative steps.

(b) Member-Initiated Activation: The final issuance of physical access credentials (e.g., key fob, digital barcode) will occur upon the member’s first visit to the facility, once they have completed the standard and required local onboarding paperwork (e.g., signing liability/WHS waivers). A delay in a member’s first visit beyond the initial 3-day readiness window shall not be considered a failure on the part of the Contractor, provided the Contractor was prepared to onboard the member within the specified timeline.

(c) Large Volume Orders: For bulk Call Orders involving a large number of personnel, a mutually agreed-upon phased onboarding schedule may be established at the time the Call Order is placed, which will serve as the official baseline for measuring performance for that order.

3.1.2. Reassignment of Personnel (Applicable only to Transferable Slot Awards):

Upon written notification from the Authorized Caller or Contracting Officer, the Contractor shall immediately deactivate the access credentials of a departing staff member and authorize new access credentials for the newly designated incoming staff member. The incoming staff member will complete standard individual onboarding (e.g., signing local Work Health and Safety liability waivers) upon their first visit to receive their physical access credentials; this action maintains the continuity of the existing membership slot.

3.1.3. Zero Transfer Fees (Applicable only to Transferable Slot Awards):

The Contractor shall execute all personnel reassignments for the remainder of that slot’s active membership term without charging any additional initiation, transfer, or administrative fees to the

Government or the individual member.

3.2. Title, Ownership, and Liability:

3.2.1. Title:

The Contractor shall retain full title and ownership of all its facilities, fitness equipment, and commercial property at all times.

3.2.2. Liability:

The U.S. Government assumes no liability for loss, theft, damage, or personal injury occurring on the Contractor’s commercial premises, except where established under applicable law. The

Contractor is responsible for maintaining their own commercial property and liability insurance to cover their operations.

4. MAINTENANCE, REPAIR, AND FACILITY UPKEEP

4.1. Standard Maintenance:

The Contractor shall perform routine maintenance on all fitness equipment to ensure it remains in a safe, fully operational state.

4.1.1. Fair Wear and Tear:

The Contractor must repair any equipment that fails due to mechanical defect or “fair wear and tear” at no additional cost to the U.S. Government.

4.1.2. Equipment Availability:

If core equipment requires repair, the Contractor shall ensure repairs are conducted promptly to minimize downtime and disruption to physical training routines.

4.2. Facility Environment:

The Contractor shall maintain adequate climate control, ventilation, and lighting within the facility to provide a safe and effective training environment.

5. MEMBERSHIP SLOT REDUCTION AND CANCELLATION

5.1. Authority and Basis for Membership Actions:

A warranted U.S. Government Contracting Officer or an Authorized Caller acting within their delegated authority may initiate a membership action in the event that a staff member permanently departs a geographic area.

5.2. Preferred Settlement Method: Reassignment of Membership Slot:

(a) In accordance with the “Preferred Transferable Membership Slot model (as defined in paragraph

1.4.4), the Government’s primary course of action upon a member’s departure will be to reassign the remainder of the pre-paid term to a new, incoming staff member.

(b) In this instance, the underlying financial contract remains in place, and no financial settlement or refund is required, as the Government intends to receive the full value of the services it has purchased.

5.3. Secondary Settlement Method: Termination for Convenience and Refund:

(a) Only in the event that the Government has no immediate or anticipated need for the membership slot at that location (e.g., due to a permanent reduction in the personnel footprint) will the Contracting

Officer terminate the Call Order for the convenience of the Government.

(b) Upon such a termination, the settlement shall be calculated as follows: The Contractor is entitled to payment for the services rendered, recalculated at the higher, standard month-to-month rate for the number of full months the membership was active. The Contractor shall then refund the difference between the original up-front payment and this recalculated total. This prorated refund must be provided to the Government within 30 days of the termination notice.

6. COMPLIANCE, HYGIENE, AND SAFETY STANDARDS

6.1. Facility Cleanliness:

The Contractor must ensure all locker rooms, showers, bathrooms, and training floors are professionally cleaned and sanitized daily to prevent the spread of communicable diseases.

6.2. Work Health and Safety (WHS):

The Contractor shall comply with all regional Work Health and Safety laws and maintain appropriate commercial liability insurance for a fitness facility.

7. CONTRACT DELIVERABLES, DOCUMENTATION, AND INVOICING

7.1. Reporting Requirements:

As a condition of maintaining an active BPA, the Contractor agrees to submit all required documentation simultaneously to the relevant ordering activity and the administering Contracting

Officers.

7.1.1. Monthly Active Roster Report (Attachment 03):

The Contractor shall provide a monthly report detailing the total number of active memberships owned by the Government under this BPA, categorized by duration type (12-Month, 3-Month, Month-to-Month) and membership structure (Preferred Transferable Slot or Standard Individual).

The report must include the names of the personnel currently assigned to those memberships and the expiration date of each active term.

This reporting requirement shall only commence once the Contractor has at least one (1) active Call

Order and active membership account(s) under this BPA. Until the Contractor receives and activates its first Call Order, no Monthly Active Roster Report is required.

Once the reporting requirement is triggered, the report is due no later than the 10th day of each calendar month for the preceding month’s activities and shall be submitted simultaneously to the relevant ordering activity and the administering Contracting Officers.

7.1.2. Submission Deadline:

See paragraph 7.1.1 for the submission deadline and the condition under which reporting begins.

7.2. Activation and Invoice Documentation:

7.2.1. Activation Documentation:

In accordance with RFO 12.201-1(e)(3)(iv)(E), all membership activation documents must contain, at a minimum: the master BPA number, the individual Call Order number, the primary facility address, the name of the enrolled individual, and a signature block for the individual or Authorized

Caller to confirm activation of the membership.

7.2.2. Invoice and Payment Instructions:

In accordance with RFO 12.201-1(e)(3)(iv)(F), the following invoice and payment procedures apply:

(a) Invoicing for Membership Terms:

(1) 12-Month and 3-Month Memberships: The Contractor shall submit a single invoice for the full term upon the initial activation of the membership. It is the Government’s intent to pay for these longer-term memberships in advance.

(2) Month-to-Month Memberships: For month-to-month memberships, invoices shall be submitted on a monthly basis in arrears for all active memberships during the preceding month.

(b) Invoice Content: Each invoice must, at a minimum, cite the appropriate master BPA number and the individual Call Order number(s) being billed.

(c) Payment Methods: The specific payment method (Government Purchase Card (GPC)/Credit

Card, Electronic Funds Transfer (EFT)/Direct Bank Transfer, or WAWF) will be determined by the

Government at the time each individual Call Order is issued. Payments will be made by one of the following methods:

(1) Government Purchase Card (GPC) / Credit Card

(2) Electronic Funds Transfer (EFT) / Direct Bank Transfer

(3) Wide Area Workflow (WAWF)

Additional payment methods may be authorized on a case-by-case basis by the Contracting Officer.

(d) Vendor Information: As part of their proposal, offerors must indicate their preferred payment method(s) and provide all necessary banking or SAM/WAWF information required to process payment.

Inability to accept at least one of the three primary methods listed above may render an offeror ineligible for BPA establishment.

8. BPA ADMINISTRATION, ORDERING, AND LIFECYCLE MANAGEMENT

8.1. No Guarantee of Orders:

This is a multiple-award, decentralized BPA. Issuance of a BPA under this PWS does not obligate any funds and does not guarantee any BPA holder a minimum or maximum quantity or value of orders. A

BPA holder is not legally obligated to accept every Call Order. Funds and binding contractual obligations are established solely upon the mutual execution and acceptance of an individual Call Order.

8.2. Authorized Callers & Ordering Procedures:

8.2.1. Authorized Callers:

In accordance with RFO 12.201-1(e)(3)(iv)(D), a formal “BPA Authorized Caller List” identifying the specific individuals authorized to place orders under this BPA will be established and maintained by the administering Contracting Officers. This list, which will be provided to all BPA holders upon award and updated as personnel change, constitutes the sole authority for placing orders.

8.2.2. Fair Opportunity:

The Authorized Caller or Contracting Officer shall provide all BPA holders capable of servicing a specific geographic requirement a fair opportunity to be considered for each order placed over the

Micro-Purchase Threshold.

8.2.3. Basis for Best Value Determination:

The Call Order shall be awarded to the BPA holder whose established, firm-fixed-price offering represents the best value to the Government. This is not a lowest-price-only decision. The best value determination will be made by comparing the vendors’ accepted prices against the following two critical non-price factors:

(a) Membership Structure & Flexibility: An offering that includes the Government’s preferred

“Preferred Transferable Membership Slot model (as defined in paragraph 1.4.4) will be considered significantly more advantageous than a standard, restrictive individual membership, which requires additional steps to be obtained before being able to proceed this route as an exception to policy.

(b) Geographic Proximity & Convenience: The physical location and convenience of the vendor’s facility will be a key consideration. A closer, more accessible facility provides greater value by increasing the likelihood of use and supporting personnel readiness.

8.2.4. Ordering Process:

As this is a Firm-Fixed-Price BPA, no new price quotations will be solicited. Upon completing the best value comparison described in paragraph 8.2.3, the Authorized Caller or Contracting Officer will place the Call Order directly with the selected BPA holder using the rates from their accepted master BPA Price List.

8.2.5. Order Limitations:

In accordance with RFO 12.201-1(e)(3)(iv)(C), the dollar limitation for individual purchases under this BPA is tiered. Call Orders at or below the Micro-Purchase Threshold (MPT) of $25,000 USD may be placed by a designated Authorized Caller. Call Orders exceeding the MPT must be executed by a warranted Contracting Officer. No individual Call Order may exceed the Simplified

Acquisition Threshold (SAT).

8.2.6. Exceptions to Fair Opportunity:

An Authorized Caller or Contracting Officer may issue a Call Order to a single BPA holder without conducting the comparative best value evaluation when: (a) the Call is at or below the micro-purchase threshold; (b) only one BPA holder is capable of providing the required facility access within the required geographic radius; (c) an urgent operational need exists; or (d) it is a logical follow-on action under the Portability provisions outlined in Section 9. The basis for any such determination shall be documented in the Call file.

8.2.7. Call Content:

Each Call Order shall identify, at a minimum: the facility location; the quantity, structure

(transferable slot or standard individual), and duration type of memberships required; the initial names of the personnel to be enrolled; the Caller’s name and contact information; and the applicable

BPA and Call Order number.

8.2.8. Method of Communication for Call Orders:

(a) For routine inquiries, membership activations, cancellations, personnel reassignments, or general coordination, the Authorized Caller may contact the Contractor via telephone or email.

(b) When a requirement is competed among multiple BPA holders, the Authorized Caller shall solicit quotes from the capable BPA holders via email. All quotes submitted in response to a competed Call Order must be provided via email to the Authorized Caller. Telephone quotes will not be accepted for competed requirements.

(c) The Contractor shall designate and maintain a current primary point of contact (including name and email address) for receiving Call Order solicitations and quotations, and shall notify the administering Contracting Officer of any changes in writing within two (2) business days.

8.3. Administrative Ceiling:

The cumulative value of all Call Orders issued under this BPA, across all BPA holders combined, shall not exceed $2,500,000 USD, unless increased by modification. This ceiling is an administrative control and not an obligation of funds.

8.3.1. Increasing the Ceiling:

The administering Contracting Officer may increase this ceiling at any time, provided the increase remains within the general scope of services, the basis for the increase is documented, and all other agency-level approvals are obtained.

8.4. Annual Review and Market Monitoring:

8.4.1. Compliance and Review Mandate:

In accordance with RFO 12.201-1(e)(3)(v), the administering Contracting Officer will review each established BPA at least annually to ensure that authorized procedures are being followed.

8.4.2. Market and Source Awareness:

The Contracting Officer will continuously maintain awareness of changes in market conditions, sources of supply, and other pertinent factors that may warrant making new agreements with different Contractors (on-ramping) or modifying existing agreements.

8.5. Period of Performance:

This BPA remains in effect for a period not to exceed five (5) years from the date of award, or until the ceiling established in paragraph 8.3 is reached, whichever occurs first, unless canceled sooner or extended by modification. This five-year ordering period is distinct from the one-year price validity period detailed in Section 11.1.

8.6. BPA Holder Responsibilities:

Each BPA holder shall: maintain a current price list (Attachment 02) on file; respond promptly to all pricing confirmations; notify the Contracting Officer of any inability to perform; and maintain all required commercial licenses and insurance.

8.7. Government Responsibilities:

The administering Contracting Officer shall: maintain the roster of Authorized Callers; maintain the official file of BPA holder price lists; and ensure Calls are placed in accordance with fair opportunity procedures.

8.8. On-Ramping of New BPA Holders:

The Government reserves the right to solicit and add additional qualified vendors to the BPA pool at any time during the ordering period to improve competition or coverage.

8.9. Modification:

Changes to a BPA (e.g., price list updates, addition of facility locations) will be made by modification issued by the administering Contracting Officer.

8.10. Off-Ramping and Performance Remedies (RFO 52.212-4):

The Government monitors Contractor performance continuously against the Acceptable Quality Levels

(AQLs) established in this PWS (specifically, adherence to the activation windows defined in paragraph

3.1.1 and the equipment uptime standards defined in Section 4). If a Contractor consistently fails to meet these performance standards after accepting Call Orders, the Contracting Officer reserves the right to invoke formal remedies, including the temporary suspension of the Contractor’s eligibility to receive new Call Orders (Off-Ramping) or the complete termination of the Contractor’s master BPA for cause.

8.11. Contracting Officer Succession and Duty Transfer:

Over time, the administering Contracting Officers for this master BPA may change due to standard personnel rotations. The outgoing Contracting Officers shall formally transfer BPA administration duties via a formal Appointment/Delegation document, which shall be provided to all active

Contractors.

8.12. BPA Master Administration Point of Contact:

The designated organizational mailbox for all master BPA administration is: indopacom.pcj4.mbx.osg-aus-j4@us.navy.mil. The current administering Contracting Officers are Nicholas Johnson and Christian

Lau Wong.

9. PORTABILITY OF MEMBERSHIPS

9.1. Relocation Right:

If the Contractor operates a network of facilities or franchises, the Government retains the right to transfer an active membership (or membership slot) from one location to another within Australia if a staff member is relocated permanently, without incurring new initiation fees.

10. CONTRACTOR POINTS OF CONTACT AND COMMUNICATIONS

10.1. Point of Contact Requirement:

To ensure continuous, effective communication, the Contractor must establish and maintain designated primary points of contact (POCs) specifically authorized to interface with Authorized Callers regarding all active and pending accounts.

10.2. Minimum Information Requirements:

Within five (5) days of award, the Contractor shall submit to the Contracting Officers the names, email addresses, phone numbers, and hours of operation for their designated POCs.

10.3. Emergency Access Issue Resolution:

The Contractor must maintain a reliable protocol for urgent, after-hours requests to facilitate immediate facility access issue resolution (e.g., a broken key fob preventing entry prior to normal business hours).

11. PRICE LIST REQUIREMENTS AND ADMINISTRATION

11.1. Price List Validity and Updates:

11.1.1. Baseline Validity:

All pricing submitted and awarded under this BPA is considered valid for a minimum of one (1) year from the date of award.

11.1.2. Annual Review:

The administering Contracting Officer will review each BPA holder’s price list for continued fairness and reasonableness at least annually.

11.1.3. Contractor-Initiated Price Changes:

Should the Contractor’s commercial rates change at any time, they are required to immediately notify the administering Contracting Officers in writing within forty-eight (48) hours of the change.

11.1.4. Government Acceptance Required:

No price change, whether submitted during the annual review or as a contractor-initiated update, shall take effect until the Contracting Officer has formally reviewed, accepted, and incorporated the revised pricing into the BPA via modification. Until such a modification is executed, the previously accepted prices remain in full effect for all new Call Orders.

11.2. Required Content:

The price list (Attachment 02) shall separately identify the rates for both Preferred Transferable

Membership Slots and Standard Individual Memberships across 12-Month, 3-Month, and Month-to-

Month terms. Price lists must indicate whether the rate applies to a single-facility or a multi-facility/all-access tier, as well as any standard initial credentialing fees for each geographic area. After-hours or weekend activation surcharges are not permitted under this BPA.

11.3. Basis for Award:

Submitted price lists become part of the BPA and are the basis for all price reasonableness determinations and Call awards.

11.4. Partial Coverage Permitted:

A BPA holder is not required to price every geographic tab, area, or membership type listed in

Attachment 02. For any rows, items, or entire geographic tabs not being offered, the Offeror may either clearly mark them as “Not Offered” or leave them blank. If left blank, the Government will interpret the item or area as “Not Offered.”

11.5. Expansion of Geographic Coverage:

A BPA holder may, at any time, propose to expand its service footprint by submitting a revised price list to add pricing for a new geographic area not included in their original BPA. Such expansions shall take effect only after the Contracting Officer has formally reviewed, accepted, and incorporated the revised pricing into the BPA via modification.

11.6. Tax Application and Invoicing:

11.6.1. Base Pricing:

All proposed pricing must be submitted exclusive of the Australian Goods and Services Tax (GST).

11.6.2. Invoicing for GST:

The Contractor is authorized to invoice for applicable GST in accordance with Australian law. To facilitate prompt payment, any invoiced GST should be displayed as a separate line item.

12. SECTION 889 COMPLIANCE (COVERED TELECOMMUNICATIONS EQUIPMENT)

12.1. Compliance Requirement:

The Contractor shall comply with all requirements of RFO 52.240-90, Covered Telecommunications

Equipment or Services—Representation, and RFO 52.240-91, Covered Telecommunications Equipment or Services—Definitions. By submission of an offer, the offeror is representing its compliance with these clauses as detailed in the Provisions and Clauses section of the main solicitation document.
