AOC52.243-1 Changes - Supplement (July 2020)

(a) Definitions.

(1) A “change order” is a unilateral contract modification, signed by the Contracting Officer, which describes a particular change within the general scope of the contract as more fully described by the FAR clause, 52.243-4, “Changes.” A change order directs and authorizes the contractor to begin performance with the changed requirements. The change order description may reference pertinent oral or written directives, provide an adjustment to the contract price and/or time for performance, or direct the contractor to submit a proposal for a cost and time equitable adjustment.

(2) A “supplemental agreement” is a bilateral contract modification, signed by the contractor and

Document Number: AOCACB20R0087 Page 3 of 11 the Contracting Officer, which either authorizes the contractor to begin performance with the changed requirements in accordance with an equitable adjustment agreed to prior to commence-ment of the changed requirements or definitizes a change order after agreement of an equitable ad-justment to the contract.

(3) A “request for proposal” is a request by the Contracting Officer for the contractor to submit a proposal for changed requirements. Such a proposal shall be submitted within the time limit spe-cified in the request and in accordance with the limitations of this clause.

(4) A “Contractor” as used in this clause means a person or entity who has entered into a prime contract with the Architect of the Capitol.

(5) A “Subcontractor” as used in this clause means an individual or business that executes a con-tract directly with the Contractor or a Subcontractor. A Subcontractor as used in this clause does not include suppliers or distributors to the Contractor or a Subcontractor.

(6) A “Pass-Through Subcontractor” as used in this clause means a higher-tiered Subcontractor that is not self-performing work associated with the change order.

(b) Submission of Contractor proposals, cost breakdowns, and time impacts.

(1) Proposals for changed requirements to the contract shall include a brief description of the change; a breakdown of costs as outlined herein; and a time impact analysis (critical path method (CPM) fragnet) if requesting an adjustment of the period of performance.

(2) For changed requirements involving added elements within the general scope of work, omitted elements of work, or any combination thereof, the Contractor shall submit, unless specified other-wise by the Contracting Officer, an itemized breakdown of costs which shall include, but not be limited to:

(i) Direct labor costs by Davis Bacon worker classification, hours, and hourly rate. Labor hourly rates shall be individually itemized by direct labor wage costs, individual payroll tax & expense costs, and individual bona fide fringe benefit costs;

(ii) Direct material quantities and unit costs. If the extended total cost of an individual materi-al exceeds $100.00, the Contractor's proposal shall include the associated material supplier's quotation itemizing those costs;

(iii) Direct equipment costs by equipment, hours performing, and hourly rate. If the extended total cost of an individual equipment exceeds $100.00, the Contractor's proposal shall include the associated equipment supplier's quotation itemizing those costs;

(iv) Overhead (percentage only);

(v) Profit (percentage only); and

(vi) Bonds (percentage only).

(3) If the contractor believes that changed requirements affect the contract period of performance, appropriate substantiation must be submitted. Requests for an adjustment of contract time shall in-clude a narrative description of the time impact created by the changed requirements supported by a fragnet of the project CPM schedule. Even if a schedule other than a CPM schedule is used on the project, all requests for an adjustment of time caused by changed requirements shall be subject to establishing a time impact to the project schedule caused by the changed requirements. If the con-tractor believes that changed requirements do not affect the contract period of performance, the Contractor shall affirmatively indicate that no additional time is required.

(i) Float or slack time available in the schedule at any time shall not be for the exclusive use or benefit of either the Contractor or the Government but is jointly owned. Delay for which the Government is responsible in any portion of the work shall not automatically mean that the extension of the contract completion date is warranted or due the Contractor. Contractor agrees that a delay in any given activity at any given time may not necessarily affect critical activities and may not necessarily cause non-critical activities to become critical. The effect of any given delay may be only to absorb float and may not necessarily delay critical activit-ies. Extensions of time for delays for which the Government is responsible will be granted only to the extent that affected activities exceed the total float along their paths on the current and approved CPM schedule.

(ii) The Contractor must take all reasonable action to avoid or to mitigate the effects of delays, including but not limited to: rescheduling or resequencing the work; accepting other work; and reassigning personnel.

(4) Complete and reasonable proposals shall be submitted by the contractor within (14) four-teen calendar days after request, or as specified in the request for proposals. If complete and reas-onable proposals are not timely received, the Contracting Officer may determine the cost and time impact of the changed requirements and issue a unilateral change order. This determination will be final and conclusive, subject to the contractor's rights of appeal as provided in the Disputes clause of the contract.

(c) Allowable Mark-ups.

(1) Work Self-Performed by Contractor.

(i) The overhead mark-up allowed to the Contractor for work performed solely by the Con-tractor with its forces shall not exceed 10% applied to the Contractor’s direct costs of labor, Document Number: AOCACB20R0087 Page 4 of 11 materials, and equipment.

(ii) The profit mark-up allowed to the Contractor for work performed solely by the Contract-or with its forces shall not exceed 10% applied to the Contractor’s direct costs of labor, ma-terials, equipment, and overhead.

(i) The overhead mark-up allowed to the Subcontractor for work performed solely by the Subcontractor with its forces shall not exceed 10% applied to the Subcontractor’s direct costs of labor, materials, and equipment.

(iii) The combined overhead and profit mark-up allowed to the Contractor for work per-formed by a Subcontractor with its forces shall not exceed 10% or the sum of the profit and overhead rates identified in the Contract Price Section (Section B), whichever is lower, as ap-plied to the Subcontractor’s direct costs of labor, materials, equipment, and overhead. Pass-through Subcontractors are not entitled to additional fees, overhead, or profit on a lower-tiered Self-performing Subcontractor, however the Contractor may distribute any amount of the Contractor’s combined overhead and profit mark-up at their discretion to any Pass-through Subcontractors.

(d) Examples of Overhead costs. Overhead costs include, but shall not be limited to, the items listed below. All overhead costs shall be included in the mark-up rate and not be applied as direct costs unless the changed re-quirements necessitates an adjustment to the period of performance, performance of the change work outside of the Contract’s normal working hours (e.g. additional shifts, overtime hours, premium time, etc.), or other spe-cial circumstances. In these instances, Contractors shall provide sufficient documentation with their proposal justifying why the overhead item should be applied as a direct allowable cost for the Contracting Officer’s con-sideration. The Contracting Officer has the sole discretion to accept or reject any overhead costs applied as dir-ect costs.

Instructions to Offerors

SECTION L - INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS OR RESPONDENTS

ARTICLE 1. PROPOSAL COMPOSITION

1.0 General Instructions: Firms formally and legally organized as joint ventures, consortia of firms organized specifically for this project or any other interested parties may submit proposals. Any legally organized offeror may submit a proposal.

1.1 Proposals should be submitted initially on the most favorable terms from a price and technical standpoint. Do not assume that of-ferors will be contacted or afforded an opportunity to clarify, discuss or revise their proposals.

(A) Proposals shall be submitted in two major subdivisions: Technical Proposal whose content and arrangement shall be as described in the article, “INSTRUCTIONS FOR PREPARING THE TECHNICAL PROPOSAL” of this section, and a Price Proposal, which shall be prepared in detail on a basis as described and set forth in the article entitled, “INSTRUCTIONS FOR PREPARING THE PRICE PROPOSAL” of this section.

(B) The Technical Proposal and the Price Proposal portions of each proposal tendered by any offeror shall each be enclosed in a separ-ate sealed package, identified on its outer surface as to content in the manner prescribed in the article entitled “SUBMISSION, MODI- FICATION, REVISION, AND WITHDRAWAL OF PROPOSALS” of this section and submitted in the following number of copies:

(1) Technical and Price Proposal Electronic Copy – One (1) electronic copy emailed to John Lingamfelter at john.lingamfelter@aoc.gov.

(C) Each offeror may submit one or more proposals; however, each proposal shall be configured as described above, shall be con-sidered on its own merits as to the completeness of submission and shall not share required documentation, bonding, or other require-ments of submission with any other proposal submitted by the same offeror.

(D) Offerors who fail to respond to all technical evaluation factors may be deemed non-responsive to the subject solicitation and their offer rejected without further consideration.

(E) A VIRTUAL pre-proposal meeting will be conducted for all prospective offerors on July 17, 2020 at 10:00AM EST, local time. Please submit name of attendees to Jamie L Morton at jamie.morton@aoc.gov by 7.13.2020 before 11:00AM EST.

All request for information questions shall be submitted no later than 7.24.2020 before 11:00AM EST, local time.

1.2 Technical Evaluation: There will be an evaluation of technical proposals for conformance with the RFP criteria. Proposals must provide adequate detail for evaluators to determine how the Offeror’s proposal meets the RFP criteria. There will be an evaluation of all technical proposals by a Technical Evaluation Panel (TEP). The TEP will use the Lowest Price-Technically Acceptable (LPTA) standards described in the Instructions for preparing the Technical Proposal (Article 2) and Section M Evaluation Criteria (Article 4) to perform their technical evaluation. The TEP’s duty is the assignment of a technical rating of Acceptable or Non-Acceptable for each proposal based solely on the merits of the proposal. There will be no consideration of pricing data during the technical evalu-ation.

1.3 Selection and Award without Discussions: It is the intent of the Government to make award based upon initial offers, without further discussions or additional information. Therefore, submit your proposal on the most favorable terms from a price and technical standpoint. Do not assume you will have an opportunity to clarify, discuss or revise your proposal. If award is not possible from ini-tial offers, discussions will be conducted.

1.4 Competitive Range: The Contracting Officer may establish a competitive range based on the ratings of the proposals. There may be written or oral (i.e., telephonic) discussions with all Offerors in the competitive range. As a result, Offerors may be asked to revise

Document Number: AOCACB20R0087 Page 7 of 11 their initial offers. If an Offeror's proposal is eliminated or otherwise removed from the competitive range during discussions, further revisions to that Offeror's proposal will neither be accepted nor considered. Discussions will culminate in a request for Final Proposal Revisions, the date and time of which will be common to all Offerors. After discussions and the subsequent receipt of final proposal revisions, the TEP may evaluate supplemental information provided by offers, adjust previously assigned technical ratings, and provide a recommendation to the Contracting Officer and/or Source Selection Authority (SSA). The Contracting Officer will consider the TEP’s findings and perform a lowest price-technically acceptable analysis.

1.5 Selection and Award: The Government intends to make an award based on initial offers. The basis of contract award will be low-est price-technically acceptable analysis. Selection will be on the basis of the responsible offer, which conforms to the RFP and rep-resents the most advantageous offer to the Government.

1.6 Debriefings: Unsuccessful Offerors may request a post-award debriefing within three (3) calendar days after the date on which the Offeror(s) received notification of contract award. There will be no point-by-point comparisons with other Offerors’ proposals.

(End of Article 1)
