This is a Draft AIA Document A141-2024 Standard Form of Agreement Between Owner and Design-Builder for the City of St. Petersburg's Marina Redevelopment Project (Project No. 25204-130), a progressive design-build contract for comprehensive marina facilities renovation and construction. The project encompasses design and construction services for floating docks, dock houses, ship store renovation or replacement, fueling facilities, seawalls adjacent to the North, Central, and South Marina Basins, a bridge connecting to Demens Landing, and associated infrastructure. The Design-Builder will provide pre-construction services including conceptual design, cost modeling, value engineering, and risk management, followed by construction phase services. The solicitation was released on October 28, 2025, with qualifications due by December 2, 2025, at 3:00 pm. The City will conduct shortlisted firm interviews on January 13, 2026. The project requires substantial completion within 60 months from the Notice to Proceed, with the Design-Builder responsible for permitting, inspections, and sequencing the phased replacement or selective rehabilitation of existing marina elements.
The contract operates on a Guaranteed Maximum Price model with a total construction budget of $148,000,000. Compensation for pre-incorporation design services is limited to amounts specified in Exhibit C, with the Design-Builder bearing all out-of-pocket expenses including transportation, lodging, meals, and materials. Upon Design-Build Amendment Exhibit incorporation, the Owner pays the Contract Sum as stated in that exhibit. Liquidated damages are assessed at a rate specified per calendar day for delays, capped at 100% of the Design-Builder's Fee. The City requires compliance with Florida Statute requirements including E-Verify employment verification and scrutinized company prohibitions under section 287.135. The Design-Builder must comply with Small Business Enterprise requirements under St. Petersburg City Code Chapter 2, Article V, Division 4, designating a specified percentage of construction work to certified SBEs or demonstrating good faith efforts. Insurance requirements include $10,000,000 in Commercial General Liability, $5,000,000 in Pollution/Environmental Liability, and $5,000,000 in Professional Liability. A Public Construction Bond equal to the cumulative Guaranteed Maximum Price must be provided by a surety with an "A" rating and Class VII financial category. The contract incorporates Florida public records laws, requires green certification compliance for qualified municipal buildings, and includes provisions for open book accounting with Owner audit rights throughout the project.
