About this file

This document is a Draft AIA Document A141 - 2024 Exhibit B Design-Build Amendment for a construction project. The document outlines the terms of a design-build contract, including a Guaranteed Maximum Price (GMP) arrangement between an Owner and a Design-Builder. The contract covers the performance of Construction Work, with key elements including the Contract Sum, Contract Time, and detailed provisions for cost reimbursement, payment procedures, and project management.

The contract establishes a comprehensive pricing structure based on the Cost of the Work plus the Design-Builder's Fee, with a Guaranteed Maximum Price. The Design-Builder will be compensated for approved costs, with a specified fee percentage and a cap on total project expenses. The document includes provisions for progress payments, contingency funds (both Design-Builder and Owner contingencies), and detailed guidelines for reimbursable and non-reimbursable costs. Critical financial protections are included, such as the Design-Builder's responsibility to cover any costs that would cause the Guaranteed Maximum Price to be exceeded, and specific requirements for documenting and approving project expenses.
