About this file
This document is Addendum No. 2 for RFQ 2501600 issued by the City of Leesburg, Florida, pertaining to Professional Real Estate Broker Services. The addendum provides clarifications and responses to 12 specific questions from potential bidders, addressing key aspects of the solicitation such as insurance requirements, commission structures, and service expectations. The city is seeking a real estate brokerage firm to provide full services for selling surplus city-owned properties, explicitly stating they are not interested in public auction methods and require comprehensive brokerage services.
The addendum clarifies critical details about the procurement, including that the Certificate of Insurance must be included in the proposal, fees will be paid via seller commission, and the city will only issue payment to the contracted firm. The city will follow state law and industry standards on commissions and fees, and is seeking a broker capable of disposition, sale, and full real estate brokerage services. The document emphasizes that the solicitation is for full real estate brokerage services, including the sale of surplus property, and bidders should not include the sample Professional Services Agreement in their submittal. Notably, the city has determined that traditional brokerage methods will better serve taxpayer interests compared to alternative sales approaches like public auctions.

The City makes the following changes, additions, deletions, information, and/or clarifications and now considers the addendum a part of the Invitation for Bid (IFB) Document. Bidders must acknowledge receipt of this addendum. If the bidder has already submitted the Proposal Form to the City’s Purchasing Division, the Bidder should revise their electronic submission to include this addendum or sign and return this addendum in a sealed envelope. The envelope should include the company name and address, the bid number, opening date and time, and "Addendum No: 2. In any case, the submission of a bid is an acknowledgment of receipt of the addendum. The City will construe all bids received as though the Bidder has received and acknowledged the addendum.
Below is the City’s reply to RFIs (Request for Information – a/k/a bid inquiries or questions) submitted by interested parties by the posted deadline to submit RFIs.
Q1. Will we need to provide in our proposal a Certificate of Insurance or can that be submitted upon bid award?
A1. Certificate of Insurance is to be included in your proposal. General, Auto, Workers’ Compensation.
Q2. Will the City seriously consider, employing a Florida-licensed real estate broker, who sells real estate by public auction rather than traditional list/sell brokerage methods and if not, specifically, why not?
A2. No. The City has decided that contracting these services will better benefit the taxpayers.
Q3. Has the City ever sold real estate by public auction and if so, when?
A3. No. The City has determined that using a professional real estate brokerage service aligns with best practices and will best serve the City in achieving its objectives.
Q4. Are there any real estate brokerage firms currently under contract with the City, and if so, which one(s)?
A4. No.
Q5. As licensed real estate brokers and auctioneers, we are normally compensated on a commission paid by the Buyer in the form of a Buyer Premium. Is that acceptable or will the City require us to bill the City on an hourly basis for our services?
A5. The City is not interested in auction sale of properties.

Professional Real Estate Broker Services
Addendum No. 2
Q6. Will the City reimburse us for our pre-budget and pre-approved out-of-pocket marketing and advertising costs to sell real estate owned by the City?
A6. No
Q7. Our firm only does disposition work. We do not do acquisition or leasing work. Will that preclude our firm from being awarded a contract? We specialize in dispositions by public auction because we routinely sell government agency-owned real estate for more than market value appraisal.
A7. The solicitation request providing full real estate brokerage services that includes the sale of surplus property owned by the City.
Q8. With respect to Seller-paid commission rates, our firm collects our commission from the Buyer in the form of a Buyer Premium where the Buyer, rather than the Seller, pays our commission. In that case, for item A and in the matrix below in this form, we would put 0%. Is that acceptable? For Marketing and Advertising, that's the only fee we ask the Seller to pay.
A8. Fees will be paid to the contracted firm via seller commission.
Q9. In the Proposal Bid Form (page 33) does the city allow for sharing of commissions (co-brokering) with a cooperating broker?
A9. The City will only issue payment to the firm under contract with the City as a result of this solicitation.
The form has an area for the commission payable by the seller of a property which is the city in this case. A brokerage listing a city property for sale may have buyer’s representatives ask if the seller’s agent will be sharing the fee. That would mean that a portion of the fee being charged to the city will be split between the selling brokerage and the buyer's brokerage.
Q10. Is this allowed?
A10. The City will follow State Law and industry standard on commissions and fees.
Q11. Is buying property for the city not in the scope of work?
A11. The solicitation is requesting for full real estate brokerage services.
Q12. Should the sample Professional Services Agreement be listed as Addenda? If so, what number should be assigned to it?
A12. No. This is only a sample. Do not include the sample agreement in your submittal.
