The Department seeks proposals from qualified manufacturers to design, manufacture, test, furnish, deliver, and performance test a base order of 10 DMUs with associated goods and services including spare parts, training materials, manuals, special tools, and diagnostic equipment. The RFP also includes options for up to 40 additional DMUs and a DMU Operation Training Simulator. Questions must be submitted through the Bonfire eProcurement Platform by February 6, 2026, with a final addendum issued by February 11, 2026, and proposals due February 16, 2026. The Department anticipates award between March 9 and May 12, 2026, with Notice to Proceed 1 scheduled for June 22, 2026, and Notice to Proceed 2 twelve months thereafter. The procurement is structured as a cooperative procurement under Utah Code 63G-6a-2105(4)(b), allowing other public transit providers throughout the country to purchase vehicles under the resulting contract. A single contractor will be selected based on best value analysis combining technical and price evaluation criteria.
Proposals will be evaluated on a 1,000-point scale with 700 points allocated to technical factors including technical approach to work, schedule credibility, major subsystems and system integration experience, prior experience, organization and key personnel, and vehicle life cycle support, and 300 points for price proposals. All prices must be submitted in U.S. dollars with no escalation allowed for the base order, and proposers must provide certified cost or pricing data if adequate price competition is not demonstrated. Financial responsibility requirements include submission of three years of audited financial statements, evidence of ability to obtain required insurance, and a performance guarantee equal to 100 percent of the total contract price. The Department is exempt from federal excise and transportation taxes and state and local sales taxes, which must not be included in pricing. This procurement is subject to federal requirements including Buy America certification per 49 USC 5323(j) and 49 CFR Part 661, DBE requirements under 49 CFR Part 26, and FTA regulations. All proposals must remain valid for a minimum of 180 calendar days, and the Department reserves the right to request Best and Final Offers, conduct factory visits, reject any proposals, and cancel the procurement at any time before full execution.

(DMUs). The Work shall also include delivery of data, manuals, drawings, training and support services, spare parts, special tools and test equipment as described in the RFP. It is anticipated that this solicitation will result in an award to a single contractor.
The Work under the Contract will be set out as follows:
a. Base Order:
A base quantity of 10 DMUs and associated goods and services such as spare parts, training materials and parts and maintenance manuals, special tools and diagnostic equipment as described in the Contract;

i. Option for up to 40 additional DMUs and associated goods and services as described in the Contract, if exercised in the sole discretion of the
Department;
ii. Option for DMU Operation Training Simulator.
This Contract is part of a cooperative procurement under Utah Code 63G-6a-2105(4)(b), where the Work procured herein may be available for purchase by other public transit providers throughout the country.
The Department reserves the right to assign, in whole or in part, any of the options described in this RFP to one or more public transit providers (whether or not named herein) designated by the Department. To the extent the Department assigns its options to a third party, the third party will be solely responsible for all obligations with respect to the assigned options, and any contracts related thereto. If the
Department assigns, in whole or in part, an option to one or more public transit providers (whether or not named herein), the Department reserves the right for the public transit provider to vary the design or customize the DMU based on that particular public transit provider's preference, understanding that price may vary as a result of such design or customization. Any public transit provider who the Department designates as an assignee under the Contract must sign a participating addendum describing its rights and obligations under the Contract.
This procurement replaces procurement UDOT250192MP, which the Department released on July 1, 2025. For Proposers’ reference, the Department has included redlined versions of this RFP showing changes from the earlier procurement.

IP 8. DBE Requirements for Transit Vehicle Manufacturers
All respondents will be required to comply with the FTA’s DBE requirements found in 49 CFR Part 26 and referenced in the Federal Requirements section of the RFP. Only those transit vehicle manufacturers listed on FTA's eligible TVMs list, or that have submitted a goal methodology to FTA that has been approved or has not been disapproved, at the time of this solicitation will be eligible to submit a Proposal in response to this RFP. A Proposer, as a condition of responding to this RFP, must so certify, by completing form CER 7.6, DBE Approval Certification, Transit Vehicle Manufacturer Certification provided in Exhibit B.
IP 9. Buy America Certification
The Contract is subject to the “Build America, Buy America” (Pub. L. No. 117-58 §§ 70901-17) and its implementing regulation 2 C.F.R. Part 184, the requirements of 49 United States Code (USC) §5323(j) and 49 Code of Federal Regulations (CFR) Part 661, as may be amended from time to time, and any other applicable federal laws, regulations, or guidance. Proposers’ attention is directed to 49 CFR
§661.11, “Rolling Stock Procurements.” Proposers have the responsibility to comply with the cited and any governing statutes and regulations, including official interpretations.
A Proposer shall submit to the Department the appropriate Buy America certification, included in the
Federal Clauses section of the RFP. Proposals that are not accompanied by a properly completed Buy
America certification are subject to the provisions of 49 CFR 661.13 and may be rejected as nonresponsive.
The two signature blocks on the Buy America certificate are mutually exclusive. Proposers shall sign only one signature block on the certificate. Signing both signature blocks will make the Proposal nonresponsive. A false certification is a criminal act in violation of 18 USC §1001.

INSTRUCTION TO PROPOSERS Page | 6
A Proposer who has submitted an incomplete Buy America certificate or incorrect certificate of noncompliance through inadvertent or clerical error (but not including failure to sign the certificate, submission of certificates of both compliance and noncompliance, or failure to submit any certification), may submit to the FTA Chief Counsel within ten (10) days of Proposal opening a written explanation of the circumstances surrounding the submission of the incomplete or incorrect certification in accordance with 28 USC §1746, sworn under penalty of perjury, stating that the submission resulted from inadvertent or clerical error. The Proposer will also submit evidence of intent, such as information about the origin of the product, invoices, or other working documents. The Proposer will simultaneously send a copy of this information to the Department.
The FTA Chief Counsel may request additional information from the Proposer, if necessary. The
Department may not make Contract award until the FTA Chief Counsel issues his or her determination, except as provided in 49 CFR Part 661.15(m).
Certification based on ignorance of proper application of the Buy America requirements is not an inadvertent or clerical error.
A waiver from the Buy America provisions will be sought by the Department from the FTA, for the proposed awardee, if the grounds for a waiver exist. All Proposers seeking a waiver must submit to the
Department a timely request in writing, which shall include the facts and justification to support the granting of the waiver. Such waiver from the Buy America provisions may be granted if the FTA determines the following:
1. The application of the Buy America provisions would be inconsistent with the public interest;
2. Materials are not produced in the United States in sufficient and reasonably available quantities and of a satisfactory quality; or
3. Inclusion of domestic material will increase the cost of the overall Contract by more than 25 percent.
Any party may petition the FTA to investigate a successful Proposer’s compliance with the Buy America certification. The procedures are set out in 49 CFR Part 661.15. If the FTA determines the evidence indicates noncompliance, the FTA will require the Department to initiate an investigation. The successful Proposer has the burden of proof to establish compliance with its certification. If the successful Proposer fails to demonstrate compliance, then the successful Proposer will be required to substitute sufficient domestic materials without revision of the original Contract terms. Failure to do so will be a breach of the Contract and may lead to the initiation of debarment proceedings under 49 CFR
Part 29.
IP 10. Exceptions
Proposers may identify any exceptions to the terms and conditions contained in the Contract Documents on CER 12: Exceptions to Terms and Conditions of the Contract Documents. Proposers should note that as part of the Request for Clarifications process described in IP6, Proposers are required to raise any topics or issues relating to proposed exceptions to the terms and conditions contained in the Contract
Documents. In considering the proposed exceptions contained in CER 12, the Department may only consider proposed exceptions to the terms and conditions contained in the Contract Documents that would represent a material change to the Contract Documents if those proposed exceptions were previously raised by the Proposer in the Request for Clarifications process described in IP 6 and where the Department did not modify the Contract Documents in an addendum. The Department will evaluate proposed exceptions in its sole discretion and is under no obligation to accept any proposed exceptions to the terms and conditions. By submitting a Proposal, Proposer agrees to execute the Contract
Documents in the form included in the RFP without modification. A Proposer’s price proposal may not be conditioned on the Department’s acceptance of the exceptions contained in CER 12, and the prices
INSTRUCTION TO PROPOSERS Page | 7 submitted in the price proposal must be based on full compliance with the Contract Documents without the Department’s acceptance of the exceptions contained in CER 12. The Department and the selected
Proposer may negotiate the items contained in CER 12 and adjust the Contract Price if the Department’s acceptance of a proposed exception warrants such adjustment.
IP 11. Protest Procedures
All protests with respect to this RFP must be in writing and will follow the requirements in Utah Code
§63G-6a-1602 et seq and Utah Administrative Code R33-16. Deliver a written copy of any protest to:

Any protest not set forth in writing within the time limits specified in Utah Code §63G-6a-1602 is null and void and will not be considered.
IP 11.1 Appeal
A notice of appeal must be delivered by the Protestor within seven (7) calendar days of the date of the
Procurement Officer’s decision. A notice of appeal addressed as follows:

IP 11.4 FTA Review
After administrative remedies have been exhausted, an interested party may file a protest with the
Federal Transit Administration of the U.S. Department of Transportation pursuant to the procedures provided in the FTA Circular 4220.1G or successor circulars. FTA review is limited to matters primarily of federal concern.
Alleged violations of certain Federal requirements provide a separate complaint procedure. See, for example, Buy America Requirements, 49 CFR 661 (Section 661.15) and Participation by Disadvantaged
Business Enterprise in Department of Transportation Programs, 49 CFR 26.49.
