About this file
This document is Amendment 1 to Solicitation 86615524R00007 for Multi-Family Master Sub-Servicer (MF MSS) Support Services issued by the U.S. Department of Housing and Urban Development. The amendment provides government responses to vendor questions, the Extinguishment Standard Operating Procedure, and the MF MSS Portfolio Seizure Management Standard Operating Procedure. The solicitation is for a single award Indefinite Delivery Indefinite Quantity (IDIQ) contract with Firm Fixed Priced (FFP), Time and Materials (T&M), and hybrid task orders. The anticipated program ceiling is $25,000,000 over a 3-year ordering period with a 1-year base period and two 12-month option periods. The government will utilize a best value trade-off process to evaluate proposals. The solicitation is being competed on a full and open basis.

Vendor Questions and Government Responses to RFP 86615524R00007, Amendment 1
Multi-Family Master Sub-Servicer (MF MSS) Support Services
Question Number
Reference Section (Attachment #/Page #) Section/Paragraph Question Government Response
1 RFP & PWS
RFP B.1 page 2 / B.6 - PWS 1.6
B.1. page 2 states the ordering period is three 12-month periods and B.6 states it is for 1 base year and 4 option years, for a total of 5 years. Is this procurement for 3 or 5 years?
Base year plus 4 12-month Option periods.
2 Form 336 9
Section 5.10, Content Management, appears to be misnumbered and should be 5.9, as the list goes from 5.8 to 5.10 and 5.9 in the option years is Content Management. Is there a missing item? (See next question)
That does not appear to be the case in our review of the PWS. 5.9 is Transition Out in the table of contents and the task are also numbered correctly.
3 Form 336 46
There is a Transition Out Item, however there is no Transition In Item. Should this be 5.10 under Base year and 5.9 is Content Management?
There is no Transition In item as there is no portfolio to transition.
4 RFP
Section C, C.4 HUDAR 2452.237-70 Key Personnel
Please confirm Key Personnel includes one Contract/Program Manager, one alternate Contract/Program Manager, and one In-House Counsel. Yes.
5 RFP
E.5, (e) Past Performance, Bullet 1
How many past performance references are allowed from the prime and how many are allowed from a subcontractor/joint ventures/partners, or other entity with more than 20% of the contract value?
In accordance with the solicitation, 5 is the maximum Past Performance submissions that will be reviewed. For each subcontractor/joint ventures/partners, or other entity with more than 20% of the contract value, no more than 1 past performance for each submission will be reviewed and the remaining past performance submissions should be for the prime.
6 RFP
E.6, Factor 3 Past Performance
The RFP states "for this solicitation, magnitude is defined as the offeror(s) having serviced at least 100 Ginnie Mae MF MBS pools within the last 12 months before submitting their final proposal and most recent field review must have no unmitigated findings." If the offeror can demonstrate relevant similar experience, is that acceptable or does it have to be for Ginnie Mae only? Ginnie Mae program only.
7 Attachment 2 QASP 1. Vision
The QASP states "The Government National Mortgage Association (Ginnie Mae) seeks to obtain the services of an Issuer approved under the Ginnie Mae multifamily (MF) mortgage-backed securities (MBS) program with the demonstrated experience and management capability to service pools of MF loans obtained from Issuers that have been subject to a T/E/S under the MBS program (Extinguished Issuer)." Only the QASP mentions the above requirement, not the RFP or PWS - is this a requirement to bid to provide these services?
The Offerors are to bid on the tasks provide in the PWS.
8 Attachment 2 QASP 1. Vision
The QASP states "The Government National Mortgage Association (Ginnie Mae) seeks to obtain the services of an Issuer approved under the Ginnie Mae multifamily (MF) mortgage-backed securities (MBS) program with the demonstrated experience and management capability to service pools of MF loans obtained from Issuers that have been subject to a T/E/S under the MBS program (Extinguished Issuer)." If required, does the prime contractor have to have this approval, or can a subcontractor or teaming partner meet this requirement?
All parties, individually or as a team must be approved.
9 Attachment 6 - Subcontracting Plan N/A
To fulfill the requirement for a subcontracting plan, can the contractor provide only Attachment 6, completely filled out, or is a narrative also required?
Please submit in accordance with the solicitation and Attachment 6.
10 Attachment 2 QASP 1. Vision
The QASP states "The Government National Mortgage Association (Ginnie Mae) seeks to obtain the services of an Issuer approved under the Ginnie Mae multifamily (MF) mortgage-backed securities (MBS) program with the demonstrated experience and management capability to service pools of MF loans obtained from Issuers that have been subject to a T/E/S under the MBS program (Extinguished Issuer)." Would this not create a Conflict of Interest having an approved Issuer auditing and reviewing other approved issuers in order to designate them as terminated and an extinguished issuer? We suggest a major subcontractor (with at least 20%) to be able to have the desired GM servicer experience as one way to mitigate this conflict.
The Contractor would not be evaluating or auditing another Issuer. The Contractor would only be exercising Ginnie Mae’s right to T/E/S an Issuer at the direction of Ginnie Mae and fulfill the tasks under the contracts.
11 RFP, Page 46 Management Plan
The Government requests details regarding a Quality Control Plan. Does the Government want a complete QCP, or just a general description of the features of such a plan? If the Government requires a complete QCP, can this be submitted as an Appendix excluded from page count?
A complete Quality Control Plan. This can be submitted as an Appendix to the Technical Proposal and will be excluded from the page count.
12 RFP, Page 51
FACTOR 3 – PAST
PERFORMANCE
If the past performance of major subcontractors is used to demonstrate scope, value, or magnitude, will this subcontractor past performance be weighted the same as prime past performance? If subcontractor past performance will receive different weighting, how will that weighting be calculated? They will be weighed the same.
13 RFP, Page
FACTOR 4
SOCIOECONOMIC
PARTICIPATION
The evaluation criteria as presented for Factor 4 prevent an other than small offeror from receiving a rating of Excellent or Good. Is this intentional, and if so is this in conflict with releasing this procurement as full and open?
The government supports the use of small business subcontracting participation and agency goals in accordance with Federal Acquisition Regulation for unrestricted requirements.
14 RFP
E.6, Factor 3 Past Performance
If the Prime does not have experience servicing at least 100 Ginnie Mae MF MBS pools within the last 12 months with no unmitigated findings, and the subcontractor does have this experience, then is this permitted and desirable for Ginnie Mae? The prime contractor may have desirable experience (i.e., FedRamp) with a major subcontractor with the Ginnie Mae servicer experience.
The Prime must be an approved MF Issuer and can team/subcontract with other MS Issuers to fulfill the tasks under the contract.
15 Attachment 2 QASP 1. Vision
If the Prime is not an Issuer approved under the Ginnie Mae multifamily (MF) mortgage-backed securities (MBS) program but a subcontractor is an approved Issuer with the demonstrated experience and management capability to service pools of MF loans obtained from Issuers that have been subject to a T/E/S under the MBS program, then is this permitted and desirable for Ginnie Mae?
No. The Prime must be an approved MF Issuer.
16 Attachment 2 QASP 1. Vision
Given Ginnie Mae's requirement for a master subservicer that is also an approved lender, how does Ginnie Mae plan to address potential conflicts of interest to ensure a level playing field for all subservicers? Specifically:
1. What measures will Ginnie Mae implement to prevent self-dealing and ensure that the master subservicer does not unduly favor its own interests over those of other subservicers?
Offeror’s will be evaluated against the Solicitation evaluation criteria.
2. How will Ginnie Mae maintain transparency and accountability in this arrangement to prevent any bias and ensure fair competition among all participants?
Offeror’s will be evaluated against the Solicitation evaluation criteria.
3. Could Ginnie Mae consider leveraging the expertise and experience of specialized subcontractors to fulfill the master subservicer role while maintaining an independent and impartial oversight structure?
Provide a response in accordance with the solicitation and the Government will evaluate proposals in accordance with the evaluation criteria.
20 PWS 5.8.1 Federal IT Security
Based on the information system security requirements, scale, and nature of information managed under the contract; would the Government benefit from a Prime with significant HUD IT security experience overseeing an approved issuer as a major subcontractor?
Please provide a solution in accordance with the solicitation/PWS.
21 PWS 5.8.1 Federal IT Security
Based on the information system security requirements, scale, and nature of information managed under the contract; would the Government benefit from a Prime with significant HUD IT security experience overseeing an approved issuer as a major subcontractor? Could this approach provide additional benefits in terms of compliance, risk management, and operational efficiency, given the Prime's significant experience with HUD's IT security protocols?
Please provide a solution in accordance with the solicitation/PWS.
22 Attachment 2 QASP 1. Vision
Would the Government consider a Prime with significant HUD experience in IT and program management with a subservicer as a major subcontractor? Could this approach provide additional benefits in terms of compliance, risk management, and operational efficiency, and given the Prime's significant experience could this provide a mitigation of perseved OCI?
Please provide a solution in accordance with the solicitation/PWS.
Can you please provide the name of the Incumbent Contractor and provide the currently active contract number? See question #28
What is the current GNMA Multifamily Subservicer Portfolio size / Pools, Loans, number of units and types of units?
There is no MF portfolio that is being MSS and there is no incumbent.
Can GNMA provide the current and historical volumes to include the number of Terminations/Extinguishment/Seizure (T/E/S) events by year the number of Pools and Loans that were transitioned, as well as the monthly number of Operational Reports and Accounting reports? The reports will allow for the analysis of the portfolio to determine the labor size and mix. 1. There current is no portfolio.
2. Reports – under development/MSS would work with GNMA to test and implement them
Clarify the contract duration for the solicitation below, I see both 3 total years and 5 total years within the attached documents.
5 Year contract – 12-month base period plus 4 12-month option periods.
Is a brand new contract OR if there is (was) an incumbent performing these services.
There has not been a contract in place for these services since 2016.
If not brand new, could you please provide the current / previous contract number?
It was awarded to CWCapital and during the contract, Walker & Dunlop bought CWCapital, and the contract was novated to Walker & Dunlop. The contract number was C-
OPC-23792.

Would the Government consider extending the offer due date to 10/1? Or 11/1?
Not at this time as the Government is looking to award this as soon as possible.
30 PWS / 7 Period of Performance Would the government entertain or look favorable upon a 3-year base term with 2 12 months options to extend versus 1 base 12 month base term with 4 12 month options?
Reason for the inquiry:
Carrington is able to form a Teaming arrangement with a top three (pooled
GNMA
receivables) GNMA approved multifamily Issuer that has the necessary FHA and USDA licensing for MF loan products, apartment buildings, hospitals, residential care facilities including nursing homes, assisted-living facilities, and board and care facilities.
Due to Congressional requirements, the period of performance will remain as a 1-year base plus 4 12-month option periods
31 PWS 5.1.1.2 Integrated Extinguishment Response Plan In an effort to create a Readiness Assessment Drill Plan, can the Government provide some insight to the termination scenarios the contract should take into consideration
Factors such as:
1. Minimum Loan Count and UPB to hold infrastructure and systems capacity
2. Would the government entertain holding staffing / headcount capacity
3. Does the government have a preference on portfolio mix and delinquency mix
Reason for inquiry: In an effort to model out the capacity model, Carrington would like to understand the size an scope of a potential default scenario that should be considered with setting aside/reserving capacity for this arrangement.
Attached, is the MF MSS Portfolio Seizure Management SOP and the Extinguishment SOP.
1. Minimum portfolio size should equal a small Issuer-greater than 2,500 and less than or equal to 10,000 loans, medium Issuer-greater than 10,000 and less than 75,000 loans and large Issuer-greater than 75,000 and less than or equal to 400,000 loans.
2. I'm not sure what they mean by this questions.
3. no Please note that the MSS must be a MF Issuer.
32 PWS 5.1.2 Reports Will the government desire to implement Accounting Reports and or SLDB or something similar?
Yes, the contractor will be working with finance to create or update existing reports that may feed into Ginnie Mae's subledger database.
33 PWS 5.2.4 Draw Requests Will construction loan draw requests be funded by the Government or the servicer?
Ginnie Mae currently does not have any defaulted portfolios. As part of this contract, Ginnie Mae will collaborate with the MF MSS team as a Subject Matter Expert (SME) to finalize details related to accounting practices, particularly those specific to the MF program like construction draws.
34 Attachment 4 Sample Price Breakdown CLIN Will the government entertain a modified fee structure for the different asset classes included in this solicitation: MF loan products, apartment buildings, hospitals, residential care facilities including nursing homes, assisted-living facilities, and board and care facilities.
Meaning different service fee categories for each loan product type?
Similar to the different pricing structures for forward and reverse mortgage.
There only two major categories Construction loans and Permanent loans.
