About this file

This is Amendment 0002 to the JWCC UCM Core Indefinite Delivery/Indefinite Quantity (IDIQ) contract solicitation issued by the Defense Information Systems Agency (DISA) through the Defense Information Technology Contracting Organization (DITCO) at Scott Air Force Base, Illinois. The amendment extends the proposal submission deadline to no later than Wednesday, November 18, 2026 at 11:00 a.m. Central Time and provides Government responses to industry questions submitted during the solicitation period. The solicitation establishes a requirements contract for Cloud Service Offerings (CSOs) under the Joint Warfare Cloud Capability (JWCC) Unified Cloud Management (UCM) Core program, which will operate as a multiple-award IDIQ contract enabling authorized federal contracting offices to issue task orders for cloud services, software, support, and tactical edge hardware. The contract employs a consumption-based billing model with firm-fixed-unit-pricing for cloud services, structured around six primary CLINs for different service categories plus additional CLINs for external ordering agency fees and option pricing. Contractors must comply with the Cloud Computing Security Requirements Guide (CC SRG), maintain infrastructure control to enable rapid security mitigation, support Government data portability and destruction requirements, and adhere to section 508 accessibility standards where applicable.

Award is anticipated to be made on an IDIQ basis with contractors required to participate in fair opportunity processes for individual task orders and accept task orders within 30 days of contract award. The contract incorporates strict security and compliance requirements including organizational conflict of interest mitigation, property management procedures for Government-furnished and contractor-acquired property, cybersecurity incident reporting obligations, and comprehensive insurance requirements (workers' compensation at $100,000 minimum, general liability at $500,000, and automobile liability at $200,000/$500,000). Contractors must support third-party marketplace offerings with appropriate DoD authorizations, provide consumption usage tracking tools to the Government, notify the Government at 50 and 75 percent of CLIN ceiling thresholds, manage quarterly reporting for external orders, and ensure all license agreements and service level agreements comply with the Government's mandatory addendum requirements. The contract period of performance and pricing structure are detailed in attachments J-3 (JWCC UCM Core Catalog and Discounts) and supporting contract data requirements lists.

G2 LINE ITEM AND CONTRACT/ORDER CLOSEOUT (OCT 2021)

Dormant and/or excess funds consist of funds that are primarily in “expired” or “cancelled” status. Expired funds are no longer available for new obligations, but are available for upward adjustments and payments on prior obligations to include payments on contractor invoices. Cancelled funds are no longer available for upward adjustments to obligations or to pay contractor invoices.

Timely contract closeout of the entire contract/order and of completed individual contract line item number(s) (CLIN) and/or sub line item number(s) (SLIN) is a priority under this contract/order. As such, the Contractor shall submit a final invoice no later than ninety (90) calendar days after the expiration of this contract/order and/or at the expiration of any individual CLIN(s)/SLIN(s) that expire before the final expiration of the contract/order (i.e., end item(s) was scheduled to be delivered or the period of performance (base or option year) was completed), unless the contractor requests and is granted a written extension by the Contracting Officer. In addition, and concurrent with the submission of the final invoice for a specific CLIN/SLIN or for the contract/order in its entirety, the contractor shall notify the Contracting Officer of the amount of excess funds that can be deobligated from the CLIN/SLIN or contract/order so the deobligation of any excess funds can be completed as soon as possible.

After ninety (90) days from expiration of a CLIN/SLIN, end item delivery, or contract/order in its entirety, unless an extension had been requested and granted by the Contracting Officer in writing, a bilateral contract/order modification to deobligate excess funds and/or closeout the contract/order in its entirety will be forwarded to the contractor by the Contracting Officer. The modification must be signed and returned to the Contracting Officer within thirty (30) calendar days of receipt . A contractor’s failure to respond and/or sign the bilateral modification within thirty (30) calendar days of receipt will constitute approval of the terms of the modification and the modification will subsequently be processed unilaterally by the Contracting Officer to deobligate excess funds and/or closeout the contract/order.

Communications with the contractor will be conducted with the identified Point(s) of Contact (POC) identified in G1 of this contract/order. Should a change in POC be required, the contractor shall immediately notify the Contracting Officer.

G4 SUBMITTING CREDITS TO DISA – WAWF CONTRACTS (DEC 2023)

If the contractor owes DISA money, the following methods shall be used to process the credit. These are the only methods approved for processing credits; checks will not be accepted.

1. Include Credit in Current Invoice in Wide Area Work Flow (WAWF). The contractor may only use this method if the total invoice amount (current charges minus credit amount) is greater than $0.

2. Submit a Stand-alone Credit Invoice in WAWF. The contractor may only use this method if a future WAWF invoice(s) will be submitted, and the total of the future invoice(s) exceeds the credit amount. DISA will offset the payment of the future invoice(s) by the credit amount.

3. Zero Dollar Invoice in WAWF. The contractor may only use this method to move a previously paid amount on a CLIN/ACRN to a different CLIN/ACRN. The $0 invoice in WAWF shall include a credit to the incorrect CLIN/ACRN and a positive amount to the correct CLIN/ACRN. An alternative method to moving a previously paid amount on a CLIN/ACRN to a different CLIN/ACRN is to submit two invoices: one credit invoice for the incorrect CLIN/ACRN and one invoice for the correct CLIN/ACRN.

4. Pay.gov. The contractor may only use this method if none of the above credit methods are feasible. To submit a credit via Pay.gov, the contractor shall complete the form at https://www.pay.gov/public/form/start/999077677.

When submitting a credit line on an invoice in WAWF, the contractor shall ensure the 4-digit CLIN is listed in the Item Number field and the ACRN is listed in the ACRN field. Invoices referencing an infoSLIN or invoices missing an ACRN for every CLIN will be rejected.

(End of text)

G5 CONTRACTING AND ADMINISTRATIVE AUTHORITY

a. The contract will be administered by the Defense Information Technology Contracting Organization (DITCO). The contracting officer (KO) at DITCO-Scott (PS8512), 2300 East Drive, Scott AFB, IL 62225- 5406, is the only person authorized to approve changes or modify any of the requirements contained elsewhere in this contract; the stated authority remains solely in the KO. In the event the contractor effects any such change at the direction of any person other than the KO, the change will be considered to have been made without authority and no adjustment will be made in the contract costs to cover any increase incurred as a result thereof.

b. The contractor shall submit requests for modifications of this contract to the KO with a copy of the request to the KO’s representative as designated in the KO’s representative appointment letter.

c. Contractual problems, of any nature, that may arise during the life of this contract must be handled in conformance with very specific public laws and regulations (i.e., Federal Acquisition Regulation). Only the KO is authorized to formally resolve such problems. Therefore, the contractor is hereby directed to address all such contractual problems to the immediate attention of the KO.

d. Request for information on matters related to this contract, such as explanation of terms and contract interpretation, shall be submitted to the KO.

G6 CONTRACT MANAGEMENT, ROLES, AND RESPONSIBILITIES

Notwithstanding the contractor’s responsibility for total management during the performance of this contract, the administration of the contract requires maximum coordination between the Government and the contractor. The following individuals will be the Government points of contact during the performance of the contract:

a. Contracting Officer (KO).

(1) Contract Administration. All contract administration will be effected by the contracting officer.

The KO is the sole and exclusive Government official with actual authority to award or to modify the ID/IQ contract. In the event that the designated KO is unavailable to sign a contract action, DISA reserves the right to authorize another warranted Contracting Officer to execute official contracting documents on their behalf. Communications pertaining to contractual administrative matters shall be addressed to the KO. No changes in or deviation from the scope of work shall be effected without a written modification to the contract executed by the KO authorizing such changes.

(2) Designation of Representatives. The KO may designate individuals to act as the contracting officer’s representative (COR) under any resultant task order. CORs may provide technical guidance in direction of the work, but they will not be authorized to change any of the terms and conditions of the contract or task order. CORs will be designated by a letter of appointment from the KO.

b. Contracting Officer Representative (COR). The COR supports the KO in the general management of the program. The COR is responsible for monitoring the ID/IQ contracts and programmatic issues on an ID/IQ contract level. A letter of designation is issued to the COR, a copy of which is sent to the contractor, which specifically states his/her responsibilities and limitations. The COR’s authority does not include the ability to authorize work not already in the contract or to modify the terms and conditions of the contract. All communication with agencies of the Government and interface with other contractors required in the performance of this contract shall be accomplished only through the direction and with the coordination of the COR. The responsibilities and limitations of CORs are contained in the DoD/DISA COR Handbook.

The duties of the COR will be outlined in the COR Designation Letter distributed upon award.

c. Technical Coordination.

(1) Performance of work under this contract shall be in compliance with the Performance Work Statement (PWS) and terms and conditions of any approved task orders. The contractor shall use the PWS together with other applicable portions of the basic award as a basis for the description of its capabilities and ability to propose appropriate services when solicited in specific future task orders.

(2) All technical coordination shall remain within the scope of this contract and that of individual task orders. No oral statements of any person whosoever shall modify or otherwise affect the terms of this contract or of the task orders. Technical coordination shall not result in any action that:

i. Constitutes an assignment of additional work outside the Description of Work (DoW), PWS, or task order.

ii. Constitutes a change as defined in the contract clauses 52.243-1, Changes - Fixed-Price as applicable.

iii. Causes an increase in the total contract ceiling amount, task order price, or the time required for contract or task order performance.

iv. Changes in any of the expressed terms, conditions or specifications of this contract or any approved task orders.

v. Interfere with the contractor’s right to perform the terms and conditions of the contract.

G7 ORDERING PROCEDURES

The contractor shall be postured to participate in the fair opportunity process no later than 10 days after the date of the JWCC UCM Core contract award. The contractor is required to accept TOs and provide required services 30 days after the date of the JWCC UCM Core award.

Only warranted TOKOs are authorized to place TOs under the JWCC UCM Core in accordance with their delegated contracting authority. TOKOs for contracting offices utilizing the JWCC UCM Core contract may issue TOs subject to their respective contracting warrant limitations. TOKOs issuing TOs under the JWCC UCM Core contract have no authority to modify, add, or delete any terms and/or conditions in the JWCC UCM Core contract.

ORDERING PROCEDURES FOR DISA/DITCO

DISA/DITCO will follow the ordering process as outlined in the JWCC UCM Core ordering guide to award TOs for Mission Partners (MPs) that request DISA/DITCO as their ordering office.

ORDERING PROCEDURES FOR EXTERNAL AGENCIES

(Note: These instructions are supplemental to the TO Procedures and are only applicable to orders not placed by

DISA/DITCO).

a.For the purposes of this clause, an external agency is any contracting office outside of DISA/DITCO, which has duly appointed KOs. External agency TOs shall be issued as authorized by the terms and conditions of the JWCC UCM Core contract, TO procedures, the FAR, DFARS, and their own agency procedures.

b. The external agency TOKOs will be solely responsible for TOs awarded under the JWCC UCM Core contract on behalf of their agency. All of the TOs are negotiable (except where terms and conditions conflict with the JWCC UCM Core contract) and agency decisions and determinations for the TO will be made by the external agency TOKO responsible for the TO.

c.The following procedures apply to External Agencies placing orders against this contract:

(1) The external agency TOKOs shall utilize the CLINs x009 set forth in Section B of this contract, entitled External Ordering Agency Fee, to add a 0.5% fee to each TO placed under the JWCC UCM Core contract. Modifications that change the total value of the TO shall also adjust the amount of this CLIN to account for the modification change. NOTE: The contractor shall reject all External Agency TOs that do not include the 0.5% fee.

(2) The External Agency TOKO shall use ordering numbers as specified in DFARS 204.71

(3) By using this contract, you are hereby providing written approval to CSPs to release all information sought by DISA that is covered by DFARS 252.204-7000 Disclosure of Information, as well as any other unclassified data related to any orders under this contract for purposes of answering various Department audits and investigations.

d. The following reporting procedures apply to contractors receiving TOs from an external agency.

(1) DISA/DITCO reserves the right to request copies of task orders and their respective modifications not otherwise available to the Government via electronic or automated means (e.g. Electronic Data Access (EDA) system).

(2) Payments. Quarterly, the contractor shall submit a check made payable to DITCO/CFA122 to pay the required 0.5% fee on all payments received from external orders during the prior quarter, IAW the schedule set forth in G7(f) below to the following address (if using United States Postal Service). At a minimum, the following paragraphs shall be applicable to all TOs issued under JWCC UCM Core, unless otherwise specified in an individual TO.

The contractor shall, IAW the terms and conditions set forth hereafter, execute all activities necessary and incidental to the completion of the TO effort. In addition, the contractor shall certify all provisioned offerings are IAW the associated fully executed TO prior to allowing MOs access within the contractor’s portal. Provisioning is the act of creating and/or configuring resources in the cloud environment (e.g., accounts, compute instances, users, storage mechanisms) in an automated fashion using either a manual (i.e. via the User Interface (UI)) or automated (i.e.

Application Programming Interface (API)) process.

If the contractor encounters difficulty in meeting performance requirements or anticipates difficulty in complying with the TO delivery schedule or date, it shall immediately notify the TOKO and TO COR, in writing, and shall provide all pertinent details. The details provided shall not be construed as a waiver by the Government of any delivery schedule or any rights or remedies provided by law or under this contract.

G9 TASK ORDER ADMINISTRATION

Each contracting office is responsible for administration of its own TOs. If there is a conflict between the JWCC UCM Core contract terms and conditions and TO special instructions, terms, and conditions, the terms and conditions of the JWCC UCM Core contract supersede. Requests for deviations or modification of the JWCC UCM Core contract must be submitted to the KO for the JWCC UCM Core contract (hereafter, the JWCC UCM Core KO). Terminations of TOs shall be issued by the contracting office that issued the TO. The COR for the JWCC UCM Core contract (hereafter, the JWCC UCM Core COR) shall be notified of any TO terminations. A COR or Government Acceptor shall be appointed for each TO.

G10 TASK ORDER PROCEDURES

Specific instructions on how to place TOs against JWCC UCM Core will be provided in the JWCC UCM Core Ordering Guide. Purchase card orders are not allowed or authorized on the JWCC UCM Core contract; however, use of the purchase card as a method of payment may be used on TOs at the discretion of TOKOs.

In order for the Warfighter to acquire needed offerings in the most efficient and expeditious manner, any federal Government contracting offices may award TOs for Cloud Service Offerings (CSOs), defined as the XaaS and cloud services that are sold in the JWCC UCM Core Marketplace, and cloud support packages by virtue of the fair opportunity process, unless one of the FAR 16.507-6 exceptions apply, inherent in the JWCC UCM Core contract’s applicable CLINs, as soon as those services and packages are available for consumption (i.e., on the JWCC UCM Core Catalog).

G11 TASK ORDER BILLING INSTRUCTIONS

CONSUMPTION-BASED CONTRACT LINE ITEM NUMBER BILLING INSTRUCTIONS

In order to achieve commercial parity, CLINs x001 - x006 are established to pay for cloud per a “consumption based” model using firm-fixed-unit-price. As such, offerings are metered and billed based on actual usage over a predetermined periodic basis. The unit prices will be fixed, but consumption (service usage) will vary through the period of the TO, but may not exceed the not to exceed (NTE) value established on the TO CLIN.

Notwithstanding the foregoing, purchased, title-transfer Tactical Edge (TE) hardware ordered under CLINs x001, x003, or x005 is not subject to the consumption-based metering and billing methodology described above.

Purchased TE hardware shall be separately identified from associated recurring Edge services, software, support, configuration, and other consumption-based cloud services. Title and risk of loss for purchased TE hardware shall transfer in accordance with Section H23.

Invoices for TOs shall be submitted on a monthly basis. Invoices shall consist of a firm-fixed-unit-price, which shall be the JWCC UCM Core unit price less any additional discounts or credits proposed at the TO level at the time the services are provisioned. The JWCC UCM Core contract unit prices shall be based on Attachment J-3: JWCC UCM Core Catalog and Discounts.

The invoice amount for each service shall consist of multiplying the unit price at the time of provisioning by the amount of provisioned services consumed. The unit price at the time of provisioning shall remain the same for services from the time of provisioning until the end of the period of performance of the TO.

IAW DFARS Procedures, Guidance, and Information (PGI) 204.202-77, the contractor’s invoice shall reflect billing against the appropriate CLINs, which details the services ordered and provisioned. The contractor shall invoice against the priced CLIN(s) and annotate the appropriate informational sub-line numbers (SLINs), if applicable.

Invoices shall be submitted via WAWF no less than 30 days after consumption of the offerings. If a CLIN has multiple informational SLINs with unique Accounting Classification Reference Numbers (ACRNs), the contractor shall invoice against the priced CLIN and annotate each appropriate SLIN and ACRN associated to that charge on the invoice. Invoices that are billed against an informational SLIN instead of a CLIN with associated SLIN will be rejected by the Government.

Each CLIN that is to be invoiced on a consumption basis will include a NTE funding amount.

The Contractor shall—

1. Provide, at no additional cost to the government, access to tools that enable the government to track its usage of services offered on a consumption basis; and

2. Notify the contracting officer when total consumption reaches—

a. 50 percent and 75 percent of the ceiling price for each CLIN for consumption based services, or other milestones as agreed upon by the Contractor and the contracting officer; and

b. 50 percent and 75 percent of the contract ceiling price, or other milestones as agreed upon by the Contractor and the contracting officer.

c. The contractor shall include the value of all current consumption plus the forecasted consumption value for the next 30 days for each CLIN, when providing this notification to the Government. The notice shall also include when the forecasted consumption intends to reach 100 percent of the CLIN’s NTE amount.

The Contractor shall not continue performance under the TO where such performance would result in exceeding any CLIN NTE funding amounts. The contractor shall immediately notify the TOKO when performance is stopped.

Any funds remaining at the expiration of the TO PoP will be deobligated IAW to each contracting office’s procedures.

G12 JWCC UCM CORE CATALOG MODIFICATION

The contractor shall follow the below process for modifying and/or adding offerings to the JWCC UCM Core Catalog:

(2) For third-party software and cloud services, must be offered without additional costs to commercial pricing from the contractor IAW PWS Section 6.2.11.7. or using a bring your own license (BYOL) model IAW PWS Section 6.2.11.6. Third-party Tactical Edge devices are governed by PWS Section 6.2.7 and shall be priced at or below commercial list prices, with allowable delivery, staging, or handling fees separately identified in the JWCC UCM Core Catalog.

i. For Third-Party Offerings that are price-free, the Third-Party must provide the contractor a signed copy of the Third-Party Marketplace Service Provider Mandatory Addendum to License Agreements or Service Level Agreements. The contractor must provide the signed copy to the JWCC UCM Core KO prior to the Third-Party Offering being listed on the JWCC UCM Core Catalog.

ii. For offerings that are BYOL no additional terms and conditions will be presented to or required of the Government.

(3) Must be included in the next deliverable required by Contract Data Requirements List (CDRL) A0004, JWCC UCM Core Catalog.

NOTE: The Government may reject pricing subject to conditions precedent or conditions subsequent. The Government reserves the right of direct removal of items from the JWCC UCM Core Catalog at the JWCC UCM Core KO’s discretion.

Offerings shall be made available for ordering in the JWCC UCM Core Marketplace when the Offerings meet all the criteria for G12(a) or G12(b), as applicable. The Offering does not require KO negotiation. All Third-Party SLA/LA(s) with their applicable Section H20 addendum shall be hosted at the link incorporated in H20. The Government reserves the right, at its convenience, to audit all JWCC UCM Core Catalog Change Reports to ensure compliance with contract requirements.

c. Offerings not meeting the criteria for G12(a) are required to submit a formal request to the JWCC UCM Core KO.

(1) Requests shall include:

i. Data other than certified cost and pricing data or if required by FAR Subpart 15.403, certified cost and pricing data.

ii. Affirming evidence that an authorization has been granted. Offerings that are not subject to the CC SRG, DoD, or IC standards must comply with Government-approved contractor security processes and standards.

(2) The JWCC UCM Core KO will notify the contractor when an item may be included in the JWCC UCM Core Catalog. If determined necessary by the JWCC UCM Core KO, a bilateral modification will be executed to incorporate offerings pursuant to G12(c)(1).

(3) Once approved, the contractor shall include the offering in the JWCC UCM Core Catalog pursuant to the terms of the contract.
