About this file
This is a conformed solicitation document (Standard Form 1449) for an Indefinite-Delivery/Indefinite-Quantity (IDIQ) contract for the Joint Warfighting Cloud Capability (JWCC) Unified Cloud Marketplace (UCM) Core, issued by the Defense Information Systems Agency (DISA) Defense Information Technology Contracting Organization (DITCO) at Scott Air Force Base, Illinois. The solicitation number is HC105026R0001, with the most recent amendment (0003) dated as of the conformed version, and proposals are due no later than Wednesday, November 18, 2026 at 11:00 AM Central Time. The overall maximum cumulative contract value is $21.6 billion with a minimum order value of $100,000, structured as a five-year base period (December 8, 2027 to December 7, 2032) plus a five-year option period (December 8, 2032 to December 7, 2037). The contract employs Firm Fixed Price (FFP) task order awards across multiple Contract Line Item Numbers (CLINs) organized by classification level, including unclassified cloud services (Impact Levels 2, 4, 5), SECRET classified services (IL 6), and TOP SECRET classified services with optional surge support capacity.
The contract encompasses cloud service offerings across multiple CLINs: unclassified and classified cloud services (CLINs 0001–0006 and 1001–1006), cloud support packages (advisory, help desk, training, documentation), travel services on a Time and Materials basis (CLINs 0007 and 1007), program management support restricted to the JWCC UCM Core PMO only (CLINs 0008 and 1008), an external ordering agency fee of 0.5% for non-DISA/DITCO agencies (CLINs 0009 and 1009), reserved instances for unclassified and classified environments (CLINs 0010–0012 and 1010–1012), and an optional surge cost CLIN (9999). Consumption-based billing applies to CLINs x001–x006 with firm-fixed-unit pricing based on the JWCC UCM Core Catalog, and monthly invoicing begins 30 days after consumption. External agencies must include the 0.5% fee on all task orders and remit quarterly payments to DITCO/CFA122, with detailed reporting required via spreadsheet and email. The contract specifies that inspection and acceptance occur at DISA HAC (2530 Crystal Drive, Arlington, VA 22202) by the Government, with no physical shipment requirements for cloud services. Key administrative provisions include requirement for contractor property management plans for Government Furnished Property, 30-day hold-over periods for data extraction upon contract expiration, prohibition of automatic renewals, contractor liability limitations for government property, and mandatory coordination with the JWCC UCM PMO for classified infrastructure utilization. The solicitation incorporates FAR clauses 52.212-1, 52.212-3, 52.212-4, 52.212-5, and DFARS clauses 252.201-7000, 252.232-7003, 252.232-7007, 252.232-7008 by reference.

Section B - Supplies or Services and Prices
SECTION B
B1 MAXIMUM CONTRACT CEILING AND MINIMUM CONTRACT GUARANTEE
1. CONTRACT MINIMUM/MAXIMUM AMOUNT AND CONTRACT VALUE:
(a) The overall maximum cumulative dollar value of all task orders and authorizations awarded under this contract shall not exceed $21,600,000,000.
(b) The minimum dollar value for all orders awarded under this contract shall not be less than $100,000.
(c) Exercised CLIN values which are underutilized will be de-scoped following the expiration of their period of performance. These descoped values and unexercised CLIN values do not contribute to the maximum value stated in section (a). The available Indefinite-Delivery, Indefinite-Quantity (IDIQ) ceiling amount is based only upon exercised and consumed order values.
(d) As the IDIQ holder, DITCO reserves the right to track and reclaim unexercised CLIN ceiling on decentralized orders and authorizations where the period of performance or exercised option period has expired.
These unexercised, expired amounts shall be returned to the overall available contract ceiling and do not apply to the executed ceiling limit.
B2 TASK ORDER CONTRACT TYPES
Joint Warfighting Cloud Capability (JWCC) Unified Cloud Marketplace (UCM) Core is an ID/IQ contract against which it is planned to award Firm Fixed Price (FFP) type TOs in accordance with FAR Subpart 16.5 – Indefinite- Delivery Contracts. TOs can be awarded on a Firm Fixed Unit Price (FFUP) consumption-based Contract Line Item Number (CLIN) and include a Time and Materials (T&M) CLIN, when appropriate.
B3 TASK ORDER ORDERING PERIOD
After the JWCC UCM Core Period of Performance (PoP) expires (inclusive of all exercised options), the JWCC UCM Core contract terms and conditions remain effective until the final TO PoP is completed. The JWCC UCM Core contract shall govern the active TOs to the same extent as if their PoPs were active during the JWCC UCM Core PoP. Under no circumstances may a TO be placed under the JWCC UCM Core contract if the JWCC UCM Core contract expires or has been terminated/cancelled by the Government.
The PoP for each individual TO issued under this contract will be specified in the individual TO. TOs may be issued at any time during the base ordering period or any exercised option period of the IDIQ contract. In accordance with FAR 52.216-22(d), performance on any TO issued prior to the expiration of the IDIQ contract ordering period may extend up to five (5) years beyond the IDIQ contract expiration date, provided the TO is issued within the effective ordering period. TO option periods may be exercised after the expiration date of the JWCC UCM Core contract. In the event that a JWCC UCM Core contract option period is not exercised or is terminated/cancelled prior to the end of the last anticipated option period in the JWCC UCM Core schedule, any current TOs’ terms and conditions will be unaffected.

G2 LINE ITEM AND CONTRACT/ORDER CLOSEOUT (OCT 2021)
Dormant and/or excess funds consist of funds that are primarily in “expired” or “cancelled” status. Expired funds are no longer available for new obligations, but are available for upward adjustments and payments on prior obligations to include payments on contractor invoices. Cancelled funds are no longer available for upward adjustments to obligations or to pay contractor invoices.
Timely contract closeout of the entire contract/order and of completed individual contract line item number(s) (CLIN) and/or sub line item number(s) (SLIN) is a priority under this contract/order. As such, the Contractor shall submit a final invoice no later than ninety (90) calendar days after the expiration of this contract/order and/or at the expiration of any individual CLIN(s)/SLIN(s) that expire before the final expiration of the contract/order (i.e., end item(s) was scheduled to be delivered or the period of performance (base or option year) was completed), unless the contractor requests and is granted a written extension by the Contracting Officer. In addition, and concurrent with the submission of the final invoice for a specific CLIN/SLIN or for the contract/order in its entirety, the contractor shall notify the Contracting Officer of the amount of excess funds that can be deobligated from the CLIN/SLIN or contract/order so the deobligation of any excess funds can be completed as soon as possible.
After ninety (90) days from expiration of a CLIN/SLIN, end item delivery, or contract/order in its entirety, unless an extension had been requested and granted by the Contracting Officer in writing, a bilateral contract/order modification to deobligate excess funds and/or closeout the contract/order in its entirety will be forwarded to the contractor by the Contracting Officer. The modification must be signed and returned to the Contracting Officer within thirty (30) calendar days of receipt . A contractor’s failure to respond and/or sign the bilateral modification within thirty (30) calendar days of receipt will constitute approval of the terms of the modification and the modification will subsequently be processed unilaterally by the Contracting Officer to deobligate excess funds and/or closeout the contract/order.
Communications with the contractor will be conducted with the identified Point(s) of Contact (POC) identified in G1 of this contract/order. Should a change in POC be required, the contractor shall immediately notify the Contracting Officer.
G4 SUBMITTING CREDITS TO DISA – WAWF CONTRACTS (DEC 2023)
If the contractor owes DISA money, the following methods shall be used to process the credit. These are the only methods approved for processing credits; checks will not be accepted.
1. Include Credit in Current Invoice in Wide Area Work Flow (WAWF). The contractor may only use this method if the total invoice amount (current charges minus credit amount) is greater than $0.
mailto:jwcc-cyber@dodnet-j.ic.gov mailto:jwcc-cin@dodnet-j.ic.gov mailto:jwcc-jpg@dodnet-j.ic.gov
2. Submit a Stand-alone Credit Invoice in WAWF. The contractor may only use this method if a future WAWF invoice(s) will be submitted, and the total of the future invoice(s) exceeds the credit amount. DISA will offset the payment of the future invoice(s) by the credit amount.
3. Zero Dollar Invoice in WAWF. The contractor may only use this method to move a previously paid amount on a CLIN/ACRN to a different CLIN/ACRN. The $0 invoice in WAWF shall include a credit to the incorrect CLIN/ACRN and a positive amount to the correct CLIN/ACRN. An alternative method to moving a previously paid amount on a CLIN/ACRN to a different CLIN/ACRN is to submit two invoices: one credit invoice for the incorrect CLIN/ACRN and one invoice for the correct CLIN/ACRN.
4. Pay.gov. The contractor may only use this method if none of the above credit methods are feasible. To submit a credit via Pay.gov, the contractor shall complete the form at https://www.pay.gov/public/form/start/999077677.
When submitting a credit line on an invoice in WAWF, the contractor shall ensure the 4-digit CLIN is listed in the Item Number field and the ACRN is listed in the ACRN field. Invoices referencing an infoSLIN or invoices missing an ACRN for every CLIN will be rejected.

a. The contract will be administered by the Defense Information Technology Contracting Organization (DITCO). The contracting officer (KO) at DITCO-Scott (PS8512), 2300 East Drive, Scott AFB, IL 62225- 5406, is the only person authorized to approve changes or modify any of the requirements contained elsewhere in this contract; the stated authority remains solely in the KO. b. The contractor shall submit requests for modifications of this contract to the KO with a copy of the request to the KO’s representative as designated in the KO’s representative appointment letter.
c. Contractual problems, of any nature, that may arise during the life of this contract must be handled in conformance with very specific public laws and regulations (i.e., Federal Acquisition Regulation). Only the KO is authorized to formally resolve such problems. Therefore, the contractor is hereby directed to address all such contractual problems to the immediate attention of the KO.
d. Request for information on matters related to this contract, such as explanation of terms and contract interpretation, shall be submitted to the KO.
G6 CONTRACT MANAGEMENT, ROLES, AND RESPONSIBILITIES
Notwithstanding the contractor’s responsibility for total management during the performance of this contract, the administration of the contract requires maximum coordination between the Government and the contractor. The following individuals will be the Government points of contact during the performance of the contract:
a. Contracting Officer (KO).
(1) Contract Administration. All contract administration will be effected by the contracting officer.
The KO is the sole and exclusive Government official with actual authority to award or to modify the ID/IQ contract. In the event that the designated KO is unavailable to sign a contract action, DISA reserves the right to authorize another warranted Contracting Officer to execute official contracting documents on their behalf. Communications pertaining to contractual administrative matters shall be addressed to the KO. No changes in or deviation from the scope of work shall be https://www.pay.gov/public/form/start/999077677 effected without a written modification to the contract executed by the KO authorizing such changes.
(2) Designation of Representatives. The KO may designate individuals to act as the contracting officer’s representative (COR) under any resultant task order. CORs may provide technical guidance in direction of the work, but they will not be authorized to change any of the terms and conditions of the contract or task order. CORs will be designated by a letter of appointment from the KO.
b. Contracting Officer Representative (COR). The COR supports the KO in the general management of the program. The COR is responsible for monitoring the ID/IQ contracts and programmatic issues on an ID/IQ contract level. A letter of designation is issued to the COR, a copy of which is sent to the contractor, which specifically states his/her responsibilities and limitations. The COR’s authority does not include the ability to authorize work not already in the contract or to modify the terms and conditions of the contract. All communication with agencies of the Government and interface with other contractors required in the performance of this contract shall be accomplished only through the direction and with the coordination of the COR. The responsibilities and limitations of CORs are contained in the DoD/DISA COR Handbook.
The duties of the COR will be outlined in the COR Designation Letter distributed upon award.
c. Technical Coordination.
(1) Performance of work under this contract shall be in compliance with the Performance Work Statement (PWS) and terms and conditions of any approved task orders. The contractor shall use the PWS together with other applicable portions of the basic award as a basis for the description of its capabilities and ability to propose appropriate services when solicited in specific future task orders.
(2) All technical coordination shall remain within the scope of this contract and that of individual task orders. No oral statements of any person whosoever shall modify or otherwise affect the terms of this contract or of the task orders. Technical coordination shall not result in any action that:
i. Constitutes an assignment of additional work outside the Description of Work (DoW), PWS, or task order.
ii. Constitutes a change as defined in the contract clauses 52.243-1, Changes - Fixed-Price as applicable.
iii. Causes an increase in the total contract ceiling amount, task order price, or the time required for contract or task order performance.
iv. Changes in any of the expressed terms, conditions or specifications of this contract or any approved task orders.
v. Interfere with the contractor’s right to perform the terms and conditions of the contract.
