This KLXS III Amendment 4:

1. Revises Provision L.13 “KSC 52.214-90 Delivery Instructions for Bids / Proposals” as annotated by the change bar on attached replacement page 105.

2. Revises Provision L.18-1(4) “Total Compensation Plan” as annotated by the change bar on attached replacement page 114.

Prospective Offerors are cautioned to review this amendment carefully and in its entirety to discern all changes.

Where appropriate, replacement pages are attached to this amendment.

Except as provided herein, all terms and conditions of the document referenced in Item 9A or 10A, as heretofore changed, remains unchanged and in full force and effect.

(c) The Contracting Officer will update the electronic Bidder’s Library as necessary or upon request for documents referenced in the solicitation and not otherwise available to the Offeror.

L.12 Contract Phase-In

The Government contemplates issuing a separate Firm-Fixed-Price purchase order for contract phase-in. Contract phase-in price, if any, shall be proposed as firm-fixed-price in accordance with the instructions contained in Section L.18-1(5).

(a) Contract phase-in shall not exceed 30 days.

(b) At a minimum, the phase-in purchase order shall include the offeror’s phase-in approach to perform the following requirements:

(1) Provide personnel training, badging, and certification, if any;

(2) Demonstrate that, by contract start, offeror will complete transference of accountability, custodianship or management of Government property from the predecessor contractor, including procedures for transitioning support services and security;

(3) Implement a mechanism capable of tracking new and existing work to ensure work will commence on day 1 of contract execution.

(c) The requirements identified in paragraph (b) shall be incorporated in the resultant firm-fixed-price purchase order in addition to those areas of the offeror’s proposed phase-in approach that the Government determines necessary to meet phase-in requirements.

L.13 KSC 52.214-90 Delivery Instructions for Bids / Proposals (Jul 2016) (Modified)

(a) Delivery Address:

All offers (bids or proposals) shall be delivered, whether delivered by the Offeror or by commercial courier, to the NASA Contracting Officer as follows on or before the date and time set for receipt of proposals or bids:

All proposals shall be delivered no later than 3:00 p.m., KSC local time, on June 4, 2018.

(4) Total Compensation Plan

A Total Compensation Plan (TCP) shall be submitted as part of Volume III, Plans and Other Data. The Offeror shall provide a Total Compensation Plan for the prime and each subcontractor in accordance with L.9(d). Subcontractors may submit their TCP directly to the Government using the appropriate markings and following Provisions L.13 KSC 52.214-90, Delivery Instructions for Bids/Proposals, and L.16 1852.215-81 Proposal Page Limitations. The Offeror shall fully describe the benefits for employees in each of the Offeror’s labor classification positions.

(i) The Offeror shall ensure that the Total Compensation Plan meets the requirements of FAR 52.222-46, Evaluation of Compensation for Professional Employees, and NFS 1852.231-71, Determination of Compensation Reasonableness. Data such as salary ranges, fringe benefits, and leave programs shall be consistent with the data submitted in Volume IV, Cost.

(ii) Discuss how the Total Compensation Plan will achieve Offeror’s proposed incumbent capture.

(iii) Describe and provide supporting data used to establish wages, salaries and fringe benefits. Describe any proposed wage and salary escalations for employees throughout the contract period of performance.

(iv) The Offeror shall describe the proposed work week hours and paid time-off policies including vacation, sick leave, holidays, and any other premium pay and incentive bonus, if applicable, in the plan. Discuss any use of uncompensated overtime, and how and when employees will be compensated if they are required to work over 40 hours per week. If uncompensated overtime (as defined in FAR 52.237-10) is proposed, the Offeror shall:

(A) Include a copy of its uncompensated overtime policy (see FAR 52.237-10(e))

(B) Specify whether the uncompensated overtime is voluntary or involuntary

(C) Describe the possible effects that uncompensated overtime will have on employee retention and its approach to mitigate any negative impacts

(v) Describe any policies regarding recognition of seniority, salaries, and fringe benefits for incumbent employees.

(vi) Discuss the proposed fringe benefit policies and practices regarding health insurance coverage, the types of health insurance benefits offered, the company share of premium costs, the effective date of coverage, and anticipated escalation of insurance costs. Describe the proposed policy assuming health insurance coverage for incumbent employees will be utilized, including handling pre-existing health conditions.

(vii) Discuss the proposed retirement or savings plans, including the company’s contribution and information.
