Purpose and Rules of Engagement

• The purpose of this Pre-Proposal Conference is to provide an overview of an upcoming NASA Research Announcement (NRA) to prospective respondents

• Questions are welcome and will be addressed at the Q&A session following the presentation and/or on line after the meeting, as appropriate. The answer posted on line shall be considered the official response.

• To ensure all questions and answers are documented for later posting on

NSPIRES/FBO, please write them down and hand them to a NASA team member

• Alternatively, questions may be emailed during or after the presentation to:

• Questions may be also be asked in your one-on-one session. NASA will not disclose proprietary information. NASA intends to publish generalized responses on the website.

Background

• ISS has been both a destination for and an incubator of commercial activity in low Earth orbit (LEO)

• Commercial Cargo Transportation Services

• Commercial Crew Transportation Services

• Commercial ISS research/technology hardware and facilities

• Significant growth in small satellite/cubesat commercial market

• Building on the significant progress that industry and NASA have made in developing commercial capabilities, the Agency and ISS Program have been investigating larger-scale commercial activities

• In support of Agency strategic commercialization goals, the ISS Program released a Request for Information (RFI) in 2016 to solicit industry input on large-scale activities that leverage ISS

• Responses helped NASA understand some of the potential commercial focus areas

• ISS Program has been examining the concept of hosting a large commercial module on ISS, as well other commercial activities

• The 2018 NASA Strategic Plan, National Space Strategy, and 2017 NASA Transition Authorization Act continue to emphasize the need to transition LEO to commercial operations

• President’s Budget Request with $150M in FY2019 for LEO Commercial Development is under consideration by Congress but the budget process is not complete and this funding has not been appropriated

• As a result, the Agency is formulating strategies associated with a significant shift in LEO operations and acknowledges that feedback on industry timing and capabilities will be key in the development of future plans

• In order to build an informed strategy, NASA is soliciting external studies and will use a collective set of results from multiple respondents to better understand:

• Potential large scale commercial demonstrations/operations that industry could undertake at ISS and/or free-flying in LEO

• Market/business feasibility and industry’s timing for launching and operating LEO human spaceflight concepts

• Which of NASA’s long term needs in LEO intersect with commercial business plans

• Desired role of government and evolution of ISS in the commercialization of LEO

• Ideas for government involvement that would help enable large scale commercialization

Background (continued)

Solicitation Overview

• NASA will soon release a NASA Research Announcement (NRA) that will solicit proposals to perform 4-month studies

• The overall purpose of the studies is to inform NASA and its stakeholders on:

• Industry’s commercialization concepts, plans and viability for habitable platforms in LEO, whether using the International Space Station (ISS) or free-flying, that would enable a commercial marketplace in LEO where NASA is one of many customers

• The role of government and evolution of ISS in the roadmap to commercialization of LEO

• An NRA is a type of Broad Agency Announcement (BAA)

• Federal Acquisition Regulations and standard NRA processes will be utilized unless otherwise specified (see references/links later in these slides)

Anticipated Schedule

• NRA release will occur in May, no earlier than May 9

• Proposals will be due 30 days after NRA release

• NASA anticipates selecting multiple awardees in late June or early July and finalizing contracts no later than August

• Final study products, including the final .pdf report, would be due in December 2018

Overview of NASA’s Study Objectives

• The intent is for the study products to address all of the topics listed on the following slides

• NASA may select proposals for partial studies that are particularly compelling

• Study objectives on the following slides are mostly grouped as follows:

• Define a roadmap to establish a self-sustaining commercial human spaceflight enterprise in LEO

• Technical concept

• Business case and financial viability

• Discuss the role of government and evolution of ISS in roadmap to commercialization of LEO

Study Objectives (Preliminary Details)

• Roadmap to establish a self-sustaining commercial human spaceflight enterprise in LEO

• Configuration of the habitable destination, whether free-flying or at ISS, and evolution of the configuration to a self-sustaining enterprise. Address all phases including pre-launch, launch, orbit insertion, rendezvous, berthing, initial activation and checkout, outfitting and on-orbit operations.

• Flight elements, concept of operations, launch sites/vehicles, crew and cargo traffic model with underlying assumptions and providers, orbit altitude and inclination

• Major systems, subsystems, architectural trades for initial flight elements and evolution required to achieve sustained operations

• For major systems and flight elements, provide initial estimate of mass to orbit and Technology Readiness Level

• Roadmap to establish a self-sustaining commercial human spaceflight enterprise in LEO (continued)

• Technical description of any accommodations/capabilities for NASA’s long term LEO needs from the ISS Transition Plan (those identified in the business case)

• High level schedule, including earliest realistic launch date for first element, and evolution to self-sustaining commercial enterprise

• Technical and schedule risks, gaps, development challenges and any mitigation plans such as proof of concept tests or flight demonstrations

• Crew concept: mission duration and rotation, composition, selection, training, and medical/behavioral support

• Ground systems: control center infrastructure and interfaces, flight/ground communications networks, and training facilities

• Desired use of NASA expertise, facilities, equipment, services, capabilities, and on-orbit/ground assets.

• For concepts utilizing the ISS Node 2 forward berthing port for long term attached ops, NASA has developed draft implementation requirements (Commercial Element Requirements Document (CERD)) and ISS services (ISS Commercial Element Port Accommodation Handbook (ICEPAH). Respondents may provide feedback on these documents, but this is not a mandatory study topic.

If use of ISS is desired, NASA has identified the Node 2 forward berthing port as the potential location for future long term attached commercial operations.

In this case, NASA would plan to relocate the Pressurized Mating Adapter and International Docking Adapter currently attached to the ISS Node 2 forward port to Node 1 nadir. Note this solicitation grants no rights for use of or guarantee of any ISS port obligation.

• Use of, and implementation approach for, Extravehicular Activity (EVA) and robotics, as applicable

• Conceptual enterprise governance structure, interactions with the U.S. Government, and other partnerships (domestic and foreign)

• Key attributes of commercial approaches for development, design and construction standards, human systems standards, operations, sustaining, logistics, safety and mission assurance, interoperability for multiple customers

• Other related capabilities and services that will enable commerce in LEO and/or NASA’s long term needs in LEO, as applicable

• How the concept benefits U.S. human spaceflight leadership, international cooperation, and society (e.g., Science Technology Engineering and Math education)

• Roadmap to establish a self-sustaining commercial human spaceflight enterprise in LEO (continued)

• Business case and financial viability for initial demonstration and long term commercial enterprise in LEO

• Commercial offering(s) and adaptability to future markets

• Target markets/customers and revenue streams (domestic and foreign), with supporting data

• Cash flow summary with assumptions and confidence levels, including:

• Projected development, transportation, and operations costs

• Projected revenue, pricing assumptions, and profit realization

• Return-on-investment assumptions and sensitivity/uncertainty analysis

• Approach for attracting and paying back investors

• Roadmap to establish a self-sustaining commercial human spaceflight enterprise in LEO (continued)

• Major suppliers (domestic and foreign)

• Assess the impact of NASA imposing a requirement that, for any module(s) dependent on NASA contributions or resources, the commercial module be a domestic end product such that the cost of components, mined, produced or manufactured in the United States must exceed 50 percent of the cost of all its components

• Envisioned balance of government vs. commercial revenue

• Extent to which the platform is sustained primarily by commercial revenue

• Extent of government (NASA and other government agencies) demand required to close business case

• Intersection of business case with NASA’s long term needs in LEO

(which of NASA’s needs are reasonably accommodated)

• Roadmap to establish a self-sustaining commercial human spaceflight enterprise in LEO (continued)

• Requested NASA financial and resource contributions, including upmass and crew time (Note: Respondents are not expected to break out National Lab resources from the total NASA contribution)

• Approach to liability and insurance

• Approach to export control and intellectual property, with customers and Government

• Risks, challenges, and barriers to achieving profitability and sustainability; as warranted, provide proposed solutions, including recommended Government actions

• Considerations associated with International Partner involvement

• Current and future competitors in the marketplace (LEO, terrestrial, sub-orbital, other environments)

• How the concept could provide a sustained, positive impact to the U.S. economy and U.S. industrial leadership

• Role of government and evolution of ISS in roadmap to commercialization of LEO

• Recommendations, business models and additional industry ideas for ISS transition as presented in the ISS Transition Plan, including optimal timing and criteria

• How evolving ISS operations (executed by NASA or the private sector) might foster commercialization; also address considerations to avoid ISS operations from competing with commercial concepts

• Other future Government actions that would be beneficial to transitioning human spaceflight activities in LEO from the current model that relies heavily on NASA sponsorship to one where NASA is one of many customers

Technical Library

• A technical library will be available when the NRA is released, and it will contain several documents referenced in, or useful for the completion of, the requested studies

• The technical library contains export controlled material, so access is limited

• A maximum of 2 individuals from each team may have access to the technical library

• There are two methods to gain access:

• Those that currently have a NDC Username have already been cleared for Export Control access and may apply for ISS Commercial Port Library Access by sending an e-mail to JSC-LEO-Commercial@mail.nasa.gov. Be sure to include your NDC Username on the email.

• Those that do not have a NDC Username have not been cleared for Export Control access and shall apply for ISS Commercial Port Library Access by sending an e-mail to JSC-LEO-Commercial@mail.nasa.gov with the following information.

Name, Company Name, Citizenship, Contact Phone Number, Contact e-mail address, Contact Address and any government clearance information to help with clearing the applicant.

NASA will work to clear the submitted individuals and a password protected memory stick will be sent to your location.

Intellectual Property

• NASA intends to publicly disclose certain non-proprietary data delivered in performance of this prospective contract

• An executive summary and a quad chart as shown on the following page must be publicly releasable

• The purpose of this prospective public disclosure is to inform NASA and its stakeholders on key study information including the timing and private industry’s ability to support a commercial transition in LEO and/or on ISS

Intellectual Property

• If data, other than computer software, embody trade secrets, are developed entirely at private expense, and are delivered to NASA, the U.S. federal government shall have limited rights. “Limited Rights Data” is commonly referred to as proprietary data outside the federal government.

• NASA intends to treat Limited Rights Data in a manner similar to procurement-sensitive data and consistent with NASA’s Sensitive But Unclassified protocols and intends to minimize, as much as practical, the number of personnel who have access to Limited Rights Data.

• To supplement delivery of data in support of this Prospective Contract, NASA may agree in some cases to the use of a data sharing capability for NASA personnel to have access to data for evaluation purposes whereby such data are not formally delivered to NASA.

• The Government shall have unlimited rights to data first produced in the performance of this prospective contract.

• Data, other than computer software, developed entirely at private expense that embody trade secrets and have been merely aggregated and/or formatted for delivery to the government may be designated as Limited Rights Data

Model Contract

• The Model Contract will be supplied as Attachment A of the NRA

• This included to accelerate the negotiation process

• Instructions are included in the NRA

• Make clause changes appropriate for your entities unique position (ex.

small business clauses or price proposed)

• The Offerors are expected to submit a Model Contract with their proposal

• The Model Contract becomes the actual contract and so it must be complete and correct

• All pages must be returned – not just the pages with the fill-ins

• The Model Contract takes precedence over the proposal

• Ensure that your rates in the Cost/Price Volume are reflected in Section B of the Model Contract

Organizational Conflict of Interest

• Offeror’s proposal will be reviewed for existing and potential OCI issues in relation to this procurement. The contractor shall identify existing OCI issues, if any, and submit a plan to mitigate each issue.

• This NRA is anticipated to give NASA valuable insight in establishing future solicitations, any future work statements will be established by NASA civil servants with the combined knowledge gathered over time, through multiple sources and will not be established by an individual contractor as a result of this NRA.

• NASA does not intend to establish requirements or use deliverables under this contract in any way to create an OCI based on biased ground rules for future contracts as defined in FAR 9.505-2 (b) (1) that would prevent an offeror from competing on future contracts

• This NRA is not being awarded to prepare, or assist in preparing a specific work statement for a future award

Blackout Period and Communication

• Following release of the NRA, a blackout notice will be issued to NASA Civil Servants, effective through contract award

• To avoid inundating ISS International Partner (IP) Agencies with many unsolicited requests prior to award, NASA requests that participants limit IP contact about this matter to that essential to proposal development

• Future communication on this matter be restricted to email correspondence with the Contracting Officer, at:
