This is a final Request for Proposal for the Aerospace Testing and Facilities Operations and Maintenance contract. The National Aeronautics and Space Administration Ames Research Center is seeking support services for testing and facility operations, development projects, maintenance and repairs, and administration. Services required include operating wind tunnels, high-enthalpy Arc Jet facilities, and the Sensor and Thermal Protection System Advanced Research Lab to support aerospace research, development, testing, and commercial programs. Testing will be conducted on commercially produced aircraft and spacecraft including the Orion Multi-purpose Crew Vehicle and Artemis vehicles. The incumbent contractor will also develop test articles, sensors, data systems, and innovative test techniques. The proposal due date is October 18, 2021, with award anticipated in 2022 to provide five years of support services. Pricing will be on a firm-fixed-price, cost-plus-fixed-fee, and cost-reimbursement basis depending on the type of work.

L.8, 1852.215-81 PROPOSAL PAGE LIMITATIONS (APR 2015)
• L.8(c)(1) – has been amended to read as follows:
Title pages, tables of contents, list of figures and list of tables, acronym list and glossaries are excluded from the page counts specified in paragraph (a) of this provision. Diagrams, charts, tables, artwork, graphics and photographs will be included in the page count.
• L.8(c)(2) – has been amended to add the following language:
“Written consent letters of proposed Major Subcontractors, to allow the Government to discuss the subcontractors’ past performance evaluation with the Prime Offeror, are not counted as part of the 20-page limitation under Past Performance and shall be included as Volume III appendices. Consent letters shall be limited to no more than one page per Major Subcontractor.”
L.13, PROPOSAL GENERATION – GENERAL INSTRUCTIONS
• L.13(a)(1) – has been amended to extend the proposal due date as follows: “The entire proposal is due by October 18, 2021, at 9:00 A.M. Pacific Time (PT). The delivery location is specified in Section L.13(b), Proposal Submission Instructions. Any proposal submitted after the due date and time will not be accepted nor evaluated.”
L.14, PROPOSAL PREPARATION – Required Proposal Content
• L.14(a)(1)(v)(Security Clearance) – has been amended to add the following language: “…Offeror’s shall also provide the information necessary to complete blocks 6a/b and 7a/b of the DD Form 254, as applicable.”
L.15, PROPOSAL PREPARATION – SPECIFIC INSTRUCTIONS
• L.15(a)(A (Management Approach Subfactor))(5) – Reserved is amended to read: “-To maintain consistency with the RFP structure, Offerors shall include the “Reserved” section in their proposals as a placeholder.”
• L.15(b)(Past Performance Volume III) o L.15(b)(4)(bullet 10) has been amended to add the following language: “Provide no more than five (5) years of data prior to the proposal due date under this solicitation.”

H.11 ARC 52.231-90 SEVERANCE PAY (MAY 2020)
In conjunction with FAR 31.205-6(g), the severance pay cost shall not exceed 40 hours pay for each year of employment per eligible employee on the current contract, up to a maximum of 80 hours per eligible employee. In no event shall the Government reimburse the Contractor for severance cost for employees who voluntarily accept employment with a succeeding contractor within ninety (90) days after completion of the current contract.

The Government contemplates award of a single award hybrid contract with Firm Fixed Price (FFP) Contract Line Items (CLINs) for Phase-In and Core Contract Management and Administration; Cost-Plus-Fixed-Fee (CPFF) CLINs for Core Technical: General Services, Testing Services; Cost (no fee) CLINs for Training, Certifications, and Travel Requirements; and Indefinite Delivery/Indefinite Quantity (IDIQ) CLINs under which FFP or CPFF task orders will be executed.
L.3 52.222-5* CONSTRUCTION WAGE RATE REQUIREMENTS-SECONDARY
SITE OF THE WORK (MAY 2014)
(a)
(1) The offeror shall notify the Government if the offeror intends to perform work at any secondary site of the work, as defined in paragraph (a)(1)(ii) of the FAR clause at 52.222-6, Construction Wage Rate Requirements, of this solicitation.
(2) If the offeror is unsure if a planned work site satisfies the criteria for a secondary site of the work, the offeror shall request a determination from the Contracting Officer.
(b)
(1) If the wage determination provided by the Government for work at the primary site of the work is not applicable to the secondary site of the work, the offeror shall request a wage determination from the Contracting Officer.
(2) The due date for receipt of offers will not be extended as a result of an offeror’s request for a wage determination for a secondary site of the work.

(e) Pages submitted in excess of the limitations specified in this provision will not be evaluated by the Government and will be returned to the offeror.
(f) If an Offeror fails to comply with formatting requirements identified in this section, its proposal may be determined to be ineligible for award.
L.9 ARC 52.209-98 ORGANIZATIONAL CONFLICTS OF INTEREST AND
LIMITATION ON FUTURE CONTRACTING (MAY 2020)
(a) The Contracting Officer has determined that this acquisition may give rise to a potential organizational conflict of interest. Accordingly, the attention of the Contractor is directed to FAR Subpart 9.5 - Organizational Conflicts of Interest.
(b) Paragraphs (b)(1) – (3) below contain brief descriptions of each type of potential OCI and the reason it creates a concern. These descriptions are general and widely applicable. The Government has identified specific actual or potential conflicts related to this contract in paragraph (c) below.
(1) Unequal Access to Information: An OCI due to “unequal access to information” is created when a contractor has access to nonpublic information that may provide the firm an unfair competitive advantage to compete against other companies, likely in the context of a later competition for a future government contract.
(2) Biased Ground Rules: An OCI due to “biased ground rules” is created when a firm, as part of its performance of a government contract, has in some sense set the ground rules for another government contract by, for example, writing the statement of work or the specifications. In these “biased ground rules” cases, the primary concern is that the firm could skew the future competition, whether intentionally or not, in favor of itself. These situations may also involve concerns that a firm, by virtue of its special knowledge of the agency’s future requirements, would have an unfair advantage in the competition for those requirements. Thus, both principles of bias and unfair competitive advantage may be present under certain circumstances.
(3) Impaired Objectivity: An OCI due to “impaired objectivity” is created when a contractor, as part of its performance of a government contract, has the opportunity to take action, or participate in contract activities, under circumstances where the contractor’s judgment or objectivity in performing the requirements may be impaired because the contractor’s actions might affect the interests of entities with which the contractor has a direct or indirect affiliation or a competitive posture. Under such circumstances, the contractor could positively impact its own interests or those of a related/affiliated company, or could negatively impact the financial interests of a competitor entity. This conflict contains two elements – the use of subjective judgment by the contractor and a direct or indirect financial interest in the outcome of performance.
Contractor activities or actions having the potential to result in an impaired objectivity OCI include the following: participating in reviewing third-party proposals; other reviewing, evaluating, analyzing or testing of services, technology concepts, designs, prototypes, software or hardware of the contractor, an affiliate, or a third party; or making recommendations or decisions that could benefit same.
(a) Description of potential conflicts:
In the OCI Avoidance/Mitigation Plan, the Contractor shall identify and explain how it would address potential conflicts of interest that it may encounter in performance of the requirements. The OCI Avoidance/Mitigation Plan shall be provided with the Offeror’s proposal in accordance with Section L.9 and CDRL 13.
(1) Unequal Access to Information: Potential types of requirements which could lead to Unequal Access to Information OCI issues may include (but are not limited to):
• Testing Services (PWS Section 3.3)
In supporting elements under this section of the contract, including operating and maintaining facilities the Contractor will be responsible for all major aspects of test operation from inception through post-test documentation for the aircraft models and thermal protection designs/materials tested in these facilities. To carry out all of the above-described design work and test activities, the contractor will have access to Sensitive Information (see NFS 1837.237-72 and NFS 1837.237-71), and third-party proprietary test related data. This could result in a potential Unequal Access to Information OCI.
• Space Flight Hardware Development (PWS Section 4.2) the design, development, instrumentation, characterization and fabrication of space flight hardware, the contractor will have access to Sensitive Information and third-party proprietary test related data. This could result in a potential Unequal Access to Information
OCI.
• Special Studies (PWS Section 4.5) In supporting elements under this section of contract, including feasibility studies, preliminary engineering reports, technology assessments, and third-party reviews, the contractor will have access to Sensitive Information that could result in a potential Unequal Access to Information OCI.
(2) Biased Ground Rules: Potential types of tasks which could lead to Biased Ground Rules OCI issues may include (but are not limited to):
• Developmental Services (PWS Section 4.1) sensor and model development, data systems development, and/or facility development, the contractor may be required to develop project plans and/or conceptual, preliminary and/or final designs which may be included in future competitions. These efforts could result in a potential Biased Ground Rules OCI.
• Special Studies (PWS Section 4.5) In supporting elements under this section of contract, requirements development may be required for work involving feasibility studies, preliminary engineering reports, technology assessments, and/or third-party reviews. These efforts could result in a potential Biased Ground Rules OCI.
(3) Impaired Objectivity: Potential types of tasks which could lead to Impaired Objectivity OCI issues may include (but are not limited to):
• Developmental Services (PWS 4.1) In supporting elements under this section of contract including data system development, design review, and/or data analysis, the contractor may be required to use of subjective judgment to engage in reviews or other efforts which could directly impact its own financial interest or those of a related or affiliated company. These efforts could result in a potential Impaired Objectivity OCI.
(b) Offerors shall consult the NASA OCI Guide when creating their OCI Avoidance/Mitigation Plan. The NASA OCI Guide is available at https://www.hq.nasa.gov/office/procurement/regs/guides/OCI Guide.pdf and under NFS 1809.500(b).
(c) The Offeror shall comply with the restrictions on participating in future contracts specifically stated in Clause 1852.209-71, Limitation of Future Contracting. Any OCI mitigation efforts the Offeror proposes to pursue to allow participation in those restricted contracts shall be included in the Offeror’s OCI Avoidance/Mitigation Plan submitted under CDRL 13 as part of its proposal.

L.10 1852.231-71 DETERMINATION OF COMPENSATION REASONABLENESS
(APR 2015)
(a) The proposal shall include a compensation plan. This plan shall address all proposed labor categories, including those personnel subject to union agreements, the Service Contract Act, and those exempt from both of the above. The compensation plan shall include the annualized salaries/wages, fringe benefits and leave programs proposed for each labor category proposed.
(b) The offeror shall provide written support, using compensation survey data or equivalent, to demonstrate that its proposed compensation is reasonable.
(c) The offeror shall include the rationale for any conformance procedures used or those Service Contract Act employees proposed that do not fall within the scope of any classification listed in the applicable wage determination.
(d) The offeror shall require all service Subcontractors provide, as part of their proposal, the information identified in (a) through (c) of this provision for cost reimbursement, labor hour, T&M, or non-competitive fixed-price type subcontracts having a total potential value expected to exceed the threshold for requiring certified cost or pricing data ($2,000,000) as set forth in FAR 15.403-4 (Class Deviation 2018-00015).
L.11 1852.245-80 GOVERNMENT PROPERTY MANAGEMENT INFORMATION
(JAN 2011)
(a) The offeror shall identify the industry leading or voluntary consensus standards, and/or the industry leading practices, that it intends to employ for the management of Government property under any contract awarded from this solicitation.
(b) The offeror shall provide the date of its last Government property control system analysis along with its overall status, a summary of findings and recommendations, the status of any recommended corrective actions, the name of the Government activity that performed the analysis, and the latest available contact information for that activity.
(c) The offeror shall identify any property it intends to use in performance of this contract from the list of available Government property in the provision at 1852.245-81, List of Available Government Property.
(d) The offeror shall identify all Government property in its possession, provided under other Government contracts that it intends to use in the performance of this contract. The offeror shall also identify: The contract that provided the property, the responsible Contracting Officer, the dates during which the property will be available for use (including the first, last, and all intervening months), and, for any property that will be used concurrently in performing two or more contracts, the amounts of the respective uses in sufficient detail to support prorating the rent, the amount of rent that would otherwise be charged in accordance with FAR 52.245-9, Use and Charges (June 2007), and the contact information for the responsible Government Contracting Officer. The offeror shall provide proof that such use was authorized by the responsible Contracting Officer.
(e) The offeror shall disclose cost accounting practices that allow for direct charging of commercially available equipment, when commercially available equipment is to be used in performance of the contract and the equipment is not a deliverable.
(f) The offeror shall identify, in list form, any equipment that it intends to acquire and directly charge to the Government under this contract. The list shall include a description, manufacturer, model number (when available), quantity required, and estimated unit cost.
Equipment approved as part of the award need not be requested under NFS clause 1852.245- 70.
(g) The offeror shall disclose its intention to acquire any parts, supplies, materials or equipment, to fabricate an item of equipment for use under any contract resulting from this solicitation when that item of equipment:
Will be titled to the government under the provisions of the contract; is not included as a contract deliverable; and the Contractor intends to charge the costs of materials directly to the contract. The disclosure shall identify the end item or system and shall include all descriptive information, identification numbers (when available), quantities required and estimated costs.
(h) Existing Government property is as follows:
A listing of existing Government supplied equipment/property is provided in Section J.1.a.4.
L.12 1852.245-81 LIST OF AVAILABLE GOVERNMENT PROPERTY (JAN 2011)
(a) The Government will make the following Government property available for use in performance of the contract resulting from this solicitation, on a no-charge-for-use basis in accordance with FAR 52.245–1, Government Property, included in this solicitation.
The offeror shall notify the Government, as part of its proposal, of its intention to use or not use the property.
(b) The Government will make the following Government property available for use in performance of the contract resulting from this solicitation, on a no-charge-for-use basis in accordance with FAR 52.245-2, Government Property Installation Operation Services, as included in this solicitation (See Section J.1.a.4). The offeror shall notify the Government of its intention to use or not use the property.
(c) The selected Contractor will be responsible for costs associated with transportation, and installation of the property listed in this provision.
L.13 PROPOSAL GENERATION – GENERAL INSTRUCTIONS
(a) PROPOSAL STRUCTURE AND DUE DATES
(1) The entire proposal is due by October 18, 2021 at 9:00 A.M. Pacific Time (PT). The delivery location is specified in Section L.13(b), Proposal Submission Instructions. Any proposal submitted after the due date and time will not be accepted nor evaluated.
(2) Completed Past Performance Questionnaires (PPQs) may be submitted any time after RFP release, until the proposal due date and time. PPQs shall be emailed to u.t.dickson@nasa.gov and courtesy copy (cc) to Joshua.D.Taggart@nasa.gov. Past Performance Questionnaires received after 9:00AM PT on the proposal due date (item 1 above) will not be evaluated.
(3) Proposals, modifications, revisions, or withdrawals of proposals received after the due date and time established in this RFP for proposal receipt will be handled in accordance with FAR 52.215-1.
(4) The proposal shall be valid for 365 calendar days from the proposal due date listed in L.13(a)(1) of this solicitation.
(5) Offerors shall structure their proposals as set forth in L.14 – Proposal Preparation Required Proposal Content and L.15 – Proposal Preparation-Specific Instructions. Proposal content (other than Tables of Content) excluded from the page limit (as identified in section L.8(c)) shall be placed at the end of each volume.
(6) Volume I, General, Volume II, Mission Suitability, and Volume III, Past
Performance shall be submitted in Text Searchable Adobe Acrobat PDF.
Volume IV, Cost/Price workbooks shall be compatible with Microsoft Excel 2016. Volume IV, Cost/Price supporting narrative shall be submitted in Text Searchable Adobe Acrobat PDF.
Please Note: The Offeror shall not lock or password protect any file (e.g.
*.doc, *.pps, *.xls, *.txt, *.msg). PDF documents must be submitted in Text Searchable Adobe Acrobat PDFs. File formats that are identified as “Text Searchable Adobe PDF” must be formatted to contain searchable text. All elements of the file must be searchable for text.
(b) PROPOSAL SUBMISSION INSTRUCTIONS
Electronic Submission of Proposals – Proposal Marking and Delivery Through NASA’s EFSS Box (JUL 2021)
(1) The offeror shall submit its proposal via NASA’s Enterprise File Sharing and Sync Box (EFSS Box), a FedRAMP Moderate certified platform. Electronic submissions shall not contain hidden formulas, tables, be locked, be password protected, or contain links to data not included in the electronic copy. All electronic submissions should be searchable and should not contain scanned documents, except those documents that must be provided in their native format (e.g., signature pages, prior award fee letters for past performance, DCAA/DCMA approval letters, as applicable). The offeror shall ensure documents are free from viruses and malware, as documents determined by NASA to contain a virus or malware will not be opened or evaluated. Subcontractors may submit their required proposal information separately using the instructions in this provision.
The offeror shall ensure subcontractor submissions are made no later than the date and time specified for proposal submission and comply with all solicitation instructions.
(2) Prior to the submission of proposal files, offerors interested in submitting a proposal in response to this solicitation should notify Umetria Dickson of their intent to submit a proposal at least 48 hours prior to the intended submission date, at the following email address: u.t.dickson@nasa.gov. The offeror shall courtesy copy (cc) Joshua Taggart at Joshua.D.Taggart@nasa.gov on this communication.
Offerors, especially those that have not previously submitted a proposal utilizing NASA’s EFSS Box, are encouraged to coordinate the submission of a test file with Joshua Taggart several days in advance of the date and time specified for proposal submission in order to allow time to work through any submission issues. The “Test File” shall be titled "Test_Offeror'sName_Date" and submitted to the following: https://nasagov.app.box.com/f/09f39eadd60b4494a3afe1b8f6dcbbb1.
The “Test File” shall not contain any part of the offeror's actual proposal and will not be used in the evaluation of an offeror's actual proposal.
(3) The offeror shall submit all proposal files to:
https://nasagov.app.box.com/f/09f39eadd60b4494a3afe1b8f6dcbbb1. The Offeror shall follow instructions regarding proposal submission found at https://www.hq.nasa.gov/office/procurement/other/EFSS-Box-Offeror-Proposal- Submission-Instructions.pdf.
(4) Offerors are encouraged to include all individual proposal files within a single
.zip file. Electronic file names shall be limited to letters, numbers, and single spaces, with the exception of the period that is required before the file extension (e.g., .zip, .pdf), in order to successfully upload and download files from the EFSS Box system. The offeror shall not use special characters “/” or “\” in file names.
The offeror shall sequentially number each file and clearly label the contents of the file and include the name of the offeror and subcontractor name (if applicable) in the individual file name. Examples of acceptable individual file names are as follows (not specific to this solicitation):

Individual files cannot exceed 150GB per file. Submitted files shall not include password protection. Unless specifically authorized by the solicitation instructions, alternate proposal submissions shall not be submitted.
(5) Immediately after all files have been uploaded and the proposal has been submitted in its entirety, the offeror shall notify Umetria Dickson at the following email address: u.t.dickson@nasa.gov with a listing of all documents by filename that were submitted via EFSS Box. The offeror shall courtesy copy (cc) Joshua Taggart at Joshua.D.Taggart@nasa.gov on this communication. If any problems are experienced with the EFSS Box system (e.g., login, file transfer), please contact Umetria Dickson and a cc copy to Joshua Taggart via e-mail as soon as possible.
(6) The offeror is responsible for ensuring its proposal reaches the Government office designated in the solicitation by the date and time specified in the solicitation (see FAR 52.215-1(c)(3)). The Government is not responsible for any failure attributable to the transmission or receipt of documents submitted using electronic means, including the missing of any submission requirements and established deadlines. Please note that uploading documents via EFSS Box and the transmission of the files from the offeror to the Government may not be instantaneous. To ensure timely delivery, the offeror is encouraged to submit its proposal at least 24 hours prior to the due date specified in the solicitation. The electronic submission of the proposal shall contain all information required by the solicitation to be determined responsive.
