About this file
This file is a Litigation History disclosure form required by Broward County, Florida for vendors responding to the Sound Masking System procurement for the Crisis Intervention & Support Division and other county agencies. The form requires vendors to disclose all "material" legal cases from the past three years involving the vendor, parent companies, subsidiaries, predecessors, or principals, where material cases include those related to similar work, fraud or negligence allegations, contract defaults or failures, financial difficulties including bankruptcy, or business-related criminal proceedings. Vendors must also disclose any litigation between the county and proposed subcontractors within the past five years, with completed forms due with the initial submittal or within three business days of the county's request.
The form includes detailed requirements for case disclosure including case numbers, court information, disposition status, and copies of judgments or settlement agreements, with redactions only permitted under pre-existing confidentiality agreements. Failure to fully disclose material cases or subcontractor litigation history may result in the vendor being deemed non-responsive, and the county will consider litigation history information in determining vendor responsibility. The form provides checkboxes and text fields for vendors to either certify no material cases exist or provide comprehensive details about any disclosed litigation, including whether the vendor was plaintiff or defendant and the current status of proceedings.
