About this file
This document is a Questions and Answers (Q&A) file for the International Legal Support Services (ILSS) Indefinite Delivery, Indefinite Quantity (IDIQ) contract solicitation from the U.S. International Development Finance Corporation (DFC). The solicitation seeks multiple law firms to provide legal support services across four categories: Finance, Investment Funds, Direct Equity, and Political Risk Insurance, with a total contract ceiling of $200 million over a five-year ordering period.
The Q&A addresses key details about proposal submission, including guidance on the Past Performance Questionnaire (PPQ), which has two sections to be completed in phases. Noteworthy points include: DFC intends to make multiple contract awards, will accept references from internal DFC attorneys, requires firms to support at least one of the four service categories, and prioritizes sectors such as Infrastructure, Critical Minerals, Energy, Food Security, Agriculture, Health, and Small Business/Financial Services. The document also clarifies that pricing details will be revealed in Phase 2, and DFC will assess price reasonableness when evaluating proposals.

Question and Answers 77344426R0001
Q.1 Past Performance Questionnaire. To confirm, for Phase 1 we are only required to complete and submit Section A of the Past Performance Questionnaire as part of Volume II. If we are down-selected for Phase 2, we will then send the completed Section A to our references so they can complete Section B and submit it directly to DFC.
A.1 Please note the PPQ has Section A and B. Section A is the minimum information due for phase 1. Section B will be evaluated during Phase 2. However, some firms may choose to complete the form in their entirety if it serves their business best interest.
Q.2 Can firms submit section B of the PPQ or do they have to have them emailed to DFC.
A.2 If the completed section B was included with your proposal (i.e. not emailed direct to DFC) DFC may still accept the PPQ; however DFC reserve the right to call and verify the rating during phase 2.
Q.3 The questionnaire that you sent has instructions that refers to information provided in Volume III, which is submitted in Phase 2. We are submitting for Phase 1.
Can you please reconfirm that this is the correct form. If this is the correct form, are we supposed to provide customer contact information at this point or should we wait until Phase 2?
A.3 The Past Performance Questionnaire has two sections, Section A and Section B. Please see solicitation 77344426R0001 page 62 Section L.1. D for use of this form in Phase 1. Also please see Q.1 and Q.2 above.
Q.4 3. Can the references listed in Section B of the PPQ be DFC attorneys/internal DFC references?
A.4. Yes, the PPQ may reference DFC projects / attorneys
Q.5 Has the USDFC determined a range for the number of firms that it anticipates engaging under this RFP?
A.5 See Section M. The Government intends to make multiple contract awards under this solicitation. A manageable number of awards will be made to ensure adequate competition at the task order level and to allow for the small business reserves outlined below
Q.6 What is the personnel size of outside law firms that USDFC has traditionally engaged for debt and equity transactional work?
A.6 DFC has contracted with both unrestricted and small business firms.
Q.7 Are those firms typically organized as larger, international law firms or does the USDFC rely on U.S. law firms with overseas local counsel contacts? We noticed that some opinion work may need to address the law off England and Whales, and our law firm has a close partnership with a few U.K. firms, but wanted clarity on whether the USDFC has preference for firms with offices in the US and UK?
A.7 DFC services often require international partnering .
Q.8 Is there an hourly fee range for the categories of seniority that the USDFC expects? If so, can you provide historical information on what that range has been, and more importantly, what the USDFC expects that range to be under this RFP?
A.8 DFC does not release publish a range. More information on pricing will be released if invited to phase 2. Price reasonableness will be used to determine if a firm rates are fair and reasonable. See Section M
Q,9 Is the USDFC limited to looking for law firms that have substantial project finance practices?
A. DFC is America’s development finance institution. We partner with the private sector to mobilize capital for strategic investments around the world. Our projects foster economic development, support U.S. interests, and deliver returns to American taxpayers. Sector priorities include Infrastructure and Critical Minerals, Energy, Food Security and Agriculture, Health, and Small Business and Financial Services. See Section C for types of services within scope.
Q.10. Does this reference to capital markets transactions also include public equity transactions? If so, we will highlight a public equity deal.
A.10 No, a public equity deal would not be relevant for Category 1: Finance. But, because the quoted language says, "If Offeror has experience..." that fact would not preclude the firm from competing for an award in the Finance category.
