About this file

This is a sample town agreement template for on-call handyman services between the Town of Hilton Head Island, South Carolina, and a qualified contractor. The Town seeks a contractor to provide handyman services on an as-needed basis through job orders issued by the municipality. The agreement establishes an indefinite quantity contract with no guaranteed minimum amount of work. The initial contract term is one year from the date of execution, with options to renew for up to four additional years in any combination of renewal periods. The contract document references Exhibit A (RFP 2026-08) as part of the contract documents, with additional exhibits to be completed during contract execution.

Pricing for services is structured using unit costs to be detailed in a future exhibit, with the actual cost of each job order negotiated based on the scope of work and level of effort required. Fees are fixed for the first two years, after which parties may negotiate fee modifications no more than once every twelve months through written amendment. Reimbursable expenses other than travel require pre-approval and are reimbursed at cost without markup, while travel reimbursement follows GSA maximum per diem rates and IRS mileage standards, supported by documentation. The contractor must maintain one million dollars in general liability insurance with the Town named as an additional insured. The agreement permits termination by the Town for convenience with payment for services rendered through the termination date, termination for lack of appropriated funds with notice at fiscal year-end, or termination for material breach by either party with thirty days' notice to cure. The contractor is an independent contractor with no employment relationship to the Town and must comply with South Carolina's Illegal Immigration Reform Act and federal work authorization requirements.

NOW, THEREFORE, for and in consideration of the mutual promises, undertakings and covenants set forth herein, the receipt and sufficiency of which is acknowledged and affirmed by the Town and the Contractor, the parties hereto agree as follows

CONTRACT DOCUMENTS

The Contract Documents herein named include all of the following component parts, all of which are as fully a part of this Contract as if herein set out verbatim, subject to all stated exclusions, or, if not attached, as if hereto attached:

Exhibit A: RFP 2026-08

Exhibit B: _____ Exhibit C: _____

1. The Contractor shall perform on-call handyman services on an as needed basis. The Contractor shall perform those services which shall be directed by the issuance of a Job Order pursuant in accordance with the terms and conditions provided herein.

2. The cost of each Job Order shall be negotiated based on the unit costs reflected in Exhibit_____ and in accordance with the applicable level of effort required by the scope of work developed by the Town in coordination with the Contractor. This is an indefinite quantity Agreement with no guaranteed minimum amount of work to be issued to Contractor.

Fees shall be fixed for the first two (2) years of this Agreement, after which the parties may negotiate to modify fees, but no more than once every twelve (12) months. Any modification to fees shall only be by mutual written amendment to this Agreement.

4. The Contractor is required to maintain appropriate levels of insurance. The

7. This Agreement has been made and entered into in the State of South

Carolina, and the laws of South Carolina shall govern the validity and interpretation of this Agreement in the performance due hereunder.

8. This Agreement may not be modified unless such modification is in writing and signed by both parties.

9. The Contractor may not assign this Agreement without the prior written approval of the Town.

10. The Contractor shall defend, indemnify, and hold harmless the Town, its officers, directors, agents, and employees from and against any and all actions, costs, claims, losses, expenses, and/or damages, including attorney’s fees, whether incurred prior to the institution of litigation, during litigation, or on appeal arising out of or resulting from the conduct of any activity hereby authorized or the performance of any requirement imposed pursuant by this Agreement, however caused or occasioned, unless caused by the willful misconduct or gross negligence of the Town.

11. The parties hereto intend that no master/servant, employer/employee, or principal/agent relationship will be created by this Agreement. Nothing contained herein creates any relationship between the Town and the Contractor other than that which is expressly stated herein. The Town is interested only in the results to be achieved under this Agreement, and the conduct and control of the agents and employees of the Contractor and the methods utilized by the Contractor in fulfilling its obligations hereunder shall lie solely and exclusively with the Contractor and its agents and employees shall not be considered agents or employees of the Town for any purpose.
