Daikin Applied Terms and Conditions of Sale - Replacement Parts

COMPANY: “Company” as used herein means Daikin Applied or its subsidiaries.

PRICE POLICY: Prices may be increased depending on the date of release and/or shipment of the order, announced increases in the Company’s list prices, or increases in labor and material cost.

TERMS OF PAYMENT: Terms of payment are subject at all times to prior approval by the Company’s credit department. Terms of payment are net 30 days of date of invoice unless previously otherwise agreed in writing. If at any time the financial condition of the Purchaser or other circumstance affecting the credit decision, in the Company’s sole discretion, does not justify continuance of production of replacement parts or shipment of replacement parts on the terms of payment specified, the Company may require full or partial payment in advance, or stop or delay production or shipment of replacement parts. In the event of default in payment, Purchaser agrees to pay all costs of collection incurred by Company including but not limited to collection agency fees, attorney fees and court costs. All past due amounts shall bear interest at the highest rate allowed by law.

SHIPPING TERMS: Shipments will be made F.O.B. ship point, prepaid and add, via a Daikin Applied-contracted carrier. The Company may ship the goods in one or more lots.

U.S. EXPORT TERMS: All Goods sold to Buyer by Company hereunder are subject to U.S. Export Control Laws, including, but not limited to, the Arms Export Control Act as implemented by the International Traffic in Arms Regulation (“ITAR”) and the Export Administration Regulations (“EAR”).

Buyer hereby agrees not to re-sell or divert any Goods contrary to such laws. For sales ultimately destined outside the United States, notwithstanding any provisions to the contrary in this or other documents related to this transaction, and regardless of how price was quoted, whether FOB, FAS, CIF or otherwise, legal title to the goods and risk of loss shall remain with Company until the goods have passed beyond the territorial limits of the United States.

CLAIMS: The Company’s responsibility for all shipments ceases upon delivery of goods in good order to the carrier. Claims for damage or shortage in transit must be filed by Purchaser against the carrier.

Claims for factory shortages will not be considered unless made in writing to the Company within ten

(10) days after receipt of the goods and accompanied by reference to the Company’s bill of lading and parts order number(s).

TAXES: The amount of any applicable taxes will be added to the price and paid by the Purchaser in the same manner and with the same effect as if originally added thereto.

CANCELLATIONS: Accepted orders are non-cancelable.

SHIPMENT DATES: Shipment dates are only estimates, not guarantees.

PRODUCT/REPLACEMENT PART CHANGES: In the interest of continuous product improvements, the Company reserves the right to change specification and/or design without incurring obligation.

RETURNED GOODS: Goods may not be returned except by permission of an authorized Company official at Minneapolis, Minnesota. Returned goods will be subject to handling and transportation charges. Returned goods must be shipped prepaid to the location designated by the authorization.

LIMITED WARRANTY: In the event any replacement part sold by the Company proves defective in material or manufacturing for a period of twelve (12) months from the initial start-up or eighteen (18) months from date of shipment, whichever expires sooner, the Company will provide replacement parts at no charge. The Company’s liability shall not exceed the lesser of the cost of correcting defects in the goods sold or the original purchase price of the goods. In no event will the Company be liable for any delays or special, indirect, incidental, or consequential damages.

The Company’s warranty does not apply to goods which have been opened, disassembled, repaired, or altered by anyone other than the Company or its authorized service representative or which have been subjected to misuse, misapplication, or abuse. The Company is not obligated to pay any labor or service costs for removing or replacing parts, or any shipping charges. Refrigerants, fluids, oils, and expendable items such as filters are not covered by this warranty. This Warranty and any optional extended warranties are granted only to the original user. Company’s duty to perform under any warranty may be delayed, at Company’s sole option, until Company has been paid in full for all goods purchased by Purchaser. No such delay shall extend the warranty period.

For additional consideration, the Company may provide an extended warranty(ies) on certain goods or components thereof. The terms and conditions of the extended warranty(ies) will be identical to this Warranty; only the duration will be changed.

THIS WARRANTY CONSTITUTES THE COMPANY’S SOLE LIABLILTIY AND PURCHASER’S

SOLE REMEDY. IT IS GIVEN IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

THERE IS NO IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A

PARTICULAR PURPOSE. IN NO EVENT AND UNDER NO CIRCUMSTANCES SHALL DAIKIN

APPLIED BE LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, WHETHER THE

THEORY BE BREACH OF THIS OR ANY OTHER WARRANTY, NEGLIGENCE, OR OTHER

TORT.

The Company must receive a start-up information report for goods containing motor-compressors and/or furnaces. The registration/start-up form must be completed and returned to the Company within ten (10) days of original equipment start-up or start-up date and ship date will be deemed the same for warranty determination.

No person (including any agent, sales person, dealer or distributor) has the authority to expand the Company’s obligation beyond the terms of this express warranty, or to state that the performance of the replacement part is other than published by the Company. Parts purchased for resale to Buyer (“Resale Parts”) shall carry only the warranty extended by the original Seller.

TERMS OF SALE: Sale of goods is made solely on the terms and conditions set forth herein, notwithstanding any additional or conflicting terms and conditions that may be contained in any purchase order or other form or purchase order, all of which additional or conflicting terms and conditions are hereby objected to and rejected by the Company unless agreed upon in writing and signed by an officer of the Company. No waiver, alteration or modification of the foregoing terms and conditions shall be valid unless made in writing and signed by an authorized official of the Company.

In particular and without limiting the foregoing, notwithstanding anything to the contrary in Purchaser’s purchase order or any other documents, the Company does not accept any order subject to project design and specifications. Purchaser agrees to accept full and sole responsibility to determine whether the replacement part ordered by Purchaser meets the design and specification requirements of any project.

CANADA: For additional Canadian terms and conditions, please refer to the Canadian terms and conditions on the Canadian quote form. Such Canadian terms are expressly incorporated herein for sales made in Canada. The parties confirm that it is their wish that this contract be drawn up in the English language only; les parties aux présentes confirment leur volonté que ce contrat soit rédigé en langue anglaise seulement.

Limitation on Liability; Indemnity: Company’s liability with respect to the replacement parts sold hereunder shall be limited to the warranty provided in section 10 hereof, and shall not exceed the lesser of (a) the cost of repairing or replacing defective replacement parts, or (b) the original purchase price of the replacement parts. IN NO EVENT AND UNDER NO CIRCUMSTANCES

SHALL COMPANY BE LIABLE FOR INCIDENTAL, INDIRECT, SPECIAL, CONTINGENT OR

CONSEQUENTIAL DAMAGES, WHETHER THE THEORY BE BREACH OF THIS OR ANY OTHER

WARRANTY, NEGLIGENCE OR STRICT LIABILITY IN TORT.

Infringement: Company will, at its own expense, defend any suits that may be instituted by anyone against Buyer for alleged infringement of any valid United States patent, trademark or copyright in existence on the date of this contract relating to any replacement parts sold hereunder that are manufactured by Company, provided Buyer (i) shall have made all payments then due hereunder,

(ii) shall give Company immediate notice in writing of any such suit and transmit to Company immediately upon receipt all processes and papers served upon Buyer, and (iii) shall permit Company, either in the name of Buyer or the name of Company, to defend the same and give Company all needed information, assistance and authority to enable it to do so. If such replacement parts are in such suit held in and of themselves to infringe any such patent, trademark or copyright, Company will pay any final award of damages in such suit to the extent attributable to such infringement. Notwithstanding the foregoing, Company shall not be responsible for any settlement made without its written consent, or for infringements of combination or process patents covering the use of the replacement parts in combination with other goods not furnished and manufactured by Company.
