A. Introduction

The U.S. Merchant Marine Academy intends to establish a Firm Fixed Priced (FFP) contract to provide the A/E design services for the Midshipmen Activity Center at the U.S. Merchant Marine Academy (USMMA) located in Kings Point, New York. This procurement will be conducted in accordance with the Brooks Act, meeting the definition of Architect and Engineering Services as defined in 40 U.S.C. 1101 and FAR 2.101. Services include, but are not limited to: engineering studies, investigations, surveying and mapping, soils engineering, tests, evaluations, consultations, comprehensive planning, drawing reviews, program management, conceptual designs, presentations and coordination with USMMA technical representatives and project management staff and other local, state and federal agencies, full design plans and specifications, and value engineering.

Services shall include preservation surveys and restoration designs for historic buildings both interior and exterior.

Tasks may also include construction phase services including, but not limited to, preparation of operation and maintenance manuals, site visits, shop drawing reviews, technical assistance, on-site representation and commissioning/start-up/fit-up design support.

A complete list of tasks can be found in Attachment 1- Statement of Work.

This is a request for interested parties to submit a Standard Form 330 (SF330), Architect- Engineer (AE) Qualifications. THIS IS NOT A REQUEST FOR PROPOSALS pursuant to FAR 15. Firms interested in being considered for this acquisition must submit a complete qualification package, in accordance with this solicitation and its attachments, to the Contracting Officer (CO), LaChelle Johnson at LaChelle.Johnson@dot.gov. Submissions will not be accepted via mail or fax.

Qualification packages are due no later than: July 28, 2020 at 10am EST NAICS 541310, Architectural Services, with a small business size standard of $7.5M, applies to this acquisition. This procurement is being pursued as a total small business set-aside.

All packages must be submitted with a cover page to include the firm’s name, address, DUNS number, Point of Contact, Phone Number, Email address, Payment terms, Small Business Designations (if applicable), GSA Schedule contract number and expiration date, and Response validity period (shall be a minimum of 120 days).

Site visit dates will be provided by way of an amendment to this solicitation.

The selection process will be conducted in accordance with The Selection of Architects and Engineers Statute (40 U.S.C. Chapter 11), Federal Acquisition Regulation (FAR) Subpart

36.6. After evaluation and ranking of firms, requests for price proposals (RFPPs) will be submitted to the three (3) most highly qualified firms, or other quantity of firms determined appropriate by the CO. Firms receiving RFPPs will have 7 calendar days from the date of

RFPP to provide their Price Proposals to the CO. Negotiations will be held with the most highly qualified firms whose price proposals have been received by the CO in a timely manner. If a mutually satisfactory contract cannot be negotiated, or cannot be negotiated within a reasonable amount of time, the CO shall terminate negotiations with that firm and shall issue an RFPP to, and enter into negotiations with, the next most highly qualified firm.

This procedure shall continue until the appropriate quantity, as determined by the CO, of mutually satisfactory contracts has been negotiated.

Prospective contractors must be registered in the System for Award Management database (https://sam.gov/) to be eligible for contract award and any firms awarded must maintain an active SAM registration throughout the duration of the contract. Foreign entity participation as a prime contractor is not permitted.

B. General Contract Information

1. Period of Performance

The performance period for this requirement shall not exceed 180 days after the notice of proceed issuance. Work under the resulting contract shall be performed in accordance with the requirements outlined in the attached Statement of Work (SOW).

2. Conflict of Interest

All interested AE firms are cautioned to review the restrictions of FAR Part 9.5 (Organizational and Consultant Conflicts of Interest). The contractor warrants that from the time of submission of an offer until the completion of the contract terms and conditions, there shall be no conflict or apparent conflicts of interest between the contractor's private interests and the public interests of the United States, with respect to the contractor's duties or responsibilities under government contracts. This clause covers the firm, its principals, its employees, and subcontractors. Examples of potential conflicts of interest are in personal, business, or professional activities. The contractor shall be responsible for having an adequate conflict of interest clause present in all subcontracts stemming from the resulting contract.

3. Confidential or Sensitive Information

During the period of performance of the resulting contract, upon agency agreement, the contractor might gain access to confidential data, which is the sole property of the U.S.

Maritime Administration/U.S. Merchant Marine Academy, as well as proprietary data, which is the sole property of entities or persons other than the contracting parties. The contractor agrees to maintain the confidentiality of all such data and shall not disclose any data, interpretations of and/or derivatives of such data to any unauthorized party without the express written approval of the contracting officer, or of the party in which title is wholly https://sam.gov/

Midshipmen Activity Center Architecture and Engineering Design Page 4 of 16 vested. The contractor hereby agrees to include this clause in all subcontracts or consulting agreements relating to work under this contract.

4. Type of Service

(a) The government and the contractor understand and agree that the services delivered by the contractor to the government are non-personal services. The parties also recognize and agree that no employer-employee or master-servant relationship exists or will exist between the government and the contractor. The contractor and the contractor's employees are not employees of the federal government and are not eligible for entitlement and benefits given to federal employees.

(b) Contractor personnel under this contract shall not:

(1) Be placed in a position where there is an appearance that they are employed by a federal officer, or are under the supervision, direction, or evaluation of a federal officer.

(2) Be placed in a position of command, supervision administration, or control over government personnel or personnel of other government contractors, or become a part of the government organization.

(3) Be used in the administration or supervision of procurement activities.

C. Instructions to Firms

In accordance with FAR 36.601-4(b) Implementation, the AE firm must be a registered/licensed architectural and/or engineering firm to be eligible for award. Firms shall provide proof that the firm is permitted by law to practice the professions of architecture or engineering, (e.g. state registration number, or a brief explanation of the firm's licensing in jurisdictions that do not register firms). Failure to submit the required proof could result in a firm's elimination from consideration.

SUBMISSION REQUIREMENTS

FORMAT:

The current edition of the SF330 must be used and is provided as Attachment 2 of this RFQ.

All submissions shall be emailed to LaChelle Johnson in PDF format. Responses submitted in a format other than as described above will not be accepted. All Firms responding to this solicitation MUST identify in the SF330 their company name, solicitation number, and category for which they are submitting. Responses not identifying which category they are submitting will be considered UNRESTRICTED for evaluation purposes. All Firms submitting responses shall obtain a DUNS number. Include the DUNS number in Part I, Section B, Block 5 next to the name of the firm.

All fonts shall be 12 pt. or larger in Times New Roman font to include text, tables and figures. Pages shall be 8-1/2 inches by 11 inches. The response is to be organized as

Part I of the SF330 shall not exceed 30 pages and shall be organized as follows:

Tab A - SF330, Part I, Sections A, B, C and D.

Tab D - SF330, Part I, Section G-Key Personnel.

Part II of the SF330 shall not exceed 20 pages. A Part II is required of any subcontractor that will perform a key role under the contract. Part II shall be organized as follows:

Tab F - SF330, Part II- General Qualifications Tab G - Joint Venture Agreement (as applicable) (This document does not count against the page limitation for Part II.)

Tab H - Specialized Experience and Technical Competence - Quality of Past Performance (This document does not count against the page limitation for Part II)

Items not included within the page restriction counts are as follows: SAM, cover pages, cover letters, table of contents, blank section dividers, resumes, charts, graphs, glossary of terms, exhibits, drawings, sample formats, items of an illustrative nature; GSA Schedule Contract, and Attachments.

1. All responses submitted in response to this solicitation must consist of Volume 1 which shall contain the SF330 with all the Tabs as shown above.

2. A firm's Technical Response will be evaluated in accordance with those factors set forth in the Evaluation Factors for Award.

3. Clarity and completeness of the response are of the utmost importance. The response must be written in a practical, clear, and concise manner.

4. Pages in excess of the individual limitations shall not be read, and the response shall be evaluated as if the excess pages did not exist.

SUBMITTAL TO CO:

Submissions must be submitted via email. Any responses to this solicitation must state in the subject line: RFQ 693JF720R000017 - MAC A/E Services. It is the firm's responsibility to ensure that responses are received by the CO by the due date. The due date for receipt of responses is Tuesday, July 28, 2020, 10am EST. Responses received after this date and time may not be considered.

CONTENT OF SUBMITTAL:

A complete response submitted in response to this solicitation must consist of:

1. SF330 Form

2. System for Award Management (SAM) Profile Overview

3. Organization Chart

4. Company History/Track Record

5. Quality Control Plan

QUESTIONS PERTAINING TO SOLICITATION:

If a firm believes that these instructions contain an error, omission, or are otherwise unsound, the firm must immediately notify the CO in writing with supporting rationale. Discrepancies not brought to the attention of the Government prior to the response submission shall be waived.

Any information pertaining to the solicitation given to any firm will be promptly furnished to all other firms. If the information is necessary in submitting responses, or if the lack of it would be prejudicial to any other firm, the information will be furnished as an amendment to the solicitation.

Questions relating to this solicitation shall be submitted electronically via email to the CO, LaChelle Johnson at LaChelle.Johnson@dot.gov.

Questions will be permitted through June 22, 2020. Questions submitted after June 22, 2020 at 5pm EST may or may not be answered. Ensure the Solicitation # and title are located in the subject line of the email. Questions will not be taken or answered over the phone. Once questions are consolidated, they will be answered through an issued amendment to the Solicitation.

Questions relating to this Solicitation shall be submitted using the attached Q&A form.

SERVICE OF PROTEST:

(1) Protests, as defined in section 31.101 of the Federal Acquisition Regulation, that are filed directly with an agency, and copies of any protests that are filed with the Government Accountability Office (GAO), shall be served to the CO, LaChelle Johnson, via email, by obtaining written and dated acknowledgment of receipt.

(2) The copy of any protest shall be received in the office designated above within one day of filing a protest with the GAO.

MINIMUM TECHNICALLY ACCEPTABLE CONTRACTOR EXPERTISE CRITERIA:

The contractor must demonstrate through their SF330 submission references, project lists, or reports, that it possesses experience as it relates to the requirements set forth in the SOW.

The Response shall include the following information:

a. Provide relevant information on the firm's qualifications, Experience, competence, and capabilities as it pertains to the proposed work outlined in the SOW.

b. Provide a maximum of three (3) examples of projects that are similar in size, scope, and complexity to the requirements described in the Solicitation, with a brief description of each project, customer name, timeliness of performance, contract number, customer satisfaction, and dollar value.

c. Projects considered similar in size, scope, and complexity to this project include general construction, renovation, Class A office building tenant fit-out; including, but not limited to, incidental minor construction, excavation, demolition, electrical, structural, plumbing, mechanical, concrete work.

C. Evaluation Factors for Award

The source selection factors for this procurement are listed below in descending order of importance. Factors 1 through 5 are primary. Factor 6 is secondary and will only be used as a tie-breaker among technically equal firms. Primary factors will be assigned a rating from "excellent" to "unacceptable", based on the risk to the Government that the firm will successfully perform that evaluated factor. An overall rating will also be applied to the response using the same rating scale. Responses failing to respond or provide complete information for each factor as required by this solicitation will be determined non-compliant and will be removed from fu1iher consideration. After all ratings have been assigned, firms will be ranked in order of the most highly qualified according to the selection criteria listed below, and interviews will be held with the top five (5) most highly qualified films.

For purposes of this solicitation, a stand-alone contract is considered one project. Separating activities performed under a contract will not be considered multiple projects; conversely, combining activities performed under separate contracts or task orders to produce a single project will not be considered. A single task under an Indefinite Delivery Contract is considered a project, not an Indefinite Delivery Contract itself. Projects in which the AE Service is not 100% complete will not be evaluated.

Firms' responses will be evaluated against the factors listed below. The government will use the information provided in the firm's written response and responses to interview questions, (if applicable, see below), in conducting the evaluation of the following factors, as more completely described in Attachment 4:

Factor 1: Professional Qualifications -SF330 Part I Sections C, D and E will be used to evaluate this criterion. The government will consider any information which may be pertinent to this criterion, including the following: proposed key personnel, professional registration, competence, related experiences to accomplish this work, education, and years with the company for the primary disciplines below:

a. Project/Program Management

b. Architecture

c. Structural Engineering

d. Mechanical Engineering

e. Electrical Engineering

f. Civil Engineering

g. Landscape Architecture

h. Fire Suppression Engineering

i. Construction Cost Estimating

j. Construction Inspection (Title II Quality Assurance)

k. Surveying

Demonstrate professional qualifications by providing professional license type, license number, state of issue, and expiration date for each professional license to be considered (SF330 Part I, Block 17). If claiming additional professional certifications, provide the certification title, issuing body and expiration date of each certification in the SF330 as well (Block 18).

Factor 2: Specialized Experience and Technical Competence - SF330 Part I Sections F and G will be used to evaluate this criterion. Firms shall list only projects completed by the firm in the past five (5) years from the date of this solicitation.

Evaluation will consider relevancy and location of the identified projects. At least half (rounding up) of the required example projects provided in a firm’s SF330 must have been completed as the prime. Include project scope, size, project cost (not A-E cost, but total construction cost of example project), principal design elements and features, LEED™ analysis and certification, and energy analysis and energy design features, design relevancy of example project to this contract, specific project support expertise, complexity of the job, challenges faced, actions taken, and the resolution and results of any challenges faced.

Do not list an IDIQ contract as an example of a completed “project”. List relevant completed TOs (reference the basic IDIQ number for each TO) or stand-alone contracts. Specialized experience and technical competency will be evaluated for ability to support the broad range of work required for this contract, as demonstrated by a firm’s example projects.

Relevant projects supporting government requirements with historic preservation requirements will be evaluated more favorably than non-government projects of similar complexity. Relevant government projects completed in the last 36 months prior to the date of solicitation will be evaluated more favorably than government projects completed more

Teams with demonstrated experience working together will be evaluated more favorably than teams without demonstrated experience working together.

Factor 3: Work Management (SF330, Part I, Section H)- to include an organizational chart and Quality Control Plan.

Factor 4: Capacity to Accomplish the Work - SF330 Part I Sections C, D, F, G, and Section H, will be used to evaluate this criterion. Demonstrate how the firm will manage, coordinate and administer the work within the prime and/or with their teaming partners.

Factor 5: Past Performance - Firms should submit a maximum of 3 past performances/references (Narratives). Past performance will be evaluated in terms of cost control, quality of work, and compliance with performance schedule, as described in FAR section 36.602-1(4). Narratives must be submitted for current work being performed or work that has been done within the past three (3) years.

For the agency to be able to evaluate quality of work and compliance with performance schedule, a corresponding past/present performance questionnaire (see Attachment 3 - Past/Present Performance Questionnaire) (PPQ) must be provided for each project cited in a Narrative, or the Firm may provide a Contractor Performance Assessment Report_(CPAR) for the project. If a PPQ is provided and there is a CPAR provided, the CPAR rating will govern.

Submitted past performance information that does not contain both a Narrative and a corresponding PPQ or CPAR will not be evaluated, and will receive a "Neutral" rating for the particular past performance. A Neutral rating means that it is neither positive nor negative.

Similarly, a firm that has no past performance will receive an overall Neutral past performance rating.

At a minimum, the following shall be provided for past performance narratives:

A. Program office / technical point of contact and key staff B. Telephone number C. Duration of contract D. Contract Dollar Value/Project Cost E. Brief description of project, citing examples of work products (if publicly available, includes urls and/or screen shots).

The firm shall send the PPQ to the CO for the corresponding past performance references.

The Points of Contact must send completed questionnaires directly to the CO before the Solicitation close date. Questionnaires may be sent electronically only to LaChelle.Johnson@dot.gov.

As noted above, Past Performance Questionnaires that do not correspond to a particular project described in a Narrative will not be considered.

PPQs provided via Attachment 3-Past/Present Performance Questionnaire must be submitted to the CO by the closing date and time of response due date of July 28, 2020, at 10am EST. It is the firm's responsibility to ensure that completed questionnaires are received by the CO on time.

Firms are prohibited from requesting past performance references from any USMMA staff.

Factor 6: Geographic Location - SF330 Part I Section B will be used to evaluate this criterion. Firms, and all teaming partners (if applicable), located within a 75-mile radius of USMMA will be evaluated more favorably than firms outside that distance, or firms with teaming partners outside that distance. Firms located at incrementally farther distances will be evaluated less favorably than firms located within closer ranges.

The government will evaluate each vendor's submission against the evaluation factors listed above using the adjectival rating system of Attachment 4 Evaluation Methodology.

INTERVIEWS:

As required by acquisition regulations, interviews for the purpose of discussing prospective contractor qualifications may be conducted by the AE Technical Evaluation Panel (TEP) with the five (5) firms deemed by the Panel to be most highly qualified. Interviews may be conducted by telephone and may occur the same week that the TEP convenes. Phone calls and personal visits for the purpose of discussing this solicitation are not allowed.

The Government reserves the right to make award based on initial offers received, without discussions or negotiations of such offers. Therefore, it is important that each offer fully address the requirements stated in this Solicitation, including any exceptions thereto or deviations therefrom.

To be accepted and eligible for evaluation, responses must be prepared in accordance with, and must comply with, the instructions given in this solicitation document.

Duration of the Contract: From date of award through 180 days. As noted above.

52.217-8 – OPTION TO EXTEND SERVICES (Nov 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

52.217-9 – OPTION TO EXTEND THE TERM OF THE CONTRACT (Mar 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 2 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 60 months/5 years.

1252.223-73 SEAT BELT USE POLICIES AND PROGRAMS (APR 2005)

In accordance with Executive Order 13043, Increasing Seat Belt Use in the United States, dated April 16, 1997, the contractor is encouraged to adopt and enforce on-the-job seat belt use policies and programs for its employees when operating company-owned, rented, or personally-owned vehicles. The National Highway Traffic Safety Administration (NHTSA) is responsible for providing leadership and guidance in support of this Presidential initiative. 1252.237-73 KEY PERSONNEL (APR 2005)

(a) The personnel as specified below are considered essential to the work being performed under this contract and may, with the consent of the contracting parties, be changed from time to time during the course of the contract by adding or deleting personnel, as appropriate.

(b) Before removing, replacing, or diverting any of the specified individuals, the Contractor shall notify the contracting officer, in writing, before the change becomes effective. The Contractor shall submit information to support the proposed action to enable the contracting officer to evaluate the potential impact of the change on the contract. The Contractor shall not remove or replace personnel under this contract until the Contracting Officer approves the change.

FAR 52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (JUL 2013)

(a) Definitions. As used in this provision— “Administrative proceeding” means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceeding at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

“Federal contracts and grants with total value greater than $10,000,000” means—

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

“Principal” means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The offeror [_] has [_] does not have current active Federal contracts and grants with total value greater than $10,000,000.

(c) If the offeror checked “has” in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:

(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:

(i) In a criminal proceeding, a conviction.

(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.

(iii) In an administrative proceeding, a finding of fault and liability that results in—

(A) The payment of a monetary fine or penalty of $5,000 or more; or

(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.

(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.

(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each

a. Invoices shall be submitted through Electronic Invoice System (EIS), with a Courtesy Copy sent to the Contracting Officer.

b. To constitute a proper invoice, the invoice must include the following information and/or documentation:

(1) Name of the business concern (Note this name must match the name on the contract document exactly. If another name is used on the invoice such as a Doing Business As (DBA) the name on the contract document must also be listed on the invoice document). Invoices that do not contain the name on the contract will be rejected.

(2) Invoice date

(3) Contract Number, or other authorization for supplies delivered or services performed

(4) Description price and quantity of supplies and services actual delivered or rendered

(5) Shipping and payment terms

(6) Name (where practicable), title, phone number, and complete mailing address of responsible official to whom payment is to be sent.

(7) Other substantiating documentation or information as required by the contract.

Upon completion of the web-based system, invoices shall be available on-line. The on-line version of the invoice shall provide the ACO with the capability of approving in full or partial payments or rejecting invoices in total.

PLACE OF PERFORMANCE

Contractor will perform the tasks required at their place of business. Location to be updated at award.

The contractor shall be accessible and responsive (within 24 hours of receipt of inquiries from the CO and/or COR) Monday through Friday between the hours of 8am EST and 4:30pm EST, excluding Federal Holidays. Overtime may be required in emergency situations. These situations will be handled on a case by case basis, with the Contracting Officer’s approval.
