About this file
This is a Sole-Source Determination Memo issued by the Oregon Department of Human Services Office of Contracts and Procurement for the Oregon Health Authority (OHA). The document authorizes a personal services contract with Bates White LLC to provide advanced economic and econometric analysis services supporting OHA's Health Care Market Oversight (HCMO) program in reviewing health care transactions under ORS 415.501. The scope of services includes reviewing transaction documents, analyzing data to assess market competition, advising on economic analysis best practices, identifying transaction concerns, developing information requests, producing methodology documentation and data visualizations, and preparing comprehensive reports with findings and recommendations. The contract will have an initial term of five years with an estimated total value of $1,000,000.00, with provisions to extend up to a maximum of 10 years through contract amendment.
The sole-source justification is based on OHA's determination that Bates White is the only firm capable of providing the specialized expertise required. OHA's market research, conducted nationwide, identified that Bates White possesses extensive experience advising state and federal regulatory agencies on anticompetitive effects of proposed health care transactions and serving as an expert witness in legal proceedings. Following the termination of a previous contract (179197) with an underqualified contractor in September 2024, OHA determined that no other firms possessed the requisite depth of specialized experience in health care transaction review. The procurement is deemed urgent to support active HCMO reviews with strict statutory deadlines. Protests to this sole-source determination are due within seven calendar days of the notice posting on OregonBuys and must be submitted to Suzanne Christman at the Oregon Department of Human Services Office of Contracts and Procurement.

OHA previously issued a Request for Applications (RFA) under OregonBuys Bid Number S-44300-00004677 for Enterprise Initiative Implementation Consulting Services on October 13, 2022. OHA received one response to its Analytics sub-category of Economic Analysis and issued contract 179197. The awarded contractor did not have the requisite experience reviewing health care transactions necessary to adequately assist OHA. Contract 179197 was terminated on September 26, 2024.
OHA extensively researched the capabilities of economic firms nationwide in an effort to locate other sources for this work. Bates White has extensive experience both advising state and federal regulatory agencies on the anticompetitive effects of proposed health care transactions nationwide and serving as an expert witness during legal proceedings. In particular, Bates White has extensive experience providing the type of expertise OHA seeks to support state agencies in conducting transaction reviews. OHA is not aware of other firms with this depth of specialized experience. This work is urgently needed to support active HCMO reviews and Bates White is available to provide support immediately. OHA has determined that Bates White is the only company that can holistically provide these essential services to OHA.
