About this file
This is a Confidential and Proprietary Information Declaration Form issued by Salt Lake City Corporation's Purchasing & Contracts Management Division for use by contractors submitting trade secrets or commercial financial information in connection with government contract opportunities. The form enables contractors and private providers to identify protected records or information in accordance with Utah Code provisions 63G-2-305 and 63G-2-309, which allow trade secrets and commercial financial information to be protected from public disclosure under the Government Records Access and Management (GRAMA) Act. Contractors must submit this form concurrently with the information they wish to protect, providing a concise statement of reasons supporting their confidentiality claim. The form requests detailed claimant information including company name, address, representative contact details, and specific identification of which records or pages are subject to the claim, along with corresponding reasons for each protected section.
The form emphasizes that submission of a confidentiality claim does not guarantee protected classification if the governmental entity receives subsequent records requests, as protection determinations are made on a case-by-case basis subject to statutory criteria. Claimants may elect to provide public redacted copies of their submissions alongside the confidential versions. The form includes checkboxes and data fields for documenting multiple confidentiality claims across different pages and paragraphs, along with signature and date authentication sections. This administrative tool is essential for contractors responding to Salt Lake City solicitations who possess proprietary information or trade secrets that could result in unfair competitive injury if disclosed to competitors or the general public.

Business Request for GRAMA Business Confidentiality Claim For use by contractors or private providers to identify protected records or information
Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected.
