ADDENDUM TO FAR 52.212-1
INSTRUCTIONS, CONDITIONS, AND NOTICES TO PROPOSALS
A. Submittal and Inquiries.
1. Proposals shall be submitted electronically to: Jennifer.jordan4@va.gov. Email/Attachment size is limited to 20MB.
Proposals are due by January 20, 2023, at 2:00pm CST. Proposals not received by that time will not be accepted nor considered for award.
B. General Instructions
1. This is a commercial services procurement being completed in accordance with (IAW) FAR Part 12, Acquisition of Commercial Items, and FAR Part 15, Contracting by Negotiation, using trade-offs.
2. The Proposal. The submission of the documentation specified below will constitute the offerors acceptance of the terms and conditions, concurrence with the Performance Work Statement (PWS), and contract type.
3. The VA reserves the right to conduct discussions. Offerors are encouraged to present their best technical and price proposal in their initial proposal submission. Proposals from vendors that fail to meet the minimum requirements will be deemed unacceptable and will not be further considered.
4. Instructions outlined in paragraph C below, prescribe the format for the Proposal and describes the approach for the development and presentation of proposal data. These instructions are designed to ensure the submission of information needed to allow for evaluation of Proposals.
5. If an offeror believes that the requirements in these instructions contain an error, an ambiguity, omission, or are otherwise deemed unsound, the offeror shall immediately notify the contracting offeror in writing with supporting rationale.
6. In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals.
7. All referenced documents for this solicitation are available on sam.gov.
8. Offer expiration date. Proposals in response to this solicitation will be valid for 120 days from the offer due date for this solicitation. This is a revision to FAR Provision 52.212-1(c).
C. Proposal Preparation Instructions
1. Offeror’s proposal shall consist of four (4) separate volumes: General, Technical Capability, Past Performance, and Price.
2. Format
(a) The Offers shall be organized into four (4) volumes. Offerors shall submit the number of copies listed in the table below of their proposal. A cover sheet should be in each volume, clearly marked as to volume number, title, copy number, solicitation identification and the offeror's name. All text shall be single spaced and printed black on white paper. Black and white requirement does not apply to graphics, photos, etc., Company stationery and logos are acceptable. Printing shall be 12pt Times New Roman. For tables, graphics, photos, etc., 8pt Times New Roman. Cross-references should be utilized to preclude unnecessary duplication of data between sections. The proposal shall not exceed the limits stated in table. If the page limits are exceeded, the pages in excess of the limit shall be removed and returned, unread, to the offeror. The Government will not accept any changes to the contractor’s proposal after the closing date of the solicitation. The file name shall be “Company Name – Initial” for the first submission. The file name of later submissions (if applicable) shall be “Company Name – Revision X’ with X indicating the number of the revision. Page limitations are as follows:

3. Content
· Volume I – General. Completed Standard Form 1449, and SF 30 for amendments if necessary; Completed 52.212-3 Offer Representations and Certifications, contractor information, subcontractor information, teaming agreements, a fully completed and signed copy VAAR 852.219-75 certificate and Business Associate Agreements.
· Volume II – Technical Capability. The Technical Capability Volume shall be clear, concise, and include sufficient detail for effective evaluation and for substantiating the validity of stated claims in the Offeror’s Proposal. Legibility, clarity and coherence are very important. Proposals will be evaluated against the Technical Capability factors defined at the addendum to FAR Clause 52.212-2. The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation on the information presented in the offeror's proposal.
Volume II, Technical Capability Volume, shall, at a minimum, be prepared in a form consistent with the evaluation criteria for award set forth in the addendum to FAR Clause 52.212-2. The section shall be prepared in an orderly format and in sufficient detail to enable the Government to make a thorough evaluation of the contractor’s technical competence and ability to comply with the contract task requirements specified in the PWS.
1. Sub-Factor A: Experience
a. Provide documentation to demonstrate the placement of pharmacists and pharmacy technicians staffed by your proposed team (to include subcontractors and/or teaming partners) within the last 3 years. To the extent experience submitted is not for your direct organization you must clearly identify that fact and clearly specify what the firm’s specific roles would be in performance of the current procurement. At a minimum, documentation must be provided for each example and shall include:
i. Contract number or identifying language, if not a government contract
ii. Name of organization
iii. Number of FTEE provided by the offeror
1. Broken down by pharmacists and pharmacy technician
iv. Period of Performance
v. Place of Performance
vi. Dollar value of the contract
vii. Time taken for placement/on-boarding of the pharmacists and pharmacy technicians
viii. Time to fill vacancy per number of business days for each position
b. Provide documentation to show your organization’s experience in navigating the VA’s unique credentialing, background, and on-boarding processes for a large number of contract personnel. If no VA on-boarding experience, please provide examples of on-boarding processes specific to your organization.
2. Sub-Factor B: Program Management
a. Provide your proposed method of electronic timekeeping and records management for large numbers of personnel. Include all equipment, software, and/or other approaches you are proposing for timekeeping purposes. Examples must include a sample of timekeeping, attendance and payroll reports and how they are used to support attendance and invoicing.
b. Provide documentation demonstrating your organization’s ability to oversee and manage a large workforce to include, but not limited to human resource related issues, attendance, productivity, quality standards, and supervising personnel.
i. Provide resume(s) for proposed Key Personnel (Pharmacist Leads and Pharmacist Technician Leads). The resumes must, at a minimum, contain the names and qualifications of the proposed Key Personnel.
ii. To the extent the proposed Key Personnel are not currently employed, offerors must provide letters of commitment from the proposed applicants.
c. Quality Control Plan – Provide documentation showing how your company plans to meet the requirements of the contract to include assessing contract personnel’s performance, documenting identified performance issues, implementing performance improvement measures, and monitoring of corrective actions and effectiveness of corrective actions.
3. Sub-Factor C: Transition Plan
a. Provide a transition plan which includes detailed milestones, processes and procedures for transitioning to full performance.
b. Provide a narrative description of how you plan to adequately obtain or retain staff at the levels required by the PWS
i. Include the actual number of pharmacists and pharmacy technicians currently on payroll, if any, and discuss the ability to reassign to the place of performance.
ii. Include recruitment practices your organization currently uses to attract and retain personnel.
· Volume III – Past Performance The offeror shall submit a Past Performance Volume containing the following:
1. Table of Contents
2. Summary Page describing the role of your organization and each subcontractor, teaming partner, and /or joint venture partner that the offeror is required to provide Past Performance Specific Relevant Contract Reference Sheets for the past performance in accordance with Attachment 8.
3. Consent Letters executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing the release of past performance information to the Government.
4. Documentation outlining the offeror’s past performance with contracts, as a prime or major subcontractor, which is the same or similar in size, scope, and complexity to the services being procured under this Solicitation. Offerors shall submit no more than 3 projects for this subsection. The submittal shall include rationale supporting the assertion of relevance and how it was determined that the work performed previously was the same or similar in size, scope, and complexity to the work specified by this solicitation. Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort, and to what aspects of the proposed effort they relate. To be recent, the effort must be ongoing or must have been performed during the past three (3) years from the date of issuance of this solicitation. The offeror SHALL NOT go back any farther than three (3) years for the submitted data.
5. Documentation outlining your organization’s subcontractors and/or teaming partners past performance with contracts, as a prime or major subcontractor, which is the same or similar in size, scope, and complexity to the services being procured under this Solicitation. Offerors shall submit no more than 3 projects for this subsection. The submittal must clearly identify the past performance is for a subcontractor/teaming partner, and specifically articulate the roles and responsibilities they would have on the current project. To be recent, the effort must be ongoing or must have been performed during the past three (3) years from the date of issuance of this solicitation. The offeror SHALL NOT go back any farther than three (3) years for the submitted data.
6. Past Performance Questionnaire - See Attachment 8 - For the contracts identified in subsections 4 & 5 the offeror is responsible for ensuring a copy of the Past Performance Questionnaire is sent to the points of contact responsible for monitoring performance under such contracts.
· Volume IV- Price – The offeror shall complete Attachment 7, Staff Matrix. Complete Column D, Hourly Rate Paid to Employee and Column E, Fully Burdened Rate.
Addendum to FAR 52.212-2 Evaluation—Commercial Products and Commercial Services.
Evaluation—Commercial Products and Commercial Services (Nov 2021)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
Factor 1: Technical Capability Sub-factor A: Experience Sub-factor B: Program Management Sub-factor C: Transition Plan
Factor 2: Past Performance
Factor 3: Price Factor 1, Technical Capability and Factor 2, Past Performance, are of equal importance. Factor 1, Technical Capability and Factor 2, Past Performance, when combined, are significantly more important than price.
Proposals from offerors that fail to meet the minimum requirements of the PWS will be deemed unacceptable and will not be further considered. Technical proposals will be rated based on the responses to each item listed in the Factors below.
FACTOR 1 Technical Capability: The technical factor is comprised of the 3 subfactors below. Each subfactor will receive an adjectival rating. All subfactors are equal.
1) Sub-factor A: Experience – The Government will evaluate this subfactor to determine the extent the offeror’s proposed team has demonstrated experience in placing pharmacists and pharmacy technicians at levels called for in the current requirement. Additional consideration will be given to experience that is from the offeror’s direct organization (i.e. not via subcontractor or teaming partner). The Government will further evaluate this subfactor to determine the extent the offeror has demonstrated the ability to successfully credential, background, and on-board a large number of contract personnel. Significant consideration will be given to offerors who demonstrate experience with VA’s unique processes.
2) Sub-factor B: Program Management – The Government will evaluate this subfactor to determine the extent the proposed work methods are sufficient to meet the requirements of the PWS. Offerors who demonstrate more robust timekeeping, records management processes, and quality control programs will be rated more favorably. In addition, additional consideration will be given to offerors that can demonstrate the Key Personnel is currently on staff and currently available for the project.
3) Sub-factor C: Transition Plan – The Government will evaluate this subfactor to determine the extent the offeror has demonstrated the ability to successfully transition and meet the full performance standards required by the PWS. Significant consideration will be given to the offerors who clearly demonstrate the ability to successfully and timely meet the staffing requirements.
FACTOR 2 Past Performance: The information presented by the vendor, together with information from other sources available to the Government, will be the basis for evaluation under this factor. As part of this evaluation, VA will consider the relevancy of the projects submitted, to include the size and scope. The Government may evaluate present and past performance information by using data independently obtained from other Government or commercial sources, including, but not limited to: Government databases and personal business experience with the offeror.
The Government may contact references and contact parties other than those identified by the offeror, and information received may be used in the evaluation of the offeror’s Past Performance. The evaluation will take into account Past Performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to this acquisition. If multiple subcontractors are provided for the same discipline, the government will use the lowest rated subcontractor in the evaluation. The Government reserves the right to obtain and evaluate Past Performance information from any source it deems appropriate.
The Past Performance evaluation will take into account the recency and relevancy of the past performance submissions as discussed above and Offerors will be assigned an overall confidence rating based on the Government’s expectation the Offeror will successfully accomplish the current requirements.
FACTOR 3 Price: Price will be evaluated for reasonableness using one or more of the techniques set forth in FAR Part 15.404-1(b). As part of price evaluation, the Government will evaluate its option to extend services, FAR Clause 52.217-8, by adding one-half of the Offeror's final ordering year price to the Offeror's total price. The Government will evaluate offers for award purposes by adding the total price for all ordering years. Evaluation of the option shall not obligate the Government to exercise the option.
(a) Ordering Periods. The Government will evaluate offers for award purposes by adding the total price for all ordering years. The Government may determine that an offer is unacceptable if the ordering years prices are significantly unbalanced.
(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
