18· · · · MR. BAERGA:· Good morning. I am Jose Baerga.

19· ·I am resident engineer with the office of --

20· ·Central Office with CFM.· I'll be actually the

24· ·engineer also with us.· We will be -- we will be

25· ·working throughout this package up to this point

19· ·coming from one of the big major corporate

20· ·engineering projects.

21· · · · DR. BAPTISTE:· Okay.· Welcome back.

22· · · · And as I stated before, Mr. Moorehead, Anthony

23· ·Moorehead, who is the Assistant Director from Tampa

25· ·Tampa VA, she is not here today.· You also have

·1· ·Mike Rogala, from Tampa VA Medical Center.· He is

·2· ·the engineer.· And we have our advisor that's here.

·3· ·Martha.

·4· · · · MS. WEEKLEY:· Hi, I'm Martha Weekly.· And I'm

·5· ·representing the AE Team.· We supported the VA up

·6· ·to this point developing the concept layout, the

·7· ·equipment list, and the lease design narrative.· So

·8· ·we are here to support the VA.

·9· · · · DR. BAPTISTE:· Okay.· Thank you.

10· · · · And we have the VA advisor she assists us from

11· ·the time that we put out the expression of interest

12· ·all the way until we accept the building.· We have

13· ·Patty.

14· · · · MS. RESTREPO:· Good morning.· I am Patty

15· ·Restrepo with Chartwell Enterprises.· I know many

16· ·of you in the room.· And I am happy that you are

17· ·looking at the Tampa CLC, because I know there is a

18· ·lot of projects out there.· This is a great project

19· ·because the VA is going to be doing more of these

20· ·projects.· So it's a great project to be focused on

21· ·right now.

22· · · · DR. BAPTISTE:· Thank you.· Since we have a lot

23· ·of time until Mr. Moorehead comes in, we will start

24· ·at the front of the room and start introducing

25· ·ourselves.

·1· · · · MS. COLBERT:· Sure.· Good morning everyone.

·2· ·My name is Juwana Colbert.· I am with the Allure

·3· ·Management Solutions.

·4· · · · DR. BAPTISTE:· Mark.

·5· · · · MR. HEFFERIN:· Mark Hefferin, with E2L Real

·6· ·Estate Solutions.

·7· · · · MR. ANDERSON:· Hi, Jacob Anderson with

·8· ·Coharbor Russel Group.

·9· · · · MR. THORN:· Justin Thorn with CMI.

10· · · · MR. ROSE:· Zach Rose with Cullinan Properties.

11· · · · MR. ALVERSON:· Me?

12· · · · MS. WEEKLEY:· Yes, you.

13· · · · MR. ALVERSON:· I didn't know.· Sam Alverson, 14· ·US Federal Properties.

15· · · · DR. BAPTISTE:· All right.· Thank you.

16· · · · MR. ALVERSON:· Development company.

17· · · · DR. BAPTISTE:· Yes.· So thank you.

18· · · · We will go off with some protocol regarding

19· ·discussion and/or statements.· Please hold all your

20· ·questions until the end of the session.· Sometimes

21· ·I will step in if I feel like it's something that

22· ·needs to be explained.

23· · · · State your name and organization you represent

24· ·because we do have a court reporter here who will

25· ·be, you know, making notes.· And all of the slides, ·1· ·the attendance roster and transcript will be

·2· ·available in the amendment.

·3· · · · Speak clearly and slowly for the stenographer.

·4· · · · Reference the RLP paragraph and section, if

·5· ·possible.

·6· · · · All questions must be submitted in writing to

·7· ·the Lease Contracting Officer and Broker and must

·8· ·reference the RLP paragraph and section.

·9· · · · So when we do have the question and answer

10· ·period we will go over them.· Official responses

11· ·will be posted on Sam.gov through an Amendment.

12· · · · Respect procurement, integrity, and

13· ·sensitivity.· For me procurement, integrity and

14· ·sensitivity is very important, because it can make

15· ·or break the procurement.· Right.· So if it gets

16· ·out that you jeopardizes procurement it halts.· We

17· ·can lose it.· We can go into protest.· So

18· ·procurement, protecting procurement, protecting the

19· ·data, it's very important to me.· Very, very

20· ·important.

21· · · · The purpose of this pre-bid is to provide a

22· ·general overview of requirements set forth in the

23· ·RLP and that number is.

24· ·36-Charlie-10-Foxtrot-23-Romeo-0102.

25· · · · Encourage offerors to refer to the RLP package

·1· ·for a complete understanding of the requirements to

·2· ·submit fully responsive and technically acceptable

·3· ·proposals.· Responsive.· When I say responsive we

·4· ·mean that it's clear, concise.· Not, oh, we will

·5· ·get back to you with that.

·6· · · · Answer questions of interested parties related

·7· ·to the RLP.

·8· · · · Promote competition.· We have SDV -- this is a

·9· ·SDVOSB set-aside.· Right.· So we know that we have

10· ·competition.· We have set it set-aside.

11· · · · VA will provide online a conference transcript

12· ·and power point of the pre-bid meeting on Sam.gov.

13· · · · Next slide please.· Project overview.· This is

14· ·a community living center, CLC.· This is kind of

15· ·new for us because it's usually in a hospital. I

16· ·think we've only done one, I think that is

17· ·Colorado.· So this is kind of new.· So if you have

18· ·questions please let us know.· Everything goes

19· ·through our advisor, which is Patty.· Make sure you

20· ·CC me and Brian on there and we will try to provide

21· ·the answer in the Q and A period.· It does go to

22· ·our other advisor, which is Martha Weekly, she is

23· ·with FFE, and it goes to our resident engineer.· It

24· ·goes through the whole team.· It also goes to the

25· ·medical center.

·1· · · · Okay.· This is a SDVOSB set-aside which is

·2· ·service disabled veteran owned small business

·3· ·set-aside.

·4· · · · This is a fully serviced lease.· That means, ·5· ·the janitorial services is included in this fully

·6· ·serviced lease, all the utilities, all of it.· So

·7· ·make sure you read the RLP requirements.

·8· · · · Maximum space is 184,234 ABOA square feet.

·9· · · · Offered in single-story buildings.

10· · · · 200 on-site surface parking spaces.

11· · · · Next slide please.· Request for lease

12· ·proposal.· And I am going to turn it over to our

13· ·advisor.· She is going to go over this statement of

14· ·requirements and then once we see Mr. Moorehead

15· ·come in I will give her a nod and she will let him

16· ·tell you how excited he is for the CLC and then we

17· ·will continue.· Thank you.· Patty.

18· · · · MS. RESTREPO:· So what we are going to do

19· ·right now we are going to go over the R100, which

20· ·is the Request for Lease Proposal.· That's the

21· ·solicitation document.· What I would like to tell

22· ·people is when they do get that document a very

23· ·important section is Section 1.06 because it lists

24· ·all the documents within that package starting with

25· ·the R100 and then the lease, which I am going to

·1· ·also touch upon this morning.· And then Martha is

·2· ·going to talk about the appendices.· That's really

·3· ·the crux, you know, of the project.· That's very

·4· ·specific to the Tampa CLC appendices.

·5· · · · And after Martha goes through that I am just

·6· ·going to go over those general forms that you see

·7· ·with the majority of the RLPs that do come out from

·8· ·the VA.

·9· · · · So for the Request for Lease Proposal R100

10· ·people were very familiar with R100.· The first

11· ·section is Section 1, Statement of Requirements.

12· ·Essentially what is the government looking for.

13· ·Katrina has already mentioned the square footage.

14· ·We are just going to hit upon a few items.

15· · · · There are some Section 3 items in here because

16· ·they are that important.· So let's get to it.

17· · · · So for this lease there are two scenarios.

18· ·It's a 15-year firm term and a 20-year firm term.

19· ·So offers are required to submit both scenarios.

20· ·And so 15-year firm term and 20-year firm term.

21· ·What that means is you will be submitting two

22· ·1364s, which is the financial offer and then the

23· ·1217 generally they are, you know, they can be

24· ·different but generally, you know, if it's the same

25· ·that's fine as well.

·1· · · · Moving down.· So this is -- we put this, ·2· ·although it's not in section one, we put this up

·3· ·here.· This is really important.· The government

·4· ·cannot award a lease if it does not score as an

·5· ·operating lease.· It cannot score as a capital

·6· ·lease.· Obviously, that's being competitive in

·7· ·terms of the pricing.· So we just want to highlight

·8· ·that and make that very clear.

·9· · · · Mr. Moorehead, how are you?

10· · · · MR. MOOREHEAD:· Please continue.

11· · · · DR. BAPTISTE:· Okay.· Yes.· Let me introduce

12· ·Mr. Anthony Moorehead, he is the Assistant Direct

13· ·for the VA Medical Center.· Thank you very much for

14· ·making some time.· If you wanted to make a few

15· ·comments, we are just getting started, because I

16· ·know you are busy.

17· · · · MR. MOOREHEAD:· Okay.· I apologize for being a

18· ·little late.· We had some things going on at the

19· ·hospital.

20· · · · So my name is Anthony Moorehead.· I am the

21· ·Assistant Director at the VA, James A. Haley VA, 22· ·right down the street.· Currently the Associate

23· ·Director for a few more days and we're very excited

24· ·to have you guys here.· We're very excited to get

25· ·this project going too as well.· So I don't want to

·1· ·take any more of your time.· I know you have a long

·2· ·day ahead of you.

·3· · · · Any questions for me?

·4· · · · DR. BAPTISTE:· So can you tell them like how

·5· ·long the project has been in the making?

·6· · · · MR. MOOREHEAD:· I can't tell you that because

·7· ·I actually don't know.· But I do know that there

·8· ·has been a lot of work on this project especially.

·9· ·So I have been the associate director about four

10· ·months.· And even just in that time we have done a

11· ·lot of work and a lot of planning.· So we're really

12· ·excited to kind of get this off the ground and kick

13· ·the tires on it and not just be in room and offices

14· ·and actually to start to get the work going for us.

15· · · · A little more about James A. Haley.· We have

16· ·125,000 plus veterans.· We are continuing to grow.

17· ·We have a two billion dollar budget.· We have

18· ·expanded into three new places this year in 2023

19· ·and plan to expand into more in the next couple of

20· ·years.

21· · · · As many people know, Florida is a growing

22· ·state.· And that's no surprise for veterans as

23· ·well.· So our footprint is continuing to expand.

24· · · · A lot of times when we open a building it's

25· ·already full.· So a lot of the things that we are

·1· ·doing, we are doing for our veterans and the Tampa

·2· ·Bay area is no exception.· We have partners in Bay

·3· ·Pines over in St. Petersburg side and Orlando.· We

·4· ·continually work together in that I-4 corridor.

·5· ·Here in Tampa Bay to Orlando is the fastest growing

·6· ·place in the country, not just for veterans, but

·7· ·for people just the citizens as well.

·8· · · · And so for us getting these projects going is

·9· ·a breath of fresh air to continue to take care of

10· ·our veterans.· So thank you guys for being here to

11· ·help us out.

12· · · · DR. BAPTISTE:· Thank you.

13· · · · MR. MOOREHEAD:· Anything else you guys want to

14· ·know?

15· · · · DR. BAPTISTE:· Thank you.

16· · · · MR. MOOREHEAD:· I'll stick around for a little

17· ·while.

18· · · · MS. RESTREPO:· We were just going through

19· ·Section 100.· So as I mentioned it needs to score

20· ·as an operating lease.

21· · · · Moving onto in term of the operating costs it

22· ·is important to indicate whether it's going to be

23· ·subject to CPI so that's something that on the 1364

24· ·that you will indicate.· Here it says, "The

25· ·government requires a fully serviced lease."

·1· ·Katrina already mentioned this janitorial, ·2· ·utilities are included as part of those costs that

·3· ·should be reflected in the 1217, and as people are

·4· ·familiar with the lease there is a methodology of

·5· ·how to capture increases from year to year and

·6· ·that's captured in the lease.· But you do need to

·7· ·indicate whether it's going to be operating

·8· ·expenses are going to be held firm or whether they

·9· ·will increase generally by CPI.

10· · · · This is the boundary line.· So with these

11· ·procurements there is a delineated area that the

12· ·very basic requirement needs to be within the

13· ·delineated area.· You see the boundary lines there, 14· ·written up there.· Many of you are very familiar

15· ·with it because you submitted expressions of

16· ·interest.

17· · · · This is the boundary.· So it is a fairly

18· ·sizeable, delineated area.· But what the

19· ·requirement is is that you're within this

20· ·delineated area.· If you are outside the delineated

21· ·area your property fronts one of these boundary

22· ·lines.

23· · · · This is the table I mentioned just at the

24· ·beginning Section 1.06.· It's a very good map or

25· ·guideline in terms of what you should -- what the

·1· ·documents that are part of the RLP.· So you notice

·2· ·the lease is the first and then it's followed by

·3· ·the appendices, or the agency specific requirements

·4· ·which Martha is going to speak to.· Those are very

·5· ·important.· I mean, obviously, it speaks directly

·6· ·to the Tampa CLC.· So it's important to look at the

·7· ·LDN, the lease design narrative, the program for

·8· ·design, the room matrix.

·9· · · · And then below it starting with your offering

10· ·entity acknowledgment form are all the standard

11· ·forms that go with the RLPs.· There might be some

12· ·variations depending on the security level, but

13· ·generally the same forms.

14· · · · So I always encourage people to print this

15· ·page out and just make sure that you are looking at

16· ·each of these documents.· And the majority of them

17· ·have to be resubmitted with your offer anyway

18· ·initially.

19· · · · DR. BAPTISTE:· And, Patty, this is a level II.

20· · · · MS. RESTREPO:· It is a level II.

21· · · · DR. BAPTISTE:· Okay.

22· · · · MS. RESTREPO:· So the next section is

23· ·Eligibility and Preferences for Award.· This is the

24· ·second section of the RLP.· This does have very

25· ·important sections in it as well.· I'll speak to

·1· ·it, because Katrina mentioned about being

·2· ·responsive enough.· I will tell you how you can be

·3· ·responsive with the environment.

·4· · · · Let's start first with efficient layout.· So

·5· ·as it states, "for award, the offered space must

·6· ·provide for an efficient layout as determined by

·7· ·the LCO."· As it was mentioned these are single

·8· ·story buildings.· As well as it will not be -- a

·9· ·lease will not be awarded if it's within a

10· ·one-percent annual-chance floodplain.· That's what

11· ·we formerly call the 100-year flood plain.· So the

12· ·government will not award a lease unless there is

13· ·no alternative or practical alternative.· But the

14· ·preference is not -- the requirement is not to

15· ·award unless there is no other option.

16· · · · That also includes the ingress and egress.· It

17· ·can't flood, not be able to access the site.

18· · · · Of course the offered space must meet the

19· ·accessibility and fire protection and life-safety

20· ·requirements.

21· · · · This is what is really important.· In terms of

22· ·the Phase I environmental site assessment that

23· ·needs to be submitted with your offer.· And another

24· ·item of that it needs to be completed within 180

25· ·days of the initial due date.

·1· · · · DR. BAPTISTE:· And let me say something on

·2· ·that.

·3· · · · MS. RESTREPO:· Sure.

·4· · · · DR. BAPTISTE:· And with that, that's very

·5· ·important, right.· That Phase I is very important

·6· ·to us.· It has to be completed.· Completed.· So

·7· ·don't submit like a partial Phase I.· Because if

·8· ·you do, I will not accept it.· So all your hard

·9· ·work out the door.· Out the door.· It has to be

10· ·completed.· And it can be within that 180 days, but

11· ·it has to be completed.

12· · · · So if you submit it and it's not complete, I

13· ·don't care how many other COs have accepted it.

14· ·Doctor K will not.· Because it takes a lot of time.

15· ·And we've had other offers to do that.· I mean, 16· ·offers that have submitted.· A lot and awards. I

17· ·mean, sometimes people get complacent.· Please

18· ·check with your due diligence contractor, make sure

19· ·that it's signed off by them.· Because you pay a

20· ·lot of money for that.· So make sure it's

21· ·completed, signed of, because if you don't, you

22· ·just wasted probably, what, $200,000, because it

23· ·cost a lot of money.

24· · · · MS. RESTREPO:· And with the Phase I ESA and

25· ·cultural resource study what happens is when we do

·1· ·receive them, pretty soon after we receive it we do

·2· ·provide it to our subject matter experts and they

·3· ·review it.

·4· · · · DR. BAPTISTE:· That's right.

·5· · · · MS. RESTREPO:· They are very able to say this

·6· ·is not acceptable, or this is acceptable.· And so

·7· ·as Katrina says, if it's not acceptable, it's very

·8· ·clear LCO has the ability to, you know, deem it

·9· ·nonresponsive.

10· · · · DR. BAPTISTE:· Well, it's actually in the RLP.

11· ·It has to be completed.· So that's your Phase I, 12· ·your culture resource study.· Because we want a

13· ·clean site.· We need to know what we are getting

14· ·into and then we send it to our environmental folks

15· ·and our historical folks, because they go off that

16· ·to go to the Phase II.· And we can work with

17· ·whatever you've got going on.· It just has to be

18· ·complete.

19· · · · So if you submit a complete Phase I and

20· ·whatever is going on it gets you in and we can work

21· ·with that.· But if it's not complete, then we can't

22· ·work with it.· Does that make sense?· Okay.· I will

23· ·get off my soap opera.

24· · · · MS. RESTREPO:· It's a nice transition into the

25· ·offeror is responsible for the due diligence, but

·1· ·the government is required to do the environmental

·2· ·assessment.· What the government will do, though, ·3· ·is they will look to the offeror to support that

·4· ·process in terms of if there is other studies to

·5· ·get done, the VA will work with the offeror

·6· ·throughout the EA and that's typically done once a

·7· ·competitive range is established.· So not all --

·8· ·anybody who submits is not going to go through that

·9· ·process.· There is a good chance that you might be

10· ·awarded the project through NEPA.

11· · · · They wanted to put this in just so that people

12· ·are -- offerors are very aware of it.· What it

13· ·reads is, "The government reserves the right to

14· ·reject any offer where the studies or documentation

15· ·supporting the NEPA process provided by the offeror

16· ·for the offered property are inadequate, the offer

17· ·entails unacceptably adverse impacts on the human

18· ·environment, the identified adverse impacts cannot

19· ·be readily mitigated, or the level of NEPA analysis

20· ·is more extension than is acceptable to the

21· ·government as determined by the LCO," by Katrina, 22· ·"in their sole discretion."· To be very clear.

23· · · · The next item we've already discussed.· This

24· ·is the Cultural Resources Study.· It does outline

25· ·in Section 2 what that study should say.· We do

·1· ·have, like I mentioned, Historic Preservation, ·2· ·SME's, subject matter experts with the VA, because

·3· ·what we have been seeing on some of them is very

·4· ·cursory desk top studies.· So really make sure in

·5· ·that Cultural Resources Study that you are

·6· ·addressing the items in Section 2.15 or 2.13.· It's

·7· ·the Cultural Resources Study section.

·8· · · · So moving onto this section.· Section 3 is a

·9· ·very important section of the RLP.· Again, it's one

10· ·of the sections that you should be reading first

11· ·because it's indicated to the private sector what

12· ·is required to submit an offer.· So some important

13· ·dates.· Questions are due November 3rd by 4:00

14· ·p.m.· So we will have some questions here if we

15· ·wanted to take them back and discuss them

16· ·internally that's what we will do.· But we will

17· ·provide a Q and A matrix with this amendment.· Also

18· ·with the questions, any questions received by

19· ·November 3rd.

20· · · · What we do is once we get those questions back

21· ·we meet as a team and we are very focused on trying

22· ·to get those turned around as quick as possible, 23· ·because we know -- we understand it's important for

24· ·you to have those responses so you can work on your

25· ·bid.

·1· · · · Another important date is January 8 of 2024

·2· ·that's when offers are due, initial offers are due.

·3· · · · DR. BAPTISTE:· And no extensions.· I was very

·4· ·lenient on this one.· I considered --

·5· · · · MS. RESTREPO:· In terms of the time frame.

·6· · · · DR. BAPTISTE:· The time frame.· I was very

·7· ·lenient on factoring in the holidays, right. I

·8· ·gave you more time with that.· So no extensions.

·9· ·Okay.

10· · · · MS. RESTREPO:· So January 8th.

11· · · · In terms of submitting what is submittal it's

12· ·similar to other projects that we have been

13· ·advising on.· 12 technical CDs and then 2 price

14· ·proposals.· So the price proposal and the technical

15· ·proposal are separate.· No hard copies will be

16· ·accepted.

17· · · · And I am going to go into it says, "Please

18· ·thoroughly review section 3.02 of the RLP."· That

19· ·references the offer proposal, compliance matrix.

20· ·Along with Section 1.06 of the RLP are very good

21· ·documents, reference documents.

22· · · · So this is the section -- this is the offer of

23· ·proposal compliance matrix.· This was done probably

24· ·in the choice of 2.0.· It's been a great tool.

25· ·Hopefully, it's been a great tool for offerors as

·1· ·well.· It indicates what the government is looking

·2· ·for you to submit back.· And it's broken up.· If

·3· ·you haven't notice how it's broken up.· Actually I

·4· ·may have skipped one.· I skipped.

·5· · · · Okay.· So what it's broken up to in terms of

·6· ·the evaluation factors.· So what you will see is

·7· ·you see technical proposal, technical quality.· So

·8· ·what the government is saying is these are the

·9· ·items that you should be submitting as it relates

10· ·to technical quality.· It's not all of them.· It's

11· ·important to read evaluation factor one in Section

12· ·4 of the RLP.· But it's helping -- it's providing a

13· ·guide or roadmap as to what should be submitted.

14· ·So you have technical quality.

15· · · · Then in terms of the evaluation factor two, 16· ·past performance, the offers qualifications.· It

17· ·indicates, you know, certain items that should be

18· ·submitted.· I will just read some of them out here.

19· ·Design team key personnel experience, the standard

20· ·form 330, which is an AE form that provides a lot

21· ·of good information about the AE that's on your

22· ·team, as well as the standard form 27 -- 527, which

23· ·is a general contractor.· Provides great

24· ·information about the general contractor team

25· ·members on your specific team.· Then you have as

·1· ·part one of the areas of consideration technical

·2· ·evaluation factor two is the financial information

·3· ·as well as project management plan.· So very

·4· ·important to include these.· It's meeting the

·5· ·minimum requirements to include these documents

·6· ·into your initial offer.

·7· · · · And then evaluation factor three is your

·8· ·technical proposal for operations and maintenance

·9· ·plan.· And that's broken up into three areas of

10· ·consideration.· So it helps -- it just guides you

11· ·in terms what you should be submitting.

12· · · · Something I mentioned, though, there was a

13· ·conference yesterday and something that was

14· ·mentioned was it's important to meet the standard, 15· ·but this being the best value, it's really

16· ·important to show how your offer enhances the offer

17· ·that you are providing the government.· Good for

18· ·the private sector and very good for the government

19· ·in terms of the kind of project that they are

20· ·getting.

21· · · · So moving on.· Then this is a set-aside

22· ·SDVOSB, but there are documents that you do have to

23· ·submit that helps us.· And the LCO will be checking

24· ·that as well.· But it helps us just, you know, 25· ·confirm you are a SDVOSB, or you have a joint

·1· ·venture, you are submitting the information that's

·2· ·required.

·3· · · · DR. BAPTISTE:· And to speak very good segue

·4· ·into that joint venture.· A joint venture is not

·5· ·required.· So please don't get hung up on that.· It

·6· ·is not required for you to submit.· You can have

·7· ·teaming agreements.· A joint venture -- if you have

·8· ·a joint venture, you just have to have those

·9· ·documents in for a joint venture.· It has to be a

10· ·legit joint venture.· So you have to show that your

11· ·organization existed and all the documents from SBA

12· ·showing that you are a true joint venture, et

13· ·cetera.

14· · · · Now if you are doing it as a team, you know, 15· ·that SDVOSB gets everything, right.· It's the

16· ·SDVOSB and you are just only there as a support.

17· ·Everything has to be in the SDVOSB's name.

18· ·Financial documents, all of that.· And you

19· ·cannot -- the SDVOSB cannot use your performance.

20· ·So if they don't have performance, it will be

21· ·neutral.· Does that make sense?

22· · · · All right.· Just to clear that up.· Because

23· ·most people say, oh, if you are not a joint venture

24· ·you cannot submit.· That is not correct.· You still

25· ·have those teaming agreements, but they cannot use

·1· ·your financial documents, they cannot use your past

·2· ·performance, they can't.· I want to make sure that

·3· ·is clear for you SDVOSBs by a team and try to

·4· ·submit that.· I mean, you can submit it but you are

·5· ·not going to get the credit when it goes to factor

·6· ·two for past performance.· It's just going to be

·7· ·neutral.· All right, Patty.

·8· · · · MS. RESTREPO:· Yes.

·9· · · · Another important section of the RLP is 1.06, 10· ·3.02 and then also 3.06 additional submittals.· And

11· ·so this part of the proposal compliance matrix

12· ·indicates some of the items that need to be

13· ·submitted in terms of proof of signing authority.

14· ·You know, control of the site.· Green globes.· It's

15· ·a whole list of items that are in there.· So

16· ·encourage people to really focus in on the 3.06 as

17· ·well.

18· · · · So continues on with some of those items that

19· ·need to be submitted.· There is some building sites

20· ·submittals in terms of floodplain compliance, 21· ·seismic is not an issue per se in Florida.· And

22· ·then also accessibility, FPLS, fire protection and

23· ·life safety compliance, energy and then Phase I

24· ·EISA and Cultural Resources Study.

25· · · · So, again, it's just a reference tool.· You do

·1· ·need to submit it and indicate where it is on your

·2· ·initial offer.· But it is a reference tool as you

·3· ·are putting your bids together.· And we hope it's

·4· ·been helpful for the private sector.

·5· · · · This is what I was discussing about all the

·6· ·documents will come back into your initial offer.

·7· ·This is why sometime it makes the offers very large

·8· ·is because we do ask you to, you know, recognize or

·9· ·acknowledge that you have read the documents and

10· ·initial them.· So this just indicates the lease and

11· ·the appendices and some of the GSA forms or

12· ·templates now they are called.· Like 3517 general

13· ·clauses.

14· · · · There is also the Davis Bacon wages.· So in

15· ·this what we do right before the RLP goes out we

16· ·check it to make sure it's the latest one because

17· ·obviously everyone knows it changes periodically

18· ·and that's what we'll do.· If we do go to a final

19· ·proposal revision before it goes out, we'll check

20· ·that as well and make sure it's -- because of the

21· ·expectation it's the latest one.

22· · · · DR. BAPTISTE:· And we will also check it

23· ·before we award the lease as well.

24· · · · Also, Patty, with the green globe I think in

25· ·Nashville or Clarksville, I think we had a question

·1· ·regarding green globes and it changes if they could

·2· ·submit that.· So, Martha, when you -- I don't know

·3· ·if you heard if it changed or not the standard, if

·4· ·you know of the green globe.

·5· · · · MS. WEEKLEY:· What changed?

·6· · · · DR. BAPTISTE:· The standard changed from what

·7· ·we put in.

·8· · · · MS. WEEKLEY:· It's designated as a green

·9· ·globe, two green globes.

10· · · · DR. BAPTISTE:· Okay.

11· · · · MS. RESTREPO:· And for this project it's

12· ·simply new construction.· They are not looking for

13· ·sustainable interior.· It's just green globe new

14· ·construction.· It's green globes two.· Because on

15· ·the sustainable interior it is not relevant to this

16· ·one.· Sometime it's a one.· For this one it is a

17· ·two.

18· · · · Okay.· So that's technical -- this slide here

19· ·is for the price proposal.· And, as I mentioned, 20· ·it's two separate, you know, volumes and two

21· ·separate CDs.· So the price proposal you have is

22· ·1364.· I did mention there are two scenarios you

23· ·will be submitting to all the 1364s one for 15-year

24· ·term and then one for 20-year.

25· · · · Then you have the attachment one.· That's the

·1· ·excel file and that's a really important file

·2· ·because it helps us see the cash in term of the

·3· ·rent throughout the term of the lease.· So submit

·4· ·that for both scenarios.· I know on that attachment

·5· ·one you have 15-year on top and 20-year one

·6· ·attachment for both.· And then that would also

·7· ·indicate in terms of the operating expenses.

·8· · · · And then we have the form VA, the vendor form

·9· ·10091.· And then evidence of historic preference.

10· ·But that would only be if you were putting a site

11· ·that's in the district because it's new ground up

12· ·development, so if it's historic district.

13· · · · I talked already about the 3.06 additional

14· ·submittals.· They do want -- we're calling this

15· ·out, this basically showing evidence of ownership

16· ·of site so that you do have control of the site.

17· ·If you own it, you know, you can show that through

18· ·a deed.· If you lease, you can show it through a

19· ·lease.· The lease needs to cover the term.· So

20· ·enough term that the lease has for construction and

21· ·design for that 15 or 20-year.· I would say 20-year

22· ·because that's what the government is looking at

23· ·both.· So 20 would be 20 plus in terms to

24· ·accommodate for the construction and design.· If

25· ·you don't own it or lease it, these are other ways

·1· ·to indicate that you have control of the site, an

·2· ·option to purchase; sales contract; we talked about

·3· ·simple ownership; and then a lease.· It is

·4· ·important, though, that the government does not

·5· ·want to be in a position that there is -- we are

·6· ·looking at this, it's termination rights in terms

·7· ·of that they are working through it and have the

·8· ·right -- the owner has a right to terminate, ·9· ·because that provides risk to the government.· So

10· ·that is something that we are reviewing as we do

11· ·get options to purchase.· We are looking at that.

12· · · · This is not in the RLP.· But I did want to

13· ·call it out.· It is section 3.06, we talked about

14· ·the plans that should be submitted, but we wanted

15· ·to make sure people are aware of this.· So the

16· ·future lease awardee is not required right now, but

17· ·once selected as the awardee is going to -- is

18· ·required to submit Revit, Revit form.· Because that

19· ·helps with the activation of what's called IOTA

20· ·(phonetic) on the contract.· We are just putting

21· ·people on notice that if you are selected as the

22· ·awardee, the government is going to be looking for

23· ·those Revit files soon after in the design phase

24· ·because that helps with the process.

25· · · · Again, just some other items in Section 3.06

·1· ·in terms of the green globes for new construction, ·2· ·two green globes level certification.· We've

·3· ·already mentioned that this is a fully serviced

·4· ·lease as part of the rental consideration.· And you

·5· ·should submit a building operating plan with the

·6· ·offer.

·7· · · · Tenant improvements.· There is a tenant

·8· ·improvement allowance amount.· The government

·9· ·reserves the right to amortize the TI amount, but

10· ·what the government has been doing -- the VA

11· ·specifically, what the VA has been doing is they

12· ·have been paying that TI allowance in lump sum.

13· · · · DR. BAPTISTE:· The VA does not amortize.

14· ·There has been cases that we did and that's because

15· ·we have been in a COVID situation.· I think we did

16· ·that twice.· But we do not amortize.· We do not

17· ·like doing that.· So we pay it lump sum.

18· · · · MS. RESTREPO:· Okay.· With interest rates

19· ·where they are it's a good thing.

20· · · · DR. BAPTISTE:· Absolutely.

21· · · · MS. RESTREPO:· So moving along.· So method of

22· ·award.· This is, again, a very important section as

23· ·well because this is the best value trade off

24· ·source selection, which is good for this kind of

25· ·procurement, because it's not the alternative

·1· ·lowest price technically acceptable.· We appreciate

·2· ·and understand that the building design, offeror's

·3· ·past performance, experience of operations and

·4· ·maintenance plan is very important at this price

·5· ·and so that's why it's best value.· Sources --

·6· ·trade off source selection because we have the

·7· ·ability to -- we evaluate the technical and then we

·8· ·evaluate the pricing and if we feel that the

·9· ·technical there are certain aspects of it that

10· ·allow, you know, there might not be the lowest

11· ·price, but it offers the best value to the

12· ·government, it can be selected as the awardee.

13· · · · There are -- I've already hit upon some of

14· ·these evaluation factors.· So there are four

15· ·evaluation factors.· It's, you know, at a minimum

16· ·you need to meet it.· I will say it again, it's

17· ·really important to show how you enhance how your

18· ·proposal enhances the offer that you are giving to

19· ·the government.· Again, very good for the

20· ·government and good for the offeror who is

21· ·submitting.

22· · · · So under the -- the factors are listed in

23· ·order of importance.· So technical quality is the

24· ·most important factor.· Within that evaluation

25· ·factors there are you see A, B and C, those are

·1· ·areas of consideration.· There is no level of

·2· ·priority.· You know, architectural concept and

·3· ·building design is not necessarily more important

·4· ·than sustainable design and energy efficiency.

·5· ·It's just an evaluation factor within the areas of

·6· ·consideration within Section 4 it does indicate, ·7· ·you know, what the government is looking for and

·8· ·how the government is going to evaluate your offer.

·9· ·So those are three areas of consideration.

10· · · · Evaluation Factor 2 is the offeror's

11· ·qualifications and past performance.· As Katrina

12· ·mentioned, if there is no past performance it's

13· ·neutral rating.· You did receive, again, within the

14· ·package past performance questionnaire.· It is very

15· ·helpful, you know, if you are able to send those

16· ·out and obviously you can't control if they get

17· ·sent back and that's why we have this neutral

18· ·rating.· But it is good to get feedback especially

19· ·if it is exceptional, very good feedback on

20· ·projects that you've work on that have relevance, 21· ·size scope of this project.

22· · · · DR. BAPTISTE:· It doesn't have --· I'm sorry.

23· · · · MS. RESTREPO:· No.· Please go.

24· · · · DR. BAPTISTE:· And it doesn't have to be

25· ·government related work.· When we say size and

·1· ·scope, it can be commercial work say if you've done

·2· ·like -- I just had a brain fart.· Outside

·3· ·commercial work say --

·4· · · · MS. RESTREPO:· Assistive living.

·5· · · · DR. BAPTISTE:· Assistive living, family

·6· ·housing, things like that.· So size and scope, same

·7· ·size.

·8· · · · MS. RESTREPO:· And then also to evaluate in

·9· ·the area of consideration for design teams and

10· ·general contractor qualifications.· So you are

11· ·coming in obviously with your GC and you AE and

12· ·their experience.· One of the things that it also

13· ·asks the teaming arrangement.· Those are as the

14· ·minimum requirement that they are in place and

15· ·included in the initial offer.

16· · · · DR. BAPTISTE:· And a nugget with that.· When

17· ·you do your teaming arrangement, make sure -- and

18· ·this is just a nugget I am giving you guys.· So

19· ·that SDVOSB has to be up at the top and you know

20· ·how you can do your little graphing chart.· SDVOSB

21· ·do your little sign and then have your team like

22· ·that.· So that we can see how your teaming

23· ·arrangement is as long -- I mean, as well as the

24· ·other documents.· But we need to see that chart. I

25· ·don't need to see or we don't need to see both

·1· ·partners or both firms together.· The SDVOSB is at

·2· ·the top because we had that before and when we --

·3· ·just say you are the parent awardee, council come

·4· ·back and say we don't know who is in charge.· So we

·5· ·need to properly -- we properly need to show that

·6· ·that SDVOSB is in control.

·7· · · · MS. RESTREPO:· As SDVOSB set-aside.

·8· · · · DR. BAPTISTE:· Yes, because this is a

·9· ·set-aside.· That's what I am referring to.

10· · · · MS. RESTREPO:· Right. another area of

11· ·consideration is financial resources.· It's very

12· ·clear in terms of what is required there.· One of

13· ·the items is additional commitment letters signed

14· ·by a bank or whoever is providing that additional

15· ·funding.

16· · · · And then the project management plan, the PMP.

17· ·Within the PMP what is important -- one of the

18· ·items that is important there is the schedule.· In

19· ·the lease in Section 4 for the DID, design intent

20· ·drawing and the construction drawings we have

21· ·provided some of the dates.· They're mainly

22· ·government review dates.· But we're looking to the

23· ·private sector to provide the dates that it's going

24· ·to require them to complete the DIDs or complete

25· ·the construction drawings or the TI proposal and we

·1· ·are evaluating that.· So it's important to include

·2· ·that in your schedule those milestones.

·3· · · · And then Factor 3 is operations and

·4· ·maintenance plan.· This is an important plan.· The

·5· ·reason being, you know, this lets us understand how

·6· ·you are going to maintain the building for the term

·7· ·of the lease and so that's obviously very

·8· ·important.· In that you have three areas of

·9· ·consideration.· So it's important to read those and

10· ·see how you respond to emergency calls and then the

11· ·interior and exterior maintenance of the building

12· ·and the grounds.· And then the staffing plan, 13· ·administrative procedures, and quality control plan

14· ·it's important to include the quality control plan.

15· ·It's a minimum requirement.

16· · · · DR. BAPTISTE:· Can I say something about

17· ·routine.· I'm sorry.· I just want to say do not

18· ·regurgitate what we have in the RLP because

19· ·oftentimes we see what we put in our appendices

20· ·that you guys just give us what we gave you.· And

21· ·like Patty was saying, I mean, yes, you give us the

22· ·basics, but we want you to enhance it.· So do not

23· ·regurgitate what we asked you for, because they --

24· · · · MS. RESTREPO:· That's the minimum requirement.

25· · · · DR. BAPTISTE:· The minimum requirement.· We

·1· ·see that all of the time.

·2· · · · MS. RESTREPO:· Oh, yes.· That's true.

·3· · · · And then the last factor, service-disabled

·4· ·veteran owned.· All we are doing there is checking, ·5· ·in fact, that the developer, the offeror is the

·6· ·SDVOSB as Katrina has emphasized.

·7· · · · MR. CHAMP:· One good things, the factors you

·8· ·put down paragraph, page number, where you found it

·9· ·in the package, it help tremendously.

10· · · · DR. BAPTISTE:· Yes.

11· · · · MS. RESTREPO:· That's very true.

12· · · · So Section 5 is just additional -- some

13· ·additional terms and conditions.· So one of them is

14· ·the cost of off-site improvements is to be borne by

15· ·the lessor.· So if there is any improvements that

16· ·are done, you know, off the site the government is

17· ·looking to the lessor to be responsible for in

18· ·determining the costs and to providing that

19· ·improvement.

20· · · · Then also that we've already talked about

21· ·this, the lessor acknowledges its duty to conduct

22· ·reasonable site inspections or due diligence and

23· ·that's captured in the different due diligence

24· ·reports that you need to complete.

25· · · · And then we've mentioned this about the

·1· ·teaming arrangement letters those need to be part

·2· ·of the initial proposal.· Oh, I jumped to the end.

·3· ·Let me go back up.

·4· · · · So what we are going to get into -- I am just

·5· ·going to hit upon the lease very quickly and then I

·6· ·will turn it over to Martha.

·7· · · · This is just an overview.· So this is what we

·8· ·talked about in this section statement of

·9· ·requirements, eligibility, and preference for

10· ·award, how to offer, method of award, and

11· ·additional terms and conditions.

12· · · · The lease.· The lease is the document, it's

13· ·going to be the living document once the lease is

14· ·awarded.· So we do ask you do read it and you

15· ·initial it.· Once it's awarded we fill in the

16· ·specific, you know, square footage, terms into that

17· ·lease document.

18· · · · But what you will see here in terms of the

19· ·lease documents you do these sections.· So the

20· ·first one is premises, rent and other terms.

21· · · · Section 2 is general terms, conditions, and

22· ·standards.

23· · · · Section 3 is the shell.· So it's the

24· ·construction standards and shell components.· So

25· ·the idea should be its shell.· Dedicated shell.

·1· · · · Section 4 discusses the design, construction, ·2· ·the timeline, DID, the CDs, and post award

·3· ·activities.

·4· · · · And Section 5 is the TIs, the tenant

·5· ·improvement components.

·6· · · · And the Section 6 is the utilities, services, ·7· ·and obligations during the lease term.

·8· · · · And Section 7 is additional terms and

·9· ·conditions.

10· · · · So that is the lease.· So I am going to turn

11· ·it over.

12· · · · DR. BAPTISTE:· Before we do that, let's stop

13· ·and break for questions before we do that on the

14· ·RLP side before we go to the design.

15· · · · MS. RESTREPO:· Okay.

16· · · · DR. BAPTISTE:· So do we have any questions

17· ·before we go to the design on the RLP.· Okay.· So

18· ·in 3.06 I know that there were -- regarding the

19· ·offer and the land when we talked about the land

20· ·and I had a couple of land developers call

21· ·regarding, oh, I have a lot of developers calling

22· ·me and they are asking about exclusive rights and

23· ·should I just give it to one.

24· · · · And I said, okay, you can decide what you want

25· ·to do, but in the interest of the government, ·1· ·because you have about four or five, right.· And I

·2· ·said this at Clarksville and I said this at

·3· ·Nashville and Mark was there.· And I don't think

·4· ·you were there.· I said it would be in the best

·5· ·interest of the government that multiple developers

·6· ·are on a site.· I mean, but it is totally up to

·7· ·you.· Because that's competition for us.· Right.

·8· ·Because what if none of them or maybe two make it

·9· ·in competitive range and the rest are exclusive and

10· ·the government just likes that site or all of them

11· ·are excluded or they just decide that based off the

12· ·feedback in the market survey they are not going to

13· ·submit.· Then we just lost the site, and the

14· ·government likes that site.· Right.

15· · · · And he was like, okay, I will take that into

16· ·consideration.

17· · · · So for me, I think, you don't have to do this.

18· ·That it would behoove you guys to work together to

19· ·put your resources together to work with other

20· ·developers on different sites.· You don't have to

21· ·do it.· But you could think of, okay, for your due

22· ·diligence it may be 200,000, 300,000, divided that

23· ·by four or five and it's cheaper for you.· Because

24· ·I have been in situations where a developer has

25· ·called me and the landowner had allowed them on the

·1· ·site, allowed three people, three land developers, ·2· ·three developers on the site, but when they reached

·3· ·out to the title company they didn't allow them the

·4· ·due diligence because they had already done it with

·5· ·someone else and said it was a conflict of

·6· ·interest.

·7· · · · So I say use your resources.· It really costs

·8· ·a lot of money to put these proposals together.· So

·9· ·it's totally up to you.

10· · · · The land developer they appreciate it.· But

11· ·you do not have to pay that land, that outrageous

12· ·land cost or whatever.· And if they have any

13· ·questions you can send them to me or our advisors

14· ·to ask the question because we had it in Kansas.

15· ·We had it in Nashville as well.· So that's just one

16· ·thing that I wanted to bring up.

17· · · · Some people are scared to ask the question.

18· ·But we've had it flipped as well.· So you don't

19· ·have to do it.· You can just do it on sites that

20· ·you think it will be in the best interest of you.

21· ·You may have another site, no, I will keep this for

22· ·myself.· So you can choose which site you want to

23· ·do it at.· So it's not illegal.· It's just a way to

24· ·promote the competition.· Right.

25· · · · So any questions for me on that?· Did I hit

·1· ·it?· I don't know.· Okay.· All right.· That's all I

·2· ·have.

·3· · · · MS. WEEKLEY:· All right.· Moving onto Section

·4· ·3, overview of Section 3.· It's regarding design.

·5· ·So the design overview you are required to give a

·6· ·concept, conceptual drawing of the CLC in your

·7· ·proposal that's required.· It is deemed

·8· ·unacceptable if not in the narrative that outlines

·9· ·your design criteria.· It's a technical narrative.

10· · · · Next one.· In the general design criteria you

11· ·probably all are familiar with this.· These are all

12· ·the things that are included in the RLP and the

13· ·Federal regulations.· Patty has already talked

14· ·about green globes.· It is two green globes level

15· ·certification.· Accessibility follows the VA

16· ·program guide, Davis Bacon Wages.

17· · · · These are all the appendices.· It's sort of an

18· ·index of the appendices that are in the RLP itself.

19· ·We will go through those individually.

20· · · · We have a cover page for those appendices.

21· ·Probably the most important thing is the Program

22· ·for Design.· I don't know if it's the most

23· ·important, but it is awfully important.· The

24· ·program dictates what the government is looking for

25· ·in this building, by functional area, by room, and

·1· ·it tells you exactly what is needed to be included

·2· ·in these buildings.

·3· · · · The project contents list is also very

·4· ·important.· It is associated with that program.

·5· ·Every room has contents associated with it that's

·6· ·been validated by the medical center.· And this

·7· ·contents listing includes all of those contents

·8· ·that are required.

·9· · · · The index again.· Keep going.· Next slide.

10· · · · The lease design narrative. This is the big

11· ·one.· This consolidates all the codes, standards, 12· ·references, and guidelines in one place.· This

13· ·should make it easier for you to know what's

14· ·required.· Make a strong attempt to have everything

15· ·in this one document so it's easy to reference.

16· · · · The design itself is based on the prototype

17· ·from the small house guide in the VA Technical

18· ·Information Library, the TIL.·…
