The offeror shall indicate the Direct Hourly Rate for each labor category listed on the Pricing Worksheet for the base period and all option periods. Minimum Guarantee: The minimum guarantee for each IDIQ awarded contract is $2,500.00 for the base year only. The total ceiling for the Department of Veteran Affairs Construction and Facilities Management (CFM) for Indefinite Delivery/Indefinite Quantity (ID/IQ) is $50M for each contract awarded. The IDIQ contract period of performance will be a twelve (12) month base period, with four (4) twelve (12) month option periods, and a six (6) month option period extension, if exercised. Minimum and Maximum ordering limits shall be in accordance with FAR 52.216-19, Ordering Limitations.
B.3. STATEMENT OF WORK
STATEMENT OF WORK
Indefinite Delivery Indefinite Quantity Contract
1.0. GENERAL PROJECT INFORMATION:
1.1. The Department of Veterans Affairs (VA), Office of Construction and Facilities Management (CFM), intends to procure nationwide Comprehensive Construction Management (CM) services under an Indefinite Delivery Indefinite Quantity (IDIQ) contract. This contract vehicle will be available to VA offices nationwide. The contract period of performance will be a twelve (12) month base period, with four (4) twelve (12) month option periods, which individual task orders maybe issued.
1.2. The objective of this contract is to provide the Government with support for Construction Management and Related Services. The services include, but are not limited to, Construction Management (CM) services, Construction Administration (CA) services and Claim Services. The CM Services contractor shall have the capability of providing a comprehensive program of Project Engineering, Planning, Scheduling, Design reviews and Value Management Assessments, Safety Compliance Reviews, Monitoring and Testing Compliance, Record Keeping, Cost Estimating /Budget Control, and Change Management Documentation Management. Additionally, the CM Services contractor shall have the capability to perform Constructability Reviews, Quality Assurance Monitoring, monitoring a contractor’s adherence to standards in order to meet the specifications and to avoid deficiencies in the work. Other requirements include the level of work performed daily, performing weekly and monthly reviews and reports; change order proposal reviews and schedule development adherence; recommendations pertaining to the integrated master schedules (IMS), written and oral communications and coordination efforts as required.
The intent of this contract is to expand the VA’s capabilities for contract management oversight of projects and project support services to the VA Resident Engineer (RE) and Project Management (PM).
1.2.1. This is a non-personal services contract. The Government will not exercise any supervision or control over the CM Services Contractor. The CM Services Contractor, hereinafter referred to as the Contractor, shall provide all Construction Management services necessary for multiple award task orders (TO) for the Department of Veterans Affairs (VA) nationwide directed by the Contracting Officer (CO), Administrative Contracting officer (ACO) and the Contracting Officer's Representative (COR), and as specifically described in various task orders. No design services may be contracted for or performed under this contract.
The CM services Contractor and/or Contractor employees: (1) The CM Services Contractor shall perform the CM services in accordance with professional standards of skill, care, and diligence in a timely manner in accordance with this contract and the Overall Project Schedule (2) shall perform the services specified herein as independent Contractors, not as employees of the Government; (3) shall be responsible for their own labor, management and administration of the work required and bare sole responsibility for complying with any and all technical, schedule, or financial requirements or constraints attendant to the performance of the contract; (4) shall be free from supervision or control by any Government employee, but (5) shall, pursuant to the Government's right and obligation to inspect, accept, or reject the work, comply with such general direction of the CO, or the duly authorized representative(s) thereof as necessary to ensure accomplishment of contract objectives.
1.2.2. Task Orders: Warranted Contracting Officer within other Department of Veterans Affairs offices will obtain delegated authority to award task orders under this contract provided a request is submitted to the CFM Eastern Region’s CM IDIQ Contracting Officer before the requirement is solicited. All contracting officer’s seeking to place orders against the CFM ERO contract agree to comply with the terms and conditions of the CM IDIQ contract and FAR 16.505(b) Fair Opportunity procedure. The delegated Contracting Officer shall issue a Request for Proposal (RFP) for each requirement that will be competed among the IDIQ contractors. Contractors will have a fair opportunity to submit a proposal for each individual requirement issued against the IDIQ. Upon receipt of the RFP, the IDIQ Contractor is required to submit an e-mail within five (5) days, specifying their decision to propose or not. Each potential task order will utilize the source selection process and source selection criteria outlined in the RFP package. The award will be made to the most successful contractor resulting in a firm fixed price task order.
The contractors shall furnish a detailed proposal to the Government based on the RFP task order submission requirements. The proposal will consist of unit prices based on hourly rates established under the basic contract. It will also include the level of effort for the task order requirement by proposing work to ensure successful completion of the task order requirements. Upon issuance of a task order, the contractor shall promptly commence work specified therein and shall prosecute the work to completion within the period of performance and price agreed upon.
The contractor shall perform no work under this contract unless a written task order has been executed by the Contracting Officer. To the extent of any inconsistency between this contract and any task order, the provisions of this contract shall control. Because the IDIQ contract is in support of VA offices nationwide, requirements may cover different locations which could result in any one contractor maintaining multiple task orders simultaneously in multiple states.
1.2.3. List of Work Elements:
A list of work elements to be accomplished in this contract is provided below. This list is not considered all-inclusive and may be modified in the specific task orders. The CM services will be used to support traditional Design-Bid-Build and Design/Build contracts.

1.2.4. CATEGORY, PHASE AND WORK ELEMENT DEFINITIONS
TASK 1. Pre-Design/Design Phase- This phase establishes the scope of the design effort and preparation of construction documents.
i. Scheduling -Services may include; Development of project schedule to effectively plan for and report on the status of the project. The schedule shall include milestones and phasing strategies. Schedule review meetings to brief project participants on project schedule issues. Scheduling shall be performed using VA approved software.
ii. Planning - Services may include: Coordination with initial planning efforts; site studies; Market Analysis, site investigations; site surveys; preparation of budgets and cost estimates; preparation of preliminary schedules; cost modeling and analysis; and cost control management.
iii. Value Engineering Services – Services may include: Conducting/participating in value engineering workshops and analysis of value engineering proposals.
iv. Market Analysis - Services may include conducting market analysis based on the size and scope of the project and provide findings of market conditions.
v. Constructability and Phasing Review – Contractor will prepare a study working with the facility staff and project management to analyze the constructability of the proposed project in terms of impacts to facility operations. Services may include analyzing parking; utility shutdowns and relocations; staff and patient access; safety risk analysis; and noise, dust and exhaust fumes impacts. Contractor will develop a phasing plan which is mutually acceptable from both a construction and facility operations perspective and produce a phasing plan document approved by both project management and facilities operations.
TASK 2. Construction Period Phase- During this phase the construction contractor is constructing the facility, commissioning may occur, and post completion items may be performed. This phase typically ends with the occupancy of the facility.
i. Establishing temporary field offices - Where required, establish a field office at the project site. All utilities and accommodations are to be provided as a part of the field office. Location shall be used for scheduling and conducting pre-construction meetings.
ii. Monitoring Project Financial Data and Budgetary Cost Accounting - Services may include monitoring and review budgetary cost accounting; technical support of RE office on construction modifications; maintaining spread sheets indicating project funds allowances, obligations, payments, balances, planned expenditures, etc., assist in the documentation of the administration of construction contract change orders (preparing cost estimates, reviewing cost proposal, preparing change order packages for the Contracting Officer).
iii. Construction Phase Scheduling - Services may include preparing and maintaining daily dairies for project activities noting events affecting construction. Maintain a current project schedule, coordinate with general contractor and compare project progress against Contractor (CM) schedule and general contractor’s schedule. Contractor (CM) shall address all schedule slippages to the Resident Engineer and make recommendations for adjustments in the project.
iv. Progress Meetings– Conduct or attend weekly or bi-weekly- project meetings to review and monitor projects and project schedules review of construction contractor payment requirements (including preparation of necessary forms for payment processing by VA).
v. Assisting in Issue Resolution - Contractor shall keep thorough records of occurrences, contracts, and others construction related matters of the project in order to assist the VA in conflict resolution. Perform scheduling, conduct and document regular progress meetings with all interested parties to review project status, discuss problems, and resolve issues accordingly.
vi. Testing and Inspection Services -The Contractor may be tasked to monitor the services of an independent testing agency/laboratory to perform project specific quality control testing and inspection services. The services may include, but are not limited to, testing/inspection of soils, concrete, precast concrete connections, steel, steel decking, applied fireproofing, roofing, curtain walls/glazing, and elevator installations.
| vii. Commissioning – These services may include, but are not limited to, providing |
| professional and technical expertise for start-up, calibration, and/or certification of a |
| facility or operating systems within a facility. The Contractor must be able to provide any |
level of commissioning need from total support to specialty services. Commissioning services may require start-up planning, forecasting start-up duration, estimating start-up costs, determining start-up objectives, organizing start-up teams and team assignments, testing building system components, conducting performances tests, obtaining O&M material, plus conducting, scheduling and/or supervising O&M training.
viii. Performing Additional Construction Related Services- Services may include but not limited to; Maintaining marked up sets of project plans and specifications for future as-built drawings; performing routine inspections of construction as work proceeds, taking action to identify work that does not conform to the contract requirement, and notifying the VA when work requires correction; compiling, thorough site inspections, lists of defects and omissions related to the work performed and providing these lists to the RE Office for correction; monitoring project financial data and budgetary cost accounting; assisting in relocation efforts; administration of construction contract change orders (preparing cost estimates, reviewing cost proposal); Submittal Review; Request for Information Review and Responses; Daily Logs of Activity; coordination of Owner supplied equipment; and other services as may be required by the VA.
ix. Claims Analysis and Resolution Services – The CM Contractor may be tasked to provide claims/dispute resolution services when and as required by the Government for specific projects. Services may include provision of expert testimony as required in unusual situations from specialty disciplines. Claims services may include: Furnishing reports with supporting information necessary to resolve disputes or defend against the claims, preparation and assembly of appeal files, participation in meetings or negotiations with claimants, appearance in legal proceedings, preparation of cost estimates for use in claims negotiations, preparation of Time Impact Analyses and evaluations of claimed time delays, preparation of risk assessments / analyses relative to claim exposures, preparation of findings of fact and any other documentation required by the Government.
1.3. The CM Contractor shall provide the government with professional construction and technical management assistance as required to perform the quality assurance with a comprehensively administered Quality Management Plan (QMP) and the Quality Assurance Surveillance Program (QASP). This includes a comprehensive program of project engineering, planning, scheduling, communications, design assessments, safety compliance, testing compliance, record keeping, construction administration, cost estimating /budget control, change management and Construction Reporting and documentation management control.
1.4. Each position will serve as a Construction Manager professional on site (to be determined by task order) in the Field Resident Engineer Office within the Office of Construction & Facilities Management.
1.5. The offeror shall provide an onsite Supervisor (CM Contractor) for each task order to whom the CM Staff will report. The CM staff shall not perform actions that are to be performed by the Government including, but not limited to, the acceptance or rejection of work; authorization of changes; final review and/or approval of RFIs or submittal; and other work designated as the responsibility of the Contracting Officer. The contractor shall not perform inherently governmental functions as defined in the Office of Federal Procurement Policy (OFPP) Letter 92-1, Inherently Governmental Functions and FAR 7.5; Inherently Governmental Functions. It should also be understood that no government employee will be supervising any contract employee and no contract employee will be supervising any government employee under this contract. Lastly, the contractor shall represent themselves as a contractor when engaged in official communications regarding government related program matters.”
1.6. For each task order as specifications prescribe, Contractors are required to obtain access to the VA CM software through the Resident Engineer Office. All correspondence shall be electronically transmitted and followed up on in a timely manner. Maintenance of the filing system and the project data and any other record controls shall be the responsibility of each professional working in her/his discipline area and assigned duties or as otherwise noted. A Construction Administrator (CM-CA) shall assist in managing this process including the coordination of the administrative correspondence and other duties. The CM Staff will be required to acquire a Government Personal Identity Verification (PIV) card and if necessary be trained on the programs for Tririga, CFM’s Project Management Software.
1.7. The CM Contractor shall assist the VA in pro-active planning and execution of an Issue Tracking and Close-out process including the integration of Quality Assurance and Commissioning, Plan Grid or similar approved graphic/spatial Tracking System shall be provided by the CM to efficiently document and integrate the QA process throughout the project. This software capability shall be supplied by the Construction Management Contractor and made available to the VA RE Staff. The software package must include the Plan Grid, or equal for up to 8 licenses that work on an integrated platform; with 4 (four) licenses available to the VA RE Staff. A tutorial with individual hands on training shall be given to the staff on the Software/Hardware use. Issue tracking shall be administered through the QAS with photo documentation of first issue and mock up standards of built aspects of the project through final acceptance documentation in accordance with the Quality Control Plan; deficiency reports; through final acceptance to be retained throughout the life of the project and records are to be delivered to the VA at completion by the CM. The VA will retain 4 hardware/software packages of plan grid throughout the project. Final deliverables will include all interim and final reports.
1.8. The government will provide, basic office essentials including desk, chair, power, and lighting.
1.9. The CM Contractor shall provide all required communication equipment for their staff; cell phones, computer (desktop or laptop), Scheduling Software (P6) compatible with the Construction Contractor, and other basic software as needed to efficiently complete the duties as required. The information technology assets and internet connectivity required to successfully perform daily tasks must communicate seamlessly with the CFM Staff. A share point site shall be provided by the CM Contractor for document sharing and communications ease allowing access to the RE Staff. The CM team shall have real time access to all records created complied or transmitted on behalf of the Government. A minimum of two complete hoteling workstations outfitting in addition to the required initial (day 1) on site workstations shall be provided for on/off site CM employees which are equipped with a laptop and the entire CM suite of software including P6. This will allow the part time CM employees and RE Staff to access the needed information at the site.
1.10. Work shall be performed during normal core business hours of the VA Medical Centers and Cemeteries and/or as described by the task orders. The COR may limit or otherwise specify the days/hours of workspace availability.
1.11. Travel outside of assigned project location is not anticipated or will be limited. Travel performed for personal convenience and daily travel to and from work at the place of performance will not be reimbursed. The Government will not be responsible for any relocation expenses associated with moving contractor personnel or replacement of personnel. Also, the CM contractor may be required to travel to the site or other locations as designated by the VA’s contracting officer. Travel will be in accordance to applicable VA and other Government Travel Regulations.
1.12. RESERVED.
1.13. Deliverables for Task Orders:
1.13.1. CM Contractor Supervisor shall coordinate contract employee schedules and progress on a weekly basis. Provide assignment plans to COR one week in advance.
1.13.2. CM Contractor Supervisor shall provide consolidated weekly reports to COR on work completed.
1.13.3. CM Contractor shall complete daily work logs indicating work observed, inspections completed, quality issues identified, and tasks completed.
1.13.4. CM Contractor Supervisor shall provide quality report to COR identifying construction deficiencies and omissions to include any corrective actions taken.
1.13.5. CM Contractor Supervisor shall provide data and guidance to COR and CFM Regional Safety Engineer on all safety and environmental related issues for immediate correction.
1.13.6. Specific training certificates will be required for each CM professional including, but not limited to:
· Completion of 30-hour OSHA Safety Training Class at the contractor’s expense (within 60 days of NTP)
· Completion of VA Cyber Security Awareness Training (within 60 days of NTP)
· Completion of VA Privacy Awareness (within 60 days of NTP)
· IT Training for Operation of VA Administration Software (TRIRIGA) within 30 days of NTP
1.13.7. Any changes to delivery dates shall be discussed with the COR and requested in writing to the Contracting Officer (CO). If for any reason any deliverable cannot be delivered within the scheduled time frame, the contractor is required to explain why in writing to the CO including a firm commitment of when the work shall be completed. This notice to the CO shall cite the reasons for the delay and the impact on the overall project. The CO shall then review the facts and issue a response.
1.13.8. General Deliverable Requirements:
· Deliverables, as well as all associated working papers and other material deemed relevant by VA that have been generated by the Contractor in the performance of this contract, are the exclusive property of the U.S. Government and shall be submitted upon request to the CO at the conclusion of the contract.
· The COR, ACO and/or CO will be the only authorized official to release, verbally or in writing, any data, draft deliverables, final deliverables, or any other written or printed materials pertaining to this contract. No information shall be released by the Contractor. Any request for information relating to this contract presented to the Contractor shall be submitted to the CO for response.
· Press releases, marketing material, or any other printed or electronic documentation related to this contract shall not be publicized without the written approval of the CO.
· Non-Disclosure and Conflict of Interest: The Contractor and Contractor’s staff may have access to Government sensitive information and may be required to sign non-disclosure and conflict of interest statements.
· Assisting in Issue Resolution – The CM Contractor may be required to document issues, occurrences, contract performance, test results, or other construction related matters of the project in order to assist the VA in conflict resolution. CM Contractor should be able to identify the issues, identify the appropriate party for resolution and track and assist with the resolution accordingly.
1.14. Acceptance of Deliverables: The Contractor shall submit for acceptance only those items that conform to the requirements of this contract. The Government reserves the right to review any services that have been submitted for acceptance. The Government may require revisions or re-performance of non-conforming services or deliverables at no increase in task order price. If revisions or re-performance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of non-conforming services or deliverables. Payments will be made to the Contractor for services/deliverables that have been reviewed and accepted by the Government.
1.15. Contracting Officer's Representative (COR) authority will not be provided to contracted personnel.
1.16. Contracting Officer Authority: A Contracting Officer is the only person authorized to direct changes in any of the requirements under this contract. In the event that the contractor initiates change at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and is solely the risk of the contractor.
1.17. Quality Assurance Surveillance Plan (QASP): The COR will monitor the contractor’s performance under this contract using a QASP.
1.18. Quality Control (QC) Plan: The CM Contractor shall work with the construction contractor to establish and maintain a Quality Control Program Plan, to ensure that all specified services are provided within the required timeline and level of quality. The approved plan will be approved via Tririga.
1.19. Contract Manpower Reporting:
1.19.1. CM Contractor Supervisor shall provide time sheet information on employees within 24 hours of end of pay period.
1.19.2. CM Contractor Supervisor shall keep the CO/COR informed of employee status and schedules.
2.0. PERIOD OF PERFORMANCE:
2.1. Period of Performance: The contract provides for a five (5) year ordering period, if all option period/years are exercised. The contract will be a twelve (12) month base period with four (4) twelve (12) month option periods for a potential aggregate total performance period of five years, for each of the awarded contractors. FAR Clause 52.217-8, Option to Extend Services up to six (6) months. The anticipated Period of Performance reads as follows:

2.2. Schedule of Performance: The required performance schedule will be set forth in each Task Order. Individual task order performance periods may extend beyond the contract performance period.
2.3. The Contractor shall review and provide feedback on the initial baseline schedule and monitor this schedule in accordance with the task order. If the project is not proceeding according to the approved schedule, the CM Contractor shall notify the RE, CO and PM of the issues and recommend corrections/updates to schedule in the event of changes to the delivery schedule.
2.4. Number of hours per week: To be determined and set forth in each Task Order. However, the Contractor must always maintain an adequate workforce for the uninterrupted performance of all tasks defined within task order SOW.
2.5. Location of Work: To be determined and set forth in each Task Order.
2.6. FEDERAL HOLIDAYS
2.6.1 General: The Contractor shall not schedule interfacing work (meetings, approvals, deliveries, etc.,) with the Government on any of the established holidays in the federal service, or any other day designated as a holiday in Federal Statutes or by Executive Order, except with the prior approval of the TOCO, or the COR. The following days have been established as legal public holidays in the federal service.

When one of the designated legal holidays falls on a Sunday, the following Monday will be observed as a legal holiday. When a legal holiday falls on a Saturday, the proceeding Friday is observed as a legal holiday. The list of holidays relates to Government duty days and is not intended to supplement or otherwise alter the provisions of any Wage Determination or Collective Bargaining Agreement regarding applicable paid holidays.
2.6.2. Additional Days: In addition to the days designated as holidays, the Government observes the following days:
· Any other day designated by Federal Statute
· Any other day designated by Executive Order
· Any other day designated by a Presidential Proclamation
2.6.3. Compensation: It is understood and agreed between the Government and the contractor that observance of such days by Government personnel shall not be a reason for an additional period of performance or entitlement of compensation except as set forth within the contract. In the event the contractor's personnel work during a holiday or other day observed by Government employees, the contractor may reimburse them; however, no form of holiday or other premium compensation will be reimbursed by the Government, either as a direct or indirect cost, other than their normal compensation for the time worked. This provision does not preclude reimbursement for authorized overtime work if applicable to a TO.
3.0. SCOPE SUMMARY AND KEY PERSONNEL
3.1. Key Personnel: The contractor shall provide the Key Personnel and Primary Disciplines/ Consultants as required to yield a successful outcome. Personnel as defined by the task order may be potentially located offsite and will be determined at the onset of the task order. Key personnel may be required to attend weekly, monthly, partnering and other meetings even if they are off-site. The contractor will provide a list of key personnel and an organizational chart of the primary individuals key functions under the contract.
3.2. The CM Contractor will coordinate all planned and alternating work schedules and duties with the field Contracting Officer Representative (COR) on a weekly basis. The schedules shall coincide with the requirements of the contract and associated task orders. A limited staff for holiday work may be required.
3.3. Upon the loss of an individual team member assigned to this contract, the CM Contractor shall immediately notify the Contracting Officer (CO) and shall replace that individual with a professional of comparable experience/credentials acceptable to the CO within 15 calendar days.
3.4. The Government may at any point exchange one discipline for another (at the current contracted wage rate associated with the new discipline). The Government also may require or agree to the personnel residing onsite or off site.
3.5. All Personnel that are required on a full or part time basis must have a strong background in Technical Construction Management and Construction Administration. They must have experience in technical and compliance requirements and performing monitoring and inspection of construction for compliance with contract requirements on a non-personal services basis.
4.0. PROFESSIONAL DISCIPLINE:
The CM contractor shall support activities related to the task areas listed above. Below is a listing of professional disciplines likely to be required to accomplish these tasks. This is not meant to limit other professional duties required to complete any task order requirements. Coordination between the VA and CM contractor shall take place to solidify roles and responsibilities depending on the assets of the team and as it changes throughout the project.

4.1. All proposed substitutions shall be submitted, in writing, to the Contracting Officer at least fifteen (15) days prior to the proposed substitution. Each request shall provide a detailed explanation of the circumstances necessitating the proposed substitution, a complete resume for the proposed substitute and any other information required by the Contracting Officer to approve or disapprove the proposed substitution. All proposed substitutes shall have qualifications that are equal to or higher than the qualifications of the person being replaced.
4.2. The Qualifications and Capabilities of each of the personnel are hereby defined in Attachment A and shall be submitted for review and approval. Should the skillset not be evidenced while preforming the duties, a replacement will be required with a skillset commensurate with the job at hand.
4.3. Each CM candidate, regardless of position, (unless otherwise noted) shall provide the capabilities and qualifications as follows.
4.3.1. Each Architectural or Engineering professional shall hold a four (4) year Bachelor of Science Degree from an accredited school of higher learning and have a minimum of six (6) years’ experience practicing as an Architect, Engineer or Construction Manager
4.3.2. The Non-Architectural/Engineering Positions including the Construction Administrators, Estimators, Schedulers and Safety/Environmental professionals may substitute extensive construction experience and other credentials for consideration. Expertise in the requested discipline must be evidenced by extensive experience and qualifications.
4.3.3. Each member of the team shall have a minimum of three (3) years of field experience accomplishing similar CM work. Claims Analyst II and I shall have fifteen (15) and twelve (12) years of relevant experience, respectively.
4.3.4. It is required each architect or engineer shall have both design and construction experience. Medical facility expertise is a plus. Each candidate shall present three projects of the scale and difficulty of the task order scope of work in which he/she held a similar position.
4.3.5. Each member shall be equipped with their own Personal Protective Equipment (PPE).
4.3.6. Each member shall have proficiency in Building and Other Code and permitting requirements; materials and methods and Construction processes. They shall have the ability to proactively notify the Government of any violations and/or potential impacts of any aspect of risks involved in the project and assist in preparing and updating the risk management plan.
4.3.7. Each member shall have the capability of reviewing, preparing and making professional recommendations on scope of work documents, submittals and proposed changes. They must have the capability of determining the value of acceptable work in place. Must take an active part in the task order Quality Assurance Surveillance Program and other requirements set forth under the Contract.
4.3.8. Where one candidate is qualified to fill more than one role, for instance General Mechanical or Civil/Structural, this may be acceptable if the coverage and skills are available to meet the task at hand.
5.0. POST AWARD
5.1. The CM Contractor is responsible for providing post-award services to assist the Government in the negotiation, documentation, and oversight of construction and renovation, and delivery of building/space. The CM Contractor may also be called upon to help negotiate disagreements between the construction contractor and the Government, or to provide support to the Government in defending a position on an issue affecting construction quality, time, or cost.
5.2. The CM Contractor shall participate and assist in scheduling the Post-Award Kickoff Meeting. At the meeting, parties shall confirm roles, responsibilities, and schedule for the post award process, discuss how design of the space will be accomplished, and the process and impact of change orders. Occupancy coordination, such as physical relocation of VA’s personal property, installation of telecommunications service, installation of computer cabling, furniture delivery, or other similar services with the user group, shall be discussed with clear roles and schedules defined as a result of the discussions. The CM Contractor shall document the attendees, take meeting minutes, and document the results of the meeting and disseminate to all attendees. The Contractor will also distribute a project contact list including all the relevant points of contact.
5.3. Responsibility for Field Work: The Contractor shall be responsible for all damages to persons and property that occur as a result of actions by the Contractor's fault or negligence in connection with field work and shall save and hold the Government free from all claims and suits arising from such damages.
5.4. Release of Data: All data, reports, and materials relevant to this Scope of Work are the property of the Government and will not be released by the Contractor without written approval of the Contracting Officer.

INSTRUCTIONS TO OFFERORS
General Instructions, Submission, Conditions and Other Information to Offerors
1. OVERVIEW
1.1. This request for proposal (RFP) seeks proposals from Offerors interested in being selected for Construction Management (CM) services under a multiple award Indefinite Delivery Indefinite Quantity (IDIQ) contract. Offerors responding to this RFP are required to submit their proposals in accordance with the instructions contained in this section.
1.2. The purpose of these instructions is to establish uniform evaluation procedures for the proposals and the development of the Best Value Decision. In as much as the proposal shall describe the capability of the Offeror to perform the resulting contract, the proposal shall be specific and complete in every detail as well as be prepared simply and economically, providing a straightforward and concise description of capabilities to satisfactorily perform the contract.
1.3. Contractor Team Arrangements. Contractor Team Arrangements are considered an arrangement in which (1) two or more companies form a partnership or joint venture to act as a potential prime contractor; or (2) a potential prime contractor agrees with one or more other companies to have them act as its subcontractors under a specified Government contract or acquisition program. In accordance with FAR Subpart 9.6, the Government will recognize the integrity and validity of contractor team arrangements; provided, the arrangements are identified, and company relationships are fully disclosed in the offer. The Offeror shall identify the major or critical aspects of the requirement to be performed by those identified in the Contractor Team Arrangement. The submission must contain a narrative that clearly explains the relevance to a particular factor of information concerning a company that is part of a Contractor Team Arrangement. The Government will consider the adequacy of this explanation in deciding the relevance of the information to this procurement.
1.4. If applicable, the Offeror shall submit evidence from the Offeror’s SBA Servicing Agency that the Offeror has notified and discussed the proposed joint venture for this project with the appropriate SBA personnel.
1.5. Information submitted about any company other than the Offeror, whether a predecessor company, affiliated company, subsidiary (including wholly owned subsidiaries), subcontractors that will perform major or critical aspects of this requirement, or other associated business, will not be evaluated for any factor unless the proposal contains a detailed narrative explaining why this submitted information is relevant to this acquisition. The Government will consider the adequacy of this explanation in deciding the relevance and weight of the information to this procurement. Information about subcontractors may not be given much weight unless the proposal contains evidence that the subcontractor is committed to perform the work.
