About this file

This is a Confidentiality Addendum document executed between the State Public Charter School Authority (SPCSA) in Nevada and a vendor providing goods or services. The addendum establishes the legal framework governing the handling of confidential information, including individually identifiable information and health information, that the vendor may access or receive during contract performance. The addendum commences on the effective date of the primary agreement and expires upon destruction or return of all confidential information to SPCSA. The vendor is restricted from using or disclosing confidential information except as permitted by the primary agreement or as required by law, and any permitted uses are limited to fulfilling the vendor's contractual responsibilities and supporting SPCSA's management, legal obligations, and health care data aggregation services.

The vendor is obligated to implement appropriate safeguards to prevent unauthorized use or disclosure of confidential information and must ensure that all subvendors and agents are bound by identical restrictions through subcontract provisions. The vendor must immediately report any unauthorized use or disclosure to SPCSA in writing. Upon contract termination, the vendor shall return or destroy all confidential information received or created on behalf of SPCSA, or if return or destruction is infeasible, maintain the protections of the agreement indefinitely. The document does not address specific pricing terms, set-asides, or funding mechanisms, as it functions as a standard protective addendum applicable to the broader consulting and project management services agreement between the parties.
