Summary of RFQQ Amendment 1 for Sale of Surplus Salmon Carcasses and Eggs
This is Amendment One to a Request for Qualifications and Quotations (RFQQ 25-00017) issued by the Washington Department of Fish and Wildlife (WDFW) for the purchase and removal of surplus salmon carcasses and eggs from WDFW hatchery facilities throughout Washington State. The contract is structured as a single entity covering all geographic regions including state-funded facilities along the coast and Puget Sound, as well as federally and locally funded facilities in Eastern Washington and on the Columbia River; subcontracting is permitted but only one prime bidder will be accepted. The initial contract period is three years (July 1, 2026 to June 30, 2029) with options to extend up to six years total, contingent upon satisfactory performance by both WDFW and its stakeholders. WDFW does not anticipate reductions in hatchery production during the contract period, though production numbers may change due to budget adjustments, fish loss, or other operational scenarios. The contractor must take all fish and eggs offered in any category or location and is required to provide 24-hour notice for pickups, which may occur on weekends or holidays. WDFW may conduct site visits with at least 48 hours' notice and reserves the right to perform audits and inspections of contractor operations and facilities.
Pricing is fixed on a per-fish basis across six condition categories: "Good" unspawned females with eggs, "Good" males and jacks, "Low" salmon, "Low" females with eggs, non-viable eggs, and unusable salmon. The contractor must obtain a performance bond of $500,000 in the form of cash, certified check, or irrevocable letter of credit, due within 30 days of award notification. All "good" quality male fish from state-funded hatcheries must be processed and donated to Northwest Harvest at no cost to WDFW or the food bank; good quality fish from federal and local facilities are similarly donated, though eggs from these fish may be retained by the contractor. The contractor must be licensed by WDFW as a wholesaler, canner, processor, or byproducts manufacturer and must comply with Washington State Department of Agriculture and FDA standards for food-grade handling and refrigeration. Annual reports are required by August 31st of each contract year, detailing fish received by facility, species, sex, condition, spawn status, and the disposition of processed products delivered to Northwest Harvest. Late payment penalties include one percent monthly interest on payments exceeding 30 days overdue, plus additional fees of two percent for payments over 60 days late or five percent for payments over 90 days late.

STATE OF WASHINGTON WASHINGTON DEPARTMENT OF FISH AND WILDLIFE
AMENDMENT ONE (1)
REQUEST FOR QUALIFICATIONS AND QUOTATIONS (RFQQ) 25-00017
PROJECT TITLE: Sale of Surplus Salmon Carcasses and Eggs from WDFW Hatcheries
PURPOSE OF AMENDMENT:
1. Post questions and answers. None of the answers require a modification to the RFQQ. Please let the RFQQ Coordinator know if you have any trouble opening the embedded documents.
#
Question
Answer
1
Can the contract be split up geographically?
This Contract is structured as a single entity and cannot be divided into separate geographical areas. This is primarily because the revenue generated from this Contract comes from state-funded facilities, which are predominantly located along the coast and Puget Sound region. If the Contract were split, the locally/federally funded facilities in Eastern Washington and on the Columbia River would likely be at a disadvantage that could result in a lack of service for those areas, undermining the effectiveness of the Contract.
Please see RFQQ section 3.3 COMBINED PROPOSALS – ONE PRIME BIDDER. Subcontracting is encouraged where it makes sense for the Bidder to ensure comprehensive coverage across the entire state, although WDFW will only accept bids that identify one primary Bidder.
2
Can the contract be extended?
Please see Expected Time Period for Contract on page 1, and Section 1.1 of the RFQQ. The Contract is established for an initial duration of three (3) years with options to extend up to six (6) years total provided WDFW and its stakeholders are satisfied with the Contractor’s performance.
3
Do you anticipate any reductions in hatchery production?
WDFW does not anticipate any reductions in hatchery production during the Contract period. However, there are no guarantees, and production numbers may be subject to change due to various scenarios such as production shifts, budget adjustments, fish loss, etc.
4
Are any hatcheries at risk of closing?
Currently there are no anticipated closures of any hatcheries. However, WDFW is subject to budgets passed by state lawmakers, and as such, we cannot predict any potential hatchery closures or budget impacts that could alter the scope of the Contract in the future.
5
Is there an independent audit requirement?
Please see the Sample Contract Statement of Work sections 13 SITE VISITS and 15 AUDIT REQUIREMENTS. WDFW does not typically require independent audits for this Contract, although we reserve the right to conduct an audit at our discretion. Additionally, WDFW may perform inspections of the Contractor’s operations/facilities to ensure compliance with the terms of the Contract.
6
What are the specific reporting requirements?
Form 3 – Fish & Egg Disposition Ticket Completion – The Contractor must get a Form 3 from the hatchery each time fish are picked up from the site. This form captures essential data, including:
· Species – The species of the fish being collected.
· Sex – The identification of the sex of the fish (male female, or jack).
· Spawned Status – Whether the fish are spawned or not.
· Condition of Fish – The overall condition of the fish at the time of pickup (e.g., good, low, or unusable). Condition is determined by hatchery staff.
· Total Number by Category – The total count of fish collected by each category specified.
Example of a Form 3 – Fish & Egg Disposition Ticket below:
The Sample Contract is updated with the language below in the Statement of Work under section 12 REPORTING REQUIREMENTS (the revised Sample Contract is embedded below):
Annual Report – The Contractor is required to submit an annual report to WDFW no later than August 31st of each contract year for work done in the previous contract year (July 1 – June 30). This report will include the following:
· Number of fish received from each facility, by species, sex, and condition type.
· Total pounds of fish received from Fed/Local funded facilities by species, sex, condition and spawn status.
· Total pounds of fish received from State funded facilities by species, sex, condition and spawn status.
· Total pounds of processed fish for distribution to the food bank (final processed poundage).
· Total pounds of fish processed for sale for human consumption.
· Total pounds of eggs sold.
· Total pounds of eggs or of salmon for other uses (e.g., pet food or fertilizer).
· Total pounds of fish sent to rendering or other disposal methods.
END AMENDMENT

All policies shall be primary to any other valid and collectable insurance. The CONTRACTOR shall retain such records for a period of six years following the date of final payment. At no additional cost, these records, including materials generated under the contract, shall be subject at all reasonable times to inspection, review or audit by the AGENCY, personnel duly authorized by the AGENCY, the Office of the State Auditor, and federal and state officials so authorized by law, regulation or agreement. SUBCONTRACTING
Neither the CONTRACTOR nor any SUBCONTRACTOR shall enter into subcontracts for any of the work contemplated under this contract without obtaining prior written approval of the AGENCY. In no event shall the existence of the subcontract operate to release or reduce the liability of the contractor to the Department for any breach in the performance of the contractor’s duties. This clause does not include contracts of employment between the contractor and personnel assigned to work under this contract.
Additionally, the CONTRACTOR is responsible for ensuring that all terms, conditions, assurances and certifications set forth in this agreement are carried forward to any subcontracts. The AGENCY reserves the right to suspend all or part of the contract, withhold further payments, or prohibit the CONTRACTOR from incurring additional obligations of funds during investigation of the alleged compliance breach and pending corrective action by the CONTRACTOR or a decision by the AGENCY to terminate the contract. A termination shall be deemed a “Termination for Convenience” if it is determined that the CONTRACTOR: (1) was not in default; or (2) failure to perform was outside of his or her control, fault or negligence. The rights and remedies of the AGENCY provided in this contract are not exclusive and are, in addition to any other rights and remedies, provided by law.
TERMINATION FOR CONVENIENCE
Except as otherwise provided in this contract, the AGENCY may, by 10 calendar days written notice, beginning on the second day after the mailing, terminate this contract, in whole or in part. If this contract is so terminated, the AGENCY shall be liable only for payment required under the terms of this contract for services rendered or goods delivered prior to the effective date of termination.
TERMINATION PROCEDURES
